Nesta dissertação, defender-se-á que o poder de controle se pareça com o que poderia ser denominado de um direito de propriedade indireto. Conforme será demonstrado, isto estaria de acordo com a diferença entre o poder de controle direto e o poder de controle indireto (arts. 243, §2º, LSA, e 1.098, II, CC) e com o conceito da transferência indireta dos bens da sociedade (art. 254-A, caput e §1º, LSA) utilizados na legislação brasileira. Para levar a cabo esta comparação, abordar-se-á, novamente, o problema do antigo direito de propriedade. Durante a pesquisa realizada para a feitura do presente trabalho monográfico, percebeu-se que a literatura brasileira especializada não costumava aludir à bibliografia antiga sobre o poder de controle no Brasil. Acredita-se, assim, ter contribuído para as discussões sobre o poder de controle no Brasil com a referência a estas obras de outrora. Em particular, crê-se ter contribuído para o debate sobre a permanência do poder de controle em face dos livros dos Professores W. Ferreira, J. E. Borges e C. Champaud. Este último, na verdade, não é um autor brasileiro, mas o seu trabalho foi especificamente analisado pelos Professores F. K. Comparato e O. Gomes na década de setenta antes da edição da Lei das Sociedades por Ações. Ao final, expõe-se a conclusão de que o poder de controle se assemelharia a um direito de propriedade indireto. / In this thesis, it shall be contended that corporate control is equivalent to an indirect property right. As it shall be demonstrated, this would be in accordance with the difference between direct corporate control and indirect corporate control (articles 243, §2º, BCL, and 1.098, II, BCC) and with the concept of the indirect transfer of goods (article 254-A, caput and §1º, BCL) mentioned in the Brazilian legislation. In order to make this comparison, the ancient problem of the property right shall be addressed. During the research made to elaborate this thesis, it was noticed that the Brazilian law literature did not usually direct attention to old references on corporate control in Brazil. As a result, it is believed that a contribution has been made to the discussion on corporate control in Brazil with reference to these previous works. In particular, it is understood that a contribution has been made to the debate about the permanence of corporate control in light of the works of Professors W. Ferreira, J. E. Borges and C. Champaud. This last Professor is not, in fact, a Brazilian scholar, but his work has been specifically reviewed by Professors F. K. Comparato and O. Gomes during the seventies, before the Brazilian Corporation Law was enacted. In conclusion, it is argued that corporate control is similar to an indirect property right.

公有土地撥用制度,由於以往相關法規對於撥用「所有權」或「使用權」不明確,因此,各級政府機關之間往往產生有償無償問題爭議,以致影響公有土地撥用作業。本研究從財產權觀點探討撥用問題,進行理論上剖析與實務上的探討。   本研究之重要結論與建議如下:   一、結論   (一)公有土地撥用之相關法規對於財產權界定不明確,為產生撥用之有償無償爭議的主要原因。   (二)公有土地撥用之有償與否,對土地使用配置的效率有一定程度影響,而撥用之有償無償爭議,易造成公有土地撥用的無效率。   (三)公有土地撥用應區分「所有權」與「使用權」的撥用,以所有權移轉者,以有償方式撥用,以使財產權界定更明確。   二、建議   (一)於不同層級政府(如臺北市政府與臺北縣政府)或同一層級不同地方政府(如臺北市與臺灣省政府)間撥用公有土地,以撥所有權為主,採取有償方式。於同一層級政府間撥用公有土地,則以撥用使用權方式進行。   (二)區分所有權與使用權之撥用,並分別賦予不同名稱。同一層級政府間撥使用權,宜稱為「移轉使用」,不同層級政府或同一層級不同地方政府間撥所有權,才稱為「撥用」,以避免二者混淆。 / Concerning the land appropriation system in Taiwan, because relevant past laws and regulations concerning appropriation "ownership" and "use rights" were not clear, problems and disputes concerning whether or not compensation would be awarded often arose between government agencies at various levels, sometimes affecting the implementation of the public land appropriations. This study researches the appropriation question from the viewpoint of property rights, making both a theoretical analysis and an' investigation of actual practice.   The important conclusions and suggestions of this study are as follows:   1. Conclusions:   A. Laws and regulations concerning public land appropriations are unclear as to property right distinctions and are a principal cause for disputes concerning whether or not to award compensation for appropriations.   B. Whether or not compensation is given for public land appropriations has a definite level of impact on the efficiency of arrangements for land use. Therefore disputes concerning whether or not to give compensation for appropriations are apt to lead to inefficient public land appropriations.   C. Public land appropriations should clearly distinguish the appropriation of "ownership" and "use rights." In order to clearly distinguish property rights, compensation should be given for appropriations when ownership is transferred.   II. Suggestions   A. When public land appropriations are made between different government levels and segments (such as the Taipei Municipal Government and the Taipei County Government) or between different government levels in the same segment (such as the Taipei Municipal Government and the Taiwan Provincial Government), appropriation of property rights should be generally made. and should employ the method of giving compensation. When public land appropriations are made within a single level and segment of government, appropriation of use rights should be made.   B. Distinction should be made between the appropriation of property rights and use rights, and they should also be given different names. In order to avoid confusion of the two, use right appropriations made within a single segment and level of government should be appropriately termed "transfer of use right," and only property right appropriations made between different segments and levels of government or within the same segment but between different levels of government should be termed "appropriations."

The research of the non-pharmaceutical industry converted investment the biological technology industry

The government has included biological technology industries among the priorities of development program for ¡§challenge 2008--national development plan¡¨ and ¡§Two Trillions Double Stars Industries Development Plan¡¨. As the labor cost rising and many industries moving to Mainland China, several traditional industries in Taiwan have successfully transformed into biological technology industries for surviving, while some pharmaceutical industries seems not to do well as above. So the author would like to dip out intensively why non-pharmaceutical industries could convert the investment into biological technology sectors successfully than the pharmaceutical counterparts. It would collect some relevant data and get interviews from respective company and literature review, and then apply SWOT (Strength, Weakness, Opportunity and Threats) analysis to understand what kinds of impediments those companies have encountered, how they resolved the problems and what results they yielded. May this study provide feasible advises about the optimal routes and approaches for Taiwan industries to transform into biological technology sectors by analyzing and comparing different cases of converted investment. The results that have been found are as follows: the converted investments which non-pharmaceutical industries embarked upon could divided into two approaches--- one for those companies that had adequately understand their own merits and felt they should convert the investment into biological technology sectors; another one is that the transformed company only hoped to facilitate the opportunity which government prioritized to market their products well. In near future, we would see the biological technology industries come to merger, vertical integration and strategic alliance due to research & development, marketing access and acquirements of capitals. According to this survey, most pharmaceutical companies wouldn¡¦t like to transform into biological technology industries because of some state policies, such as cGMP system, health insurance bureau lowering the payment for pharmaceutical companies, domestic markets having been liberated and new labor retirement pension fund systems. Besides, the pharmaceutical industries have been stepping up the speed of merger and shakeout, certainly would they not to transform into biological technology industries. Therefore, if the domestic industries hope to convert their investments, they should layout short-term and long-term strategies, which the former ought to take priority of creating the profits so as to facilitate the development of the latter which would focus on building up marketing accesses, cultivating R&D talents and their competences, as well as expanding strategic alliance actively with international enterprises for biological technology. To conclude, this study would provide Taiwan industries who tried to transform some advises, such as to consider merger, develop healthy food, beef up the integrated supply chains, loosen the conditions of becoming a listed company or OTC(over-the-counter) company, value the intellectual property right and open overseas markets.

China¡¦s Response to the Global IPR Regime: Resistance, Compromise or Compliance

China¡¦s behavior towards the intellectual property rights (IPR) regime is a reflection of the tug-of-war between regime and national interest. IPR, a concept foreign to Chinese culture, began to influence China following the reforms of 1978 through both external and internal pressures. This paper attempts to show how the power of international rules and national interests impacts China¡¦s IPR behavior by analyzing its attitude towards IPR negotiations, trends related to its IPR legal framework and enforcement. This analysis can be broken down into three different periods. 1. 1979-1990: Interaction between national interest and international norm. China¡¦s action of both participating in the world IPR regime and the building of a domestic IPR system was to large extent motivated by self-interest. China needed a systematic IPR framework in place to meet its new economic conditions: attracting FDI and technology transfers while protecting indigenous infant industries. However, there is little evidence that China¡¦s actions during this period showed compliance with the global IPR regime. 2. 1990-2000: Moving towards compromise. China¡¦s negotiations with the United States dominated trends in its IPR reform and reoriented China¡¦s national interests. As China¡¦s largest trade partner and hegemon in the IPR issue area, the U.S. played a strong role in making Chinese IPR laws more transparent and aligned with the international standard. For sustaining economic development, China realized it needed to create an environment friendly to foreign investors and protect its growing export industry of patented products, and Chinese leaders therefore conceded to a large part of U.S.¡¦s demands. Nonetheless, the reform mostly focused on the legal system while enforcement was overlooked, continuing the rampant IPR infringement. 3. 21st century: Compliance under the WTO regime. Through its experience in the 1990s, and its membership in the WTO, China¡¦s IPR policies in the 21st century have become more proactive and globalized, implying that China is willing to accept higher degrees of interdependence. In this period, China has strived to conform to TRIPS (Trade-related Aspects of Intellectual Property Rights) and has tackled its enforcement problem with a number of practical administrative and judicial policies to help reassure foreign investors and a growing amount of local IPR holders of the security of their IP. In the end however, the analysis in this paper still shows that China¡¦s current IPR protection policies still favor China¡¦s national interests over the interests of the global IPR regime. This paper finds that the global IPR regime has helped to influence a new agenda for the PRC: to pursue a knowldege-based economy as a development goal. China now intends to follow the rules of the global IPR regime. The central government's capability of enforceing IPR policy at every level of government is an important benchmark in examining China's response to the global IPR regime in the future.

Pastebėtina, jog, esant prastai ekonominei padėčiai, intelektinės nuosavybės teisių pažeidėjai pradėjo klastoti ne tik prabangos prekes. Patekusios į rinką klastotos prekės gali pakenkti vartotojui. Tačiau esant blogai ekonominei padėčiai, valstybės institucijoms gaunant mažesnį finansavimą nei įprastai, gali iškilti šių teisių užtikrinimo problema. Darbe keliama hipotezė: Didėjant Lietuvos muitinės veiklos efektyvumui ginant intelektinės nuosavybės teises bei stiprinant kovą prieš klastojimą ir piratavimą, nėra pasiekiamas laukiamas ekonominis efektas. To this purpose international organizations have been established and a number of international conventions have been signed. Customs plays a very important role while protecting the property that participates in the international trade. The topic of the final master’s thesis is “Customs Protection of Intellectual Property Rights”. The problem raised in the thesis is the increment in number of violation of intellectual property right. It should be noted that in the presence of depressed economic situation the violators of intellectual property rights started falsifying not only luxury goods. Falsified goods, which enter the market, may make harm to the consumers. However, in the presence of depressed economic situation and when national authorities receive lower financing than usually, there may arise a problem of intellectual property rights protection. The thesis has raised hypothesis: While the activity effectiveness of Lithuanian customs is increasing, having protection the rights of intellectual ownership and strengthening the high against falsification and piracy, the expected economic effect is not achieved. 隨著產業外移和金融風暴,工業用地大量閒置,政府為活化土地資源,於民國91年都市計畫法臺灣省施行細則放寬都市計畫工業區土地使用項目,允許商業和服務業進駐,卻遭建商推出住宅社區,即「工業住宅」。工業住宅是沒有被界定的模糊財產權;行政上,政府的行政不作為助長工業住宅現象;學說上,產權理論和公共領域是形成工業住宅的原因、交易成本和修補制度則為解決工業住宅困境的策略。 本研究從新制度經濟學的財產權、公共領域、尋租理論及法律規定,探討工業住宅的形成及檢視政府的政策與管理制度,也利用法院判決、監察院調查報告及糾正案文、深度訪談來佐證工業住宅形成過程和行政機關的作為。研究結果期對政府都市計畫工業區管理政策及執行提出具體建言。

A partir da identificação de fraturas no discurso dogmático do direito de propriedade, o trabalho propõe uma nova sistematização em torno do marco teórico da legitimação. Para tanto, serão utilizados as metodologias da análise do discurso, do estruturalismo e do funcionalismo. Num primeiro momento, haurem-se as estruturas que emolduram a discussão dominial no discurso ideológico de legitimação da propriedade. Tais estruturas servirão, numa etapa final, para dar coerência ao novo discurso dogmático. Após, apresenta-se o conflito entre o discurso dogmático tradicional do direito de propriedade, descrito conforme as lições dos manuais e tratados clássicos, e os elementos indicativos de um novo discurso. Embora a infiltração dos novos elementos discursivos tenha ocorrido de forma difusa, tenta-se traçar suas relações ocultas. Por fim, apresenta-se uma proposta de novo discurso dogmático, mais adequado às estruturas do discurso ideológico e ao atual contexto social, baseado, principalmente, em dois fatores de legitimação: a função individual e a função social da propriedade. / From the identification of fractures in the property rights dogmatical discourse, the work proposes a new systematization around the theoretical mark of legitimation. For this intent, the methodologies of the discourse analysis, the structuralism and the functionalism will be used. In a first moment, the structures that frame the property discussion are drawn in the property legitimations ideological discourse. These structures will be useful to give coherence to the new dogmatical discourse in a final stage. Later, the work presents the conflict between the property rights traditional dogmatical discourse, described following the lessons in classical manuals and treaties, and the elements which indicates a new discourse. Although the infiltration of the new discursive elements has occurred in a diffuse way, it tries to trace their hidden relations. In the end, it offers a proposal for a new dogmatical discourse, more adequate to the ideological discourses structures and to the present social context, based, mainly, in two legitimation factors: the individual function and the social function of property.
