The topic "Invalidity of Legal Acts in the Czech Law in Comparison with the Law of Germany" has been chosen because of its importance in the system of the Czech Civil Law. Invalidity of legal acts concerns every subject and object of legal relationships. Nowadays this topic is also very actual due to the recodification of Civil Law which brings fundamental changes. Comparison with German legislation is very contributive thanks to its consistency during 20th century that is in contrast with inconsistency of Czech legislation caused by political changes (especially by 40 years of communism in the territory of the Czech Republic). The thesis is divided into six chapters and each chapter contains three parts. The first part deals with the old regulation under the Act No. 40/1964 Coll., the second one the new regulation under the Act. No. 89/2012 Coll. and finally the third one discusses the German regulation under the German Civil Code. The first two chapters are designed to provide an overview of mainly theoretical resources. Invalidity of Legal Acts in Civil Law The purpose of this thesis is to analyse comprehensively the institute of invalidity of legal acts, as the most common consequence of defects of legal acts. The invalidity is one of the most important institutes of private law, because the whole society has always needed to act legally and also to rely on the validity of their legal acts. It is necessary to define essential elements of legal acts and the consequences of non compliance with them. This thesis, which is divided into five chapters, deals with the essential elements of legal acts, the defects of legal acts and most importantly the consequences of these defects which is the nullity and mainly the invalidity and voidability of legal acts. Internal regulations of an employer This diploma thesis discusses internal regulation (also called directive, guideline, code, instruction etc.) which is an internal normative act of an employer regulating rights and obligations of its employees. This topic belongs to important aspects of labor law. It is an interesting material for studying in theory and often used and discussed phenomenon in practice. For these reasons, I decided to dedicate my diploma thesis to internal regulations. The first chapter provides the theoretical basis for the analysis of internal regulations. Therefore is describes the labor relations and their bodies including the rights and obligations that are part of such relationships. Equally important part of this scientific base is the term of normative legal act and legal acts, immediately connected with the nature of internal regulation. The second chapter deals with definition of internal regulation, which is not present in the law. That is why the way to the definition leads through literature and case law and includes meeting of several key characteristics on which should be based further interpretation. Au stade de leur entrée en vigueur, la valeur des actes juridiques est essentiellement formelle. Cette force n'est cependant pas immuable. Divers mécanismes sont susceptibles de conférer aux actes juridiques une nouvelle valeur fonction de leur caractère (ou nature). Ce caractère repose sur une distribution des compétences matérielles entre les organes habilités à édicter des actes juridiques de portée générale. Ainsi, la prise en compte du critère matériel amène à reconsidérer la valeur des actes juridiques et de leurs dispositions. Le reclassement étudie les modalités par lesquelles les actes juridiques acquièrent une force autre que celle dont ils étaient initialement pourvus.De façon générale, la transmutation de l'acte juridique est due à une incompétence positive signalée, parfois rectifiée, mais non censurée par le juge : la délégalisation, le reclassement des « neutrons organiques », le reclassement des actes nationaux empiétant sur les compétences des institutions d'outre-mer, etc. Certains mécanismes de reclassement sont institués – la ratification des ordonnances –, d'autres sont incidents – les renvois organiques –. Les conséquences du reclassement constituent l'essentiel de l'étude. La valeur juridique détermine le régime applicable à chaque acte. Mais les instrumenta peuvent n'être que partiellement reclassés. Dans ce cas, chaque disposition est pourvue d'une force juridique propre. Après le reclassement de l'acte, l'autorité d'édiction perd sa compétence de modification et d'abrogation. Various mechanisms may give new strength to these legal acts and their provisions. These new strengths are then altered according to its distribution among the establishments empowered to enact legal measures of general application. This force is often determined by a distribution of material powers between the bodies empowered to pass legal acts of general application. This sharing is accomplished by various texts such as the Constitution or organic legislation. If the value of the acts are essentially formal at the stage of their entry into force, taking into account the material criterion this would lead to the reconsideration of their strength. Their reclassification is the process of studying the ways in which the legal acts acquire another force than they were originally filled.Generally, the transmutation of the legal act is not invalid due to incompetence, but simply corrected by the judge: the delegalisation and reclassification of neutral organic acts; the reclassification of national acts encroaching on the powers of the institutions of overseas, etc. Some reclassification mechanisms are instituted - the ratification of orders - and others are incidents - organic references - the consequences of the reclassification constitute the bulk of the study. The value determines the legal regime applicable to each act. But the Instrumenta may be only partially reclassified. In this case, each provision is provided with its own legal force. After reclassification, the enactment of authority loses its modification of skills and repeal the act (or its provisions). Sue to the act being reclassified, the litigation regime is overhauled. These theoretical implications are nonetheless not always observed in practice. The study of the reclassification and litigation that is generated confirms the distinction between the value of formal sources and the value of legal norms, in other words, their prescriptive meanings.

Theoretical concept of legal acts of juristic person Abstract This diploma thesis aims to analyze the legal acts of juristic persons from a theoretical point of view and also what practical implications this concept brings. It is divided into three chapters, while the first chapter is divided into three subchapters and is devoted to basic concepts in law and their concept in connection with juristic person. The first subchapter deals with legal personality, especially the subjectivity of a juristic person. The second subchapter deals with legal acts and how legal acts differs from behavior. The third subchapter focuses on legal capacity. Particular emphasis is placed on the legal capacity of juristic persons and on whether it is possible to speak of legal capacity in their context. The second chapter is divided into two subchapters. The first subchapter concerns the development of the very concept of a juristic person. Les actes juridiques sont définis par la loi comme des manifestations de volonté destinées à produire des effets de droit. Certaines de ces manifestations de volonté sont contraires à une règle qui s’imposait à leurs auteurs et produisent néanmoins tout ou partie de leurs effets de droit : la rétractation d’une offre de contracter par le pollicitant avant le délai prévu ; le contrat conclu sans pouvoir par un mandataire apparent ; les actes de procédure entachés d’une irrégularité de forme, mais qui ne causent aucun grief ; les actes affectés d’une cause d’invalidité pour lesquels l’action en nullité et l’exception de nullité sont définitivement neutralisées ; les actes irréguliers sanctionnés par une nullité partielle ou non rétroactive, comme le contrat de société ou le mariage putatif, etc. La présente étude propose de saisir ces phénomènes de façon unitaire par un nouveau concept : l’acte juridique irrégulier efficace. L’objet étudié met en lumière les insuffisances de la théorie civiliste de l’acte juridique, qui peut être utilement précisée à l’aide de la théorie normativiste du droit. En recourant à un autre concept, celui de norme habilitante, une théorie de l’efficacité et du contrôle de régularité des actes juridiques est ainsi proposée. Les motifs politiques pour lesquels certains actes irréguliers ne sont pas sanctionnés par l’inefficacité et les sanctions alternatives du droit positif sont ensuite analysés. Enfin, le pouvoir de décider d’écarter la sanction de l’inefficacité et les techniques juridiques par lesquelles il s’exerce formellement sont étudiés à la lumière de la théorie réaliste de l’interprétation et de la théorie des contraintes juridiques. / Legal acts (or juristic acts) can be defined as acts of will intended to produce legal effects. This concept includes legislative acts, judicial acts, contracts, etc. Some of these acts of will are not in accordance with a legal norm but nevertheless produce the legal effects intended by their authors. For instance, a voidable contract is legally binding until it has been voided. Furthermore, the right to demand voidance of a defective contract can be barred by a statute of limitations. Such a contract is invalid (i.e. irregular, illegal, unlawful) because it violates a legal rule, but still produces all the legal effects intended by the parties thanks to the extinctive prescription. French Law, both private and public, contains many acts which are illegal and somehow entirely or partly efficacious. The present study undertakes a unitary analysis of these phenomena, with a focus on private law, through a new concept: the “acte juridique irrégulier efficace” (illegal and efficacious juristic act). First, a theory of the illegal and efficacious juristic acts is proposed in the light of the Normative Theory of Legal Science. Using a concept of “empowering norm” or “power-conferring rule,” a theoretical model of the validity and the efficaciousness of legal acts is proposed. Then, the political reasons why some unlawful acts are not declared inefficacious and the alternative penalties are analyzed. Finally, the power to decide to maintain the efficaciousness of an invalid legal act and the legal technics by which this power is formally exercised are examined in the light of the Realist Theory of Interpretation and the Theory of Legal Constraints (French legal realism).

The theme of my diploma thesis is one of the most important judicial acts of European private international law of civil procedure - Brussels I Regulation. The aim of my thesis was to analyse the Regulation from many views with an emphasis on the jurisprudence of European Court of Justice and of domestic national courts. First part of the thesis aims to describe the whole legal branch of european private international law of civil procedure and therefore place the Regulation in the context of the whole legal branch. second part of the thesis deals with the Regulation in its entirety and desribes every single article of the Regulation and tries to determine the boundaries of its application and interpretation. The last, third part, states othre relevant legal acts related to Regulation which are considered to be its alternative, and sums up the pros and cons of their application.

The aim of this study is to investigate and compare the features of Legal regulations, governing National forest management of Member States of the European Union. The object of analyses was legal regulations in the following 17 countries of European Union: Ireland, Austria, Czech, Denmark, Great Britain, Estonia, Greece, Italy, Latvia, Poland, Lithuania, France, Slovakia, Slovenia, Finland, Sweden and Germany. The following methods of analyses were used in the study: document analyses, comparative analyses, historical and logical methods. The result of the study shows that, Legal regulations governing National forest are reflected in the national forest law. Legal principles, which are not exclusively stated in the basic law, are in details mentioned in legal acts related to forest. The legal principles are not at the same level explicit in all EU countries, but are the most similar between countries of the same forest management type.

Vidinė konstitucinė kontrolė yra apibrėžiama kaip teisės aktų projektų atitikties Konstitucijai ir kitiems aukštesnės juridinės galios teisės aktams patikra, a priori atliekama paties subjekto, kuris priima tą teisės aktą, ar jo struktūrinių padalinių. Atsižvelgiant į tai, kad šios kontrolės metu yra tikrinamas būtent teisės aktų projektų konstitucingumas, vidinė konstitucinė kontrolė visais atvejais gali būti laikoma ir prevencine (išankstine) konstitucine kontrole. Lietuvoje Seimo leidžiamų teisės aktų vidinės konstitucingumo kontrolės konstituciniai pagrindai išplaukia iš implicitinio reguliavimo – Konstitucinio Teismo oficialiosios konstitucinės doktrinos. Ordinariniame lygmenyje šie teisiniai santykiai detalizuoti Lietuvos Respublikos Seimo statute, nustatančiame Seimo struktūrą ir darbo tvarkos klausimus. Seimo statutas įtvirtina kelis skirtingus vidinės konstitucinės kontrolės įgyvendinimo mechanizmus. Vienu iš jų pagal nustatytas procedūras yra tikrinamas konkrečių teisės aktų projektų konstitucingumas, remiantis pastarųjų turiniu, reguliavimo apimtimi ir forma, kitu – kontroliuojamas Konstitucijoje nustatytos teisės aktų priėmimo tvarkos laikymasis. Unter Berücksichtigung darauf, dass es während dieser Kontrolle die Verfassungsmässigkeit gerade der Entwürfe der Rechtsakte überprüft wird, kann innere Verfassungsmässigkeitskontrolle in allen Fällen auch als präventive (vorgefasste) Verfassungskontrolle erachtet werden. Als Sonderorganisation der Vereinten Nationen soll die UNESCO als rechtlich selbstständige Organisation mit eigener Rechtspersönlichkeit zur Erreichung des Gesamtziels der Vereinten Nationen beitragen. Grundlage dafür sind gemeinsame Standards in den Bereichen Bildung, Wissenschaft und Kultur, die gegenseitiges Verständnis und Kooperation fördern sollen. Rechtssetzungsinstrumente sind demnach von großer Bedeutung für die Tätigkeit der UNESCO. Die vorliegende Arbeit konzentriert sich auf die Analyse und kritische Würdigung der vorhandenen Instrumente und ordnet sie rechtlich sowohl nach ihrer Verbindlichkeit als auch ihrer Entstehung ein. Abschließend wird die Implementierung sowie die gewollte und erreichte Wirksamkeit der Rechtssetzungsinstrumente hinterfragt.
