The crime of obstructing the course of justice : is legislative intervention an imperative?

In this thesis, the common law crime of obstructing or defeating the course of justice as currently applied in South African law, is considered critically. The purpose of the study is to determine whether the ambit of the crime should be extended to target all conduct which undermines the proper administration of justice in South Africa. The interests protected by the crime are investigated, and those important constitutional values which underpin the crime, are identified. These values are: (i) constitutional supremacy (ii) the rule of law (iii) the doctrine of separation of powers, and (iv) the independence of the courts. In a post-constitutional era, the question raised is whether the crime as developed in the common law adequately protects these important democratic values. The historical background and development of the offence are discussed. This is followed by a comparative legal study which considers the existence and ambit of the offence in certain foreign jurisdictions. The foreign legal systems considered are England, Australia, Canada and the United States of America. The study reveals that the crime has been codified in most of these jurisdictions. Codification was driven by the need for legal certainty and compliance with constitutional imperatives. The study concludes that similar reform is necessary in South African criminal law. It is recommended that the common law offence of obstructing or defeating the course of justice be repealed and replaced with a comprehensive statutory offence which criminalises all manifestations of conduct which are intended to defeat or obstruct the proper administration of justice. The proposals are based upon the identified constitutional imperatives which underpin the crime. It is argued that the legislature is the proper institution to initiate reform in this regard. Les théories infantiles de la mort / Childhood theories of death

Proposer l'existence de théories infantiles de la mort suppose de considérer la mort, au même titre que la sexualité, comme un organisateur psychique. Toutefois, si elle oriente le désir, il n'est pas aisé d'accéder à ses effets sur le sujet. Le sujet se supporte d’une certaine dénégation face à la finitude de l'être afin de ne pas succomber à l'impossible de la mort. Cet impossible se manifeste par un gel du désir du fait de la crainte de la mort ou, à l'inverse, face à l'horreur qui se manifesterait d'une vie qui rejaillirait indéfiniment. Le démenti qu'émet le sujet transite par un tressage entre ses théories infantiles de la mort. Nous en proposons trois, "la théorie du retour dans le sein maternel", "la théorie de la survivance" et "la théorie du meurtre et de la loi du talion". Au-delà de ce triple rapport à la mort qu'offrent les théories, le sujet peut se définir par une position alternative, celle de l'entre-deux-morts, afin de ne pas céder sur son désir. / Think about childhood theories of death supposes to consider death, in the same way as sexuality, as a psychic organizer. However, if death directs the desire, it is not easy to notice its effects on the subject. The subject bears itself of a certain denial in front of finiteness of being so that he does not succumb in to the impossible of death. This impossible shows itself by a frost of desire because of deaths fear or, by contrast, in front of the horror which would show itself from a life which would spatter infinitely. The subject’s denial passes by a plaiting between its childhoods theories of death. We propose three of them, “the return in the mother's breast theory”, “survival theory” and “murder and the lex talionis theory”. It is here that reappear the childhood theories of death according to the events crossed by the grown-up subject. Taking in consideration one’s mortal condition is necessary to desire, as much as it is to cover it. So, beyond this triple relationship with death that childhood theories offers, it could be a position in which the subject would pass, between - two deaths,  in order to not give in to the desire.

La multiplication des pactes d’actionnaires dans les sociétés anonymes non cotées françaises et libanaises ne permet plus de reléguer leur efficacité au second plan, comme cela se faisait fréquemment dans la plupart des études consacrées aux pactes d’actionnaires. A la lumière des développements législatifs et jurisprudentiels rappelant ou affirmant la primauté de l’exécution en nature des obligations, cette thèse tente d’analyser les obstacles qui gênent l’exécution des pactes d’actionnaires et les moyens de les éviter ou de les contrer en vue d’assurer une efficacité optimale aux pactes. Ce faisant, les diverses limites qui sont systématiquement invoquées contre l’efficacité des pactes d’actionnaires seront passées en revue pour s’assurer de leur opportunité et de leur portée ; ceci aidera à affirmer la particularité des pactes d’actionnaires par rapport aux statuts sociaux, notamment pour ce qui se rapporte à l’ordre public sociétaire qui leur est applicable. Le but ultime se révélera être celui de rapprocher les solutions des droits français et libanais de celles des droits anglo-américains pour éviter, d’une part, l’abandon des lois françaises et libanaises et leur remplacement par les lois anglo-américaines, et, d’autre part, les problèmes de compatibilité qui pourraient survenir lorsque le pacte d’actionnaires est régi par une loi autre que la lex societatis. / The increase of the number of shareholders’ agreements in French and Lebanese unlisted joint-stock companies does not allow to relegate their efficiency to a second rank anymore, as it was frequently the case in most of the studies dedicated to shareholders’ agreements. In light of the legislative and judicial developments reminding or asserting the predominance of the specific performance of obligations, this thesis attempts to analyse the hurdles that hinder the enforcement of shareholders’ agreements and the means to avoid or overcome them in order to ensure an optimal efficiency of shareholders’ agreements. In doing so, the various limits to the efficiency of shareholders’ agreements that are systematically invoked shall be examined to verify their relevance and scope; this shall help to assert the particular nature of shareholders’ agreements in comparison to the by-laws of the company, especially in relation to the public policy in corporate matters that is applicable to them.The ultimate goal shall be to bring the solutions of the French and Lebanese laws closer to those of the Anglo-American laws to avoid, first, the laying aside of the French and Lebanese laws and their replacement by the Anglo-American laws, and second, the compatibility issues which may arise in case the shareholders’ agreement is governed by a law other than the one governing the company.

法院處理涉外標準必要專利之案件時,經常面臨國際管轄以及準據法適用的問題。涉及議題包含授權契約之成立與效力、專利侵權、違反競爭法等。本文先分析我國涉外民事法律適用法在智慧財產案件上之實務適用情形,認為目前涉外民事法律適用法第42條第1項應僅適用與智慧財產權利內容本身相關之爭議,智慧財產契約或侵權行為案件,則應適用契約與一般侵權行為之選法規則。 其次,本文透過研究日本、中國、韓國、美國、英國等國之標準必要專利案件,探討標準必要專利案件中,標準制定組織的智財權政策與F/RAND承諾,經常約定以標準制定組織所在地法為準據法,因此所生之授權契約爭議與競爭法爭議,包括法院是否有權管轄,以及應該如何適用之準據法。在與F/RAND相關之爭議裡,各國法院鮮少有拒絕管轄的情形。準據法方面,實務上基於當事人意思自主原則,適用標準制定組織之智財權政策與F/RAND承諾之準據法,判斷F/RAND承諾之性質,以及當事人間授權契約是否成立以及其效力為何。競爭法方面,實務上各國皆適用內國競爭法,以決定標準必要專利權人之行為是否濫用其市場地位。 經由比較法與實務案件之分析,本文主張標準必要專利之中基於F/RAND所生之契約爭議,仍應適用標準制定組織之智財權政策與F/RAND承諾中所約定之法律。適用涉外民事法律適用法部分,法院實務判決應更清楚明確定性案件以及適用涉外民事法律適用法之依據與理由,俾使涉外民事法律適用法第42條第1項之意義更為明確。競爭法之部分,由於其強行法規之性質,實務皆適用法庭地法,原則上僅就影響國內市場之涉外行為判斷。此外,就我國立法就智慧財產之國際管轄規定付之闕如,應該針對智慧財產之特殊性增加相關規定。 / In cross-border SEP-related cases, courts often face the problems of international jurisdiction and the choice of law. SEP-realted cases often involve issues such as the nature of the F/RAND declarations and the IPR policies of Standard Setting Organizations (SSOs), the formation and the effect of licensing agreements, and violation of competition law, etc. The thesis starts from the examination of Act Governing the Choice of Law in Civil Matters Involving Foreign Elements in Taiwan. Article 42(1) of the Act should be applied only to the issues related to the content of IP right itself. As for IP infringements and IP-related contracts, the choice of law rules on general infringements and contracts should be applied. Secondly, the thesis further looks into the practice of conflict of law in Japan Korea, PRC, the UK and the US on SEP-related cases, which mostly apply the principle of party autonomy to determine the nature of F/RAND declarations and the nature of SSOs’ IPR policies. As for the competition law argument, based on the mandatory nature of competition law, the court often applied lex fori to the issues. Back to the private international law in Taiwan, the thesis suggests that the court should elaborate more specifically on the process of the court determining the characterization of the case and further deciding the choice of law. Besides, Taiwan should also legislate the law on the international jurisdiction on IP cases.

This study explores Layamon's engenderment of cultural unification for the explicit purposes of an Anglo-Welsh cultural resistance to the Norman overlords in the March of Wales. In essence, I examine some of the most important cultural signifiers in medieval English and Welsh culture and the methods by which the poet adapts and grafts them together to form a culturally amalgamated text—neither explicitly English nor Welsh but yet simultaneously both - and the political implications of this amalgamation. Though Laymon's methodology emanates from multiple aspects of the text, I have concentrated here on what I feel are the most explicit manifestations of this theme: Merlin, his prophecies, and the Law of the March. / Master of Arts

L’objet de cette thèse est d’étudier « La confrontation de la dissolution du lien conjugal et ses effets entre les États maghrébins et les États européens francophones (France et Belgique) ». Les difficultés de coordination des systèmes islamiques et européens de droit international privé proviennent de l’écart entre leurs législations relatives au statut personnel et au droit de la famille. En droit musulman, les matières du statut personnel sont solidaires des donnés religieuses. Les ressortissants maghrébins établis dans des pays européens se retrouvent souvent confrontés au croisement du système juridique maghrébin et celui de leur pays d’accueil.<p>S’il est un domaine où se heurtent des visions difficilement conciliables entre l’Europe et certains pays musulmans, c’est bien celui du mariage mixte et particulièrement celui de la répudiation. Il faut souligner que le problème perdure depuis plus de vingt ans.<p>Toutefois un grand nombre de ressortissants Marocains réside en Belgique ce qui conduit inévitablement à ce que des problèmes liés à la dissolution de leur mariage se posent. A ces difficultés viennent s’ajouter les problèmes de conflits de lois. Cette étude a donc tenté de dégager les caractéristiques des différents systèmes étudiés et de montrer les divergences qu’ils comportent en terme de méthodes utilisées dans le règlement des conséquences du divorce ou de répudiation. <p>La présence d’une communauté immigrée de statut personnel musulman et la rencontre de l’ordre juridique européen avec ce phénomène, posent l’épineux problème de l’harmonisation de deux systèmes juridiques fondamentalement différents et a ainsi pu être qualifié de « conflit de civilisations ». Ce qui permet une vue globale du sujet.<p>Summary: The purpose of this thesis is to study the dissolution of a marriage tie between North African states and European French speaking states, and what this dissolution means in term of confrontation on both sides concerning the juridic systems european and islamic. The difficulties of coordination between the islamic way of life and the international law are the result of divergence relating with personal status and family right. In the islamic law, personal status and religious faith are closely interlinked. Moroccan nationals who step up house in an european country are confronted with the law of the Maghreb and the law of the country witch welcomes them.<p><p>Mixed marriages and in particularly in a case of repudiations are a sphere where european nations and some muslim nations don’t see things in the same way. One has to emphasize that these problems have been enduring for over tweenty years. A great numbers of Morocans lives in Belgium which leads to difficulties if their marriages have to be dissolved. Over these difficulties problems of laws conflicts are added. This study have tried to show the characteristics of these systems and the different way to solve the consequences of the divorce or of the repudiation. The presence of an immigrated community of personal muslim status and the encounter of the juridic european system with this phenomenon set the acute issue of the harmonization of two juridics systems deeply different. La recherche de la loi applicable à la société, lex societatis, est incontournable carc’est de cette loi dont dépendront les règles de constitution, de fonctionnement et dedissolution de la société. Mais la problématique de la détermination de la lex societatis enDroit International des Affaires réside dans l’identification d’un mode adéquat derattachement des sociétés transfrontalières à un territoire national. Le caractère transfrontalierdes sociétés actuelles accentue le conflit entre les différents systèmes de rattachement dessociétés traditionnellement retenus par les législations. La pluralité de système derattachement des sociétés est à l’origine de conflits auxquels l’uniformisation de la règle deconflit de lois en matière de détermination de la lex societatis peut être une solution.Le droit des sociétés doit être un instrument au service des affaires, et non un frein àleur évolution et à leur développement. Ainsi pour répondre aux besoins des affairesinternationales, outre l’élimination des entraves aux échanges il faut envisager une adaptationdu contenu des règles de conflit de lois actuelles qui permettent la détermination de la lexsocietatis ainsi qu’une modification de leur source. / The search of the law applicable to the company, lex societatis is a must because it isthis law which will depend on the rules of formation, operation and dissolution of thecompany. But the problem of determining the lex societatis in International Business Law isthe identification of a suitable method of attachment of cross-border companies on a nationalterritory. The transboundary nature of today’s societies accentuates the conflict between thedifferent companies of connecting systems traditionally retained by the legislation. Theplurality of connecting corporate system is causing conflicts that standardization of the rulesof conflict of laws determining the lex societatis can be a solution.Company law should be a tool for business, not a hindrance to their development andtheir development. So to meet the needs of international business, besides the elimination ofbarriers to trade should be considered an adaptation of the contents of the current conflict oflaws rules that allow the determination of the lex societatis and a change of their source.

Symbole de la souveraineté de l’État, le droit fiscal est fortement éprouvé par la mondialisation.Les prix de transfert en sont un témoignage éloquent. Les règles en matière de détermination desprix de transfert ne garantissent pas un résultat exact. Le principe de pleine concurrence estd’application délicate. Les comparables qui en assurent la bonne application ne sont pas toujoursdisponibles. Dès lors, la justification des prix de transfert est souvent difficile et parfoisimpossible. À ce titre, la réglementation sénégalaise doit être mise à jour, notamment dans le sensde prévoir les méthodes nouvelles de détermination des prix de transfert et des obligationsdocumentaires spécifiques.Du fait du caractère limité du contrôle unilatéral des prix de transfert, les États développent deplus en plus la coopération internationale. Mais, pour utile qu’elle soit, la coopération fiscaledemeure elle aussi limitée. C’est pourquoi, le Sénégal doit s’inspirer de l’expérience des pays del’OCDE pour instituer une politique d’accords préalables en matière de prix de transfert. De lamême manière, il est nécessaire d’instituer, à titre transitoire, un régime de protection fiscale. Cesmécanismes de contractualisation et de facilitation fiscales sont très efficaces, mais demeurentégalement limités.Le meilleur moyen de contrôler les prix de transfert qui sont un phénomène transnational estd’adopter une stratégie au niveau supranational. La communauté des États ne saurait fairel’économie de la création d’un ordre fiscal mondial. Ce nouvel ordre devra reposer sur une lexfiscalia et une aequitas fiscalia vectrices d’un droit commun fiscal mondialisé élaboré et mis enoeuvre à travers une véritable gouvernance fiscale mondiale qui ne doit pas laisser en rade lespays en développement, sous la supervision d'un observatoire mondial des prix de transfert et lecontrôle d’un tribunal fiscal international. / As a symbol of State sovereignty, tax law is strongly afflicted by globalization and transferpricing are an eloquent testimony. The rules for determining transfer pricing do not guarantee anexact result. The arm’s length principle is difficult to apply and the comparables that ensure theproper implementation are not always available. Therefore, the justification for transfer pricing isoften difficult and sometimes impossible. Senegalese law must be updated, particularly in thesense of providing new methods of determining transfer pricing and specific documentationrequirements.Because of the limited nature of unilateral control, States are increasingly developinginternational cooperation. But, however useful it may be, tax cooperation remains limited.Therefore, Senegal must learn from the experience of OECD countries to institute a policy ofadvanced pricing agreements (APA). Similarly, it is necessary to establish, provisionally, asystem of tax protection. These contracting mechanisms and tax incentives are very effective, butremain also limited.The best way to control transfer pricing, which is a transnational phenomenon, is to adopt asupranational strategy. The community of States cannot do without creating a worldwide taxorder. This new order is based on both a lex fiscalia and an aequitas fiscalia as vectors of a globaltax law that is developed and implemented through truly global tax governance under thecontrol of an International Tax Tribunal, which should not leave stranded developing countries.

A comparative legal analysis of the effects of divorce on marital property

The movement of people from county to country brought about an increase in international marriages. However, South African private international law rules with regard to the proprietary consequences of marriage are not on par with their foreign counterparts. The prejudicial rule which governs proprietary consequences of marriage has raised difficulties for our courts in past and recent cases. The advent of a new constitutional dispensation in South Africa forbids discrimination based on sex, gender and marital status. Furthermore, the question is asked whether parties to a marriage with a foreign matrimonial domicile may rely on section 7(3) of the Divorce Act 70 of 1979. The classification of redistribution orders in private international law matters has given rise to uncertainty. The objectives of the study are to suggest workable alternatives to the current connecting factor for proprietary consequences of marriage in South African private international law and to investigate the availability of redistribution orders to spouses applying for divorce in South Africa. / Private Law / LL.
