ENGLISH ABSTRACT Objective arbitrability as a limit of the transnational legal order In general, the disertation deals with a topic of interaction between the transnational and national law in the area of international trade. Specifically, it attempts to use the concept of objective arbitrability as a limit of the privately-created system of law referred to as lex mercatoria (alternatively "new lex mercatoria"). The reason for the chosen methodology is to come up with the most objective criterion to demark the scope of the application of privately created norms. Despite the wide recognition of the NLM fenomenon among the scholars and even arbitrators, the parties of international trade contracts can not be certain whether (and to what extent) the choice of NLM will be limitating, especially in the face of later recognition and enforcement of their arbital awards. The findings of this dissertation flows from the analysis of transnational norms, decisions of both state courts and arbitration tribunals and the relevant sources of law-theory. Das internationale Privatrecht als globales System

Diese Arbeit hat die Frage zum Gegenstand, innerhalb welchen konzeptionellen Rahmens das internationale Privatrecht (IPR) sich angesichts moderner Entwicklungen bewegen sollte. Das „klassische“ IPR geht von Recht als einem zwangsläufig staatlich gesetzten Phänomen aus, weswegen sich internationalprivatrechtliche Systeme bislang nur innerhalb der Grenzen der jeweiligen nationalen Rechtssysteme denken ließen. Die Entwicklungen der letzten Jahrzehnte zeigen jedoch, dass die soziale Realität mehr und mehr staatlich-territorialen Festlegungen entwächst und sich stattdessen funktionell ausdifferenzierte Sektoren herausbilden, für die Landesgrenzen keine Relevanz mehr besitzen. In einer globalisierten Welt, so die Argumentation dieser Abhandlung, entsteht globaler Regulierungsbedarf außerhalb der traditionellen staatlichen Rechtssysteme. Um diesem Bedarf adäquat zu begegnen, muss das IPR als übergreifendes System gedacht werden, innerhalb dessen den einzelnen Staaten lediglich die Rolle unselbständiger Subsysteme zukommt. Die Auswirkungen dieser neuen Sichtweise werden anhand des Problems der Anwendung „fremden“ Rechts untersucht. / This thesis addresses the question of what conceptual framework is adequate for private international law in the light of modern developments. “Classic” private international law conceives of “the Law” as necessarily being issued by a state entity, as a consequence of which systems of private international law so far have been conceptually limited to the realm of national law systems. The developments of recent decades, however, show that social reality transcends governmental and territorial determinations with the creation of functionally differentiated sectors regardless of territorial boundaries. According to my argumentation, globalization entails global regulation necessities outside of the traditional national systems of law. In order to adequately meet the requirements of this new reality, private international law should be conceived of as an overarching system which comprises the national systems as mere subsystems. The consequences of this new perspective are being analyzed with regard to the problem of the application of "foreign" law.

Le principe d’interprétation autonome dans la Convention de Vienne sur les contrats de vente internationale de marchandises / The principle of autonomous interpretation in the United Nations Convention on Contracts for the International Sale of Goods

L’étude de l’interprétation de la Convention des Nations Unies sur les contrats de vente internationale de marchandises du 11 avril 1980 (CVIM) révèle la nécessité de la mise en œuvre d’un principe d’interprétation autonome, également affirmé dans d’autres instruments juridiques (conventions onusiennes, Principes UNIDROIT). Le principe d’interprétation autonome, inhérent au droit transnational, impose la prise en compte du caractère international des normes à interpréter ainsi que la promotion de leur uniformité d’application. Il s’agit ainsi d’assurer l’autonomie des termes du texte juridique à interpréter. Le comblement des lacunes du texte, qui constitue le second versant de l’interprétation juridique, est opéré par le recours aux principes généraux sous-tendant le texte. Le recours aux règles de droit interne n’aura lieu qu’en dernier ressort. L’étude se propose d’évaluer la mise en œuvre du principe d’interprétation autonome lors de l’application de la CVIM. A cette fin, il convient d’observer l’attitude du juge français lors de l’application du texte, non sans examiner la jurisprudence internationale ainsi que les sentences arbitrales l’appliquant également. Certaines dispositions et expressions conventionnelles ont été privilégiées afin d’examiner leur interprétation (par exemple : le contrat de fourniture, la contravention essentielle, le raisonnable, l’article 78 imposant l’application d’intérêts à toute somme due sans en fixer le taux). Le principe de bonne foi, guidant l’interprétation de la CVIM est également décortiqué dans sa relation avec l’interprétation de la CVIM. Il ressort de l’étude que la jurisprudence française méconnait le principe d’interprétation autonome lors de l’application de la CVIM. La comparaison avec d’autres juridictions montre que certaines d’entre elles font état d’une meilleure considération des règles d’interprétation édictées dans la Convention (Allemagne, Italie). La jurisprudence arbitrale révèle des sentences particulièrement enclines à la mise en œuvre du principe d’interprétation autonome sans que cette pratique ne soit uniforme. Les arbitres du commerce international sont souvent dotés d’une culture internationaliste et surtout, ils ne relèvent d’aucun ordre juridique national. Ils sont par conséquent beaucoup moins susceptibles d’être influencés par des références de droit interne et ainsi plus à même d’opérer une interprétation autonome des textes internationaux qu’ils mettent en œuvre. Ceci étant, l’affirmation explicite de l’application d’un principe d’interprétation autonome est quasiment inexistante dans la jurisprudence arbitrale comme dans celle des tribunaux étatiques.La présente étude a pour ambition d’élargir la connaissance du principe d’interprétation autonome par les interprètes du droit matériel uniforme en utilisant la CVIM comme support de démonstration. Le rôle du principe d’interprétation autonome sera fondamental dans l’expansion et la bonne application du droit uniforme. En effet, cette méthode d’interprétation est à même de respecter l’objectif du droit uniforme. / When analyzing the United Nations Convention on Contracts for the International Sale of Goods adopted the 11 April 1980 (CISG), a principle of autonomous interpretation appears. This principle is stated in other legal texts (as United Nations conventions and UNIDROIT Principles). The principle of autonomous interpretation belongs to the transnational law and leads to take into account the international character of the legal provisions to be interpreted and to promote the uniformity of their application as “expressed” in the article 7 of the CISG. General principles underlying the CISG are used for gap-fillings which is the second side of legal interpretation. Using national laws is the ultimate resort.The principle of autonomous interpretation in the application of the CISG will be studied. For this purpose, judicial decisions and arbitral awards will be examined. Dispositions from the Convention have been chosen for their interpretation to be examined. The principle of good faith is also examined in its relation with the CISG interpretation. It will be observed that French case-law doesn’t acknowledge the principle of autonomous interpretation. Arbitral awards show a more important tendency to apply the principle of autonomous interpretation but there is no uniformity. The arbitrators in international trade have multicultural traditions and do not depend on a forum. Therefore they are less likely to be “influenced” by national “references” and so much more capable to interpret autonomously international dispositions. Nevertheless the “express” affirmation of a principle of autonomous interpretation is missing from arbitral awards and judicial decisions. This thesis aims to enlarge the acknowledgement of the principle of autonomous interpretation by the interpreters of uniform law using the CISG as a model. The function of the principle of autonomous interpretation will be fundamental to the expansion and to the correct application of uniform law. This method of interpretation is respectful of the objective of uniform law.

The Influence of ICC Arbitral Decisions on Canadian Law: Comparative Study between Civil Law and Common Law Jurisdictions

L’objectif de cette recherche est de démontrer que les décisions arbitrales de la Chambre de commerce internationale peuvent être considérées comme une source potentielle de droit au Canada. Il existe actuellement une incertitude quant au droit matériel utilisé en arbitrage international pour résoudre les différends commerciaux. Bien que l’utilisation de la lex mercatoria pour résoudre un litige soit une option, elle se heurte à de nombreuses incertitudes terminologiques et conceptuelles. L’utilisation d’une approche méthodologique de la lex mercatoria permettrait une classification de ses sources en deux branches: (1) le droit statutaire international et (2) le stare decisis des tribunaux d’arbitrage commercial international. Une telle approche méthodologique conférerait plus de certitude quant à l’application d’un droit uniforme. De plus, elle faciliterait l’étude de l’interlégalité entre les règles de la lex mercatoria et le droit matériel interne. Plus particulièrement, elle permet de comparer les similitudes et les différences des règles du droit matériel entre les décisions arbitrales internationales, le droit statutaire international et les juridictions canadiennes de common law et de droit civil. Cette comparaison rend possible une évaluation de l’influence potentielle des décisions arbitrales de la Chambre de commerce internationale sur le droit matériel canadien et si cette influence est plus importante en droit civil ou en common law. / This paper’s objective is to demonstrate that the International Chamber of Commerce’s arbitral awards may be considered as a potential source of law in Canada. There currently exists an uncertainty as to the substantive law used in international commercial arbitration. While the use of lex mercatoria to solve commercial disputes is often referred to, several terminological and conceptual uncertainties undermine its credibility. The use of a methodological approach to lex mercatoria allows for a twofold classification of its sources through: (1) international legislation and (2) stare decisis from international arbitral tribunals. This methodological approach provides a greater certainty for the application of a uniform law which, in turn, allows for the study of interlegality between rules of lex mercatoria and substantive domestic law. Furthermore, this methodological approach facilitates the demonstration of the similarities and differences between international arbitral decisions, international legislation as well as Canadian common law and civil law jurisdictions. This comparative analysis will allow the study of the potential influence of the arbitral decisions of the International Chamber of Commerce on substantive Canadian law and whether this influence is more important in civil law or common law.

L'abus de l'ordre juridique arbitral : contributions de la doctrine de l'abus de droit à l'arbitrage international / Abuses of the arbitral legal order : contributions from the abuse of rights doctrine to international arbitration

L’essor théorique de l’arbitrage international observé dans les dernières décennies n’a pas toujours été accompagné par le développement d’instruments d’application de ses représentations conceptuelles. L’idée d’un ordre juridique arbitral détaché des ordres étatiques est défendue dans un souci de systématisation théorique du problème plutôt que de résolution pratique du litige entre les parties. En même temps, la justice choisit de s’intéresser plutôt à la solution de l’ordre qu’à celle de l’équité. Nous proposons alors d’examiner les principales distorsions résultant de l’intervention étatique dans l’arbitrage international à partir de cette perspective, soit-elles relatives à la convention (comme les mesures provisoires et référés étatiques ou les contestations de la clause compromissoire), soit-elles relatives à la sentence, spécialement autour de l’exequatur des sentences annulées. Nous présentons la litispendance, les anti-suit injunctions, la res judicata et les tentatives de dialogue entre les différents fors comme des instruments aptes au contrôle de ses déviances, lesquels sont encore trop limités par un raisonnement d’application généralisant, déductif et amoral, fondé sur la méthode du droit international privé, qui n’a plus sa place dans l’arbitrage international. Face à ces distorsions, nous proposons alors la doctrine de l’abus de droit pour permettre un retour vers l’intérêt des parties dans l’arbitrage international. Sans négliger l’importance du « droit », correspondant aux représentations théoriques de l’arbitrage international, cette notion peut néanmoins en saisir les « abus ». La doctrine de l’abus apporte alors une conception matérielle, flexible et finaliste aux mécanismes de contrôle de l’arbitrage international. On ne parlera alors plus de distorsions de l’ordre juridique arbitral, mais d’abus de l’ordre juridique arbitral. / The academic success of international arbitration in the last decades has not always been followed by the consequent development of concrete instrument for its practical applications. The concept of an arbitral legal order detached from national legal systems is defended by doctrine not so much as an useful instrument for practical case resolution, but firstly as a problem of raising a logic and coherent legal scheme. We propose to analyze the main distortions caused by the conflict between this theoretical perspective of an autonomous legal order and the practical matters involved in the pragmatic courts intervention in international arbitration, either relating to the arbitral convention (provisional measures, violation of the arbitration clause) or to the arbitral award, specifically regarding the problem of recognizing annulled awards. We present lis pendens, anti-suit injunctions, res judicata and the efforts of dialogue between jurisdictions judging the sentence regularity as the main instruments contributing to a dialogue, and thus, as instruments to control its possible distortions. However, those mechanisms are deployed through a reasoning that is still too generic, amoral and based in principles of private international law, in a state-centered perspective that cannot serve the international arbitration scheme today. From this finding, we suggest the abuse of rights doctrine as a group of different objectives and subjective standards allowing implementing those mechanisms to control international arbitration in a much more appropriate way, considering its autonomous and material characteristics, embodied in the doctrinal pursuit of an arbitral legal order. This doctrine brings a more flexible, material and finalistic perspective to the international arbitration instruments, approaching the parties interests and leaving a purely conflictual method which is not anymore appropriate in this field. There will be not anymore only distortions of an arbitral legal order, but abuses of that same arbitral legal order.

Financement de l’arbitrage par un tiers : émergence d’une lex mercatoria expliquée par la mondialisation

Recourir à l’assistance financière d’un tiers pour faire valoir un droit est connu depuis belle lurette. Avant son approbation progressive, ce financement a d’abord été décrié, car il était assimilé à une aide intéressée. En arbitrage commercial international, le financement des procédures par un tiers est actuellement courant. Par son entremise, une partie en litige peut ester en justice en n’étant plus dans l’obligation d’acquitter directement les frais d’arbitrage. Cette dernière a l’option de faire appel à un tiers financeur. Toutefois, ni le droit domestique ni le droit international ne peuvent offrir une règlementation complète de la pratique. Son encadrement est souvent laissé sous la responsabilité contractuelle des parties. Chaque juridiction possède sa propre approche et perception du financement par un tiers. Un régime international de la lex mercatoria apparait à ce niveau et normalise progressivement le financement.   En effet, la lex mercatoria possède les caractéristiques d’un régime international selon la théorie des régimes. Autrement dit, la lex mercatoria forme un régime international dans lequel un ensemble de régularisation (principes, normes, règles et procédures de prise de décision, implicites ou explicites) est institutionnalisé par les acteurs impliqués dans l’arbitrage commercial international pour répondre à un besoin qui est l’encadrement du financement par un tiers. Ainsi, l’émergence de cette lex mercatoria dans le financement est incontournable. Elle s’explique parfaitement par l’influence de la mondialisation sur l’arbitrage commercial international qui vient compléter le droit national lacunaire par une coopération axée sur l’uniformisation du soutien financier du bailleur d’arbitrage. / Third party funding is not a new topic. At the beginning, it was felt as a vicious way to provide a funder an abusive interest. This is the reason why it was first condemned and rejected. Although this might be true, the perception has changed. It is now approved and frequently used in international trade. The Funder is, de facto, considered as the help that gives access to arbitration regardless the financial abilities of the opponents in international commercial litigation. Regulating third party funding is concretely under the responsibilities of the funder and the funded parts. Each State has its own intervention style even though common ground can be noticed. The real difficulty is that in arbitration, thirdparty funding cannot be regulated exclusively by national nor international conventional rules. At this point, lex mercatoria appears to be an alternative manner to establish a homogeneous model. As an international regime, lex mercatoria is the most relevant regulation that leads to this practical normalization. According to regime theory, lex mercatoria and international regime reveal exactly the same structure. As far as lex mercatoria is concerned, it shapes an international regime composed by a set of implicit or explicit regulations (principles, norms, rules and decisionmaking procedures). Around those regulations, all international actors involved in international commercial arbitration contribute to the development of a general and nonstate guideline that frames the practice of third-party funding. All things considered, the rise of lex mercatoria is obvious in the field of third-party funding. Globalization process is well able to explain this appearance of an international regime of lex mercatoria since multilateral cooperation emerges to standardize third-party funding in international commercial arbitration.

O presente trabalho refere-se à análise da aplicação da boa-fé na arbitragem internacional. Para a consecução do objetivo do estudo proposto, a boa-fé é analisada a partir de seus conceitos clássicos subjetivo e objetivo. É estudada conforme suas diversas formas de conceituação nos principais sistemas jurídicos ocidentais, com referência principal aos sistemas romano, germânico e de common law. Em seguida, é compreendida em nível internacional, através do estudo detido de suas manifestações nos contratos internacionais do comércio, nos princípios contratuais de aplicação internacional e nos princípios gerais de direito do comércio internacional. O papel dos árbitros na veiculação dos preceitos internacionais do princípio da boa-fé é cuidadosamente verificado, incluindo o estudo da atividade do árbitro na escolha da lei aplicável às demandas. Sintetizada a teoria de boa-fé internacional, é realizado seu estudo através de sentenças arbitrais proferidas por tribunais arbitrais especializados, notadamente, os da Câmara de Comércio Internacional. As sentenças analisadas dividem-se em grupos representativos da manifestação multifacetada da boa-fé, sempre estudada sob a óptica do comércio internacional, seus usos e costumes. O resultado do trabalho é a verificação de um conceito particular de boa-fé no comércio internacional, reunido e considerado a partir da verificação da exigência comum de parâmetros comportamentais específicos de cooperação, razoabilidade e justiça contratual. / This study is related to the analysis of the application of good faith in international arbitration. In order for the objectives of the proposed study to be achieved, good faith is analyzed from its subjective and objective classic concepts. It is studied in accordance with the several forms of classification within the main Western legal systems, with primary references to the Roman, Germanic and Common Law systems. In continuance it is interpreted in an international level, through its manifestations within the international commercial agreements, the internationally applicable contractual principles and the general principles of international commercial law. The role of the arbitrators in the dissemination of the international concepts of the good faith principle is carefully scrutinized, including the study of the arbitrators activity in deciding choice of law matters. Once perceived the theory of the international good faith, its study is effected through awards rendered by specialized courts of arbitration, notably, the ones connected to the International Chamber of Commerce. The analyzed awards are divided into groups which represent the multiple manifestations of good faith, always studied under the concept of international trade, its usages and customs. The conclusion of this analysis is the conceptualization of a particular theory of good faith in international trade, gathered and considered through the verification of the regular requirement of specific standards of behaviour of cooperation, reasonableness and contractual justice.
