Este trabalho objetiva a apresentação de propostas de melhoria na gestão das informações sobre o Ambiente tendo em vista o processo estratégico e a competitividade das pequenas empresas. A revisão bibliográfica abrangeu os temas gestão das informações e pequenas empresas. Realizou-se um estudo empírico com cinco empresas do setor hoteleiro para a compreensão da prática do gerenciamento das informações e algumas características específicas delas. Foram analisadas quatro empresas de pequeno porte de Brotas-SP e uma de médio porte de Águas de São Pedro-SP. Considerando o problema da pesquisa e o objetivo que ele apresenta, o método escolhido foi o denominado "estudo comparativo de casos". Apesar de as empresas estudadas terem um "sistema de informação" adequado às suas necessidades e possibilidades, é possível aperfeiçoá-lo considerando um grau de formalização "adequado" ao tamanho delas. O conjunto de propostas tem dois objetivos: auxiliar os dirigentes na sistematização das atividades de identificação, coleta, processamento, disseminação e utilização das informações estratégicas (gestão empresarial/ individual) e refletir sobre a possibilidade de articulação dos atores institucionais - como o poder público, as instituições de fomento à pequena empresa e as universidades - a fim de melhorar o acesso dos dirigentes à informação (gestão social/coletiva). As principais recomendações se referem à reflexão e seleção mais precisa sobre os tipos de informações relevantes ao negócio, seleção das fontes a partir dos critérios de credibilidade e variedade, realização de reuniões internas com os dirigentes registrando os resultados das conversas sobre os fatores externos em atas e participação de eventos do setor, como palestras, reuniões e feiras para coletar informações externas / This dissertation presents proposals for the management improvement of information about environment having in view the strategic process and small bussiness competitiveness. An empirical study with five enterprises of the hotel sector was performed to understand the information management and the specific characteristics of small companies. Four small hotel enterprises settled in Brotas-SP and a medium-sized enterprise located in Águas de São Pedro-SP were analysed. Considering the research problem and the objective that it presents, the methodology chosen was named "comparative study of cases". Although the enterprises studied have an information system adequate to their necessities and possibilities, it is possible to improve it considering a "formalization degree adjusted" to their size. The proposals have two objectives: to help administrators to systematize the activities of identifying information necessities, collecting, processing, distributing and using strategic information (social management), and to reflect on a possible institucional actors joints such as public power and promotion institutions of small business and universities - aiming at the improvement of information access. The main recommendations regard a better reflection and election of excellent information types, election of sources considering credibility and variety criteria, meetings registering results of the colloquies about external factors in documents and participation in the sector events, such as lectures, meetings and fairs to collect external information

This approach receives contributions of philosophy (pragmatism) and social sciences, appropriating the concept of social practice and applying it to studies of management. It also benefits from contributions coming from the Carnegie Tradition, Neo-Institutional Theories, Situational Learning and Actor- Network theory. Through discourse analysis of nine interviews with strategists and executives from midsize businesses, it presents a typology of stages that combines and clarifies aspects of the strategizing from the practitioner s point of view. In this sense, uses excerpts from the speech of interviewees, taking advantage of the main themes addressed by them as evidence of the constituent aspects of each stage / Estudo de cunho exploratório e qualitativo sobre o processo estratégico, segundo abordagem que entende a estratégia como uma prática. Essa abordagem recebe contribuições da filosofia ( pragmatismo) e das ciências sociais, apropriando-se do conceito de prática social e aplicando-o aos estudos da gestão. The object of research now was a mixed capital company generating electricity by nuclear source with approximately 20 years of existence. The difficulties in the process of purchase of ICT resources in the company was emphasized in the reports of the last five years, where one realizes that the resources committed to this activity had not been carried out in accordance with the expectations of managers and responsible technical commercial. The acquisition of ICT resources has delayed committing the development of important projects for the company. It is a qualitative research, interventional and applied exploratory. In the research, typified as action research, sought to make a change, for the Interventional process), involving the participants of the process in question. For data collection were used to the technique of individual and group interviews. The analysis of the data was based on procedures in this kind of research, which consists of a logical sequence containing the steps to be followed for the development of a product or project in a structured way. The results of the implementation of research-action were obtained through the creation of an application that assists in the artifacts used in the process, thus reducing the time for editing and increasing the reliability of the documents. L'implication du conseil d'administration dans le processus stratégique : analyse théorique et étude empirique sur les entreprises du SBF 250 / Board of directors' involvement in the strategic process : theoritical analysis and empirical study on the SBF 250 companies

Durant ces dernières années, le phénomène de l’implication du Conseil d’Administration (CA) dans le processus stratégique occupe une place importante dans les recherches académiques et dans l’actualité économique. L’objectif de ce travail est de comprendre ce phénomène dans le contexte des entreprises françaises. Pour ce faire, nous l’appréhendons comme un processus intermédiaire entre ses facteurs déterminants (le système de gouvernance de l’entreprise et les caractéristiques du CA) et ses facteurs d’évaluation (la performance de l’entreprise). Nous mobilisons ainsi une démarche méthodologique mixte qui combine une étude qualitative exploratoire et une étude par questionnaire de recherche adressé aux dirigeants et administrateurs des entreprises du SBF 250. Ce travail montre que la diversité de nationalité, les compétences générales et relationnelles des administrateurs ainsi que la présence d’un comité stratégique favorisent l’implication du CA dans le processus stratégique. En étudiant l’effet de cette dernière sur la performance de l’entreprise, les résultats montrent que l’implication du CA dans le processus d’établissement des choix stratégiques représente une source de création de valeur. Par ailleurs, une forte implication des administrateurs dans le processus de mise en œuvre stratégique et de contrôle influence négativement la performance de l’entreprise. Appuyés par une typologie des modes d’implication du CA (ou des « profils-types » des CA), ces résultats mettent en évidence l’importance du style d’intervention des administrateurs dans le processus stratégique afin d’expliquer son influence sur la performance de l’entreprise. / Over the past few years, research in corporate governance has devoted an increasing amount of attention to boards of directors’ involvement in the strategic decision making process. This doctoral study aims to understand this phenomenon in the French context. We apprehend it as an intermediate process between its determinant factors (corporate governance system and board characteristics) and its evaluation factors (corporate performance).Therefore, we mobilize a mixed methodological research approach that combines an exploratory qualitative study and a questionnaire survey addressed to managers and directors of the SBF 250 companies.This work shows positive and significant effect of the nationality diversity, the general and interpersonal skills of directors and the strategic committee on board members’ involvement in the strategic process. Moreover, empirical results highlight that board involvement in the process of establishing strategic choices makes an efficient contribution to the firm’s value creation. However, strong board involvement in the implementation and control process has a negative influence on corporate performance. Supported by a typology of board involvement’s forms (or "Boards’ Typical-Profiles"), these results emphasize the importance of directors’ forms of participation in different steps of the strategic process to explain its influence on corporate performance.

Syfte: Studiens syfte är att beskriva relationen mellan traditionella storbanker och fintechföretag på kreditgivningsmarknaden för företag i Sverige idag. Vidare ska studien analysera och skapa en förståelse för den här relationen, samt utveckla teoretiska begrepp avseende konkurrens och samarbete. Metod: En kvalitativ metod med en abduktiv forskningsansats har varit utgångspunkten för studiens genomförande. Litteraturgenomgången och den teoretiska referensramen bygger på inhämtad information från litteratur samt tidigare forskning. Intervjuer har genomförts med 9 respondenter från både traditionella storbanker och fintechföretag. Slutsats: Resultatet som studien kommer fram till visar på att traditionella storbanker och fintechföretag har olika utlåningstekniker de utgår ifrån, med bakgrund i att det finns olika motiv och drivkrafter som driver dem. Purpose: The purpose of the study is to describe the relationship between traditional commercial banks and fintech companies in the corporate lending market for business in Sweden today. Furthermore, the study aims to analyze and develop an understanding of this relationship, as well as develop theoretical concepts regarding competition and collaboration. Method: A qualitative method with an abductive research approach has been the basis for conducting the study. The literature review and the theoretical framework are based on gathered information from literature and previous research. Interviews have been conducted with 9 respondents from both traditional commercial banks and fintech companies. Conclusion: The findings of the study indicate that traditional commercial banks and fintech companies employ different lending techniques driven by their distinct motivations and incentives. The diverse driving factors influence the possibilities of competition and collaboration, as their historical backgrounds vary when considering cooperation. A paradoxical strategic process can be observed due to their differing perspectives and the different factors they need to consider when operating in the same market.

This segment is a privileged object of study for this purpose due to its needs of high investments in research and development, the dynamic nature of its environment, the complexity and the way it disseminates the knowledge, as well as its no accumulative technology. These features and idiosyncrasies of the pharmaceutical segment allow a wider collaborative relationship, mainly in order to develop new products. The possibility of creating collaborative nets amplifies the vision strictly rational and competitive of these companies. This work supports that these organizational abilities do not belong anymore to these firms. The nets and the arrangements are part of the organizations, but they go too far the boundaries. Therefore, it emerges a new approach for the theory of the organizations. It means an approximation that understands how the new configuration of the organizational environment is. The aim of this work is to verify how the decision s process occurs in the organizations that developed strategic partnerships in the pharmaceutical industry. Thus, it analyses three firms located in the State of São Paulo. To answer this question, the essay selected the cases in which the technology and the dynamic environmental are examples of high complexity. Due to this reason, we applied the methodology of multiple cases. We selected three national firms that established collaborative partnership to the research, development, commercialization and medicaments distribution under the patent of international companies. The final objective is to investigate the circumstances that involve the company s decision when it decides to enter in partnership with other, the intrinsic risks and the benefits, such as the release of an innovative medicine, the technological improvements and the conquest of a new niche of market. We conclude that the decisory process to establish the collaborative partnership is marked by the use of practices that minimize the limited rationality due to the high investments needed to the research and development, besides that it is a high risk to the companies to succeed in this partnership. Another point that must be highlighted: the collaborative partnership, due to the creation of resources to investments in research and development, was supported by interorganizational networks that have the objective of maintaining the market position while innovative efforts were engendered to introduce new medicaments in the sector. / Esta dissertação busca estudar e investigar como é o processo decisório estratégico para estabelecimento de parcerias interorganizacionais na indústria farmacêutica do Estado de São Paulo. O setor é um objeto de pesquisa privilegiado para o tema em razão da necessidade de altos investimentos em Pesquisa & Desenvolvimento (P&D), da natureza dinâmica do ambiente, da complexidade e forma de distribuição do conhecimento e da não-cumulatividade tecnológica. Tais características inerentes ao setor farmacêutico possibilitam um maior relacionamento colaborativo dessas empresas, especialmente para o desenvolvimento de novos produtos. A perspectiva de redes colaborativas amplia a visão estritamente racional e competitiva das corporações. Nesta dissertação, parte-se do pressuposto de que as capacidades organizacionais já não estão mais contidas nas empresas. As redes e arranjos fazem parte das organizações, mas avançam além de suas fronteiras. Com isso, surge uma abordagem diferente para a teoria das organizações, que procura entender como se dá essa nova configuração do ambiente organizacional. A pesquisa foi realizada com base na estratégia de estudo de casos múltiplos. Foram selecionadas três companhias nacionais com sede no estado de São Paulo que estabeleceram parcerias colaborativas para a pesquisa, desenvolvimento, comercialização e distribuição de medicamentos. O objetivo final foi estudar decisões que envolvessem o estabelecimento de parcerias para se verificar as características do processo decisório estratégico em redes de parcerias estratégicas colaborativas. Conclui-se que o processo decisório para o estabelecimento dessas parcerias colaborativas é caracterizado pelo uso de práticas que minimizam a racionalidade limitada em função dos altos investimentos necessários para pesquisa e desenvolvimento, além de ser um alto risco para o sucesso das empresas participantes da rede colaborativa. Outro fator que deve ser destacado, as parcerias colaborativas são em função da criação de recursos para investimentos em pesquisa e desenvolvimento sendo suportada por redes interorganizacionais que tem o objetivo de manter o posicionamento de mercado das empresas enquanto os esforços inovativos são gerados para a introdução de novos medicamentos no setor.

Ce travail de recherche porte sur la diffusion de la stratégie au sein de la banque. En effet, nous avons cherché à déterminer les étapes clés de la mise en évidence d’un processus de diffusion au sein de la banque, de déterminer les freins que peuvent rencontrés les banquiers lors de ce processus et d’évaluer leur impact sur la mise en oeuvre de la stratégie. En effet, la diffusion est le processus par lequel la stratégie est déclinée à travers toute la banque. Or, la compréhension et le soutien qu’accordent les membres de la banque dépendent, entre autres, du processus grâce auquel iles en prennent connaissance. C’est pourquoi, l’étude de la diffusion apparait pertinente. Ainsi, comprendre en profondeur le processus de la diffusion en termes de modalités et de contenus, nous a permis de détecter les éléments qui peuvent freiner le développement d’une représentation stratégique partagée et comprise par l’ensemble de la banque, de la stratégie envisagée, et influencer la qualité de la mise en oeuvre. Notre analyse s’est essentiellement basée sur une démarche abductive qui consiste à procéder par allers retours entre théorie et terrain et qui nous a permis de renforcer la validité de notre cadre conceptuel et de le compléter par les éléments de notre analyse des cas. Au final, nous avons détecté un ensemble de freins à la diffusion de la stratégie au sein de la banque qui sont essentiellement : la sur information, les capacités cognitives, la résistance au changement, la nature de la stratégie et le nombre des niveaux hiérarchiques et dont l’impact le plus marquant est le dérapage de la mise en oeuvre. / This study deals with the communication of strategy within the banking sector. Our aim was to highlight the key steps involved in the communication process of banks, identify the challenges faced by bankers regarding that process and assess their role in the promotion of the strategy. Indeed, communication is the channel through which the strategy will be spread throughout the bank. Yet, the understanding and defense of the strategy by the employees, greatly depends on the way it has been conveyed to them; hence the importance and relevance of communication studies. Thus, a deep understanding of communication processes in terms of form as well as content, allowed us to pinpoint the elements that might prevent the development of a common strategic representation, understood by all, and affect the quality of its implementation. Our study is essentially based on an abductive approach that consists in going back and forth between theory and confirmation on the field. This method allowed us to strengthen the validity of our conceptual framework and supplement it with examples derived from our study case. In the end, we came up with the conclusion that many elements prevent the good circulation of strategy information within a bank. 本研究以日商在台子公司為個案,探討多國企業核心流程之動態演化與創新研究。分析個案子公司的演化與創新過程,本研究從子公司的組織、母子公司關係、子公司角色、以及其核心流程,發現以下五點: 一. 對子公司的組織管理,母公司運用彈性的管理導向,有助於發揮子公司資源與能力。 二、母公司與子公司互相依存的關係,得以讓母公司可善用地主國的優勢,提昇多國企業整體營運的績效;亦能減少多國企業管理上的困難,甚至有助於多國企業的創新速度。 三、子公司的領導統御的務實化與主動性,有助於專業化資源與能力的提高。透過角色的改變,可擴大國際職責的參與機會。 四、相對於各行其是的多國企業,具有整合執行能力的子公司,可以為多國企業創造價值,並成為知識流通的來源。 五、子公司的動態演化,有助於多國企業的當地知識來源及國際化的拓展。 / This thesis has used Japanese subsidiary in Taiwan as case to study the dynamic evolution and innovation through the core process of MNC. From the view point of the organization control of alleged subsidiary, relationship of parent-subsidiary, subsidiary role in MNC, and its core process of subsidiary, we conclude the major findings are: (1). For the purpose of organization management, Parent company of MNC has adopted the flexible managerial patterns to facilitate subsidiary’s capability and its resources accumulation. (2). Relationship between parent and its subsidiary is interdependence. This kind of relationship helps Parent company who can utilize the net ownership advantages of host country to increase the total operational performance of MNC. It also helps to reduce the management difficulty toward subsidiary of MNC and even helps to increase the speed of innovation. (3). Top management of subsidiary shows their management skill with realistic and takes initiative in helping subsidiary to increase its capability and resources. Through the change of charter or its strategic roles, subsidiary can expand its participation of international responsibility. (4). Compare with other MNCs, subsidiary which has the capability of global integration can generate value-creation activities for MNC. Subsidiary will become the source of knowledge flow for its parent company. (5). The core process of subsidiary with dynamic evolution provides MNC with domestic knowledge. This evolution also helps MNC in internationalization development.
