Trust and risk in the context of securities lending : a sociological analysis

This dissertation uses a Sociological approach to analyse the risks associated with the practice of securities lending. Risks are those factors that inhibit the development of trust, and trust is essential for people to participate in financial transactions like securities lending. In this dissertation we show that, although there are a number of risks, individual and systemic, that are associated with securities lending, practitioners have, over time, developed an array of risk management procedures and practices to keep these risks at acceptable levels. Securities lending is however not practiced in a vacuum and the relevance of these risk management procedures is largely determined by the cultural environment in which it is practised. Values, norms and sanctions are crucial as social controls over behaviour that transpires in social structures. The presence of structural conditions necessary for the development of a culture of extreme opportunism is shown as arguably the greatest source of risk facing those who participate in financial transactions like securities lending. / Sociology / M.A.

Já é sabido que o ambiente institucional impacta o desempenho das firmas (Makino, Isobe, & Chan, 2004) e que as reformas pró-mercado contribuem para que esse efeito seja positivo, tanto para firmas domésticas como estrangeiras (Cuervo-Cazurra & Dau, 2009). A explicação desse efeito é baseada na economia dos custos de transação (Coase, 1937; Commons, 1934). Contudo, não se sabe se o efeito é o mesmo para todos os setores e se fatores moderam a relação. Esta tese contou com 230.222 observações referentes a 10.903 empresas em 64 países em um intervalo de 23 anos coletados em diferentes bancos de dados. Foi testada a interação de seis variáveis institucionais com o índice Herfindahl-Hirschman (HHI) para três variáveis dependentes diferentes: retorno sobre ativos (ROA), retorno sobre patrimônio líquido (ROE) e crescimento de vendas composto de três anos. Duas estratégias empíricas foram utilizadas: modelos com efeitos fixos e modelos hierárquicos (multinível). Os resultados confirmaram a hipótese de que a interação do HHI é significante e negativa com quatro variáveis institucionais: voice and accountability, efetividade do governo, qualidade regulatória e controle da corrupção. Concentração setorial modera o efeito do ambiente institucional na performance empresarial. Em contextos onde as instituições são sólidas, a força de agentes como sindicatos, associações, imprensa e consumidor assume poder de barganha, refreando o poder das empresas e o oportunismo. Regras legais, direito comum e instituições tendem a limitar o poder unilateral em relações contratuais de todos os tipos, independe da fonte do poder (Macneil, 1980). Observou-se adicionalmente que a proteção ao oportunismo se dá principalmente por meio das instituições informais, como a proteção à democracia, direitos do consumidor e controle da corrupção. Ao propiciar poder aos outros agentes que interagem com as empresas, instituições fortes garantem o enforcement de compromissos contratuais, em particular os contratos sociais (Argyres & Liebeskind, 1999). Como implicações, essa tese propõe que estratégias de expansão dentro do setor, aquisição de participação de mercado e fusões e aquisições dentro do setor são mais adequadas em ambientes institucionais mais fracos que em ambientes fortes. Empresas que possuem alta participação de mercado devem reconhecer o impacto negativo que podem sofrer em seu desempenho a partir de melhorias institucionais. Finalmente, o estudo reforça a importância do reconhecimento por parte de governos de que setores e firmas se beneficiam de forma desigual das mudanças institucionais. O conhecimento prévio desses impactos pode servir de direcionamento para a formulação de políticas públicas justas e eficientes. As principais limitações estão relacionadas à base de dados, exclusivamente composta de empresas com capital aberto, a forma pela qual a classificação de algumas empresas diversificadas foi feita e o fato dessa tese não investigar diretamente o poder de barganha nem ao menos o oportunismo, mas somente o poder moderador da concentração setorial no efeito das instituições no desempenho. / This research extend the understanding of firm performance by proposing that industry conditions, specifically industry concentration, moderates the relation among institutions and firm performance. It is already known that institution matters (Makino et al., 2004) and that promarket reforms positively affect firms’ profitability in developing countries for both domestic and foreign firms (Cuervo-Cazurra & Dau, 2009). The explanation is based on transaction costs economics (Coase, 1937; Commons, 1934). However, it is not known whether this effect is the same for all industries and if there is any moderating effect. This thesis built a database of 230,222 observations of 10,903 companies in 64 countries in a 23 years interval. Data was gathered from various sources. Regressions tested the interaction between the Herfindahl-Hirschman Index (HHI) and six institutional variables, considering three dependent variables: return on assets (ROA), return on equity (ROE) and 3-year compound annual sales growth rate. Two empirical strategies were used: fixed effects and hierarchical (multilevel) models. Results confirmed the hypothesis and were significant for the negative interaction between HHI and four institutional variables: voice and accountability, govern effectiveness, regulatory quality and control of corruption. Industry concentration moderates the effect of institutions on firm performance. When institutions are strong, the strength of stakeholders like unions, associations, press and consumers became bargaining power, limiting firms power and opportunism. Legal rules and institutions, common law and others, limit unilateral power in contractual relations of al kinds, whatever may be its source (Macneil, 1980). In addition, this thesis proposes that the protection against opportunism is mainly on informal institutions, like democracy protection, consumer rights and control of corruption. Strong institutions enforce contractual commitments, in particular, social contracts (Argyres & Liebeskind, 1999). As a result, this thesis argues that strategies of expansion within the industry, as market share dominance, mergers and acquisitions and growth strategies may fit better on weak institutional contexts. Firms that have high market share must acknowledge the negative impact of institutional improvements. Finally, governs must understand that industries and firms benefit unequally from institutional changes. Anticipating this knowledge may drive the formulation of efficient and fair public policies. The main limitations are the database was exclusively made of public traded companies, problems on industry classification for diversified firms, and that this work did not directly investigate the bargaining power or opportunism, but the moderating effect of industry concentration.

Après une introduction générale et un survey de littérature, l’apport de cette thèse est d’établir un lien entre le marché des biens et le marché de travail et de proposer un système légal optimal pour dissuader les comportements opportunistes au sein de l’entreprise. Tout au long de la thèse, le cadre d’analyse utilisé est le cas d’un monopole qui produit deux types de biens. Les consommateurs sont hétérogènes selon leurs préférences à la qualité. Le chapitre 2 analyse différentes structures d’agence afin de déterminer la meilleure structure qui permet à la fois de maximiser le profit de l’entreprise et de maximiser le bien-être des consommateurs et des employés. Le chapitre 3 examine la distorsion de la qualité des biens et du niveau d’effort des employés en asymétrie d’information avec sélection adverse sur le marché des biens et le marché de travail par rapport à l’information parfaite. Le chapitre 4 étend le chapitre 3 en étudiant la même problématique avec un problème d’aléa-moral sur le marché de travail en présence d’une collusion entre le superviseur et l’employé. Ce chapitre questionne le rôle du consommateur et du juge à dissuader cette forme de comportement opportuniste. / After a general introduction and a survey of literature, the contribution of this thesis is to establish a link between the goods market and the labor market and to propose optimal legal system to deter opportunistic behavior within the company. Throughout the thesis, we consider a monopoly that produces two types of good. Consumers are heterogeneous according to their preferences to quality. Chapter 2 analyzes different agency structures to determine the best structure that allows both to maximize the profit of the company and maximize the welfare of consumers and employees. Chapter 3 examines distortion of the quality of goods and the level of the workers’ effort with adverse selection on the goods market and the labor market compared with perfect information. 此論文包含三大部分。第一部分探討董監事暨重要職員責任保險(D&O保險)的需求因素與公司治理等企業特徵間的關係,配合2003-2007年台灣上市上櫃公司的資料,研究影響公司是否購買D&O保險、保險限額與保險費的決策因素。實證結果證明,大型公司較需要D&O保險保障,且公司的董監事與利害關係人間存在代理成本問題。本文亦發現董監事獨立性等公司治理因素,對D&O保險購買行為有顯著影響,再則,公司的成長性及經理人風險趨避態度,都會影響保險限額的決定。本文結論進一步顯示訴訟風險對保險限額的決定有正向顯著的影響,而財務風險對D&O保險需求亦有若干影響力。第二及第三部分則進一步探討董監事暨重要職員責任保險對公司的行為或策略是否有影響。實證結果顯示D&O保險確實會影響公司風險承擔策略及公司財報方法的穩健性。 / This thesis is comprised of three essays on directors’ and officers’ (D&O) liability insurance, one interesting but little explored research area. Based on an unbalanced panel data set of public Taiwanese corporations in years 2003-2007, the first essay investigates the relationship between directors’ and officers’ (D&O) insurance demand and firm characteristics, especially corporate governance. The results suggest that large firms are more likely to purchase D&O insurance, and that there exists agency cost between directors/officers and stakeholders. The findings indicate that corporate governance, such as board independence, has an important impact on D&O insurance demand. Besides, the results show that growth opportunity or managerial risk aversion can affect the D&O insurance coverage amount. The litigation risk also has a positive and significant impact on the D&O insurance amount, and bankruptcy risk weakly influences the D&O insurance demand. In the second essay, I provide evidence regarding corporate business strategy by investigating the relation between directors’ and officers’ (D&O) insurance and risk taking behavior. This essay tries to test (a) whether firms are more active to adopt risk-taking strategies when their directors and top managers are covered by D&O insurance coverage; (b) whether the quality of corporate governance has influence on firm’s risk-taking behavior; and (c) whether insurers can distinguish D&O insurance purchases decision driven by managerial risk-taking behavior and charge adequate premium rate for such behavior. The empirical evidence suggests that D&O insurance coverage has a positive impact on firm risk-taking behavior. In addition, the results indicate that board composition may remarkably influence corporate risk-taking behavior. The preliminary findings also show that insurers can assess the induced risk-taking behavior ex ante and charge adequate premiums rate accordingly. In the third essay, I investigate whether the legal liability coverage result in the propensity of less conservatism and aggressive managerial behavior/strategy. More specifically, this study tests managerial opportunism behavior by examining whether the purchase of D&O insurance coverage is associated with more aggressive financial reporting strategy (i.e., less accounting conservatism). The empirical evidence suggests that D&O liability insurance purchase decision is positively associated with accounting conservatism. That is, firms with insurance coverage tend to recognize bad news in a timely manner, i.e. more earning conservatism. However, there is no significant relation between accounting conservatism and D&O insurance amount. In addition, the evidence shows that firms with strong board structure recognize good news faster than those with weak governance structure.

Nevertheless, there is high deficit level of access in Brazil, with different situations in the various country regions. In this sense, the objective of this dissertation is (i) from the interdisciplinary perspective of the Transaction Costs Economics, introduce an understanding of water and sewage public service in Brazil, currently regulated by Law No. 11,445/2007, (ii) evaluate the efficiency of the mainly used mode of governance, and (iii) eventually purpose alternative designs for the organization of the provision, economically superior in terms of reducing transaction costs for necessary investments to fulfill the fundamental objectives defined in art. 2 of Law No. 11,445/2007. The research used as a methodological strategy an interdisciplinary approach to law, economics and organizations, based on the new institutional economics. From the study of the basic institutional environment, with support in the theoretical framework, it was observed that the governance mechanism predominantly used to provide the water and sewage public service in Brazil, ie delegations to State Sanitation Companies through long-term contracts (program contracts) does not favor investments in specific assets (infrastructure) necessary for the supply and does not ensure policy goals. It was also found that there are viable alternatives to overall governance design, although the use of alternative forms probably are not feasible by implementing simple transplant standards, that is, by formal means. The modification of the prevailing water and sewage public service mode of governance, overcoming the verified low performance (low-level equilibrium), can not be held without charge. Therefore, it is necessary to overcome the costs for breaking the path dependence caused by hold-up carried out by the Sanitation State Companies to public service holders (municipalities), as well as costs for the disruption of path dependence in the Brazilian administrative law, which restricts the development of a legal theory of regulation to enable the construction of an adequate regulatory governance to reduce transaction costs in order to make viable investments in infrastructure assets with a high degree of specificity. / O serviço público de saneamento básico tem relevância amplamente reconhecida. Apesar disso, ainda são verificados no Brasil elevados índices de déficit ou de atendimento precário, com situações distintas nas diversas regiões do país. Nesse sentido, o objetivo desta dissertação é (i) apresentar, a partir da perspectiva interdisciplinar da Economia dos Custos de Transação, uma compreensão do serviço público de saneamento básico no Brasil, atualmente regulamentado pela Lei nº 11.445/2007, (ii) avaliar a eficiência do modo de governança majoritariamente utilizado e, (iii) eventualmente, propor desenhos alternativos para a organização da prestação que sejam economicamente superiores em temos de redução de custos de transação para a realização de investimentos necessários ao cumprimento dos objetivos fundamentais definidos no art. 2º, da Lei nº 11.445/2007. A pesquisa adotou como estratégia metodológica a utilização de uma abordagem interdisciplinar de direito, economia e organizações, nos termos da análise econômica da nova economia institucional. A partir o estudo do ambiente institucional básico, com apoio no referencial teórico, observou-se que o mecanismo de governança predominantemente utilizado no serviço público de saneamento básico no Brasil, isto é, delegações a Companhias Estaduais de Saneamento por meio de contratos de longo-prazo (contratos de programa), não favorece a realização de investimentos em ativos específicos (infraestrutura) necessários à prestação e cumprimentos de metas da política. Foi também constatado que existem alternativas de governança viáveis ao desenho predominante, embora a utilização de formas alternativas provavelmente não possua execução viável pelo simples transplante de normas, isto é, pela via formal. A modificação da forma de governança predominante no saneamento básico no Brasil, com a superação do baixo desempenho verificado (low-level equilíbrium), não é possível de ser realizada sem custos. Nesse sentido, é necessário superar os custos para o rompimento do path dependence provocado pelo hold up realizado pelas Companhias Estaduais de Saneamento Básico sobre os titulares do serviço público (municípios), bem como os custos para o rompimento do path dependence no direito administrativo brasileiro, o qual restringe o desenvolvimento de uma teoria jurídica da regulação apta a viabilizar a construção de uma governança regulatória adequada à redução dos custos de transação, de modo a tornar viáveis investimentos em ativos de infraestruturas com elevado grau de especificidade.

Determinants for the effective provision of public goods by honduran hometown associations in the United States: the Garífuna case

Magister Artium - MA / The study concludes that the existence of HTAs in the USA is explained by the socially enforced institution of the hijos del pueblo (sons of the town) having a duty to help their hometowns, as well as the private benefits of preserving Garífuna traditions and the possibility of helping repatriate dead immigrants. Fulfilling this duty (and the consequent prestige attained) provides the incentives to send CRs home. In the cases studied, CRs were used to partly finance potable water projects, electricity projects, road paving, a community centre and the construction of a Catholic temple. In most of the cases HTAs worked with a local development organisation, known as Patronato, which formed specific committees for executing projects, for example the water and the electricity committees. For the construction of the temple, a religious organisation known as Pastoral was the local partner. The term Collective Remittances (CRs) refers to the money sent by migrant associations, known as Hometown Associations (HTAs), to Community-Based Organisations (CBOs) in their hometowns for financing public works projects. Few cases of CR are known in Honduras. The only ones reported are among the Garífunaethnic group living on the Caribbean Coast, and with a large migrant community in New York City (NYC). This mini-master’s thesis is the first study written on CRs in Honduras. It studies CR experiences in four Garífuna hometowns and their corresponding HTAs in NYC. It answers three questions: How do CRs work in each case? What are the determinants for HTAs to provide CRs to the hometowns? And what are the determinants for local CBOs in the hometowns to use the CRs effectively to provide public goods in the hometowns?
