1.085 do código civil brasileiroCruz, Diogo Merten January 2014 (has links)
This master thesis proposes to examine the regulation of the non-judicial expel of a partner from the limited liability companies in the Brazilian Law. The research has as its core the provisions of the article 1085 of the Brazilian Civil Code, from which it examines the material and the procedural requirements for the company to use the legal tool represented by the non-judicial expel of a partner. The main purpose of such non-judicial expel is to protect the company and the continuity of its enterprise, regarding the undeniable gravity of acts committed by the minority of shareholders. This essay aims to analyse the elements that allow an understanding of the institute to facilitate and disseminate their use. For that, it is discussed in the first chapter the ethical assumptions of the limited liability companies in the Brazilian Law, with the analysis of the partners duties and the use of the company purposes as an interpretative parameter of the members conduct considering those duties. In the second chapter it is addressed the cause of the non-judicial expel of a partner in the Brazilian Civil Code. In this part of the essay, the causes of judicial and non-judicial expel of a partner will be compared to gather the elements to analyse the concept used by the article 1085 of the Brazilian Civil Code: the acts of undeniable gravity to bring the enterprise continuity into risk. In the third chapter, the requirements prior to the conclave, in which the determination of expel of a partner will be taken, are analysed. Finally, the fourth chapter examines the formal requirements concerning the conclave in which the expel of the partner will be decided.

In the last decades, the national production of drugs from nationally manufactured inputs has been stimulated through several government programs, because they understand that medicines are a strategic product, treated in public policies that involve improving the health of the Brazilian population. The objective of this study was to observe whether there was any change in the importation of the active pharmaceutical inputs: clozapine, cabergoline and lamivudine during the period from 2010 to 2015 after the adoption of the Productive Development Partnership program between public and private companies. Data on imported inputs and observed whether they met the current sanitary regulations, as well as epidemiological data on the diseases treated by these medicines and their medical prescription habits. The initial results showed that there was a decrease in the amount of 50% of the import of IFA Cabergoline, every year, from 2013 onwards, a stabilization was also observed, with no increase in the imported quantity, of IFA Clozapine and in studies showed a decrease in the importation of IFA Lamivudine. The decrease in the number of imports was not related to a possible decrease in the number of cases of the diseases, or to some change in the prescription habits of the medicines containing the imported IFAs. During the development of the study it was observed an increase in the sanitary adequacy, and of the compliance with the regulatory norms to the publications of the same ones by Anvisa

O direito de retirada de sócios de sociedade simples e sociedade limitada / The right of partners to with draw from a simple company and from a limited liability companyEvy Cynthia Marques 29 March 2010 (has links)
This dissertation examines the legal framework of the right of partners to withdraw from a simple company (sociedade simples) and from a limited liability company (sociedade limitada) under the current Brazilian Civil Code (CC/2002). For such purposes, the dissertation starts by studying its legal nature and revisits its legal basis. It also considers the historical development of the right to withdraw under Brazilian law and that of certain other jurisdictions (Germany, Spain, France, Italy and Portugal). In the context of this historical analysis, it assumes special importance the right of partners to withdraw from a limited liability company (sociedade limitada) and the doctrinal and case law creation of the institute of partial dissolution (dissolução parcial stricto sensu) under Decree No 3,708/1919 and the Commercial Code of 1850, respectively. Having regard such review, the dissertation addresses, in detail, the right of partners to withdraw from a simple company (sociedade simples) and a limited liability company (sociedade limitada), as contemplated by the current Brazilian Civil Code (CC/2002), thereby also identifying when the same is authorized in each type of corporate vehicle and each applicable legal framework. Finally, by analyzing the scenarios for dissolution of companies contemplated by the current Brazilian Civil Code (CC/2002), it seeks to identify whether and in which scenarios the partial dissolution (dissolução parcial stricto sensu) is still applicable.

Previous issue date: 2018-07-06 / This research shows how the ideology of meritocracy in liberal and neoliberal thinking is
manifested in the conceptions and proposals for the teaching work in Brazilian education
and, specifically, in the municipal network of Dois Vizinhos-PR in the period from 2013
to February 2018. The school, inserted in a capitalist society, by influence of this political
and economic side, is now considered as a commodity. Thus, the nature of the problem
of this research is part of this context, in order to analyze how the politics of meritocracy
in the formation and in the teaching work is manifested. To this end, the "Partners of
Education" Movement, which is designated as an entity of civil society, has been the
subject of research and is the author of references for the elaboration of hegemonic
educational policies. The purpose of this research is to understand the conception of
meritocracy in training and teaching work in the "Education Partners", identifying the
presence of this conception in the current National Education Plan as well as in teacher
training, especially in the training proposal developed by Municipal Secretary of
Education of Dois Vizinhos, State of Paraná. The methodology of the research was
developed from the perspective of qualitative research, through the use of documental
and bibliographic research. The following authors of the analyzes were used: Luiz Carlos
de Freitas (2011, 2012), Gaudêncio Frigotto (2006, 2015), Dermeval Saviani (1987, 2001,
2005, 2007, 2010) Luiz Antônio Cunha (1980), Karel Kosik (1976). The principles of
liberalism are briefly presented and how they justify meritocracy, which is at the origin
of this doctrine. Through the ontological, epistemological and political foundations of this
concept, meritocracy will be contextualized in times of neoliberal state and the
establishment of new attributions to the teaching work. Subsequently, it analyzes the
NGO (Non-Governmental Organization) "Partners in Education" and investigates the
trend on the ideology of meritocracy in one of its documents: "The transformation of the
quality of public basic education in Brazil", published in 2010, highlighting how the
ideology of meritocracy and the proposals of the "Partners of Education" are materialized
in the National Education Plan (2014-2024) with regard to the teaching work. Finally, an
analysis of the continuing education of teachers in the municipal network of Dois
Vizinhos-PR is carried out, revealing how the ideology of meritocracy is reproduced in
this context. It is concluded that the ideology of meritocracy is a trend that has been
consolidating in the continuous formation of teachers, from the educational policy of the
Brazilian State to the specificity of the municipal network of Dois Vizinhos-PR. Its
objective is to form the new human type suitable to neoliberalism and post-Fordism: the
multipurpose subject, self-entrepreneur, individualist and competitive. To form this new
human type in the public school, hegemonic educational policy requires the teacher
training in the perspective of the pedagogy of skills - learning theory, while imposing the
accountability to teachers for the results of education.
Estado do Paraná.
Posteriormente, análisa a ONG

University of the Western Cape students’ perceptions of alcohol use as a risk factor to HIV infectionKelly, Tarryn Lee January 2010 (has links)
Magister Psychologiae - MPsych / Alcohol remains the most commonly abused substance in South Africa and several
studies have shown associations between alcohol use and risky sexual behaviours, which pose a risk of HIV infection. Research indicates that the age group of 15-24 years is a high risk group for HIV infection. This study aimed at examining the perceptions of alcohol as a risk factor to HIV infection amoungst a sample of university students.Specifically, this study tested the hypotheses that most students perceive that those who consume alcohol were more likely to engage in unprotected sex, sex with multiple partners, casual sex and transactional sex. The Information Motivation Behavioural(IMB) skills model provided the theoretical framework for the study. Using a quantitative research design, a survey questionnaire was used to collect the data. The sample consisted of 240 first year psychology students (192 females, 48 males). Data analyses indicated support for the hypotheses that alcohol consumption was perceived as high risk for unprotected sex, casual sex and sex with multiple partners. However, the data showed no support for the hypothesis of alcohol increasing the risk of transactional sex. The data also indicated that non-drinkers were more likely to perceive alcohol as a risk factor than drinkers. The recognition by students of alcohol as a risk factor for HIV infection provides an opportunity for raising awareness about safer sex practices at institutions of higher learning in South Africa.

The role of development assistance in the promotion and protection of human rights in UgandaRukare, Donald 25 January 2012 (has links)
Uganda, like several developing countries, is a recipient of development assistance. This assistance, which is provided by rich developed countries, supports among others human rights programmes in these countries. Development partners that provide this assistance wield considerable influence arising from the assistance they provide. This study seeks to determine what role development assistance plays in the promotion and protection of human rights in Uganda. The study establishes that, similar to several African countries such as Malawi, Zambia, Kenya and Ghana, Uganda is aid-dependent. Although Uganda is committed to reducing this dependence, it is concluded that without this vital lifeline of development assistance, Uganda would not be able to fully fund and run its human rights programmes or development budget. The study further establishes that international cooperation and the provision of development assistance are embodied in international human rights treaties and declarations. However, while there is an obligation to provide development assistance, stipulated in international human rights treaties, the study establishes that some development partners do not recognise this obligation. A model convention providing for the obligation to provide development assistance is elaborated in this study. The study arrives at the conclusion that development partners through the provision of development assistance have advanced the human rights agenda in Uganda, though sometimes impedding the development of an authentic domestic human rights culture. The study recommends that there is a need to reverse this situation. The study concludes with several recommendations aimed at making Uganda own its human rights agenda. / Thesis (LLD)--University of Pretoria, 2012. / Centre for Human Rights / unrestricted

Le Fibroblast Growth Factor 2 ( FGF-2 ) et la neuropiline-1 (NRP-1) : nouveaux partenaires moléculaires de Heparin Affin Regulatory Peptide ( HARP) / The Fibroblast Growth Factor 2 (FGF-2) and the neuropiline-1 (NRP-1) : new molecular partners of Heparin Affin Regulatory Peptide (HARP)Elahouel, Rania 13 December 2012 (has links)
HARP (Heparin Affin regulatory peptide) is a growth factor that constitutes with midkine a subfamily of Heparin Binding Growth Factors (HBGFs). HARP is involved in many physiological processes such as neurogenesis and vasculogenesis but also in pathophysiological processes such as angiogenesis and tumor progression. HARP interacts with different receptors (N-syndecan, RPTPβ / ζ and ALK). More recently, it has been shown in the laboratory that nucleolin, a protein shuttle between the nucleus, cytoplasm, and cell surface, is a new HARP receptor. Despite the advances in this field, the interaction of HARP with its receptors is not fully understood. The aim of this thesis was the search for new molecular partners that interact with HARP, to understand the mechanism of their interaction and analyze the biological effects. My work was firstly to participate to the study of the interaction of HARP with the fibroblast growth factor-2, FGF-2. This factor is also an heparin-binding factor, with mitogenic and angiogenic activities. Using techniques of optical biosensors and protein-protein interaction, we have shown a direct interaction between HARP and FGF-2 that involves C-TSR-I and C-terminus domains of HARP. In addition, HARP inhibits the migration and proliferation of endothelial cells induced by FGF-2. In parallel, I highlighted the interaction between HARP and NRP-1. NRP-1 is a transmembrane protein having as main ligands, semaphorins class 3 (SEMA 3A), the vascular endothelial growth factor (VEGF) and FGF-2. In addition to its crucial role in the development of the nervous and cardiovascular systems, the NRP-1 is involved in physiopathological processes such as angiogenesis and tumor invasion. Thus, NRP-1 has a biological profile similar to HARP. Using ELISA, immunoprecipitation and "pull-down" tests, we have shown that HARP interacts with NRP-1. This interaction appears to be direct and occurs via heparin binding domains of HARP: TSR-I. HARP induces internalization of NRP-1 after 15 minutes and partial recycling to the cell surface after one hour. The internalization of the NRP-1 is accompanied by the phosphorylation of MAPK pathways (ERK1 / 2), Akt and FAK. HARP/NRP-1 interaction is crucial for endothelial cell migration and invasion of tumor cells. In conclusion, these results provide new advances on molecular partners of HARP in particular and also show the complexity of the interactions between these growth factors and their receptors. More generally, this study allows considering therapeutic strategies targeting the interaction of NRP-1 with HARP as well as other growth factors.

L'inégalité entre associés en droit des sociétés / Inequality between partners in company lawNdiaye, Momath 05 July 2017 (has links)
Initially, corporate law was dominated by a general principle of equality. Consequently, discrimination between partners was admitted only exceptionally. This situation, however, evolved under the combined effect of two phenomena. On the one hand, doctrine and jurisprudence have long admitted that equality between partners has only a relative scope. This one must be assessed "in concreto" and does not oppose unequal treatment between partners justified by the defense of the social interest or the existence of differences of situations. On the other hand, the legislator has gradually introduced into the law of companies many mechanisms having an inegalitarian function. This was the case with the old share classes, namely the priority shares, those with priority dividend without voting rights, investment certificates or voting certificates. The same is true of preferred stocks and special advantages. All these devices have the vocation of breaking the equality between partners, by providing to some of them, privileges not shared by others. However, the law largely allows, or allowed their institutionalization. In view of these observations, it became legitimate to question the existence of a right to discriminate between partners. Therefore, the ambition of this study is to demonstrate that inequality between partners enjoys general validity in companies. Clearly to construct a definition, to determine its legal foundations, the possibilities and limits, and the procedure for its creation and its disappearance, these were the elements that needed to be reflected in law in order to allow practitioners to approach discrimination between partners with more serenity.

Who are audit partners in Big 4 Firms ? : An interactionist interpretation of the partners’ careers in Big 4 Firms in FranceGarnier, Claire 09 December 2014 (has links)
This PhD studies the process of becoming a partner in professional services firms, envisaged through the lens of the building of the partner identity. To this end, it implements the concept of « career » developed by interactionist sociology to analyse the making of a partner in the context of the Big 4 international audit firms. Becoming a partner is a process that starts right after recruitment and which is governed by complex and largely informal mechanisms and political manoeuvring. We characterize these mechanisms with the help of the notion of “stable”, whose purpose is to understand procedures of co-option in their unofficial dimension but also to account for the structuration of the partner level in firms and the role played by hierarchies within this level in post-partner career progression. We come to the conclusion that auditors actually become partners much earlier than their official promotion to the rank, from the moment they consider themselves as such. This awakening is yet only the first turning point on the road to partnership. It is only when they are officially co-opted that auditors become the partners they were, by being recognised as such by their peers, completing therefore their identity conversion. This work contributes to the literature in the sociology of professions and organizational theory fields by investigating how professionals are socialized and how their identity is constructed and by grasping more accurately the organization of professional services firms
