Tax Treaties and the Allocation of Taxing Rights with Developing Countries

Worldwide income taxation in the country of residence is a legal dogma of international taxation. We question this dogma from the perspective of relations between developed and developing countries from a legal and economic perspective, and make a modern and fair proposal for tax treaties. We will show under which conditions a developing and a developed country will voluntarily sign a tax treaty where information is exchanged truthfully and whether they should share revenues. Moreover, we will demonstrate how the conclusion of a tax treaty can assist in the implementation of a tax audit system. / Series: WU International Taxation Research Paper Series

Policies for climate change

In my thesis, I address two important issues: (i) the creation of a price signal through the use of carbon markets (or cap-and-trade schemes) and (ii) the necessity to reach a global agreement on greenhouse gas emission reduction policies. It consists of three separate papers. Chapters 2 and 3 of this thesis emphasize theoretically and empirically the fact that achieving international cooperation on climate change is very difficult. Chapter 3 suggests that the global nature of the climate change problem and the design of climate agreements (i.e. the means available to reduce CO2 emissions) may explain this failure. Chapter 2 shows theoretically that asymmetric information between countries may exacerbate the free-rider problem. These two chapters also provide some possible solutions to the lack of international cooperation. To address the issue of information asymmetry, chapter 2 proposes the creation of institutions in charge of gathering and certifying countries' private information before environmental negotiations. If achieving international cooperation is still not possible, chapter 3 suggests that regional cooperation may supplement global treaties. Chapter 1 presents an example of such a regional agreement to reduce CO2 emissions. The EU emissions trading system is a cornerstone of the European Union's policy to combat climate change. However, as it is highlighted in chapter 1, the design of such regional carbon markets really matters for their success in reducing carbon emissions. Nel primo capitolo si propone una rassegna della letteratura di ambito economico e manageriale in tema di Responsabilità Sociale d’Impresa (RSI). Successivamente, si identificano le peculiarità degli attori operanti nel settore bancario etico. Infine, si comparano i risultati degli studi sul comportamento delle banche etiche con quelli disponibili sulle banche tradizionali. Il secondo capitolo confronta le condizioni di rifinanziamento delle banche sociali con quelle delle banche standard, quando le prime dispongono di informazioni private sulla qualità dei clienti. Ciò comporta il noto problema dell’hold-up, che tuttavia può essere attenuato dai costi delle peculiari attività di selezione e monitoraggio delle banche etiche. Ne risulta che, indipendentemente dalla qualità del cliente, le banche standard potrebbero offrire condizioni di prestito più vantaggiose di quelle delle banche etiche. Il terzo capitolo usa un modello spaziale per descrivere come le banche sociali e standard definiscono i loro tassi di interesse quando competono nel mercato dei depositi e dei prestiti. Come suggerisce l’evidenza empirica, i risparmiatori delle banche sociali sono disposti ad accettare tassi più bassi di quelli del mercato. Pertanto, si determinano le condizioni per cui ciò si verifica e si studia quando questo è compatibile con tassi più bassi anche sui prestiti. / In the first chapter, we begin with a survey on Corporate Social Responsibility (CSR) in economics, management and business literatures. Then we identify the peculiarities of the agents operating in the social banking sector. Thereafter, we compare and contrast the contributions focused on the behavior of social banks with those available on traditional lenders. The second chapter compares the refinancing behavior of social banks with that of standard lenders when the former have inside information on the quality of the borrowers. This entails the renowned hold-up problem which, however, can be mitigated by the costs of the ethical screening and monitoring activities of social banks. As a result, standard banks may offer better loan contracts and attract high quality borrowers. The third chapter proposes a spatial competition model to investigate how standard and social banks set their interest rates when they compete in the deposit and loan markets. As the empirical evidence suggests, social depositors are willing to accept returns lower than the market level. Therefore we determine under which conditions social banks pay deposit rates lower than those of standard banks and when this is compatible with lower rates also on loans.

Les déterminants des augmentations de capital réservées aux salariés / Employee equity issue in France

Cette thèse a pour objectif de contribuer à la compréhension du développement des augmentations de capital réservées aux salariés au sein des entreprises en France. Le premier chapitre définit le concept d’augmentation de capital réservée aux salariés et présente le cadre légal au sein duquel s’inscrivent ces opérations. Nous considérons qu’une augmentation de capital réservée aux salariés est une émission d’actions nouvelles réservées aux salariés non-dirigeants adhérents au plan épargne entreprise ou au plan épargne groupe. Le deuxième chapitre présente, sur la base des théories qui traitent de la politique de financement des entreprises, une revue de la littérature qui s’est intéressée aux opérations d’ouverture du capital des entreprises aux salariés. Le troisième chapitre examine si la prise en compte par les dirigeants des intérêts des actionnaires, des modalités de prise de décision des salariés et de la politique de l’Etat influence la décision des entreprises de recourir à une augmentation de capital réservée aux salariés. Les estimations sont menées à partir d’un échantillon de 110 entreprises françaises non financières appartenant au SBF250 de 1998 à 2007 soit 1 083 firmes-années. Les résultats confirment partiellement les prédictions de la théorie positive de l’agence. Ils montrent une relative influence des intérêts des actionnaires (structure de propriété) et de la politique de l’Etat à l’égard des augmentations de capital réservées aux salariés sur la décision des entreprises de recourir à ce mode de financement. Le quatrième chapitre étudie l’impact du niveau d’asymétrie d’information sur la décision des entreprises de recourir à une augmentation de capital réservée aux salariés sur la base du même échantillon. Les résultats confirment partiellement les prédictions de la théorie du financement hiérarchique. Nous trouvons une influence partielle du niveau d’asymétrie d’information et du déficit de financement sur la décision des entreprises de recourir à cette forme d’augmentation de capital. Enfin, le cinquième chapitre teste l’influence de la volonté des dirigeants de créer et protéger une base de connaissances commune sur la décision des entreprises de recourir à une augmentation de capital réservée aux salariés toujours sur la base de l’échantillon des 110 entreprises. Les résultats confirment partiellement les prédictions des théories cognitives. Nous montrons que l’intensité du capital humain et l’effort d’innovation influencent la décision des entreprises d’émettre des actions exclusivement destinées aux salariés. / This thesis aims to contribute to the understanding of the development of employee equity issue within French companies. The first chapter defines the concept of employee equity issue and presents the relevant legal framework. We consider that an employee equity issue takes place when new shares reserved to non-executive employees acceding to the company savings plan or group savings plan are issued. The second chapter is a literature review of studies of employee stock ownership based on theories that deal with firms’ financing policies. The third chapter examines whether the fact that executives take into account shareholders’ interests, employees’ decision-making modes and the State policy affects companies’ decision to issue shares reserved to employees. We use a sample of 110 non financial French companies belonging to the SBF250 index covering the period 1998 to 2007, totaling 1,083 firms-years. Results partially confirm the predictions of the positive agency theory. They show the relative influence of shareholders’ interests and of the State policy regarding employee equity issue on the decision of companies to resort to this source of financing. The fourth chapter studies the impact of the degree of asymmetric information on companies’ decision to issue shares reserved to employees on the basis of the 110 companies’ sample. Results partially confirm the predictions of pecking order theory. We find that the level of asymmetric information and financing deficit partially influences the decision of companies to resort to employee equity issue. Still on the basis of the 110 companies’ sample, the fifth chapter examines the extent to which companies’ willingness to create and protect a common knowledge base influences their decision to issue shares to employees. Results partially confirm the predictions of cognitive theories (knowledge based view). We show that the intensity of human capital and the innovation effort influence firms’ decision to issue shares destined to employees.

Equity Crowdfunding : Investerarnas upplevelser och hantering av asymmetrisk information och principal-agentproblem

I den här studien har vi undersökt hur investerare upplever asymmetrisk information och principal-agentproblem i den relativt nya investeringsformen equity crowdfunding. Vi har även undersökt hur investerarna går tillväga för att hantera den asymmetriska informationen och principal-agentproblemen. För att göra detta genomfördes studien med ett kvalitativt tillvägagångssätt där vi samlade in data med hjälp av semistrukturerade intervjuer. Intervjuerna hölls med equity crowdfunding investerare från FundedByMe, Sveriges ledande crowdfunding-plattform. Resultaten av studien indikerar på att investerarna finner asymmetrisk information som närvarande inom equity crowdfunding och en nödvändighet av att ta reda på fler uppgifter om bolagen utanför FundedByMe, med anledning av att uppgifterna som finns på plattformen upplevs vara bristfälliga för att kunna ta ett beslut om investering. För att överkomma problem gällande asymmetrisk information har det visat sig att investerarna tenderar att följa andra investerares val av kampanjer. Därmed används alltså ett flockbeteende av investerarna som en metod för att överkomma problem gällande asymmetrisk information som de stöter på. För att överkomma problemet ännu mer, så använder sig investerarna främst av ledningsgruppens egenskaper i deras due diligence då den finansiella informationen anses vara begränsad.Resultaten av vår studie indikerar även på att principal-agentproblem upplevs vara närvarande inom equity crowdfunding då investerarna anser att företagarna utövar ett själviskt beteende som är i kontrast med investerarnas egna intressen för att maximera sin egna nytta. Flertalet respondenter i vår studie angav dock att de inte agerar på något särskilt sätt för att hantera det eventuella problemet. Av det som däremot görs består insatserna till största del av kontroll samt övervakning av ledningsgruppernas arbete. Investerarna använder sig även av gruppforum på Facebook för att förbinda sig med de övriga mindre investerarna i bolagen för att tillsammans med dem förstärka sitt inflytande. / In this study, we have investigated how investors experience asymmetric information and principal-agent problems in the relatively new investment form equity crowdfunding. We have also investigated how investors deal with the asymmetric information and principal-agent problems. To do this, the study was conducted using a qualitative approach where we collected data using semi-structured interviews. The interviews were held with equity crowdfunding investors from FundedByMe, Sweden's leading crowdfunding platform. The results of the study indicate that investors find asymmetric information to be present in equity crowdfunding and a need to find out more information about the companies outside FundedByMe, as the information available on the platform is perceived to be deficient in being able to make an investment decision. In order to overcome problems relating to asymmetric information, it has been found that investors tend to follow other investors choice of campaigns. Thus, a flock behaviour is used by the investors as a method to overcome problems regarding asymmetric information that they encounter. In order to overcome the problems even more, investors mainly use the management group's characteristics in their due diligence since the financial information is considered to be limited. The results of our study also indicate that principal-agent problems are perceived to be present in equity crowdfunding, as investors think that companies are pursuing selfish behaviour that is in conflict with investors own interests to maximize their own benefit. However, the majority of respondents in our study indicated that they do not act in any particular way to deal with the potential problem. However, of efforts that are made, they largely consist of control and monitoring of the work of the management groups. Investors also use groupforums on Facebook to connect with other smaller investors in the companies to strength their influence with them.

Medföljer avkastning till följd av börsintroduktion? : En eventstudie om börsintroduktioner och dess kortsiktiga avkastning på Stockholmsbörsen / Is there a return following an initial public offering? : An event study on initial public offerings and its short-term return on the Stockholm stock exchange market

Background: Underpricing is the most studied area in the subject of IPO. The phenomenon is mainly described as a compensation for the risk of investing in a newly introduced company. Underpricing of shares is explained for many reasons, but the main reason is assumed to be the presence of asymmetric information on the market. Due to differences in financial systems between different countries, creates an incentive to conduct this study on the swedish market. Purpose: The purpose with this essay is to study the short term profitability of IPOs on the swedish market Method: The study is based on a quantitative research design with a deductive approach. The main method is the well established Event Study Method used by MacKinlay (1997), to measure the abnormal return of initial public offerings from the first-day return up to the following month’s return. Research has included 179 publicly traded incorporated companies on the swedish market between the years 2010 to 2020. Conclusion: The authors concluded, through analysis of the empirical basis with relation to previous studies and theories, drawn their own conclusions. Initial public offerings historically show higher returns compared to the market index. The study shows an abnormal first-day return of 0,4490%. Based on an analysis of the empirical results, it was found that the results were consistent and corresponds with previous research in the field of IPOs in other markets. In addition, the selected variables, namely the initial return of 9,21% as a result of IPOs, could partially interpret the abnormal first-day return as well as the following week’s and month’s. The other variables did not appear to be of statistical significance during any of the study periods. / Bakgrund: Underprissättning är det mest undersökta området inom ämnet börsintroduktion. Fenomenet beskrivs huvudsakligen som en kompensation för den risk som råder vid investering i ett nyintroducerat bolag. Underprissättning av värdepapper förklaras ha många anledningar men främsta orsaken antas vara på grund av närvaron av asymmetriska informationen på marknaden. Med skillnader i finansiella system mellan olika länder, skapar detta incitament för att genomföra denna studie på den svenska marknaden. Syfte: Syftet med denna uppsats är att studera kortsiktiga lönsamheten för IPO investeringar på den svenska marknaden. Metod: Studien utgår från en kvantitativ metod med deduktiv ansats. Undersökningens huvudsakliga metod utgick från den väletablerade Event Study method nyttjad av MacKinlay (1997), för att mäta den abnormala avkastningen från initiala erbjudandet efter börsintroduktion för första-dagsavkastning samt upp till en månad framåt. Studien omfattades av 179 publika aktiebolag på stockholmsbörsen mellan åren 2010 till 2020. Slutsats: Författarna har genom analys av det empiriska underlaget med koppling till tidigare studier samt teorier dragit egna slutsatser. Börsintroduktioner visar historiskt tillföra högre avkastning jämfört med marknadens index. Undersökningen visar en abnormal första-dagsavkastning på 0,4490%. Utifrån analys av resultatet, visade det sig att resultatet var konsistent samt överensstämde med tidigare forskning inom området börsintroduktion på andra marknader. The effect of asymmetric information in real estate agent commissions / Effekten av asymmetrisk information vid fastighetsmäklarprovisioner

Real Estate Agencies compensation consists of commissions and a part of the commission corresponds to what the real estate agent gets as salary. This incentive-based commission system is usually covered by an agreed fixed amount, a variable commission model or a combination of both depending on the brokerage object's final selling price. Commission system can lead to adverse consequences when the real estate agent abuses their position and exploits an information advantage to gain a financial benefits. Based on completed questionnaires, that have been posted for this study, directed to consumers and real estate agents, it is recognized that the parties in the Swedish real estate agent industry has experienced or is experiencing a certain unethical behavior because of commission-based pay structures. The purpose of this thesis is to examine how asymmetric information affects the real estate industry brokerage contract negotiations regarding the commission and whether conflicts of interest may occur due to this. Because of asymmetric information in contract situations, there may be situations in which agreements will contradict societal norms and ethical principles, because the broker abuses his advantage. The essence of this thesis is to convey a discussion in order to associate the legal application of contracts with normative ethics. The essay writers propose for instance based on ethical approaches to create a complement to the existing law and further to come up with practical solutions to limit the possibility of unreasonable commission models in real estate brokerage. The essay writers argue that the introduction of a stricter supervision of the commission procedure would create stronger assurance and reduce the abuse of the information asymmetry in the industry. / Fastighetsmäklarbranschens ersättningssystem utgörs av provision och motsvarar en del av vad en fastighetsmäklare får i lön. Detta incitamentbaserade provisionssystem brukar omfattas av ett avtalat fast belopp, en rörlig provisionsmodell eller en kombination av båda som beror på förmedlingsobjektets slutliga försäljningspris. Provisionssystemet kan föranleda negativa följder om fastighetsmäklaren missbrukar sin ställning och utnyttjar ett informationsövertag till att skapa sig en finansiell fördel. Utifrån genomförda enkätundersökningar i denna studie riktade till konsumenter och fastighetsmäklare medges det att parterna inom den svenska fastighetsmäklarbranschen har upplevt eller upplever ett visst oetiskt beteende på grund av provisionsbaserade lönestrukturer. Syftet med denna uppsats är därför att undersöka hur asymmetrisk information påverkar fastighetsmäklarbranschens avtalsförhandlingar avseende provisionen och huruvida intressekonflikter kan uppstå till följd av detta. På grund av asymmetrisk information i avtalssammanhang kan det förekomma situationer där avtalen strider mot samhällsnormer och etiska principer när mäklaren missbrukar sitt övertag. Kärnan i denna uppsats är att föra en samlad diskussion som avser att koppla den rättsliga tillämpningen av avtalslagen med den normativa etiken. Uppsatsförfattarna resonerar bland annat utifrån etiska synsätt för att skapa ett komplement till gällande lag och vidare komma fram till praktiska lösningar till hur eventuellt oskäliga provisionsmodeller kan begränsas. Uppsatsförfattarna hävdar att ett införande av en starkare tillsyn över provisionsförfarandet skulle skapa större förtroende och minska asymmetrin i branschen.

Purpose: The purpose of this thesis paper is to evaluate what the current market practice of real estatevaluation and investment decisions is when it comes to different leasing risks and the risk premium.With regard to some of the ongoing trends within real estate, it is believed that investor preferencesaffect the market practice and the underlying theories of valuation does not fully comply to the currentmarket practice. Method: The implementation of the method is stage wise. At first already existing research andliterature was evaluated and triangulated to find relevant knowledge as basis for the theoreticalframework. Afterwards an analysis was performed to answer whether there is a research gap or not.By analyzing the literature, a research gap as well as potential problems related to leasing risks wasfound. The second phase consisted of a qualitative method where experts in the field were interviewedregarding leasing risk to evaluate whether the problem exist in practice or only in literature.Experts on the topic also helped to develop the questions consequently delivered to the interviewees.The mentioned strategy was done with guidance of our tutor Han-Suck Song at KTH and DanielHolmkvist at CBRE. Interviews: Nine interviews were conducted where experts in the business (consultants and propertyfirms) participated to deliver different perspectives on the research question. All interviews were madein Stockholm and held in Swedish and afterwards translated to English. Results: The results consist of the answers from the interview-part, where the relevant findings weresummarized and pin-pointed with regard to the respective field of business and property segment.The general themes that arose throughout the methods are presented, as well as the extremes in termsof opinions and answers. It was found that there is a clear relationship between the leasing risk and therisk premium for commercial real estate. The relationship depends on several factors such asgeographical location, the different submarkets and finally the segment. A municipal- or corporate bondcannot be fully comparable to a leasing contract but for a 20 year or longer contract where the tenant ispublicly financed, the contract can become an interesting investment alternative due to the currentinterest rate cycle. Finally the leasing contract needs to be more effortless to liquidate in order to becomparable to the bond situation. Scientific relevance: The recent transaction activity on the Swedish real estate market has been ratherdefensive for multiple segments the last twelve months with an exception of community properties.A common understanding is that such objects feature “stable tenants” and are viewed as a safeinvestment by the market. This investment practice raises the awareness of what a stable tenant is, andhow the consultants and property owners’ reason during investments and appraising decisions.This research paper illustrates that a common perception on the subject is that the risk exposurecompletely depends on the specific segments, location or contract length etc. The academic researchexplains the theory behind how to derive the discount rate for an investment decision, however thisstudy has during the literature review proven that several important concepts are left out in the theorypartand thus does not fully cover phenomena’s that investors and appraisers are exposed to duringmarket practice. The most critical part is how to relate leasing risk to the risk premium on the Swedishmarket. Since this study focuses on specifically the Swedish market it is crucial to relate to suitableliterature review for further discussions. On foreign markets, more rigid literature on the subject wasfound. / Syfte: Syftet med detta examensarbete är att undersöka vad den aktuella marknadspraxisen inomfastighetsvärdering samt investeringsbeslut är gällande olika nivåer av hyresgästrisker och riskpremie. Metod: Genomförandet av undersökningen har gjorts i två steg. I ett första steg har tidigare forskninginom ämnet analyserats för att finna relevant teori samt identifiera eventuella forskningsgap. Efteranalysen konstaterades ett uppenbart informationsgap inom litteraturen relaterat till hyresgästrisker.Den andra fasen bestod av en kvalitativ metod där experter inom området har intervjuats gällandehyresgästrisker, för att utvärdera om problemet finns i praktiken eller endast i teorin. För att konstruerafrågorna fick vi assistans av experter inom ämnet via våra handledare Han-Suck Song, KTH och DanielHolmkvist, CBRE. Intervjuer: Nio intervjuer genomfördes med experter inom ämnet där både konsulter ochfastighetsägare deltog för att presentera olika synvinklar på problemet. Samtliga intervjuer ärgenomförda i Stockholm och på svenska. Intervjuavsnitten har översatts till engelska i efterhand. Resultat: Resultatavsnittet består av de svar som har erhållits från intervjuerna, där relevantaresonemang har summerats och noggrant strukturerats för att koppla marknadsområden till korrektfastighetssegment. Återkommande teman och ämnen har presenterats i resultatavsnittet, så väl somavvikande uppfattningar. Resultatet visar att det finns ett tydligt samband mellan riskpremium ochhyresgästrisker gällande kommersiella fastigheter. Sambandet beror på ett flertal faktorer där läge ochfastighetssegment har störst inverkan på riskpremien. Gällande obligationsmarknaden går det inte attlikställa ett hyresavtal med en obligation under något förhållande. Däremot om avtalet avser enkontraktslängd på 20 år eller längre och en offentligt finansierad hyresgäst så kan kassaflödet bli ettintressant investeringsalternativ till befintliga obligationer på marknaden. Detta beror till stor del pånuvarande ränteläge. Slutligen måste ett hyresavtal bli lättare att omsätta för att kunna jämföras meden alternativ obligation. Vetenskaplig relevans: Transaktionsaktiviteten på den svenska fastighetsmarknaden har varit relativtdefensiv för flertalet segment med undantag för samhällsfastigheter de senaste tolv månaderna. Dengenerella uppfattningen är att samhällsfastigheter avser ”stabila hyresgäster” och därmed ses som enmindre riskfylld investering. Detta medför frågeställningen, vad avses för att klassificera en hyresgästsom stabil, och hur resonerar konsulter samt fastighetsägare vid investerings- och värderingsbeslut?Efter att ha genomfört undersökningen går det att konstatera att en allmän uppfattning bland experterinom området är att hyresgästrisken till största del beror på vilket segment, lokalisering ellerkontraktslängd som avses. Den akademiska litteraturen förklarar hur diskonteringsräntan härleds förinvesteringsbeslut, men denna undersökning visar att den tillgängliga litteraturen antingen utelämnarflera viktiga koncept eller inte tillräckligt belyser fenomen som investerare och värderare möter i sittpraktiska arbete. Det grundläggande avsnittet som svensk litteratur till viss del utelämnar är sambandetmellan risk premium och hyresgästrisk på specifikt den svenska marknaden. Det finns utländsk litteratursom belyser denna typ av frågeställningar, men just för den svenska marknaden är litteraturen till vissdel ej tillräcklig och därmed har ett potentiellt forskningsgap inom området identifieras.

The architecture, engineering and construction industry faces challenges when dealing withprocurement contract design and risk-handling. The optimal contracting practices have beenworldwide studied in areas of contract theory which studies how the optimal incentivemechanism (“contracts”) can be designed to encourage the parties to behave more efficiently.The parties usually consist of a principal and an agent, where the principal hires an agent todeliver goods or services. However, the complexity of contract theory calls for a morepracticable approach in an attempt to understand the procurement problem in the industry andincrease knowledge-sharing between projects. The purpose of this study is to propose a model based on contract theory that can be used inpractice to investigate the effects of project endogenous risks in three different types ofprocurement contracts: fixed-price, time and material, and incentive. Thus, this study usesquantitative methods with the aim to explain the current procurement problem in the Swedisharchitecture, engineering, and construction industry, compare theory and practice, andcontribute to knowledge about the linkage between endogenous risks, optimal risk sharing andcontract design. The conclusions from this study are that the current contracting practices in the industry arenot aligned with the optimal contract design described by the theory. The theory in this researchshowed that, given endogenous project risks, the optimal incentives vary in the agent’saversion to risk resulting in a non-monotone relationship between optimal contract power andproject risk. Further, a contract becomes optimal and efficient when cost savings and qualityincentives are aligned. However, the analysis of real-world projects presented no clearrelationship between contract power and project risk, i.e. some projects with fixed-pricecontracts or time and material contracts presented the same risk level. Hence, this researchproposes a method for computing the optimal incentive contract which can be used in manycases where the other two types of contract are currently being used. Based on the theory, theoptimal incentive contract may add valuable benefits for both parties involved since it aims toefficiently share the project risk between them while providing the agent the right incentivesto work more efficiently to reduce costs and deliver high-quality services or goods. / Byggbranschen står inför utmaningar när det gäller kontraktsdesign och riskhantering. Deoptimala upphandlingsmetoderna har studerats över hela världen inom områden avkontraktsteori som i sin tur studerar hur den optimala incitamentsmekanismen ("kontrakt") kanutformas för att uppmuntra parterna att agera mer effektivt. Parterna består vanligtvis av enprincipal och en agent, där principalen anställer en agent för att leverera varor eller tjänster.Men komplexiteten i kontraktsteori kräver ett mer praktiskt tillvägagångssätt i ett försök attbättre förstå upphandlingsproblemet i byggbranschen samt att öka kunskapsutbytet mellanprojekt. Syftet med denna studie är att föreslå en modell baserad på kontraktsteori som kan användas ipraktiken för att undersöka effekter av endogena risker i tre olika typer avupphandlingskontrakt: fastpris, rörligt pris (time and material) och incitament. Denna studieanvänder därmed kvantitativa metoder i syfte att förklara det aktuella upphandlingsproblemeti den svenska byggbranschen, jämföra teori och praktik, och bidra till utökad kunskap omsambandet mellan endogena risker, optimal riskdelning och kontraktsdesign. Slutsatsen från denna studie är att den nuvarande upphandlingspraxisen i branschen inte är ilinje med den optimala kontraktsdesignen som beskrivs av teorin. Teorin i denna studie visaratt, förutsatt endogena projektrisker, så varierar de optimala incitamenten med agentensriskaversion vilket resulterar i ett icke-monoton förhållande mellan optimal kontraktsdesignoch projektrisk. Dessutom blir ett kontrakt optimalt och effektivt när kostnadsbesparingar ochkvalitetsincitament är i linje med varandra. Men analysen av verkliga projekt visar inget tydligtsamband mellan kontraktsdesign och projektrisk, det vill säga en del projekt med fastpris ellerrörligt pris visade sig ha samma risknivå. Därför föreslår denna studie en metod för beräkningav det optimala incitamentet som kan användas i många fall där de andra två typerna avkontrakt för närvarande används. Teorin säger att det optimala incitamentet kan ge värdefullafördelar för de inblandade parterna eftersom det syftar till att på ett effektivt sätt fördelaprojektrisken mellan dem samtidigt som agenten får rätt incitament att arbeta mer effektivt föratt sänka kostnaderna och leverera högkvalitativa tjänster eller varor.

[pt] Em 2014, a Comissão de Valores Mobiliários incluiu as ofertas de capital na instrução regulotória para emissões via esforços restritos, permitindo às empresas ofertar suas ações por meio de procedimentos mais simples e rápidos, revelando menos informação para o mercado. Por sua vez, as firmas que escolhem esse método de emissão são autorizadas a vender as novas ações para um grupo constituído por não mais que 50 investidores qualificados. Desde que as novas regras entraram em vigor, quase todas as emissões de capital secundárias feitas por empresas listadas em bolsa se deram pelo método de esforços restritos. Neste trabalho, estudamos o impacto do novo cenário regulatório sobre dois tipos de custos associados às emissões secundárias de capital: o primeiro, indireto, é o efeito dos anúncios de oferta no preço das ações das empresas emissoras. Um estudo de eventos mostra que os retornos anormais numa janela de três dias ao redor da data de anúncio são, em média, 3,23 pontos percentuais mais altos quando a firma emite capital via esforços restritos em vez do método tradicional. O segundo tipo de custo, o direto, consiste nas comissões pagas aos coordenadores da oferta e outras despesas. Sob esforços restritos, esses dispêndios (como porcentagem do total levantado pela oferta) são, em média, 1,01 pontos percentuais mais baixos que aqueles incorridos em ofertas feitas sob as regras tradicionais. Argumentamos que a redução nos dois tipos de custos se deve (ao menos parcialmente) à mitigação da assimetria de informação proporcionada pelo novo método de emissão. / [en] In 2014, the Brazilian Securities and Exchange Commission included equity offerings in the restricted efforts regulatory instruction, allowing firms to issue equity through simpler, faster procedures, disclosing less information to the market. In turn, firms choosing that issuance method are allowed to sell their new shares to a group consisting of no more than 50 qualified investors. Since the new rules came into force, almost all seasoned equity offerings carried out by listed companies took place under restricted efforts. In this work, we study the impact of the new regulatory setting on two types of costs regarding seasoned equity offerings: the first, an indirect one, is the effect of offering announcements on the issuer s stock price. An event study shows that abnormal returns in a three-day window around the announcement are, on average, 3.23 percentage points higher when the company issues equity under restricted efforts rather than traditional rules. The second type of cost, the direct one, consists of fees paid to the underwriters and other expenses. Under restricted efforts, those fees (as a percentage of total offering proceeds) are, on average, 1.01 percentage point lower than fees charged in the offerings that follow the traditional procedures. We argue that the reduction in the two types of costs is due (at least partially) to the mitigation of information asymmetry provided by the new issuance method.
