Zusammenfassung Diese Untersuchung besteht aus sechs Hauptpunkten. Nach der Einleitung (I.) zum Thema, werden unter II. verschiedene Begriffe definiert und die Inhalte gegenüber verwandten Gebieten abgegrenzt. Als dritter Hauptpunkt (III.) folgt eine Untersuchung zu den klassischen Typologien der Pflichtenkollisionen. Dieses Thema wurde in der Vergangenheit in der Theologie und Philosophie immer wieder breit diskutiert. Unter IV. werden die Pflichtenkollisionen im lukanischen Doppelwerk untersucht. Diese exegetische Analyse soll aufzeigen, wie Jesus und die Apostel solchen Situationen begegnen und damit umgegangen sind. In diesem Zusammenhang wird auch die Frage nach möglicher Schuld, als Konsequenz, untersucht. Der fünfte Hauptpunkt (V.) beschäftigt sich mit dem richtigen Verhalten in Pflichtenkollisionen. Einerseits wird die Position des Autors näher begründet und andererseits ein Vorschlag für eine Wertreihenfolge als Richtschnur im Konfliktfall angeboten. Im letzten Teil (VI.) werden die Erkenntnisse der Untersuchung auf sieben konkreten Fälle von Pflichtenkollisionen aus der Gemeinde und der Geschäftswelt praktisch angewendet. / This analysis consists of six main sections. Following the introduction of the theme (I), various terms are defined (II), and the contents are distinguished from related topics, with pertinent reasons given. The third (III) section consists of the results of my research on the classic typologies of conflicting duties. In the past, this subject has been widely discussed in the theological and philosophical circles. In the fourth (IV) section, conflicting duties are examined in light of Luke's writings. The goal of this exegetic analysis is to show how Jesus and the apostles met such situations, and how they dealt with them. In connection with this topic, the question of possible guilt, as a consequence, is researched. The fifth (V) section deals with proper behaviour toward conflicting duties. On one hand, the position of the author is established, and on the other hand a proposal is offered for a prioritization of values as a guiding principle in conflict situations. According to one method (A), one first has to establish that the deceased's income was not all absorbed for his/her own maintenance. Only if there is surplus income available, it can be inferred that the deceased contributed towards the maintenance of the minor children and that the children have suffered a loss. According to another method (B) both parents' income are added and then divided between the family members. The minor child's loss of support is an amount which represent his/her share in the deceased's own income - a child automatically suffers a loss according to this method, in the event of death of a parent. Method B ought to be applied, because it is consistent with the reciprocal duty of support between spouses and the duty of spouses to maintain children. / Verskillende metodes om die verlies aan onderhoud van afhanklike kinders te bereken word ondersoek. Volgens een benadering (A) moet eers vasgestel word of die oorledene se inkomste nie alles geabsorbeer is vir sy /haar eie onderhoud nie. Slegs indien daar surplusinkomste was, kan aanvaar word dat die oorledene bygedra het tot die onderhoud van die minderjarige kinders en dat die kinders 'n verlies ly. 結構型債券不當銷售爭議與投資人保護之法律問題 / The improper-selling of structured notes and the legal issues for structured notes investors protection.

自2008年5月起,國內發生了向銀行購買號稱保本或條件式保本的結構型債券的投資人,因所購買之結構債觸及下限,導致本金大賠,而這些投資人無法承受損失,組成自救會要向銀行討回投資本金的事件;同年9月美國雷曼兄弟公司倒閉,購買連結該公司股票,或購買由該公司及其子公司發行或保證之結構債之受害投資人要求銀行全額買回不當銷售之結構債,另外投資人亦多向銀行主管機關行政院金融監督管理委員會、民意代表等提出陳情,指稱銀行在販售結構債時,並沒有善盡事前告知的義務,加上用詐欺或誘導等方式進行不當行銷勸誘,並對應告知投資人的重要事項僅為選擇性的說明,且更有理專在簽約書面文件中偽造其已告知投資人相關風險及資訊,因此造成銀行不當銷售結構債等金融商品的議題受到重視及討論。 我國傳統上面對金融商品係針對個別商品之架構(例如有價證券或期貨)而採不同的監理規範,惟此種立法係以商品得以明確定性為前提,然在財務工程技術不斷推陳出新,金融創新成為趨勢的現在,混合傳統商品所推出的新型態金融商品就應如何定性及適用法律,即為監理及投資人保護法制上的新課題。 此外,從民眾經由銀行推介而投資結構型債券而生的糾紛可發現,銀行在向民眾推介購買金融商品時,常發生糾紛的類型多可歸類為未推薦符合客戶風險屬性商品的商品適合性(suitability)不符,以及銷售時未確實對於該項商品可能產生的風險完整告知。故有關商品適合性及告知義務在我國法上的規範及內容,及對於違反商品適合性及告知義務時,受害投資人若要提起相關訴訟時,應該如何主張自身的權益,亦為本文研究的重心。 本文於第壹章提出本文研究動機及研究方法,第貳章則介紹結構型債券的種類及風險,並嘗試替結構債進行法律定性,第參章分析銀行辦理財富管理業務時,應遵守之法規範,同時介紹國內銀行受投資人委託投資結構債之規定,並附論主管機關因結構債銷售爭議事件發生,而對結構型商品所增訂的管制規範,以及我國統一管理金融服務業銷售行為規範的金融服務業法。第肆章為分析國內銀行不當銷售結構債予一般投資人之法律爭議,並介紹國外實務案例,以及國外有關違反忠實義務及注意義務的判斷標準;另從我國現行法制下檢討受到銀行不當銷售之投資人可能得主張銀行損害賠償之請求權基礎,並觀察與分析我國目前利用銀行公會評議機制處理投資人申訴之情形;第伍章介紹英國2000年金融服務暨市場法中,關於消費者遇到金融商品服務相關糾紛時得採用的申訴機制,並介紹日本金融商品販賣法及金融商品交易法中對銷售行為管制相關規定;另附論該國實務界對於金融機構不當銷售時,對投資人應負的責任,以及該國實務界調節損害賠償責任的方式;第陸章為結論及建議,將提出我國目前法制對不當銷售之問題面臨的挑戰,尤其是於金融商品交易資訊不對稱的情形下,投資人提起商品適合性與金融機構未盡告知義務訴訟時產生的難題,並提供相關建議。

The issues of assurance of sources for national budgets are eternal topics which are apparently current in any phase of the economic cycle, and it holds still more for the period of recession. In response to the outbreak of a financial crisis it is always possible to see the needs of finding new sources of financing of government expenses. Even though taxation of wine is rather a marginal topic in this regard, it is necessary to ask why this is so and whether it is not just this area that hides a large potential. Taxation of wine, however, plays an important role not only as a source of incomes for the state budget, but also as a tool of regulation of consumption of this commodity, which is negatively perceived from the viewpoint of human health. The imposition of taxation of wine does not influence consumers' behaviour only, but it has also impacts on plant production in this sector. At the same time, the entire issue acquires an absolutely different dimension through the fact that the area of taxation of wine belongs among the fields which are subject to harmonisation on the part of the European Union. At the time of globalisation and continually intensifying European integration it is important to be able to gain maximum yields from these aspects of the economy. In connection with harmonisation...

Dans le domaine des réseaux de capteurs sans-fil (dits « WSN »), les piles réseau spécialisées constituent un domaine de recherche très actif depuis maintenant de nombreuses années. Toutefois, beaucoup de ces études, notamment concernant les couches basses de ces piles réseau, n’ont pas dépassé le stade de la théorie. Leurs implantations n’ont sauf exception pas fait l’objet d’efforts poussés ou systématiques, surtout dans le cadre des systèmes d’exploitation spécialisés. Nous nous proposons donc, dans cette thèse, de nous focaliser sur l’analyse des interactions entre les protocoles des couches basses et les plates-formes logicielles dédiées, et de les optimiser, notamment au niveau de l’implantation. Nous passons d’abord en revue et évaluons les différents systèmes d’exploitation spécialisés, et choisissons celui offrant les fonctionnalités, notamment temps-réel, que nous estimons nécessaires pour implanter des protocoles MAC / RDC novateurs et performants. Nous entreprenons ensuite un effort d’étude, d’amélioration et d’optimisation de ces couches basses des piles spécialisées, et montrons, avec une implantation concrète d’un de nos protocoles MAC / RDC avancés, que nous pouvons amener des progrès notables dans la qualité de service (QdS) des WSN, notamment avec un trafic réseau intense. Nous examinons en outre des inexactitudes inattendues dans les simulations / émulations effectuées par Cooja / MSPSim, et analysons les problèmes de fiabilité posés par l’utilisation de cet outil pour effectuer des évaluations de performances, notamment temporelles, de WSN. Nous proposons enfin de nouvelles pistes pour de futures améliorations et optimisations de ces couches basses des piles réseau spécialisées, afin d’améliorer encore la fiabilité, les performances et la consommation énergétique des WSN. / In the field of wireless sensors networks (WSN), specialized network stacks have been a very active research field for many years. However, most of this research, especially on lower layers of the network stacks, did not go beyond theory. Their implementations have generally not been the subject of deep or systematic effort, especially within the framework of dedicated operating systems. We thus propose, in this thesis, to focus on interaction analysis between lower layers’ protocols and dedicated software platforms, and to optimize them, especially at the implementation level. We first review and evaluate the various dedicated operating systems, and choose the one offering the necessary features to implement efficient and innovative MAC/RDC protocols. We then study, improve and optimize these lower layers of specialized stacks, and show, with an actual implementation of one of our advanced MAC/RDC protocols, that we can bring significant improvements in the quality of service (QoS) of WSNs, especially under heavy network traffic. We also report inaccuracies in Cooja/MSPSim simulations/emulations, and analyze the reliability issues caused by the use of this tool for performing evaluations (especially time-related) of WSNs. We finally propose some new leads for future enhancements and optimizations of the lower layers of these specialized network stacks, in order to further improve the liability, performances and energy consumption of WSNs.

Modélisation, dimensionnement et optimisation d'un capteur hybride pour la détection des deux roues motorisées dans le trafic routier / Modeling, optimization and conception of an hybrid sensor for the detection of Powered two wheelers in traffic

Depuis plusieurs années les chiffres de l'insécurité routière montrent la nécessité de développer un outil technologique qui vise à connaitre le comportement de véhicules deux roues motorisés (2RM) afin d'améliorer leursécurité. De cette problématique découle nos travaux de recherche qui s'inscrivent dans le cadre de projet METRAMOTO (MEsure du TRAfic des deux-roues MOTOrisés pour la sécurité routière et l'évaluation des risques)L’objectif principal visé concerne la modélisation, le dimensionnement et l'optimisation d'un capteur hybride constitué d'une part de boucles électromagnétiques et d'autre part de capteurs de chocs piézo-électriques. L’idée consiste à utiliser les boucles électromagnétiques pour discriminer la présence des 2RM de celle des autresvéhicules, associées à des segments piézo-électriques pour détecter le choc produit par le passage des roues desdifférents véhicules, le tout associé à un algorithme de gestion et de traitement de données. Aujourd'hui redimensionnement des systèmes de détection à base de boucles électromagnétiques ou de câble piézo-électriquese fait de manière expérimentale sur des sites contrôlés en utilisant plusieurs types de véhicules. Cette technique gourmande en temps nécessite une série importante d'essais couteux et dangereux. La présente étude a pour butde modéliser les différentes interactions entre le capteur hybride étudié et les véhicules en vue de son dimensionnement. Des modèles électromagnétiques et électromécaniques sont développés pour décrire les différentes interactions se produisant entre les boucles électromagnétiques d'une part, les boucles électromagnétiques et les véhicules d'autre part ainsi que celles des roues de véhicules et le câble piézoélectrique.Sur la base de ces modèles établis, une démarche générale est élaborée conduisant au dimensionnement du capteur hybride pour une route donnée. Nous nous sommes également intéressés au traitement des données issues du capteur hybride pour lesquelles nous proposons une approche d'identification des différentes catégories de véhicules dont les 2RM. Deux configurations de capteurs pour deux routes différentes sont alors proposées.Elles sont associées à des algorithmes de traitement de données permettant l'acquisition des signaux de boucles et de câbles, la distinction des différents types de véhicules, l'estimation de la position des véhicules sur la chaussée ainsi que la mesure de la vitesse de véhicules. / For several years the road safety numbers show the need to develop a technological tool that aims to know thepowered two wheelers vehicles behavior (2PW) to improve their security. From this problematic arise our researchworks that come under the project METRAMOTO (Powered two wheelers traffic measurement for road safety andrisks assessment). The main objective is modeling, sizing and optimization of an hybrid sensor consisted ofelectromagnetic loops and piezoelectric shock sensors. The idea is to use electromagnetic loops to discriminate the2PW presence from the other vehicles, combined with piezoelectric segments to detect the shocks produced by thevehicles wheels passage, all associated with a management algorithm and data processing. Today the sizing of thedetection systems based on electromagnetic loops or piezoelectric cables is done experimentally on controlled sitesusing several vehicles types. This technique requires significant test series which are costly and dangerous. Thisstudy aims to modeling the different interactions between the studied sensor and vehicles in order to its sizing.Electromagnetic and electromechanical models are developed to describe the different interactions that take placebetween electromagnetic loops on the one hand, between electromagnetic loops and vehicles on the other handand those between vehicle wheels and piezoelectric cable. On the basis of established models, a general approachis elaborated driving to sizing the hybrid sensor for any given road. We are also interested to the data processingcoming from the hybrid sensor for which we propose an approach to identifying the different vehicle categoriesincluding the 2PW. Two sensor configurations for two different roads are then proposed. They are associated atdata processing algorithms allowing the acquisition of loops and cables signals, the distinction between the differentvehicles classes, the estimation of the vehicles positions on the road and the measuring of their speed.

近年來我國屢次爆發掏空公司資產之弊案,而細究其掏空之方式,多係藉由公司之交易行為,將公司資產不法輸送予特定人士。我們不難發現這些特定人士時常某程度與公司之董事或控制股東,具有一定之利害關係,甚至這些特定人士即為董事或控制股東本身。正因如此,關係人交易在我國公司治理議題上逐漸受到重視,並引起廣泛之討論,尤其針對具有董事或控制股東身分之人。由於此兩類身分之人同時具有掌握公司資訊及影響公司經營決策之權力,更易藉此方式自公司謀取私利。 我國對於關係人交易下董事之義務,雖已有規範,然而自比較法之觀點,美國法對此部分顯然較我國完備,不僅對於關係人交易設有事前之董事行為標準,並且對於符合行為標準之關係人交易,給予董事安全港之保護。同時,配合司法實務上所發展之司法審查標準,採取寬嚴不一的審查模式,使董事得於關係人交易中合理預測訴訟風險。一方面可降低關係人交易中非常規交易發生之可能性,另一方面亦不至於全然扼殺關係人交易在現代經濟社會中產生之正面價值。我國法之董事義務既是繼受英美法上受任人義務之概念,因此本文嘗試分析美國法中關於關係人交易之相關規定,希冀做為我國修法之參考以求法制之完備。 又我國現行公司法在控制股東義務方面,似存在重大之法律漏洞。尤其在關係人交易下,有心人士為規避擔任董事可能帶來之相關義務,轉而選擇置身於幕後,成為不具董事身分卻實際掌握公司經營決策權之控制股東。此無疑對於欲利用關係人交易不法掏空公司之人,開啟方便之大門。事實上,在英國及美國法上對於控制股東在特定情況下課予如同公司董事一般之受任人義務,而本文則將其焦點限縮在關係人交易下控制股東之義務,經由整理分析英美兩國法制上之條文、學說及重要判決,以期建構出我國規範關係人交易下控制股東義務之依據。

Governing Land Use in Kenya: From Sectoral Fragmentation to Sustainable Integration of Law and Policy

The search for development that is sustainable often results in the complex challenge of having to reconcile the need for socio-economic activities with protection of the environment. This challenge of integrating such fundamentally important considerations that often contrast, but should be mutually supportive, is necessarily addressed by legal and policy frameworks of the country in question. These could be laws and policies with competence to manage the environment, or to manage socio-economic and political activities that impact the environment. This challenge is profound for developing countries like Kenya that experience higher levels of degradation, poverty and food insecurity. Arguably in this context, while addressing integration involves reconciliation of legal principles for a coherent legal concept of sustainability, it is also a serious matter of survival for millions of people. This raises compelling reasons to ensure that any legal reform measures positively impact how these people make decisions on the socio-economic utilization of land or forestry resources that they have access to. The research aimed to develop a legal and policy framework that will facilitate integration of environmental protection with socio-economic activities during land use decision making, as a mechanism to achieve sustainability. We investigated how a legal/policy framework, founded in the 2010 Constitution, and in environmental and tenure rights laws of Kenya, can conceptually reconcile the right (and duty) respecting a clean environment, with socio-economic rights. The research further analysed how such conceptual reconciliation can impact integration in policies, plans and decision making by sectoral laws and institutions to ensure environmental consideration across sectoral areas. To this end, we have proposed enacting a legal duty requiring tenure rightholders to integrate their socio-economic activities with environmental protection during land use decision making. We further frame mechanisms to guide the attitudes, and decisions of farmers and forest communities in making that transition to sustainable practices.

The Sound of Silence: First Nations and British Columbia Emergency Management

In this thesis I offer a brief overview of the current legislative, regulatory and treaty frameworks impacting emergency management in British Columbia, with a particular emphasis on Crown-identified First Nation roles. I show that the regime overwhelmingly positions non-First Nation governments, contractors and other organizations to manage emergencies on behalf of First Nations. I explore emergency management as a manifold process that includes protracted planning, mitigation and recovery phases, which, unlike emergency response, are carried out with lower levels of urgency. I consider Canadian Constitution Act, 1982 (s. 35) Aboriginal rights in light of the lack of statutorily prescribed inclusion of First Nations in off-reserve emergency management, particularly at the planning, mitigation and recovery phases concluding that the jurisprudence to date (including the duty to consult and Aboriginal title) does not appear to have revolutionized the regime. While the constitutional status of Aboriginal rights should operate to insure adequate First Nation direction in each stage of emergency management, the regime continues to restrictively prioritize other constitutional priorities, such as division of powers and civil liberties. To better understand the omission, I theorize the lack of Crown implementation of s. 35 Aboriginal rights generally as an ‘obligation gap’, highlighting how an analysis of s. 35 Aboriginal rights as ‘negative rights’ fails to compel implementation of the full scope of Crown obligations implicit within the jurisprudence to date. I then offer a new framework for s. 35 as justiciable ‘recognition rights’ and juxtapose ‘recognition rights’ with the idea of justiciability of government inaction through a brief comparative analysis of socioeconomic rights in South Africa’s constitution and Canada’s constitutional Aboriginal rights. With a decided emphasis on the obligations of the Crown, this thesis attempts to offer fodder to First Nations and legal practitioners seeking to challenge the emergency management landscape where First Nations seek an enhanced role in protecting and restoring their respective territories in anticipation of, and in the wake of, disaster. For convenience and clarity, contemporary geographical and jurisdictional references to the areas now known as Canada and British Columbia are used throughout the thesis without intention to detract from the integrity of First Nation claims to their traditional and ancestral territories.
