Thesis (LLM)--University of Stellenbosch, 2001. / ENGLISH ABSTRACT: Section 197 of the Labour Relations Act 66 of 1995 ensures the transfer of a contract of employment from an old employer to a new employer on the transfer of a business as a gomg concern. Although section 197 is mostly based on European and British statutes and regulations, one should not rely on foreign provisions when interpreting section 197 without careful consideration. It is only when we understand the inherent limitations of applying these provisions, that they can be of any help to formulate definitions for the terms "transfer", "business" and "going concern". The two most important effects that section 197 has, is that it ensures the transfer of the contract of employment and that it protects the terms and conditions of employment when such a transfer takes place. Unfortunately, this section does not regulate dismissal on the transfer of a business. Section 197 also does not deal satisfactorily with the transfer of contracts of employment on the transfer of an insolvent business. As a result of the above-mentioned and other shortcomings of the current section 197, it was decided to amend the Act. The Labour Relations Amendment Bill 2000 relies heavily on precedents from foreign law, but unfortunately it does not adequately address all the current problems. / AFRIKAANSE OPSOMMING: Artikel 197 van die Wet op Arbeidsverhoudinge 66 van 1995 verseker die oordrag van 'n dienskontrak van 'n ou werkgewer na 'n nuwe werkgewer by die oordrag van 'n besigheid as 'n lopende onderneming. Alhoewel artikel 197 gebaseer is op Europese en Britse wetgewing en regulasies, moet die leser versigtig wees om sulke bepalings sonder skroom aan te wend by die interpretrasie van artikel 197. Wanneer ons die inherente beperkings daarvan begryp, mag die bepalings van hulp wees om definisies te vorm van die begrippe "oordrag", "besigheid" en "lopende onderneming". Artikel 197 het hoofsaaklik twee uitwerkings: dit fasiliteer die oordrag van die dienskontrak en verseker dat die terme en voorwaardes van indiensneming onveranderd bly. 企業因應中國勞動合同法之變革策略及其對心理契約、組織承諾、核心競爭力、與組織績效之影響

「中華人民共和國勞動合同法」於2008年1月1日施行,導致企業用人成本提高,於是企業開始採取一些變革策略,這些策略包括1.全盤接受2.廠區內遷3.招聘退休人員4.自動化及工作外包5.遇缺不補或凍結人事6.要求員工辭職7.裁員8.勞動契約到期不續簽9.提前簽定勞動契約10.轉移員工至派遣公司11.歇業12.關廠13.外移14.棄廠潛逃等。本研究依照「接受法令」的程度,將14項變革策略分為『接受法令』、『接受但有措施因應』、『閃躲法令規定』及『不接受規定』等四類,總計收集大陸台商及員工有效樣本168份,並進行這四類在員工心理契約、組織承諾、組織核心競爭力、及組織績效量表上的信效度分析、變異數分析、及事後考驗,希冀可以作為政策發展者及企業決策者之重要參考。 / 本研究結果顯示:1.各量表之信效度頗高,在心理契約、組織核心競爭力、與組織績效方面,『接受法令』組顯著地優於『閃躲法令規定』組。2.在心理契約及組織績效方面,『接受法令』組的分數也顯著地比『接受但有措施因應』組及『不接受規定』組為佳。3.若將『接受法令』、『接受但有措施因應』歸為接受組,『閃躲法令規定』及『不接受規定』歸為拒絕組時,接受與拒絕組在員工心理契約、組織核心競爭力、及組織績效皆有顯著的差異。最後,研究者嘗試提出「變革策略之競爭力模式」。 / 總而言之,本研究結果支持心理契約、組織承諾對組織核心競爭力、及組織績效的影響,且亦支持組織核心競爭力對組織績效的影響。另外,建議後續研究者或可配合人力銀行或中國學術研究單位,再進一步進行縱貫性研究。最後本研究提出後續學術研究與實務應用之建議。 / "Labor Contract Law" in People's Republic of China was implemented on January 1, 2008. Since this Law, the corporate was increased personnel costs and started taking some change strategies. These change strategies including: 1.Entirely accept 2.Moving the factories to inland 3.Recruiting retirees 4.Automation and job-outsourcing 5. Recruiting freeze 6.Asking Staff for resignation 7.Layoff 8.Contratct un-renewed 9.Signing contracts before the Law was implemented 10.Transfering staffs to temporary worker services 11.Shutting down the business 12.Closing factories 13.Relocation 14. Abandoning factories and absconding. According to the degrees of “acceptance of the Law”, this study divided these change strategies into four categories, including “Accept”, “Accept, but taking actions”, “Dodging the Law by taking actions”, and “Un-accept”. / This study collected 168 samples, and used ANOVA and post-tests to know how these strategies can influence on employees’ psychological contract, employees’ organizational commitment, organizational core competitiveness and organizational performance. / According to the results of this study: 1.the reliability and validity of the scales were high, and the scores of “Accept” in employees’ psychological contract, organizational core competitiveness, and organizational performance were significantly higher than the scores of “Dodging the Law by taking actions”; 2.the scores of “Accept” in employees’ psychological contract and organizational performance were significantly higher than the scores of “Accept, but taking actions” and “Un-accept”; 3.when author divided these four categories into accept group and refuse group, there are significant difference between the scores of employees’ psychological contract, organizational core competitiveness, and organizational performance. Finally, “Organization change of competitiveness model” was proposed. / In summary, this study showed that employees’ psychological contract and organizational commitment do have the influence to organizational core competitiveness and organizational performance. It also showed that the organizational core competitiveness can influence the organizational performance. In conclusion, the model of this study and substantial suggestions were proposed for follow-up academic studies and practical applications.

Selon l’article 5 du code civil, les juges ne peuvent « se prononcer par voie de disposition générale et règlementaire sur les causes qui leur sont soumises ». L’article 1134, alinéa 1er, du même code pose le principe de la force obligatoire du contrat. Or, la jurisprudence de la chambre sociale de la Cour de cassation est normative ; son immixtion dans le contrat de travail est patente. Déséquilibré, soumis à un ordre public spécifique, source d’un conflit de droits et de libertés, le contrat de travail présente certaines spécificités. Ces dernières paraissent guider l’action du juge. L’adaptation du contrat constitue l’une des principales manifestations de son intervention. Elle se caractérise par l’enrichissement de l’accord de volontés ou, à l’inverse, par son amputation. De nombreuses obligations sont ajoutées au contrat. Si le fondement avancé par le juge varie, les articles 1134, alinéa 3 et 1135 du code civil justifient, en réalité, cette addition. La soustraction revêt diverses formes. Elle est parfois la source d’un pouvoir créateur ; celui-ci n’est pas toujours susceptible d’être rattaché à la protection des libertés et droits fondamentaux. Au-delà, la réfection conduit le juge à rebâtir et réécrire le contrat. Ce dernier est rebâti sur le fondement de l’article 1134, alinéa 2, du code civil. La volonté des parties est objectivée ; leur volonté réelle n’est pas nécessairement respectée. La réécriture du contrat découle, notamment, de l’application de l’article 1152 du code civil. Mais elle s’étend au-delà de ce texte. Originale et audacieuse, la relecture judiciaire du contrat de travail est liée au particularisme de cet accord. / According to article 5 of the French civil code, the judges cannot « decide through the mean of general and statutory rules on the causes they are submitted with ». Article 1134 al.1 of the same civil code provides for the principle of the binding effect of the contract. Yet, the jurisprudence of the labor chamber of the French High Court (Cour de cassation) is normative ; its interference in the labor contract is obvious. Unbalanced, subject to a specific public order, source of conflict of rights and freedoms, the labor contract has certain particularities. These appear to guide the judge’s action. The adaptation of the contract is one of the principle manifestations of the judge’s intervention. It is characterized by the improvement of the agreement of the wills or, on the contrary, by its amputation. Many obligations are added to the contract. If the reasons exposed by the judge vary, actually, article 1134 al.3 and article 1135 of the French civil code justify these additions. This subtraction has different forms. It is the source of a creative power ; such creative power is not always linked to the protection of freedoms and fundamental rights. Besides, the rework leads the judge to the rebuilding and redrafting of the contract. Said contract is rebuilt in accordance with article 1134 al.2 of the French civil code. The willingness of the parties becomes objective ; their real willingness is not necessary complied with. The redrafting of the contract is the result of, in particular, article 1152 of the French civil code. However it can be extended beyond this article. Original and audacious, the judicial way to read the labor contract is linked to the sense of the identity of such labor contract.

An evaluation of the rights of fixed term employees in South Arica

The current South African legislative framework does not properly address the unequal bargaining position between employers and fixed term employees. Ineffective regulation of fixed term employment in South Africa has had the effect of excluding certain groups of fixed term employees from claiming the remedies provided in terms of the Labour Relations Act and other labour legislation. Furthermore, where remedies are applicable to them they are often ineffectual. Interpretational variation evident from case law pertaining to the enforcement of the rights of fixed term employees, indicate clear lacunae in the unfair dismissal protection afforded to these vulnerable employees. This is mainly a consequence of uncertainties related to the interpretation of the legislative provisions. The infusion of the values entrenched in the Constitution of the Republic of South Africa and the development of the common law to reflect these values might augment the scope and availability of rights enjoyed by fixed term employees. But, changing socio-economic and political circumstances necessitates review and amendment of the legislation applicable to fixed term employees to meet the country’s constitutional and international obligations. Proposed amendments to the Labour Relations Act have been tabled. These amendments may be capable of addressing some of the current problems. However, they may also lead to other undesirable consequences. An investigation into problems related to the application of similar provisions as those proposed by the Labour Relations Amendment Bill in other jurisdictions crystallises some possible causes for concern.
