La responsabilité du fiduciaire - Essai de théorie générale / Liability of the french trustee

La fiducie est à la fois un concept ancien et un outil moderne protéiforme, capable de remplir les fonctions les plus diverses. Introduite en 2007 en droit français, la fiducie prend de l’ampleur et il devient nécessaire de s’intéresser à une problématique essentielle : la responsabilité du fiduciaire. La fiducia romaine comme le trust anglo-saxon ont montré que l’efficacité de sa mise en œuvre était primordiale pour assurer le succès de l’institution. Pourtant, les textes relatifs à la fiducie sont largement incomplets, tant en ce qui concerne le mécanisme lui-même, que la responsabilité de son principal acteur, le fiduciaire. A cet égard, l’article 2026 du Code civil donne pour toute indication que « le fiduciaire est responsable, sur son patrimoine propre, des fautes qu'il commet dans l'exercice de sa mission ». Ambigüe et discutable, cette disposition ne révèle pas tout son sens à première lecture. L’analyse historique, comparative et exégétique des textes permet de comprendre le mécanisme de la fiducie. Un régime cohérent de responsabilité du fiduciaire – à la fois propriétaire et obligé, à la tête d’un patrimoine d’affectation – peut alors être dégagé, qui réalise l’équilibre entre les différents intérêts en présence, tout en assurant la protection du constituant et du bénéficiaire. / The trust is both an ancient concept and a modern instrument which can fulfill the most diverse functions. Introduced in France in 2007, the French fiducie is growing and it has become necessary to focus on a key issue : the liability of the French trustee. Roman fiducia and the Anglo-Saxon trust have shown that the efficiency of its implementation was crucial to the success of the institution. Yet, the rules regarding the fiducie mechanism and the liability of its main actor are largely incomplete. In this regard, Article 2026 of the French Civil code only indicates that “the trustee is responsible, on his own property, for breaches of the trust committed during the performance of its mission”. Ambiguous and debatable, this provision does not reveal its meaning at first reading. An historical, comparative and exegetical analysis entitles the reader to understand the mechanism of the French fiducie. A coherent structure of the liability of the French trustee – both owner of a separate patrimony and debtor to the settlor and the beneficiary – can be drawn, which results in a balanced system between the different interests in consideration, while ensuring the protection of the settlor and the beneficiary.

The first part of the thesis deals with a description of legal relationships in the international trade and explains the term "international element." Further there is a short description of private international law and international trade law. The second part of the thesis is focused on securing of contractual obligations in the international trade. The third part concerns with explanation of the basic forms of legal relationships in the international trade regulation with regard to securing of contractual obligations. The final part of the thesis deals with a description of securing instruments used in the international trade. At the end of this part there are listed factors which influence the choice of a suitable securing instrument.

The accession of Ethiopia to the WTO in the context of its policy on "developmental state"

Unlike many other international instruments, accession to the WTO does not simply require the commitment of the government to sign and ratify the multilateral agreements. A country needs to make considerable legislative and administrative changes to comply with the standards of the WTO and its members to finalize the negotiation for accession. For governments with impure free market economy policy the challenges amplify. The government of Ethiopia publicly pronounces its adherence to the ideology of the developmental state. On the other hand the nucleus of WTO principles is progressive trade liberalization. Therefore, this dissertation tries to provide some reflection on the paradox created as a result of the divergence in priority between WTO principles and developmental state in the context of Ethiopian desire to join the organization. The research is an interdisciplinary work. The issues that will be discussed are not purely legal in their nature. They have legal, political and economic dimensions. And the main focus of the paper is on trade in services and foreign investment negotiation aspect of the accession. Furthermore the objective of the dissertation is to give some insight for policy makers about the challenges and opportunities that „Developmental State‟ ideology will pose in the accession process of Ethiopia to the WTO. The research is divided into five chapters. Chapter one gives introductory remarks about the concept of the developmental state and accession to the WTO. The limitations of the WTO accession process and an overview of the features of developmental state in the world and particularly in Ethiopia are also briefly discussed in the chapter. The origin and concept of developmental state in the world, in Africa and Ethiopia is discussed in some detail under chapter two. The chapter also tries to show the impact of developmental state policies in the laws of the country that are going to be deliberated in the process of accession. Chapter three is about accession to the WTO. In this chapter the requirements, benefits, challenges and procedures of accession are dealt in depth. The writer debates and tries to show the fact that the system is slowly shifting from rule based negotiation to power and precedent based negotiation. By analyzing the laws of Ethiopia that are inspired by the principles of developmental state against the legal and precedent requirements to join the WTO, I tried to correlate the findings of chapter two and three in chapter four. Specific strategies and advises on how to move the negotiation forward on certain areas are also outlined in this chapter. Analyse de la dynamique du phénomène de contagion entre les obligations souveraines européennes au cours des récents épisodes de crises financières / Sovereign risk exploration in times of crisis : a look at financial contagion

Les périodes marquées par une aversion au risque intense sont souvent l’origine de distorsions notables dans les prix de marché, et de pertes substantielles pour les investisseurs. Chaque épisode de crise financière montre que les mouvements de ventes généralisées sur les marchés ont des conséquences très négatives sur l’économie réelle. Ainsi, explorer le phénomène d’aversion au risque et la dynamique de propagation du sentiment de panique sur les marchés financiers peut aider à appréhender ces périodes de forte volatilité.Dans ce rapport de thèse, nous explorons différentes dimensions du phénomène d’aversion au risque, dans le cadre de portefeuilles d’obligations souveraines Européennes. Le rendement des obligations d’Etat, quotté par les traders, est sensé refléter entre autre le risque que le Trésor fasse défaut sur sa dette, avant que l’obligation vienne à maturation. Il s’agit là du risque souverain. Les crises financières habituellement occasionnent un mouvement important des rendements vers des niveaux plus élevés. Ce type de correction reflète un accroissement du risque souverain, et implique nécessairement une hausse du coût de financement pour les Trésors nationaux. Un objectif de ce rapport est donc de fournir des détails inédits aux Trésors sur la manière dont les rendements obligataires sont sensés se détériorer en période d’aversion au risque.Chapitre I explore le risque souverain dans le cadre d’un modèle probabiliste impliquant des distributions à queues lourdes, ainsi que la méthode GAS qui permet de capturer la dynamique de la volatilité. L’ajustement obtenu avec les distributions Hyperboliques Généralisées est robuste, et les résultats laissent penser que notre approche est particulièrement efficace durant les périodes marquées par une volatilité erratique. Dans un but de simplification, nous décrivons la mise en place d’un estimateur de volatilité intemporel, sensé refléter la volatilité intrinsèque de chaque obligation. Cet estimateur suggère que la volatilité croit de manière quadratique lorsque celle-ci est exprimée en fonction de la fonction de répartition des variations de rendements. Dans un second temps nous explorons une version bivariée du modèle. La calibration, robuste, met en valeur les corrélations entre chaque obligation. En guise d’observation générale, notre analyse confirme que les distributions à queues épaisses sont tout à fait appropriées pour l’exploration des prix de marché en période de crise financière.Chapitre II explore différentes manières d’exploiter notre modèle probabiliste. Afin d’identifier la dynamique de la contagion entre les obligations souveraines, nous analysons la réaction attendue du marché à une série de chocs financiers. Nous considérons un niveau important de granularité pour ce qui est de la sévérité du choc sous-jacent, et ceci nous permet d’identifier des lois empiriques supposées généraliser le comportement de la réaction de marché lorsque l’aversion au risque s’intensifie. Puis, nous incorporons nos estimateurs de volatilité et de réaction de marché à certaines approches reconnues d’optimisation de portefeuille et nous notons une amélioration de la résistance des portefeuilles, dans cette nouvelle version. Finalement, nous développons une nouvelle méthodologie d’optimisation de portefeuille basée sur le principe de mean-reversion.Chapitre III est dédié au pricing de produits dérivés de taux. Nous considérons maintenant que l’aversion au risque cause l’émergence de discontinuités dans les prix de marché, que nous simulons par le biais de processus à sauts. Notre modèle se concentre sur les processus de Hawkes qui ont l’avantage de capturer la présence d’auto-excitation dans la volatilité. Nous développons une procédure de calibration qui se distingue des procédures habituelles. Les résultats de volatilité implicite sont cohérents avec la volatilité réalisée, et suggèrent que les coefficients de prime de risque ont été estimés avec succès. / Periods of deep risk aversion are usually marked by sizeable distortions in market prices, and substantial losses in portfolios. As observed during financial crises, a generalized debacle in financial markets is a very negative shock for the real economy. Against this backdrop, it looks relevant to explore how risk aversion tends to affect global market valuations, especially if this exercise helps make the promotion of more optimal portfolio rebalancing procedures.In this dissertation, we investigate different dimensions of risk aversion, with a focus on European Sovereign debt securities. For a given sovereign bond, the (quoted) yield to maturity has to reflect the underlying risk that the Treasury may default on its debt, before maturation of the bond. This is sovereign risk. Financial crises usually occasion an upward correction in bond yields. Since higher yields reflect larger sovereign risk and higher funding costs, national Treasuries are usually inclined to get a deeper understanding of how sovereign risk could evolve under the influence of fierce risk aversion. This is another objective of our research analysis.In Chapter I, we consider a probabilistic approach to sovereign risk exploration, with the main purpose of illustrating the non-linear reaction ensuing from a gradual deterioration in market sentiment. We consider heavy-tailed distributions, and we use the Generalised Autoregressive Score method as a means to capture the volatility momentum. The goodness of fit provided by Generalised Hyperbolic distributions is compelling, and results suggest that our approach is particularly relevant to fit periods or erratic volatility, typical of financial crises. As an attempt to simplify the model, we focus on an empirical formulation of the ‘untemporal’ volatility of each security. This estimator of the intrinsic volatility suggests that volatility tends to accelerate in a quadratic manner when it is expressed against the cumulative distribution function of the yield variations. In a second part, we extend this approach to a problem of larger dimension and we explore the dynamics of risk aversion from a bivariate point of view. Results look robust and illustrate multivariate correlations between sovereign securities. As a general conclusion, heavy-tailed distributions look remarkably efficient to replicate the distribution of times-series affected by distorted volatility and erratic price variations.Chapter II explores different ways to extract information from the model, about financial contagion and how it is supposed to propagate through sovereign securities. In particular, we explore the market reaction to a series of many shocks with gradual intensity. Results offer a high degree of granularity and we extrapolate empirical rules on the expected market dynamics, when risk aversion intensifies. Then we incorporate our estimators of volatility and market reaction (to shocks) into popular portfolio optimisation procedures and we see positive implications on the general resilience of these portfolios. Finally, we also design an in-house methodology for optimal portfolio rebalancing, based on mean reversion.In Chapter III, we explore how sovereign risk tends to affect the price of financial derivatives in a risk-off environment. We consider that risk aversion and the ensuing volatility now favour the emergence of sizeable discontinuities in market prices, that we model with stochastic jumps. The different approaches we investigate extensively rely on Hawkes processes. These stochastic processes seek to estimate the durable impact of risk aversion onto the dynamics of jumps, via the introduction of dedicated self-excited loops. We develop an original approach to the calibration, different from conventional procedures. In the end, the calculated implied volatility remains in the vicinity of the realised volatility and there is a visible capability to jump on any rise in risk aversion.

The main goal of this thesis is to identify and analyze problematic aspects of rights arising from defective performance in B2B sale. The analysis is set into a complex description of rights arising from defective performance. The work reflects relevant decisions of courts, national, European and international legal regulations and other texts. The thesis is divided into nine chapters including introduction and ending. The chapters are divided systematically in order to complexly introduce rights arising from defective performance to a reader, while problematic aspects of mentioned legal institute are continuously presented to a reader. In such cases those aspects are always analyzed, relevant propositions of a professional public are discussed, the author critically examines them and presents his own propositions and possible interpretation points of departure. After the introductory chapter the author defines criteria, which are deciding for a legal regime of B2B sale. Le blanchiment d'argent est considéré comme un crime organisé international. Du fait des progrès techniques et technologiques, il a connu un développement rapide. Ce qui a eu pour conséquence une évolution croissante de sa diffusion pendant vingt ans, en particulier après les attentats du 11 septembre 2001. Ceci a incité la communauté internationale à envisager soit au niveau régional soit au niveau mondial un certain nombre d'accords et de traités. Afin de lutter contre le blanchiment d'argent et le financement du terrorisme en tant que crime organisé du fait de leurs effets d'autant plus négatifs en temps de crise économique et internationale, il fut nécessaire de faire des efforts régionaux et internationaux dans le but d'en limiter l'expansion. La lutte contre le blanchiment d'argent inclut donc les obligations des professions juridiques et comptables et les professions bancaires et financières afin de rechercher et révéler les sources d'argent illicite qui ont été « lavées » et démasquer non seulement leur origine véritable mais également leur réutilisation. Le contenu de la lutte contre le blanchiment d'argent et le financement du terrorisme comporte trois obligations qui sont profondément attachées. Une obligation classique qui est l'obligation de secret professionnel, une obligation de vigilance allégée ou renforcée, fondée sur la qualité ou le degré du risque qui apparaît au cours de l'exécution d'opérations juridiques, comptables et bancaires, et une obligation de déclaration de soupçon sur les opérations suspectes envers les autorités compétentes visées par l'État. Il s'agit d'une étude comparative, analytique et critique des droits français et koweïtien dans une perspective législative, juridique et procédurale. / The crime of money laundering is not only considered to be an organized international crime but also an advanced and sophisticated task of fast and remarkable technology, which led to its spread globally over twenty years, particularly after 11 September 2001 attacks. Hence, the international community has called for the need to confront it at the regional and global level through the treaties and agreements, to prevent money laundering and terrorism funding. Money laundering is considered an organized crime as it has negative effects like economic crises. So it is necessary to exert efforts to stop its spread. There are three obligations to fight this crime, either it is for legal, accounting, or investment banking careers. These obligations aim at looking for sources of illegal and laundering money so as not to hide its illegal source but also to prevent its reuse or recycling. To confront this crime, there are three interrelated and interdependent obligations. First, traditional obligation of professional secrecy. Secondly, censorship or monitoring obligation can be diluted or intensive to fit (be adapted to) the dangerous degree which is shown through its implementation either in the legal, accounting, or banking transactions. Thirdly, the notification's obligation of suspicious transactions to the state's authorities to receive the suspicious notification of money laundering. This study is a critical and analytical comparison of French and Kuwait law through legal, legislative and procedure perspective.

O estudo jurídico do sistema de pagamentos sob o enfoque do direito obrigacional requer exame prévio do fenômeno socioeconômico representado pela moeda, enquanto elemento fundamental da relação obrigacional de compra e venda, determinante do preço e objeto do pagamento. Antes, porém, da análise do pagamento e de seus instrumentos jurídicos, ou seja, da moeda (em sentido largo) como efeito jurídico, tem-se de perquirir sobre sua natureza com o auxílio dos conceitos elaborados sobretudo pela ciência econômica, mas também pela sociologia e pela história social. O exame da realidade socioeconômica sob o prisma da essência dos fatos, não apenas de sua aparência, busca na materialidade do fenômeno monetário o suporte teórico para o encaminhamento da análise jurídica desse mesmo fenômeno e seus correlatos, tanto sob o enfoque positivista (dogmático) quanto sob o interativo, ou seja, enquanto relação entre o mundo jurídico positivo e a globalidade social por meio da interpretação ou aplicação das normas. A partir desse quadro analítico, procura o presente trabalho apresentar, primeiramente, um panorama do sistema monetário, situando o problema da moeda no contexto econômico e jurídico. Na segunda parte são expostos os fundamentos analíticos da economia em sua forma monetária (análise econômica da moeda). A terceira seção abrange o efetivo funcionamento do sistema monetário, particularmente examinando as funções do dinheiro numa economia monetária. A quarta e última parte apresenta o Sistema de Pagamentos Brasileiro (SPB) em seus moldes institucionais, situando-o no arcabouço do ordenamento jurídico nacional. A partir de seus fundamentos jurídicos, procede-se ao exame das matérias específicas do Direito obrigacional, em particular do pagamento e de suas garantias institucionais. / The legal study of the system of payments under the focus given by law requires prior examination of the economic phenomenon represented by currency as a key element of the obligational relationship given by purchase agreement, as by establishing the price and also as an object of payment. However, previously to the analysis of the payment and its legal instruments, i.e. the currency (in broad sense) as a legal effect, one should assess his nature with the aid of concepts specially developed by economic science, but also by sociology and social history. The examination of the socio-economic reality lit by the essence of the facts, not just by their appearance, search through the materiality of monetary phenomenon for the theoretical support for legally dealing with such a phenomenon and the correlated ones, both under the positivist approach (dogmatic) as under the interactive one, that is, as a relationship between the effective legal world and the social universe as a result of the interpretation or application of law. From this analytical framework, the ongoing writing seeks firstly to show a panorama of the monetary system by focusing the currency problem in the economic and legal context. The second part deals with the analytical foundations of the economy in its monetary form (economic analysis of currency). The third section covers the effective functioning of the monetary system, particularly by assessing the functions of money in the context of a monetary economy. The fourth and last part deals with the Brazilian Payment System (SPB) in its institutional patterns, by placing it in the framework of the national legal system. From their legal grounds, one assesses the specific matters concerning the Law of obligations, in particular the payment and its institutional collaterals.

S’il est une activité judiciaire qui exprime à elle seule les métamorphoses de la fonction de juger, c’est bien celle de l’homologation, procédure judiciaire qui assure le contrôle d’actes déjà valides entre les parties ou qui le deviendront si leur conformité aux exigences du droit substantiel est judiciairement reconnue. Mais si l’homologation implique toujours un acte conventionnel auquel s’adjoint une intervention du juge, force est d’observer que les procédures d’homologation n’ont de commun que le nom. Car, ce que l’on désigne par homologation judiciaire, ce sont, en termes de finalités, des procédures distinctes les unes des autres. Il faut dire que les règles procédurales de l’homologation judiciaire dépendent fortement du droit substantiel en cause. Ici, le fond commande la procédure. C’est le droit de fond qui, dans chaque matière dans laquelle l’homologation est demandée, dicte sa conduite procédurale au juge. A preuve, l’étendue du contrôle judiciaire exercé sur l’acte des parties. Large en matière administrative et en droit du travail, le contrôle judiciaire est restreint dans le cadre des autres transactions extrajudiciaires. Qu’en est-il du régime des accords homologués ? C’est encore, et d’abord, une affaire de droit substantiel. On pourrait multiplier les exemples. Bornons-nous à l’autorité de la chose jugée, reconnue à l’accord homologué dans les matières pénale et de divorce consensuel, et refusée à l’acte notarié homologué en matière de changement de régime matrimonial. Chose jugée également reconnue aux transactions homologuées en matière administrative, mais refusée aux transactions homologuées dans les matières civiles. Ces brèves indications confortent sans doute cette idée que l’homologation judiciaire relève d’abord des exigences du droit substantiel. Elles expriment aussi le fait qu’il n’existe pas une, mais des notions d’homologation. Partant, l’activité judiciaire d’homologation des actes juridiques se prêtera mal à une théorie générale. / Judicial approval shows in a remarkable way how the function of judging contains different aspects. This Judicial activity is in itself a judicial procedure which ensures the control of agreements validly concluded between parties or which will become valid if their conformity with the requirements of substantive law is judicially recognized / if their conformity with the requirements of substantive law is established/ if these agreements fulfil the conditions required by the substantive law.If there is no doubt that the process of judicial homologation is unique, it must be however observed that the homologation procedures according to their purposes are distinct from each other. In fact, the procedural rules of judicial approval/judicial depend considerably on the substantive law to be applied. That’s why, it can be said in this context, that substantive law controls procedural law; for it is substantive law which determines the judge's procedural conduct when judicial approval is requested. The degree or level of the judicial control exercised over the agreements of the parties is a proof of this.What about the registration judgment regime? It is inspired by the substantive law of each subject in which the registration judgment is rendered. We could give more examples. Let us confine ourselves to the authority of res judicata, allowed in the approved agreement on divorce by mutual consent, and refused in the approved notarial deed on change of matrimonial regime. The authority of res judicata is also considered to be admitted for certified transactions in administrative matters, but rejected for certified transactions in civil matters. These brief indications probably support the idea that judicial homologation is primarily a matter of substantive law. In other words, contrary to what is often said in doctrine, homologation is a matter of substantive law before it is a procedural matter.

However, we identified and this is the centerpiece of this research and dissertation that the accurate comprehension of the intellectual property rights in all aspects conducts to the conclusion of the adequate, effective and timely tutelage of these assets only occurs through the use of a differentiated judicial protection with preventive and inhibitory nature. In other words, protecting the intellectual property the competitive advantage of the holder also will be safeguarded in relation to the competition, to the personality rights of the creators and authors and to the values and attributes that are added to the holder who takes advantage of the intellectual properties as competition and business tools. To support this positioning, this dissertation is based in the national and foreign doctrine that more recently has recognized the existence of certain rights (also called new rights , among which are the intellectual property) whose outstanding feature is the insusceptibility pricing, making it impractical and inefficient conversion into money, especially when it is not possible objectively quantify it and also be unable to obtain full and adequate compensation for damage caused by the violation. Furthermore, we have identified many concrete cases in which the Brazilian Judiciary has not contributed to the desired primacy of the specific tutelage of the obligations by falling to observe that the freedom of choice and the individual freedom can be object of restriction, so that the rights of intellectual property are actually protected in appropriate, effective and timely way / Nesta dissertação demonstramos que os direitos de propriedade intelectual pertencem a uma categoria historicamente negligenciada por ordenamentos jurídicos de variados países, que sempre identificaram a possibilidade de monetização desses direitos e o uso da tutela ressarcitória como o mecanismo preferencial para resolver os conflitos deste segmento. Todavia, identificamos e este é o cerne da nossa pesquisa e desta dissertação que a exata compreensão dos direitos de propriedade intelectual em todas as suas feições conduz à conclusão de que a tutela adequada, efetiva e tempestiva destes bens apenas ocorre mediante o emprego de uma tutela jurisdicional diferenciada de índole preventiva e inibitória. Ou seja, protegendo-se a propriedade intelectual o diferencial e a posição de vantagem competitiva do titular também serão salvaguardados em relação à concorrência, aos direitos da personalidade inerentes aos seus respectivos criadores e autores e, ainda, aos valores e aos atributos que são incorporados ao titular que se vale das propriedades intelectuais como ferramentas de competição e de negócios. Para sustentar este posicionamento, esta dissertação está baseada na doutrina nacional e estrangeira que mais modernamente tem reconhecido a existência de certos direitos (também chamados de novos direitos , dentre os quais estão os de propriedade intelectual) cuja característica marcante é a insuscetibilidade de precificação, tornando inviável e ineficaz a conversão em pecúnia, especialmente quando não se consegue objetivamente quantificá-los e, assim, igualmente não se consegue obter a plena e suficiente reparação dos danos causados pela violação. Além disso, identificamos uma série de casos concretos em que o Poder Judiciário brasileiro não contribuiu para a desejada primazia da tutela específica das obrigações ao não observar que a autonomia da vontade e da liberdade individual podem ser objeto de restrição, a fim de que os direitos de propriedade intelectual sejam realmente tutelados de modo adequado, efetivo e tempestivo

Numerus clausus dos direitos reais e autonomia nos contratos de disposição / Numerus Clausus of property rights in rem and autonomy in exchange contracts

Esta tese analisa um regime jurídico convencionalmente designado numerus clausus dos direitos reais, examinando-o sob três aspectos. O primeiro deles concerne às funções que esse regime desempenha no interior do ordenamento jurídico. Em um sistema de direito patrimonial privado que promove a autonomia contratual e predispõe restrições jurídico-negociais ao poder de dispor, entre as quais se ressaltam os direitos subjetivos reais, o regime de numerus clausus se apresenta como uma previsão legal dos tipos de contratos que restringem o poder de dispor e, assim, modificam o poder de adquirir do sujeito passivo universal. Conquanto sofram essa modificação em sua esfera jurídica, esses sujeitos de direito não tomam parte na celebração daqueles contratos. De maneira que as funções do numerus clausus dirigem-se, fundamentalmente, ao concerto de um fenômeno de heteronomia privada: por meio de um catálogo, o adquirente pode não apenas conhecer quais são os contratos que, a despeito de sua declaração jurídico-negocial, afetam os seus interesses econômico-sociais, mas também desconsiderar a eficácia, sobre si, dos contratos que, extrapolando aquele catálogo, circunscrevem-se, seguramente, a só quem, dele, foi parte. Em segundo lugar, sustenta-se uma qualidade negativa e outra positiva no numerus clausus. Negativamente, esse regime jurídico se identifica por uma grave limitação na autonomia contratual, especialmente na autonomia dos contratos de disposição. Nesse sentido, e porque o poder de dispor não é uma posição jurídica exclusiva da titularidade de direitos subjetivos reais, assim como as conseqüências de suas restrições não despontam apenas no direito das coisas, não apenas a disposição contratual de direitos subjetivos reais, mas também a disposição contratual de créditos, de participações societárias e de propriedade imaterial submete-se, igualmente, a um numerus clausus. Essa circunstância remete a uma duplicidade de regimes de autonomia contratual no direito dos contratos: enquanto não há um tipo de contrato em gênero (tipicidade vinculativa) e predominam as regras cogentes (tipicidade fixa) para os contratos de disposição, os contratos obrigacionais obedecem a uma tipicidade aberta. Positivamente, por seu turno, o numerus clausus legitima uma poderosa técnica jurídica de oponibilidade de interesses econômico-sociais: o contrato de disposição. Selecionando um dos poucos tipos de contratos de disposição predispostos pela lei, os contratantes afetam, por meio da regra da prioridade e da imunidade contra disposição, a eficácia de contratos de cuja formação não tomam parte, sejam contratos subseqüentes, obrigacionais ou de disposição, sejam contratos precedentes, meramente obrigacionais. Sem dúvida, o ordenamento jurídico apresenta outras técnicas jurídicas de oponibilidade de interesses econômico-sociais aos terceiros-adquirentes, geralmente ligadas a procedimentos de publicidade, tais como a boa-fé. Muito embora elas manifestem efeitos semelhantes, por vezes contradizendo o regime de numerus clausus, não se verifica uma derrogação desse último, identificada, por vezes, como uma realização dos direitos obrigacionais. No fundo, em se tratando de fatos jurídicos inconfundíveis, as metódicas de argumentação e aplicação do direito, pressupostas em cada um deles, são, outrossim, diferentes. Essas diferenças correspondem, por fim, ao terceiro e último daqueles três aspectos sob os quais se analisa o numerus clausus. Efetua-se, para tanto, o estudo de dois casos representativos, colhidos da jurisprudência brasileira, a qual aplica ora esse último regime, ora a boa-fé, sem que isso signifique nenhuma contradição, uma vez que a excepcionalidade dessa última confirma o caráter do numerus clausus como a regulação motriz do tráfico jurídico, orientada à segurança da aquisição e à estabilidade de determinadas relações de intercâmbio dos bens econômicos. / My dissertation focuses on a legal regime generally referred to as \"numerus clausus of property rights\". It does so by examining three main aspects of the theme. First of all it analyses the function of that legal regime, which is the source of its perceived legitimacy nowadays. This function consists in tendering for buyers a welldefined catalogue describing all the possible agreements concerning the goods they intend to buy and that are going to be considered as burdens. In a Private Law system, which fosters the private autonomy and prearranges burdens, the numerus clausus works as a menu of those contracts likely to create burdens. All the other contracts not listed in that menu even if they make reference to certain goods will not be treated as burdens. Thus, the buyer may know that his own interests over these goods will not be affected. Second the dissertation identifies a positive and a negative quality in this function. A possible negative aspect is that the numerus clausus is a heavy limitation to private autonomy, mainly to exchange contracts. In this sense, not only the exchanges involving property interests (rights in rem) but also those affecting credits and other kinds of rights (rights in personam) are submitted to the same legal regime which leads to Private Law generally recognizing two kinds of private autonomy regimes in Contract. While inexchange contracts the autonomy is limited, in executory contracts the autonomy is sensitively wider. A possible positive aspect is that the numerus clausus establishes a very powerful tool for opposing interests to third parties: the exchange contract. By selecting one of the few exchange contracts available in that menu, parties may oppose their interests in future transactions they will not take part in. Exchange contracts are obviously not the only system available for opposing interests in Private Law. The so called good faith system, connected with publicity devices, works also in that way, but using a very different legal strategy. Although the legal doctrine is used to identify the application of the good faith system with a \"realization\" of personal rights, that seems problematic. As a matter of fact, as different legal conceptions, exchange contracts submitted to a numerus clausus regime and good faith system require different techniques and arguments. These different procedures are discussed in the third section of my dissertation. In this section I discuss major cases in Brazilian Law which apply sometimes the numerus clausus systems and sometimes the good faith system. I argue that there is no contradiction between the both fashions of judicial decision, unless one simply uses the incoherent notion of \"realization\".
