This Master’s thesis has been elaborated on the basis of a real issue, which a company, which decided to procure it’s full time presence in the Austria’s market, is facing. The analysis of the present state, which proved the rationality of the decision, is followed by a theoretical fundament of this thesis, that lays the foundations of the specific proposal leading to reach the aim given by the company. The theoretical part of the thesis deals with the core of the international trade and its brief history. The thesis is further focused on the areas of the international trade important for solving the given issue. The main areas are as follows: international trade legal regime, law of international trade, risks in the international trade, ways of penetration into a foreign market. Based on the knowledge attained in the theoretical part of this thesis, while applying them, I have come to the conclusion, that it would be best for the company to establish a branch office in the Austria. The conclusion is followed by a factual proposal of progress supplemented by a calculation of costs of establishing the branch office and calculation of operating costs for the first year. I am also proposing a strategy for legal relationships being concluded by a branch office and marketing strategy for the first year.

Background: E-commerce for groceries is growing and growing in Sweden and pure ecommerce companies are constantly entering the market. This study is based on Ica, which for a long time has been successful in the physical market through decentralization and the Ica-idea with individual retailers incollaboration and physical stores. To meet the new type of consumer behavior and competition Ica has developed a number of e-commerce solutions. Including the phenomenon of dark stores that indicates a new type of centralization within the group. Purpose: The purpose of this study is to analyze the experienced opportunities and limitations of a retailer-owned franchise organization in the Swedish grocery trade in its development work of e-commerce. A further purpose is to shed light on the interviewees reasoning about whether dark stores are a sustainable solution from a competitive and relational perspective. Method: In this study, a qualitative research strategy is applied in a case study design. The empirical data is generated through semi-structured interviews with managers and retailers from Ica stores in the Stockholm region and the ecommerce manager for Ica Sweden. The empirical data has then been codedand divided into four themes with associated subcategories. Literaturestudy: For the essay a literature study presenting theories and previous research on centralization and decentralization, vertical and horizontal integration, click-and-mortar, omni channels and competition was made. Afterwards it´s used as a basis for the theoretical comparison in the analysis part. Conclusion: Due to the ownership structure, the case organization is facing some unique conditions. Example, the decentralized power promotes quickness and opportunities for local adaptations, but also that a pure e-commerce modelwould be problematic. One solution the head office has developed is a dark stores service that the stores can use, which gives them access to a larger geographic market and leads to higher internal competition between thestores.

Föreliggande studie undersöker hur tolv oberoende förlag upplever att det är att verka i enägarkoncentrerad bokbransch där de konkurrerar mot vertikalt integrerade mediekoncerner.Studiens fokus ligger på hur respondenterna upplever att den vertikala integrationen påverkarderas möjligheter till exponering på olika typer av plattformar, samt på hur detta formar deoberoende förlagens strategier för konkurrens. De två största förlagsgrupperna i Sverige år2021 är Bonnierförlagen och Norstedts Förlagsgrupp, som båda är del av ett störremediekonglomerat där ägandeskap av både ljudboksappar, fysisk- och internetbokhandelsamt dagspress förekommer. Med utgångspunkt i Pierre Bourdieus fältteori undersöker ochanalyserar rapporten förlagsverksamheternas förutsättningar att verka inom branschen samthur de olika aktörerna agerar och varför. Metoden utgår ifrån kvalitativ innehållsanalys därpersoner i ledande position intervjuas om deras upplevelse av vad det innebär att inte vara endel av ett mediekonglomerat när det kommer till exponering och vilka strategier de har för attkonkurrera mot dem. Resultatet visar att respondenterna ser breda kontaktnät och ekonomisktkapital som viktigt för att ha möjlighet till exponering samt att det kan vara svårt attkonkurrera om synlighet hos vertikalt integrerade distributörer. Respondenterna påverkas avde större mediekoncernernas ställning i branschen i strategierna för att konkurrera mot dem,där de bland annat fyller ut tomrum som de större koncernerna missat. Studiens slutsats är attde oberoende förlagen på olika sätt, beroende på storlek, påverkas av att verka i en branschdär dominerande aktörer är vertikalt integrerade. Det kan sammankopplas med liknandefenomen inom mediebranschen, såsom journalistbranschen. / The study researches the experience of an owner-focused publishing bransch for twelveindependent publishers in which they compete alongside heavily integrated media groups.The study focuses on how the integrated media groups affect the independent publishers intheir implemented strategies to remain competitive. As of the year of 2021, the two largestpublishing groups are Bonnier Publishers and Norstedts Publishing Group. Both are part of alarger media conglomerate that has ownership of audiobook applications, physical andweb-hosted book stores as well as daily press. Starting with Pierre Bourdieu's field theory, thereport investigates and analyses the publishers prerequisites in order to act and remaincompetitive within the industry, as well as how the publishers have to act and the reasons ofwhy. The method is based on qualitative and thorough content analysis where people in aleading position are interviewed about their experience of what it means not to be part of amedia conglomerate when it comes to exhibition and what strategies they have in order toremain competitive. The results show that the respondents see broad contact networks andfinancial capital as the most important pillars in order to have the opportunity for exposureand that it can be difficult to compete for visibility versus heavily integretaded distributors.The respondents are affected by the position the larger media groups hold within the industrybut are prone to utilize strategies that fill gaps that the larger groups have missed. The study'sconclusion is that the independent publishers are affected in different ways, depending ontheir size in an industry where dominant competitors are highly integrated. There are largesimilarities within the media- and journalist industries.

Typology of Upstream Pharmaceutical Supply Chains

Antimicrobial resistance (AMR) is the process where the bacteria develop resistance towards the treating effect of an antibiotic drug. AMR poses an alarming threat to human health causing around 700,000 deaths per year around the globe. If appropriate measures to combat the resistance are not taken, the number of deaths globally could increase to around 10 million by the year 2050. There are various factors driving the growth of AMR of which antibiotic shortages are common. A clear insight into the pharmaceutical supply chain is necessary to understand the reasons causing antibiotic unavailability. Ensuring access to medicines is one of the major objectives of pharmaceutical supply chains. Pharmaceutical firms compete in a volatile market to increase their profits. Antibiotics render slim profit margins to pharmaceutical firms; declining profits and increasing costs of production have led to firms outsourcing their operations to suppliers in different geographical locations. This in turn forms complex supply chain structures with various actors of a single drug chain being dispersed across the globe. The complexity in these supply chains lead to antibiotic supply interruptions. National drug shortages drive the risk of AMR, and these shortages are caused when pharmaceutical supply chains are weak or fragile. Therefore, the pharmaceutical supply chains need to be thoroughly analysed. This thesis aims to explore the different possible upstream supply chain structures that could exist in pharmaceutical supply chains. The study also highlights the factors that motivate the firms to choose different supply chain structures. This research is based on the existing literature on pharmaceutical supply chains. Qualitative semi-structured interviews, reports and existing research articles guided the authors in building a typology of upstream pharmaceutical supply chains based on: how different processes are handled by the MAH, the geographical location of operations in the chain, and the sourcing strategy of the Market Authorisation Holder (MAH) who owns the license for the drug. The findings of this study outline how a pharmaceutical firm could possibly structure the upstream supply chain based on its strategies. This study is limited to conceptualizing only the actors involved in the direct supply chain of the focal firm (MAH), further research including actors in the extended supply chain needs to be performed to get deeper insights into pharmaceutical supply chains.

South Korean Film Since 1986: The Domestic and Regional Formulation of East Asia’s Most Recent Commercial Entertainment Cinema

This thesis investigates the historically composed political and economic contexts that contributed to the late 1990s commercial renaissance of Korean national cinema and that have sustained the popularity of Korean films among local and regional audiences ever since. Unlike existing approaches to the topic, which emphasise the textual characteristics of national film production, this thesis considers relations between film production, distribution, exhibition, and ancillary markets, as well as Korean cinema’s engagement with international cinemas such as Hollywood, Hong Kong, China and Japan. I argue that following the relaxation of restrictive film policy towards the importation and distribution of foreign films between 1986 and 1988, the subsequent failure of the domestic film industry to compete against international competition precipitated a remarkable shift in consensus regarding the industry’s structure and functions. Due to the loss of distribution rights to foreign films and the rapid decline in ticket sales for Korean films, the continued economic viability of local film companies was under enormous threat by the early 1990s. The government reacted by permitting conglomerates to seize control of the industry and pursue vertical and horizontal integration. During the rest of the decade, Korean cinema was transformed from an art cinema to a commercial entertainment cinema. The 1997/98 economic crisis led to the exit of conglomerate finance, but streamlined film companies were able to withstand the monetary meltdown, continue the domestic revitalisation, and, since the late 1990s, build media empires based on the expansion of Korean cinema throughout the Asian region.

In the first essay, cross-border mergers and market concentration in a vertically related industry, we examine the relationship between market concentration and cross-border M&A. Beladi, Chakrabarti and Marjit (2013) present an oligopoly in general equilibrium model to identify the linkages between local market competition and cross-border mergers in a vertically related industry. Their model predicts that a vertical integration at home changes the strategic advantage for foreign acquirers. Using firm-level data from 86 countries between 1990 and 2012, we calculate proxies for local market competition and show that lower (higher) pre-merger local competition at home country will increase (decrease) mergers between a foreign firm and a vertically integrated home firm. These findings provide empirical supports for the significant impact of industry concentration on the decisions of cross-border M&A. In the second essay, the effects of knowledge complementarities and bank reputation on participant banks choices, we focus on the decision of lead arrangers on participant bank choices in the syndicated loan market. We extend reputation building theory (Diamond, 1991) and model the lead arranger’s partner choice problem through the effect of self-related and task-related factors. Our paper show that when lead arrangers have higher reputation, operating efficiency, and market experience, lead arrangers tend to choose less reputable partners. These results help to explain how lead arrangers, through their partner selection decisions, manage the reputation pool among banks in the syndicated loan market.

La recherche économique considère le médecin généraliste comme un agent offrant à l’échange information et services intellectuels en santé à des principaux. L’imparfaite convergence entre leurs objectifs, comme la présence d’incertitudes et d’asymétries d’information, conduisent le médecin à « fixer » les quantités, l’effort fourni et la qualité des soins et services rendus. Cette thèse vise à identifier le rôle des caractéristiques des généralistes, de leur mode d’exercice ou d’organisation, sur la performance de leur activité, en s’appuyant sur trois articles. Le premier analyse les déterminants de la variabilité de prescription d’antibiotiques pour rhinopharyngite aiguë, le second évalue l’impact du travail en équipe avec des infirmières sur la qualité et l’efficience des soins pour les patients diabétiques, et le troisième évalue l’impact de l’exercice regroupé pluriprofessionnel sur l’activité et l’efficience productive des généralistes et l’efficience des recours aux soins ambulatoires de leurs patients. Ces travaux de recherche permettent d’interroger la faiblesse relative de la régulation de l’offre de soins ambulatoire en France en matière de politique de maîtrise de l’évolution des dépenses de santé en comparaison de celle portant sur la demande. / According to economic research, the general practitioner is considered as an agent that offered information and intellectual services in health to principals. Imperfect convergence between their objectives, like the presence of uncertainties and information asymmetries, lead the physician “to fix” the quantities, the effort and the quality of the care and services delivered. Based on three articles, this thesis aims at identifying the role of the characteristics of the general practitioners and of their practice organization, on activity performance. The first articles analyzes the determinants of the antibiotic prescription for acute rhinopharyngitis variability, the second evaluates the impact of team working with nurses on the quality and the efficiency of the care for diabetic patients, and the third evaluates the impact of multi-professional group practices on the activity and the productive efficiency of GPs and on the utilization of ambulatory health care and by their patients. These researches question the relative weakness of the ambulatory health care regulation in France in terms of health care expenditure containment policies in comparison with that bearing on demand.

The companies facing the phenomena of globalization and the growing requirements imposed by the consumers (better products at lower prices) will search various solutions to meet this challenge. Solutions to optimize their supply chains will be one of the possible answers for this problem. The supply chains, the more efficient they are, the more they will be adding value to the end product, causing a minimum impact in the costs of the product, having an important role to play in the strategy of the company to overcome this challenge. Along this dissertation, the relations between customer and supplier will be evaluated, focussing in the variables which could affect this relationship. By means of analyzing the strategies of verticalization, one will be evaluating other supplying possibilities that can be more attractive for the companies, concerning the management their network of suppliers. This work is focussed in the analysis of the strategy of verticalization and how to create the conditions which could support the disverticalization, leading the company to the supply solution through an 'in house' production. The industrial sector will be taken as an example of this type of relationship, more specifically, the segment of production of plastic packaging. The 'in house' production, as it will be described in details ahead in this study, is established as follows: a productive unit of a strategic supplier is built inside the physical facilities of the customer. From this site, the provides the needs of the customer related to one or various items necessary to the accomplishment of its industrial activity. Various matters will be explored in this work, namely: in what situations is it worth either to keep a vertically integrated operation or to outsource the operation presently is vertically integrated? Under which conditions to select the best solution for the supplying of the basic input for the production? This work will be based on a bibliographical review and also on a field work, involving the analysis of various real situations. viii How to identify that the vertical integration of a segment will offer the expected advantages? What are the main factors that we must take into account for this analysis? What type of disverticalization model, can be more suitable for the customer company? What measures can be taken to develop the relationship with the 'in house' supplier? This study presents some proposals to answer the questions formulated above. / Este trabalho procura compreender um ambiente de negócios bastante específico. As empresas, diante dos fenômenos da globalização e do crescimento das exigências impostas pelos consumidores (produtos melhores a preços mais baixos), buscarão diversas soluções para enfrentar estes desafios. Soluções para otimizar as suas redes de suprimentos serão uma das possíveis respostas para este problema. As redes de suprimentos, quanto mais eficazes, estarão agregando mais valor ao produto final causando um impacto mínimo nos custos do produto, e terão uma papel importante na estratégia da empresa para vencer este desafio. Ao longo dessa dissertação serão avaliadas as relações existentes entre cliente e fornecedor e focadas algumas variáveis que influenciam este relacionamento. Através da análise das estratégias de verticalização, estaremos avaliando outras possibilidades de fornecimento que possam ser mais atraentes para as empresas, no que diz respeito à gerência de sua rede de fornecedores. O trabalho está centrado na análise da estratégia de verticalização e como são criadas as condições que favorecem a desverticalização, conduzindo a empresa para a solução de fornecimento através de uma produção 'in house'. O setor industrial será tomado como exemplo deste tipo de relacionamento, mais especificamente, o segmento de produção de embalagens plásticas. A produção 'in house' , como será descrito mais detalhadamente adiante, se estabelece da seguinte forma: uma unidade produtiva de um fornecedor estratégico é construída dentro do ambiente físico do cliente. Desse local, o fornecedor supre as necessidades do cliente de um ou diversos itens necessários para a realização da sua atividade industrial. Diversas questões serão exploradas neste trabalho, dentre elas, em que situações vale a pena manter uma operação integrada verticalmente ou optar pela terceirização desta operação, que um dia foi verticalizada? Sob que condições esta seria uma boa solução para o fornecimento de insumos básicos para a produção? Este trabalho se desenvolverá a partir de uma pesquisa bibliográfica assim como de um trabalho de campo, envolvendo a análise de diversas situações reais. vi Como identificar se a verticalização de um segmento oferecerá as vantagens esperadas? Quais são os principais fatores que devemos levar em conta para esta análise? Que tipo de modelo de desverticalização pode ser o mais adequado para a empresa cliente? Que medidas podem ser promovidas para se incrementar uma relação com o fornecedor 'in house' ? Este estudo apresenta algumas propostas para responder às questões acima.

The strategy that best leverages resources and capabilities to obtain sustainable competitive advantages can be found inside or outside organizational boundaries. This study aims to identify and assess the reasons for a beverage industry to migrate from an outsourced distribution model to a vertically integrated one. Therefore, we built a case study which allows us to evaluate carriers' behavior in the contractor perspective and to analyze the financial feasibility of their own fleet, not to mention the exploration of pilot project idea and the vertical implementation itself. With the results we could assess benefits and risks of having own physical distribution, exploring the intersection between theoretical and empirical contributions. Therefore, we broadened the vision of the academy and executives on the sourcing decision, exploring strategic aspects of this complex and important decision-making process. / As organizações são alvos constantes de mudanças impostas por fatores que exigem rápidas e consistentes decisões para se manterem competitivas. A estratégia que melhor explora os recursos e as competências como forma de obtenção de vantagens competitivas sustentáveis pode estar dentro ou fora das fronteiras organizacionais. Este trabalho tem como objetivo identificar e avaliar as razões que levaram uma indústria de bebidas à migração de um modelo de distribuição terceirizado para um verticalmente integrado. Para tal, foi realizado um estudo de caso que permitiu avaliar o comportamento dos transportadores na ótica do contratante, e o processo de análise e implementação desse projeto de verticalização. Com os resultados obtidos foi possível avaliar as vantagens e riscos desse novo modelo, explorando o cruzamento entre as contribuições teóricas e empíricas. Portanto, ampliamos a visão da academia e dos executivos sobre a decisão de sourcing, e exploramos os aspectos estratégicos desse complexo e importante processo decisório.

Design/methodology – The research adopted a qualitative approach, through a multiple case study with three of the main companies in the pulp and paper sector in Brazil. The data collection was done through semi-structured interviews of executives of the selected companies. Findings – The main competitive advantage arises from the vertical integration backward, of the pulp mill towards the forestry. The main factors for this are the exercise of the market power of oligopoly by the pulp companies, assurance of supply of their main input, the wood, asset specificity of site, shortening the distance between the forest and the pulp mill, and mitigation of uncertainty. There is tapered integration of pulp mill and forestry, mainly due the use of advantages of site specificity of forest producers near the mill, the need to mitigate social risks and to develop a mature market for the commercialization of wood in the country. Research limitations – The main limitation of this work is the fact that the pulp sector is a concentrated oligopoly, with few companies, which restricts the diversity and number of respondents. Practical implications – The results can be applied to organizations in the pulp and paper sector, as well as to other capital-intensive industries with high dependence on a particular raw material. Originality– To our knowledge, this is the first study about vertical integration in the pulp and paper sector in Brazil. / Objetivo – Este estudo pretende compreender os principais determinantes para a integração vertical no setor de papel e celulose no Brasil, a partir de uma perspectiva das fabricantes de celulose. Metodologia – A pesquisa seguiu uma abordagem qualitativa, por meio de estudo de casos múltiplos com três das principais empresas do setor de papel e celulose do Brasil. A coleta de dados foi feita por meio de entrevistas semiestruturadas de executivos das empresas selecionadas. Resultados – A principal vantagem competitiva verificada se deu na integração vertical realizada à montante pela fábrica de celulose, em direção à produção florestal. Os principais fatores para isso foram o exercício do poder de mercado de oligopólio pelas empresas de celulose, a garantia de fornecimento do seu insumo principal, a madeira, a especificidade de local dos ativos, dada pela proximidade necessária entre a floresta e a unidade de celulose, e a mitigação da incerteza. A integração vertical entre fábrica de celulose e produção florestal é realizada de forma parcial, principalmente devido ao aproveitamento de vantagens de localização de produtores florestais próximos à fabrica, à necessidade de mitigar riscos sociais e de desenvolver um mercado maduro de comercialização de madeira no país. Limitações – A principal limitação deste trabalho é o fato do setor de celulose ser um oligopólio concentrado, com poucas empresas, o que restringe a diversidade e o número de entrevistados. Aplicabilidade do trabalho – Os resultados obtidos podem ser aplicados às organizações do setor de papel e celulose, bem como a outras indústrias de capital intensivo e com alta dependência de uma matéria-prima em especial. Originalidade – Pelo que conhecemos, é o primeiro trabalho sobre integração vertical no setor de papel e celulose no Brasil.
