Jouant un rôle crucial pour l’efficience des marchés, la banque d’investissement contemporaine se caractérise par l’exercice d’une grande diversité d’activités aussi complexes qu’hétérogènes sous un même toit. Agissant tantôt auprès d’une clientèle de particuliers, d’entreprises, d’institutions financières, de fonds d’investissement ou de gouvernements, et tantôt pour son propre compte, elle compose avec une multitude d’intérêts divergents, ce qui soulève un certain questionnement quant à la portée de l’obligation de loyauté dont elle peut être tributaire envers ses clients. Les implications répétées des banques d’affaires dans la vague de récents scandales financiers ont inévitablement affecté la confiance que les épargnants témoignent envers l’intégrité de cette institution et des marchés financiers en général. Elles ont de plus contribué significativement à relancer le débat concernant la pertinence de contrôler, et même d’éliminer les conflits d’intérêts, un phénomène largement répandu au sein de la banque d’investissement. À titre de mécanismes préventifs, les solutions de marchés et l’autodiscipline des intermédiaires financiers sont imparfaits. La réglementation des conflits d’intérêts se justifie alors afin de pallier les défaillances du marché et de l’autorégulation. Pour autant qu’il maintienne sa réglementation dans un rapport efficience-équité acceptable, l’État est appelé à concevoir des normes de contrôle aux objectifs variés, allant de la réforme structurelle du secteur financier à l’élaboration de principes généraux devant servir de balises à la conduite des intermédiaires financiers. Ainsi, dans une industrie caractérisée par une forte conglomération, la réponse des législateurs semble s’articuler autour du traitement adéquat des conflits d’intérêts, traitement qui s’opère par divers mécanismes, dont la muraille Chine, la divulgation et le refus d’agir. / Playing a key role in market efficiency, the modern investment bank offers a wide variety of services that are as complex as they are different, all under one roof. Acting sometimes in the interest of individuals, businesses, financial institutions, investment funds or governments and sometimes in its own interest, an investment bank must contend with a multitude of diverging interests, which raises certain questions as to the extent of any duty for loyalty it may owe to its clients. Repeated involvement by investment banks in the wave of recent financial scandals has inevitably affected investors’ confidence with respect to the integrity of these institutions and financial markets in general. This factor has significantly contributed to renewing the debate concerning the relevance of controlling, or even eliminating, conflicts of interest, which are a wide-spread phenomenon in the investment banking industry. In terms of preventive measures, market-related solutions and self-discipline by financial intermediaries are inherently flawed. Therefore, in order to offset such deficiencies, it becomes justifiable to regulate conflict of interest situations. Numerous possibilities exist and, as long as regulation is maintained at an acceptable effectiveness/fairness ratio, the State is called upon to establish monitoring standards for various objectives, ranging from a structural reform of the financial sector to developing general principles to serve as guidelines for the conduct of financial intermediaries. Thus, in an industry characterized by a strong tendency for conglomeration, the response from regulators seems to hinge on adequate handling of conflicts of interest, which includes various mechanisms such as the Chinese wall, disclosure and a refusal to act.

Le conflit d’intérêts du banquier, terminologie galvaudée à force d’être invoquée à chaque nouvelle crise, sans pour autant que le droit puisse pleinement s’en saisir, est une notion particulière, autonome et originale qui aspire pourtant instamment à une existence juridique.Il est d'abord le résultat d’une incompatibilité d’un pouvoir et d’un devoir se trouvant concomitamment entre les mains du banquier. Autrement dit, c’est l’état de fait où le banquier détient le pouvoir d’affecter un intérêt, prédéfini comme supérieur, qu’il est tenu de protéger par devoir. S'il se trouve ainsi au cœur du droit de la représentation, qui régit une partie considérable des rapports clients-banquier, il ne s'y cantonne pas et peut aussi bien s’épanouir hors du cadre contractuel.Il suppose, pour exister, un préalable : une relation de confiance, dont le maintien semble avoir justifié des règles aussi nombreuses que disparates. Or, après en avoir effectué une revue critique, il apparaît que, principalement héritées de réglementations spécifiques aux services d’investissement, elles ne parviennent pas à pleinement l'appréhender au sein de ce domaine, et a fortiori pas dans sa sphère d’expression, qui s’étend bien au-delà. Une meilleure gestion juridique de cet objet d'étude nécessite alors que soient recherchées des critères de simplification et d'efficacité.Dans une approche prospective, l’analyse de l’interprétation des concepts de droit auxquels il est fait recours pour contrôler les conflits d’intérêts contractuels du banquier s'impose et révèle que l’obligation de gestion du conflit d’intérêts présente des traits communs à l’obligation traditionnelle de garantie du fait personnel. Une approche comparative des droits anglo-américains confirme la nature particulière de cette obligation du banquier face au conflit d’intérêts. Une telle obligation appelant nécessairement un régime spécifique, dont une ébauche de régime a finalement été proposée. / Banker’s conflict of interests is a hackneyed concept being invoked with each new crisis without being fully seized by the law. Special, autonomous and original, this concept longs earnestly to legal existence. Conflict of interest is the result of an incompatibility of a power and a duty being simultaneously in the hands of the banker. It is the situation where the banker has the power to affect an interest, pre-defined as superior, that he has the duty to protect. The concept stands at the heart of the fiduciary and agency law governing a considerable part of banker-client relationship, but is not restricted to this area and can both flourish outside the contractual context. Banker’s conflict of interests assumes the existence of a prior : a relationship of trust, which it maintenance appears to have justified many and disparate rules. Mainly inherited from regulations specific to investment services, it appears, after a critical review, that they fail to fully understand the conflict of interest in this area, let alone within its sphere of expression, which extends far beyond. A better legal management of the studied object then imposes a search for simplification and efficiency. In a prospective approach, analyzing the interpretation of legal concepts to which recourse is made to control the contractual Banker’s conflict of interests reveals that the obligation to manage the conflict of interest has common features with the traditional guarantee obligation. A comparative approach of the Anglo-American law confirms the unique nature of the banker's obligation facing the conflict of interest. Such an obligation necessarily require specific rules and a draft is being proposed in the thesis.

South African company law is currently the object of comprehensive review. One o f the areas under
scrutiny is that of corporate governance. Control over management is vital in the interests of the
company itself, its shareholders and its creditors. Effective accountability should be balanced
against the need to allow those who manage a certain measure of freedom and discretion in the
exercise of their function.
Company directors are subject to various duties. This thesis concentrates on their fiduciary
obligation. It is suggested that this sui generis obligation is owed to the company as a separate
entity. Interests of other groups may sometimes merit con sideration.
Against the background o f a com parative investigation, a "corporate opportunity" is
defined as any property or economic opportunity to which the com pany has a claim. South African
law protects a company’s claim to an opportunity if it is in the company’s line of business and if
the company has justifiably been relying upon the director(s) to acquire it or to assist in its
acquisition for the company. The application of established fiduciary principles suffice to resolve
corporate opportunity matters. Essentially the application o f these rules amount to a
determination whether the director has complied with his fundamental duty to act in the company’s
best interests. There seems to be no need for a separate doctrine of corporate opportunities.'
A director should only be absolved from liability on account of the company’s inability to pursue
an opportunity or its rejection by the company if there was no real conflict of interest. The
appropriation of corporate opportunities should not be ratifiable, both because the ratification
constitutes a fraud on the minority, and because the decision to ratify cannot be regarded as being
in the interests of the company.
The relationship between the appropriation of corporate opportunities, misuse
of confidential information and competition is investigated. These aspects fre quently overlap,
but should be distinguished because their bases, and accordingly their appropriate remedies, may
differ.
Effective control may benefit by a restatement of directors’ fiduciary duties in

The role played by financial intermediaries is considered so crucial that these institutions have received all over the world the greatest attention of regulators.<p>Across and within banking sectors it is possible to observe a wide variety of intermediaries. Banks may differ in their size, market power and degree of specialization. This variety raises interesting questions about the features of a well functioning banking sector. These questions have inspired an important body of economic literature which, however, is still inconclusive in many aspects. This dissertation includes three studies intending to contribute in this direction.<p>Chapter 1 will empirically study the willingness of smaller and larger lenders to grant long-term loans which, as credit to SME's, constitute an opaque segment of the credit market. Chapter 2 analyzes, with a theoretical model, the effects of competition on the efficiency of the banking sector when this is characterized by dynamic commitment issues which brings to excessive refinancing of bad quality investments (so called soft-budget constraint) or excessive termination of good ones (ratchet effect and short-termism). 金融機構所經營之業務涵蓋種類繁多、型式各異並各有其相關之法令,而金融機構透過直接或間接投資方式,一般而言將構成金融集團間之關係人及其交易,本論文之目的在於分析各種金融集團關係人交易相關法令之缺漏,並進而提出建議。
本文首先從現行金融機構經營及投資規範及金融機構關係人交易法律規範,歸納整理出相關法規機制,並探討現行該等關係人及交易之法律規範之「過」與「不足」之處。
此外,本文也參考美國法及跨國性金融監理機構之相關規範,藉此與我國相關規範比較,以作為我國相關立法之參考方向。
接著,本文再以金融機構關係人之實際相關案例,深入分析本國實務上常見之問題,以探討實務上對關係人的認定標準,並釐清現行金融監理對關係人間非常規交易之管理缺漏。
最後本文以上述之分析結果,提出對現行金融機構關係人相關法規之建議,以提供未來修法之參考。 / Due to deregulation and globalization in banking system, financial institutions are increasingly burring traditional differences between banking, insurance, and other institutions. As results, intra-group transactions cause more concern about the conflicts of interests.
From a legal point of view, different legal relationships will confer different rights and impose different duties on financial parties. Therefore, it is sensible to analyze the legal nature of the relationships of different participants and their roles in financial institutions’ related party transactions.
This study presents an analysis of regulations of related party transactions within Financial Conglomerates, and proposes reforms to deal with conflicts of interest:
Firstly, discusses the regulations about the business scope of financial holding company, bank, securities and insurance company. Then further analyzes the regulations of related party transactions within each above financial parties.
Secondly, depicts the American regulatory scheme and the frames guidelines and principles of international financial supervisory institutions. The former focuses on the background of banking regulations and the latest issue about The Dodd-Frank Act. The later includes the Basel Committee on Banking Supervision (BCBS), the International Organization of Securities Commissions (IOSCO), the International Association of Insurance Supervisors (IAIS), the International Swaps and Derivatives Association (ISDA) and the Joint Forum on Financial Conglomerates. A comparative analysis of regulations of the above and Taiwan was made.
Thirdly, further analyzes the controversial issues of intra-group transactions based on several judicial cases, and then discusses the operational deficiencies of financial institutions and flaws of law and regulations.
Finally, summarizes the said issues and propositions about related party transactions of financial institutions.

Pharmaffiliation : a model of intra-elite communication in pharmaceutical regulationde Andrade, Marisa January 2011 (has links)
In 2005, the House of Commons (HoC) Health Committee produced a report on The Influence of the Pharmaceutical Industry – the first of its kind since 1914. The inquiry concluded that there were ‘over-riding concerns about the volume, extent and intensity of the industry’s influence, not only on clinical medicine and research but also on patients, regulators, the media, civil servants and politicians’, and stressed the need ‘to examine critically the industry’s impact on health to guard against excessive and damaging dependencies’ (HoC 2005, p. 97). It also noted that it is important to comprehensively analyse pharmaceutical regulation in order to ascertain whether there are systemic problems: In some circumstances, one particular item of influence may be of relatively little importance. Only when it is viewed as part of a larger package of influences is the true effect of the company’s activity recognised and the potential for distortion seen. The possibility that certain components of any such campaign are covert and their source undeclared is particularly worrying. (HoC 2005, p. 97) This study addresses this recommendation and was primarily conducted to examine whether recognised concerns are merely ad hoc or as a result of systemic flaws in the current system of pharmaceutical regulation. The work addresses a gap in the academic literature by drawing on the fragmented criticisms of the pharmaceutical industry in order to produce a model to illustrate how various stakeholders collaborate with drug companies to promote licensed products, and to explore the nature of the relationships between these elite stakeholders. The thesis begins with a literature review which determines who is involved in pharmaceutical regulation; how the regulatory system works; and explores the key role of communication in this process (Chapters 1 to 3). The recurrent theme is the neglect or exclusion of the patient/consumer, which leads to the development a model of intra-elite communication in drug regulation called Pharmaffiliation (Chapter 3). The thesis then looks for evidence to support or refute this model, using multiple methods (Chapter 4). Four case studies (with specific selection criteria) are chosen to test the model’s constructs and indicators (Chapters 5 to 8). The research uncovers systemic problems in the current system of pharmaceutical regulation which can ultimately harm the patient/consumer, and the implications of these findings are discussed (Chapter 9). Solutions on a micro-level include consumer involvement in decision making processes, which can be enhanced through public education and awareness campaigns and the instigation of public inquiries whenever drugs are withdrawn from the market (HoC 2005, p. 105). On a macro-level, however, this will involve critically exploring neoliberal capitalism and the empowerment of the citizenry (Street 2001).

Previous issue date: 2016-01-11 / Diferentes arranjos institucionais resultam em diferentes incentivos para a realização de trocas econômicas. Com efeito, estruturas regulatórias implementadas em determinado contexto histórico-econômico podem resultar em consequências diversas daquelas originariamente pretendidas, impondo ao regulador a necessidade de constante monitoramento e de intervenções com vistas a diagnosticar e corrigir ou minimizar possíveis distorções nas relações entre os atores envolvidos. Assim, esta dissertação tem por objetivo analisar o funcionamento do Consórcio do Seguro DPVAT como mecanismo de conexão entre seus diversos stakeholders. Pretende-se analisar a existência de conflitos de interesses derivados das diversas relações entre as partes interligadas – geradas pelo arranjo institucional firmado para a gestão dos recursos arrecadados com os prêmios pagos pelos proprietários de veículo automotor para o Seguro de Danos Pessoais Causados por Veículos Automotores de Via Terrestre, ou por sua carga, a Pessoas Transportadas ou Não (DPVAT) – que possam suscitar intervenção regulatória no sentido de evitá-los, ou, ao menos, mitigá-los. A pesquisa é conduzida a partir da identificação dos comportamentos esperados de agentes econômicos autointeressados, tendo por referência os pressupostos da Nova Economia Institucional sob a perspectiva da Teoria da Agência, e do exame das principais mudanças legislativas havidas na estrutura do seguro obrigatório de trânsito no Brasil nos últimos 50 anos. Na sequência, com base em elementos teóricos e empíricos, foram identificados e analisados três conflitos de agência entre os stakeholders do Consórcio DPVAT: o primeiro seria aquele havido entre a entidade gestora do Consórcio DPVAT (agente) e as sociedades seguradoras consorciadas (principal); o segundo conflito observado refere-se à relação mantida entre a entidade gestora do Consórcio DPVAT (agente) e o órgão regulador (principal); e, por fim, o conflito de agência existente entre a seguradora que administra o referido consórcio (agente) e os proprietários de veículo automotor (principal). / Different institutional arrangements result in different incentives for performing economic exchanges. Indeed, regulatory frameworks implemented in a particular historical and economic background may produce results different from those originally intended, therefore imposing to the regulator the need for constant monitoring and intervention in order to diagnose and correct or minimize possible distortions in the relationships among actors. Thus, this dissertation is proposed to analyze the operation of the DPVAT Consortium as a connecting mechanism between its various stakeholders. The goal is to check potential conflicts of interest that may arise from the various relationships between these stakeholders – set up by the institutional framework established to the management of the premiums paid by motor vehicle owners for their mandatory motor third-party liability insurance (known as DPVAT insurance in Brazil) – that may foster regulatory intervention in order to avoid such conflicts or, at least, to mitigate them. The survey is based on identifying the expected behavior of economic agents in their own interest, according to the assumptions of the New Institutional Economics from the perspective of the Agency Theory, and on the examination of the main legislative changes in mandatory motor third-party liability insurance in Brazil over the last 50 years. Subsequently, three agency conflicts between DPVAT Consortium stakeholders were identified and analyzed based on theoretical and empirical evidence, arising from: (1) the relationship between the managing body of the DPVAT Consortium (agent) and the insurance companies that are an integral part of the Consortium (principal); (2) the relationship between the managing body of the DPVAT Consortium (agent) and the regulatory body (principal); and (3) the relationship between the insurance company that operates the DPVAT Consortium (agent) and the motor vehicle owners (principal).

Previous issue date: 2012 / Por mais que a informatização esteja avançada (interligação por meio da rede internet de computadores entre os órgãos e entidades públicas pelo Estado), máquina alguma substituirá os dramas do homem contemporâneo, principalmente aqueles que sempre estiveram alijados da cidadania. O presente estudo traz à baila as reflexões e discussões acadêmicas desenvolvidas ao longo das mais de 700 horas/aulas do curso de mestrado em Poder Judiciário, turma 2010. Longe de ser uma unanimidade o Poder Judiciário é um poder do Estado que representa antes de tudo a capacidade e a prerrogativa de julgar, de acordo com as regras constitucionais e das leis criadas pelo Poder Legislativo em determinado país. É um dos mais sólidos pilares nas democracias e um perigoso algoz nos regimes absolutos. Apesar desta importância e de no Brasil ser um poder sólido que já demonstrou sua importância para a garantia da solidificação da democracia, são poucos os estudos sobre o Judiciário, poucos e iniciais são as pesquisas sérias sobre este poder de suma importância para a sociedade, para economia e para as instituições. Como, também, não é espanto quando vemos que fato repetitivo que a maior insatisfação ou reclamação da sociedade reside na morosidade das soluções judiciais traduzida pela alta taxa de litigiosidade da justiça brasileira. O Poder Judiciário é objeto de estudos sistemáticos, contínuos e avançados em diversos países que já demonstraram a importância de se conhecer bem as suas propostas, os resultados das suas atividades, funções e os seus gastos, pois, o seu 'negócio'é a resolução dos conflitos da sociedade de forma a contribuir com a pacificação da mesma através de uma ordem jurídica justa. Os estudos realizados nos Estados Unidos, Alemanha e Espanha, como exemplo, demonstram que conhecer bem o judiciário é o primeiro passo para melhor gerenciá-lo. Assim, deve-se menção e reconhecimento no investimento realizado pela Fundação Getúlio Vargas em promover com destaque o presente Mestrado em Poder Judiciário. A FGV é uma das poucas instituições privadas que tem como um dos seus objetivos o preparo pessoal, extrapolando as fronteiras do ensino com avanços significativos nas áreas da pesquisa e da informação. No mesmo caminho da qualificação profissional de seus magistrados e servidores e na vanguarda da gestão judiciária, o Tribunal de Justiça do Distrito Federal e dos Territórios, investiu e acreditou na proposta de estudos e pesquisas do presente mestrado, merecendo, significativamente, os elogios e agradecimentos pela visão de futuro e investimento realizado no conhecimento que é sempre importante e necessário. A dissertação em comento representa primeiramente uma visão contraposta ao modelo de política pública encampada pelo Conselho Nacional de Justiça, através da Resolução 125 de 29 de novembro de 2010, cujo objeto é o tratamento adequado dos conflitos de interesse no âmbito do Poder Judiciário, representando, assim, interesse especial de pesquisa científica por se tratar de uma política nacional judiciária a ser adotada, obrigatoriamente, por todos os Tribunais de Justiça do país. Além deste aspecto supra referido, reside, também, o fato do ineditismo deste estudo e pesquisa, especificamente, porque essa política pública judiciária aborda aspectos e variáveis novas no tratamento das atividades e das funções próprias do Poder Judiciário quando propõem, como exemplo, o tratamento dos conflitos considerados pré processuais. Outro aspecto importante merecedor de atenção no estudo reflete-se na discussão do modelo de política pública que, em premissa vênia, deveria ser tratado em caráter geral republicando do Estado e não particularizado em um dos seus entes, mesmo que pareça ser, constitucionalmente, pressuposto da alçada do Poder Judiciário tratar exclusivamente do problema da altíssima litigiosidade e do baixo resultado de resposta à demanda posta para seu controle. Este estudo, tem como objetivo demonstrar que a resolução 125/2010 do CNJ é insuficiente para resolver os problemas de congestionamento e morosidade da Justiça brasileira, como preconizada, isso porque, o modelo que se propõe para combater o problema da morosidade é restrito e está 'contaminado' pela idéia do monopólio da jurisdição ou por uma espécie similar que traz para o âmbito do judiciário uma nova atividade de trabalho, a qual é relacionada com a solução do conflito pré-processual a qual deveria fazer parte de uma política pública geral não restrita a um poder republicano. A correspondência dos argumentos com a materialização utilizada para o problema será comprovada nas linhas que se seguem, pois, assuntos com grande abrangência como as soluções judiciais devem, preferencialmente, adotar mecanismos públicos de caráter geral para uma boa solução. Nesse sentido, o trabalho demonstrará que as tentativas recorrentes em superar o problema da alta demanda judicial está restrita a modelos insuficientes abrangidos por um monopólio que não deveria ser aplicado para solucionar problemas pré processuais no âmbito do Poder Judiciário. Constitui, pois, um contraponto à idéia de efetividade na redução da demanda judicial tradicional 1 como prevista pela política pública judiciária frente ao monopólio da jurisdição, ou seja, frente à reserva que detém o Judiciário na promoção e gestão de uma nova atividade – o tratamento dos conflitos de interesse pré-processual por meio dos instrumentos de autocomposição, notadamente as conciliações e mediações. Apresentam-se, igualmente, neste trabalho proposições legislativas que dão o suporte material às idéias apresentadas, caracterizando a comprovação de viabilidade entre a apresentação do problema científico, as justificativas para o enfrentamento do problema e uma solução para o mesmo, como vista a modernizar uma política pública. Importante reafirmar que o escopo do presente trabalho não reside na observação própria dos modelos e técnicas de resolução de conflitos, notadamente as conciliações e mediações, incentivadas pelo CNJ, ou nos modelos arbitragem. Ao contrário, espera-se que todas as tentativas que possam melhorar e modernizar os atuais serviços judiciais no Brasil sejam válidas, eficazes e são muito bem vindas, pois, é uma tentativa positiva para melhorar o atual cenário em que se encontra o Poder Judiciário quando é confrontado em seu acesso à justiça, rapidez, confiabilidade e segurança nos seus julgamentos. / As much as technology is growing (connecting computers through the internet among agencies and public entities by the state), any machine will replace the drama of contemporary man, especially those who've been priced out of citizenship. Man's problems can not be solved by machines in distant locations without allowing direct access to the human who controls the machine. This study brings up the reflections and academic discussions developed over the more than 700 hours / lessons of the masters course in the Judiciary, class 2010. Far from being a unanimous decision, the Judiciary is a state power that represents above all the ability and prerogative to judge, according to the rules and the constitutional laws created by the Legislature in a determinate country. It is one of the strongest pillars in democracies and dangerous regimes in the absolute nemesis. Despite this importance and the fact that in Brazil is a solid that has demonstrated its importance in ensuring the solidification of democracy, there are few studies on the Judiciary, and initials are few serious researches on this power of paramount importance to society, to economy and institutions. When we see that the most repetitive dissatisfaction or complaint society lives in the slowness of judicial solutions translated by the high rate of litigation in Brazilian courts. The Judiciary is the object of systematic studies, continuous and advanced in several countries have already demonstrated the importance of knowing well its proposals, the results of its activities, functions, and their costs, because their 'business' is the resolution the conflicts of society to contribute to the pacification of the same through a fair legal system. Studies in the United States, Germany and Spain, for example, show that the Judiciary is familiar with the first step to better manage it. Thus, we have to mention the investment made by the Fundação Getúlio Vargas to promote especially the present Master of the Judiciary. FGV is one of the few private institutions that have as one of its goals the personal preparation, beyond the boundaries of teaching with significant advances in the areas of research and information. In the same way of the professional qualification of judges and their servers and at the forefront of judicial management, the Court of Federal District and Territories, invested and believed in the proposed study and research of this master, deserving significantly, the praise and thanks for vision and investment in the knowledge that it is always important and necessary. The dissertation represents at first a vision against the model of public policy championed by the National Judicial Council, through Resolution 125 of November 29, 2010, whose object is the appropriate treatment of conflicts of interest within the Judiciary, representing this way a special scientific interest because it is a national judicial policy to be adopted, must, by all the courts of justice in the country. Apart from that mentioned above, lives also the fact that the novelty of this study and research, specifically because this public policy deals aspects and new variables in the treatment of the activities and functions of the Judiciary when they propose, as an example, the treatment of the conflicts. Another important aspect that worth the attention in the study is reflected in the discussion of public policy model, that should be treated in general republishing from the state and not particularized, even if it seems constitutionally of the Judiciary to treat exclusively with the problem of high litigation and low answer to the demand in its control. This study has a goal to demonstrate that the resolution 125/2010 CNJ is insufficient to solve the problems of congestion and delay in the Brazilian courts, as recommended, because, the model proposed to combat the problem of delays is restricted and is 'contaminated' by the idea of the monopoly of jurisdiction or a similar kind that brings justice to the scope of a new work activity, which is related to the solution of the conflict pre-trial which should be part of a general public policy does not restricted to a Republican power. Correspondence with the materialization of the arguments used for the problem will be proven in the lines that follow, therefore, with great coverage issues such as judicial remedies should preferably adopt mechanisms for general public a good solution. In this sense, the work will demonstrate that the recurrent attempts to overcome the problem of high lawsuit is restricted to insufficient models covered by a monopoly that should not be applied to solve procedural problems in the pre Judiciary. It is therefore a counterpoint to the idea of effectiveness in reducing the traditional lawsuit as provided for by the judicial against the monopoly of jurisdiction, ie, the reserve forward who holds the judiciary in promoting and managing of a new activity - the treatment of conflicts of interest pre-trial through instruments, notably the conciliation and mediation. We present also, in this study, legislative proposals that give material support to the presented ideas, characterizing the evidence of the viability between the presentation of scientific problem, the reasons for the confronting of the problem and a solution for it, how to modernize a public policy. Important to reaffirm that the scope of this present work is not based on the observation of the models and techniques of conflict resolution, notably the conciliation and mediation, encouraged by the CNJ, models or arbitration. Rather, it is expected that all attempts to improve and modernize the current legal services in Brazil are valid, effective and very welcome, because it is a positive attempt to improve the current scenario is the Judiciary when is confronted in their access to justice, speed, reliability and security of your judgments.
