在國際化的趨勢與全球化的競爭下,併購已經成為企業成長的重要手段之一。全球併購活動正蓬勃發展,台灣企業也投入併購的風潮當中,併購的目標公司不僅局限於台灣,更包括世界各地。明基收購西門子手機部門是眾所矚目的國際併購案,卻在全球的驚嘆聲中落幕。根據研究資料,企業併購案具有高失敗率,顯示企業併購不僅帶給企業新的機會,也帶來許多新的挑戰。 面對全球併購風潮之興起與併購之高失敗率,本研究專注併購關鍵成功因素,採用歸納法,綜合文獻探討、個案研究、業界訪談等方法,探討併購應注意的事項,歸納併購關鍵成功因素,促使企業在併購時創造最高價值。 本研究提出下列命題,做為企業在併購時之參考。 命題一:併購前,企業應謹慎評估本身的管理能力。 命題二:併購前,企業必須掌握本身經營狀況,尤其是財務能力。 命題三:併購過程中,實地查核是企業選擇併購標的和整合計畫的基礎。 命題四:併購過程中,留住人才是核心議題。 命題五:國際併購時,語言、文化、與法規面是容易忽視的問題。 命題六:併購後,在價值鍊上需要整合的價值活動越多,整合的難度越高。 命題七:併購程序的每一步驟皆是高度相互關聯,任何一個環節的錯誤,皆可導致企業併購的失敗。 命題八:併購時,企業應建立併購指南與關鍵成功指標,或由外部專家協助。

台灣幹細胞產業關鍵成功因素之研究

生技產業這一二十年來成為各國政府產業培植的重點,而台灣也積極發展生技產業,在生技產業中幹細胞領域屬新興、萌芽的一個領域,而在此領域中台灣也具備發展的基礎,由於本人研究領域為幹細胞,因此期望藉由本次研究,瞭解國內外幹細胞產業之發展,以及應用量化的方式找出幹細胞產業發展之關鍵成功因素,期望對於學術界、產業界以及政府提供幹細胞產業未來發展的一個建議。 本研究將40份樣本問卷進行因素分析,將37個問卷的變項歸納出三個關鍵成功因素,因素一命名為「企業品牌、產品、行銷與服務」,顯示一個產業要發展最重要的還是企業本身的能力,能否提供好的產品、服務,配合企業的品牌與行銷,才能夠帶領著產業不斷發展與進步。因素二命名為「產業發展、技術移轉以及產業策略」,產業本身發展的方向、技術以及策略等,是第二個影響因素。因素三命名為「政府、創投資金與社會、產學合作關係」,表示除了企業本身、產業之外,外在社會環境、政府等也是息息相關,三者互相配合才能夠促進產業活絡與前進。 在因素分析之後,本研究將三項關鍵因素與台灣現況進行交叉分析,結果顯示三項關鍵因素與台灣發展現況呈現負相關的結果,表示在三方面,台灣的發展仍然有待加強。 雖然在關鍵因素上與台灣發展現況上顯示負相關,但從台灣發展普遍性來看,受訪的專家學者對於台灣在各問項的表現平均有三分,細胞治療產業在全球仍然處於萌芽與起步的階段,台灣在此階段已經具備一定的基礎與水準,若能夠加緊基礎建設、人才培育、產業發展與技術創新,相信在此領域仍然有無窮的潛力與機會。 / Biotechnology has become an important focus for industrial development in the majority of developed countries in the past two decades or so. In Taiwan, the government also highly encourages the development of biotech industry. Among various disciplines of biotechnology, stem cell-related industry is a newly emerging field expected with high potentials of industrialization. Indeed Taiwan does possess the basis for such development. Because of my background as a clinician scientist specializing in stem cell research, in the current study I expect to understand the current status of development of stem cell industry nationally and internationally, as well as to quantify the critical key success factors for such development. It is hoped that the results of this study can offer substantial help to the academic, the government as well as the industry to develop stem cell-based cell therapy. In this study, factor analysis has been performed based on 40 questionnaires. We summarized three key success factors out of 37 variables. The first one is “Branding, product, marketing and service”, showing that all in all, the most critical key success factor still is about the core competence of the enterprise. The ability of offering good products and services, in conjunction with branding and marketing, is the major driving force for enterprise to flourish. The second key success factor is “Enterprise development, technology transfer and enterprise strategy”, suggesting the importance of strategy and directions of enterprise development. The third key success factor is “Government, Venture capitalist and academia-industry-society relationship”. This indicates that apart from the enterprise and the industry per se, the external environment and government policy also plays a critical role. Following the factor analysis mentioned above, cross analysis was also performed to evaluate the current situation in Taiwan. However, the results showed a negative correlation, indicating that the overall situation is unsatisfactory and needs to be improved in order to ensure the success of stem cell industry development in Taiwan. Having said that, the average score from the interviewed experts was three. Given the fact that stem cell industry is still at its beginning, the results showed that Taiwan has had certain fundamental development and standards. As long as the training of manpower and infrastructure can be further improved, it is believed Taiwan still have great opportunities in this field.

台灣記憶體模組廠商之關鍵成功因素探討 - 以A 公司為例 / The study of key success factors for Taiwan flash memory product manufacturer - with the example of A

記憶體模組製造產業(Memory module manufactures)競爭激烈,產品價格會受到DRAM與NAND Flash市場價格之影響,而且毛利率也如同筆記型電腦產品一樣,走向薄利(low profitability)的趨勢;除少數市占率(market share)能超過10%的大廠外,絕大多數的廠商市占率差異不大。面對變化劇烈的市場,記憶體模組製造商除了試圖穩住市占率,以求達到生產的經濟規模(Economies of scale),並且藉著不斷提升技術,開發出具差異化(differentiation)的產品,希望能提高產品的毛利率。個案公司能在這個競爭激烈的產業中立足,並且維持穩定的獲利能力(profitability),其關鍵成功因素值得探討。   本研究主要採用個案深入訪談及問卷調查方式蒐集資料。第一部分個案深入訪談,以個案公司及通路夥伴之高階主管為對象,探討個案公司之關鍵成功因素以及與通路夥伴的合作模式。第二部份以問卷之方式對個案公司之客戶進行紙本問卷,藉以研究關鍵成功因素與顧客滿意度及顧客忠誠度之相關性、顧客滿意度與顧客忠誠度之相關性,同時亦研究顧客人口變數與關鍵成功因素、顧客滿意度與忠誠度是否具顯著差異。並以SPSS軟體做為統計資料分析工具。   本研究結果關鍵成功因素為與客戶建立長期合作關係、生產管理與技術創新、提升企業形象、品牌推廣與行銷通路、掌握市場環境與產業趨勢。且其與顧客滿意度、忠誠度皆成正相關。而人口變數對於關鍵成功因素、顧客滿意度及忠誠度大部份是不具顯著差異,僅在教育程度此變數呈現有顯著差異,意即表示此人口變數對成功關鍵因素、顧客滿意度及顧客忠誠度存在不同程度之要求。   本研究亦對個案公司之未來經營提出研究建議,希望對於提升市占率與獲利力能有所幫助。 / Facing on the extremly competitions in Memory module manufacturing industry, the price decisions of the product itself are therefore influenced by the DRAM’s market prices as well as the NAND Flash’s . The flows of the gross rates in memory modules commodities tend to be like low profitability, which is the same as in laptops merchandises. Generaly speaking, no manufactures can gain grater than 10% market shares in this industry, excepting few large organisations. Facing by the competitive impacts and in order to create gross rate increasing, those manufactures have the opportunities to develop new technologies, and innovate new products that have great differentiation to others. However, quite a few individuals can survive in such competitive industry, and successfully make stable profitability. It is critical to pay attention on how they can succeed, and valuable to analyse the major factors in depth. The relevant information of this study was collected based on the interviews and surveys. Firstly, I conducted interviews with A company’s top management and industrial specialists. During the interviews, two important topics were discussed. One was about A company’s key points to success in relations to market segmentation, and the other was on the business relationship between A company and its channel partners. Secondly, the collective information was derived from the surveys, which were distributed to A company’s channel partners and customers. The survey was used to ask for distributor’s point of view on A company’s success, their satisfactory to the overall business model, and the degree of brand loyalty in relation to A company. At the same time, this study would also examine whether the variable of distributor’s number had any relationship with key success factors, and if any difference between distributor’s satisfactory and loyalty. SPSS software was used for data analysis. In this research, the recommendations are concluded based on prospective bussiness strategies for the companies investigated, expecting to expand the market share and increase the profitabilities.

中小企業由虧轉盈策略與關鍵成功因素之探討-- 以保勝光學為例

隨著2008年美國雷曼兄弟銀行破產後引發的金融海嘯對全球經濟發展投下重大變數,整體企業經營環境進入困境,企業經營不善對社稷民生產生悲觀心態,有感於企業永續經營的社會責任,本研究的動機乃希望透過個案公司成功轉虧為盈的經營實績,藉以瞭解企業面臨嚴峻環境考驗時該如何因應以達到企業永續經營,以利台灣企業擔負起社會責任。本論文的研究目的即是要提供面對未來更為競爭及多變的環境下,企業經營策略的調整方向。 個案公司主要係自93年由立邦投資接手經營後策略聯盟轉投資得士保光學股份有限公司(Pantex台灣廠)及力卓精密工業股份有限公司以取得模組技術及團隊,並藉此打入日本市場,從鏡片研磨廠跨足至塑膠射出乃至模組產品出貨,成功透過購併行為取得關鍵技術。避開高度競爭之數位相機價格戰市場,將利基定位在瞄準器及專業投影機之市場區隔,集中企業經營資源於模組產品之製造及銷售。本研究希冀提供目前嚴峻經營環境下對於企業應如何快速提升競爭力提供個案經驗以茲參考,並說明藉由購併快速取得新技術後,企業本身另需注意之因素,如降低成本之實務做法等,簡言之,經營企業應時刻審視所處行業特性及行業競爭力,並須不畏改變過去成功因素之割捨。

中型百貨公司經營策略之個案研究

經濟、社會的轉型促使百貨公司的經營型態也隨之改變,再加上百貨公司這些年受到購物中心、專賣店、郵購、直銷等通路的崛起,以及百貨產業內本身的競爭,造成內外夾擊的情境。所以研究動機為如何能讓自己在競爭的環境中處於不敗之地,邁入新世紀正是每位百貨經營者亟需思考的地方。另外中型百貨公司應該以何種經營策略才能面對大型百貨公司競爭時,仍有獲利、成長的可能性。 本研究的架構係採用Aaker的理論架構來進行內外在分析與策略規劃。整個研究架構分為四個階段:一、首先進行內外在分析,以界定外在環境中的機會與威脅,以及該產業的關鍵成功因素,並了解個案公司所擁有的優劣勢。二、根據以上分析,歸納出該公司所面臨的問題。三、擬定數個可行的策略,在該策略下擬定競爭策略與營運策略,然後依照適當的準則予以評估予選擇。 經過本研究分析後發現國內百貨業的關鍵成功因素為:營業商圈的特色、建立屬於自己的特色、提供顧客所需商品及全方位的服務品質、便捷的交通網、以及提供舒適、安全的賣場。而建議個案公司未來適合採行產品擴張策略,以發揮個案公司的核心能力,並能繼續累積未來的競爭武器。 本研究對其他中型百貨公司業者的建議為中型百貨業者必須採取檢討自己優劣勢,採取差異化集中路線,建立自己特色,吸引特定目標族群顧客,以建立顧客忠誠度,才能有生存空間。 對後續研究者的建議為可同時研究多家中型百貨業者,以作出對中型百貨業者更一般化的歸納原則。以及研究大型及中型百貨公司的環境與策略的配適度作一比較,以確定環境策略配適度較佳公司是否績效較佳,並了解是否大型百貨公司的環境策略配適度較中型百貨業者為佳。

資訊科技促成企業轉型之關鍵成功因素

商戰世界的變化速度越來越快,在全球化經濟伴隨相關科技和社會發展趨勢的引導下,企業傳統組織已無法適應如此快速變遷的環境,須進行企業變革,以面對更多的危機與轉機。而資訊科技發展一日千里,除了對企業競爭環境有直接或間接的影響外,亦能提供企業相當的助力,因此,當前要如何應用資訊科技,進行企業變革為重要的課題。為了針對此一重要課題進行深入了解,藉由文獻探討,本研究將企業應用資訊科技,進行之企業轉型分為局部性應用、內部整合、企業流程重新設計、企業網路重新設計及企業範圍重新定義五種類型,並彙整出可能影響企業轉型成效之24項相關因素。本研究透過問卷調查的方式,以台灣地區大型企業為研究對象,對各企業所進行之應用資訊科技的變革計畫進行分析與探討,以瞭解目前企業應用資訊科技的現況,找出各資訊科技促成企業轉型類型之關鍵成功因素。 本研究共寄出900份問卷,有效回收率為17.0%。現今我國台灣地區大型企業所進行之轉型計畫,以「企業流程重新設計」為最多,佔52.1%,其次為「企業網路重新設計」,佔20.4%。經資料分析後發現,產業別與轉型計畫的類型兩變數間有顯著的差異存在。在製造業中,以「企業流程重新設計」與「內部整合」為最多,各佔52.1%、21%;服務業,以進行「企業流程重新設計」與「企業網路重新設計」為最多,各佔56.8%、27%,再以金融業來看,仍以第三類型為最多,佔47%,其次為第四類型,佔23.5%,另外也有20.6%的企業進行第五類型「企業範圍重新定義」。資訊科技促成企業轉型之關鍵因素,則以「變革之前置作業」此因素構面最為重要,影響著各類轉型之成效。類型(二)還需注意「變革之落實」因素構面,類型(三)與(五)則還需留意「變革理念之塑造」因素構面。

特用化學品公司經營策略之個案研究

特用化學產業為政府致力推動的「十大新興工業」之一,也是我國未來工業發展的重點,爰本研究的第一項動機即是希望對國內特用化學工業的生態作一番深入的暸解。此外,國際環境與科技的快速變化,歐美、日本等國際特用化學品大廠逐漸走向全球化、大型化以及專業化,許多中小型廠商因為不具規模經濟等原因,在國際競爭的舞台慘遭淘汰,但卻有些中型規模廠商在激烈競爭環境中仍能創造高成長、高獲利。所以,本研究希望找出這些表現卓越的企業背後成功的競爭優勢與經營策略,進一步探討其策略涵義,提供國內眾多的中型特用化學品業者一個經營的參考,此為本研究的動機之二。   本文採用個案研究法,探討在業界中表現卓越的染顏料公司的經營策略。本研究架構係採用Aaker的理論架構來進行內外在分析與策略規劃。研究架構分為四個階段:一、首先進行內外在分析,以界定外在環境中的機會與威脅,與該產業的關鍵成功因素,並剖析個案公司所擁有的優劣勢。二、根據以上分析,歸納出該公司所面臨的問題。三、制定經營策略,以及在該策略下擬定競爭策略與營運策略。   經過本研究分析後發現,國內特用化學產業的染顏料業關鍵成功因素為:原料來源、產品配方、品質穩定性、研發能力、應用技術服務,以及完整產品線。另外從內外在環境分析及條件前提來看,建議個案公司未來採取成長的根本策略,分別為短期:市場滲透策略,長期:產品擴張策略,此種策略最能發揮個案公司的核心能力,並能繼續累積未來的競爭武器。   本研究對其他中型特用化學業者的建議為,中型特用化學業者必須採取檢討本身的優劣勢,採取差異化集中路線,建立自己特色,找尋自己的利基市場,吸引特定目標族群顧客,以建立顧客忠誠度,才能有生存空間。   對後續研究者的建議為可同時研究好幾家國內中型特用化學業者,比較所採行的經營策略及其績效的差異,以作出對中型特用化學業者更一般化的歸納原則。另外,可針對國外已經進行分割重組的染顏料大廠的經營策略與績效作深入探討分析,並與中型特用化學業者的經營策略與績效作一比較,作為國內業者改進的基礎。

台灣的企業面臨來自全球化的競爭,經營環境的詭譎多變,所面臨的競爭及挑戰都比過去更為嚴苛,尤其是傳統產業的電線電纜業者,所碰到的經營問題更為棘手。因應環境變化電線電纜產業正加速大型化、專業化、國際化甚至多角化,各大廠無不希望在有限的資源下,找出突破傳統的經營模式,開拓產業全新版圖。 因此電線電纜業者如何將企業內部的資源做最合理、最有效率的配置,進一步提升電線電纜業者本身的競爭力,是現階段電線電纜業者最為重要的課題,而企業資源規劃系統 (ERP),是一套可以讓電線電纜業者本身資源配置最佳化的資訊管理系統,也會是電線電纜業者用來優化企業內部資源整合的系統。多年來,國內外有很多學者、專家、研究人員對於ERP系統建構時的成功因素進行探討與研究,但對於電線電纜產業著墨較少,所以電線電纜業者了解ERP的功能,進一步探討電線電纜業者如何成功導入ERP系統就顯得非常重要。 本研究綜合了電線電纜產業所要解決的一些問題後,產生了研究的動機。況且電線電纜產業行業具特殊性,產品多樣且製程繁複,從銅板採購、銅材部位管理、銅價避險、銷售、採購、生產製造到運送配銷等各階段作業,環環相扣,必須仰賴一套可靠且有效的系統機制來輔助。越來越多的電線電纜業者願意投資ERP,或是計畫在未來幾年內進行投資ERP,卻不一定保證專案百分之百成功,尤其電線電纜業者沒有導入ERP系統的團隊與方法,若無相關文獻供參考,對電線電纜業者而言,會面臨選擇非常有限且風險過於集中的困境。 本研究希望對ERP系統做探討,讓電線電纜業者能清楚地瞭解導入ERP實際帶來的影響,做為日後改進的方向,並提供管理者決策時所需的資訊。本研究的目的除了先彙整一般企業導入ERP系統的成功因素外,還要藉由本研究進一步找出電線電纜產業在導入ERP系統時的關鍵成功因素,最後再將本研究所得到的成果,提供其他電線電纜業者將來導入ERP系統之參考。 / Abstract Taiwan's enterprises are facing competition from globalization, the ever-unpredictable business environment, competition and the challenges faced in the past more than the harsh, especially the traditional industries of wire and cable industry, the more difficult operational problems encountered. Response to environmental change is accelerating large-scale wire and cable industry, specialization, and even international diversification, the major plant will want the limited resources, breaking the traditional business model to identify, develop new industry landscape. Therefore, how to wire and cable industry internal resources to do the most reasonable and efficient configuration, wire and cable industry to further enhance their competitiveness, wire and cable industry at this stage the most important issue, and enterprise resource planning system (ERP), is a set of wire and cable industry can make the allocation of resources to optimize their information management systems, wire and cable industry also is used to optimize the internal resource integration system. Over the years, many foreign scholars, experts, researchers constructed for ERP system success factors to explore when and research, but less for wire and cable industry, inking, so wire and cable industry to understand the ERP functions, to further explore how to wire and cable industry successful ERP system is very important. In this study, a combination of wire and cable industry to solve some problems, resulting in a study of motivation. Moreover, a special wire and cable industry sector, product variety and complicated process, from copper procurement, site management of copper, copper hedge, sales, purchasing, manufacturing to delivery of the various stages of distribution and other operations, interlocking, must depended on a reliable and effective mechanism to assist the system. More and more willing to invest in wire and cable industry ERP, or plan to invest in the next few years, ERP, does not necessarily ensure that the project 100% successful, especially in wire and cable industry team did not import the ERP system and method, without the relevant literature for reference, for wire and cable industry, the choice is very limited and will face the risk of over-concentration difficulties. This study is to explore the ERP system to do so of wire and cable industry can clearly understand the actual impact of the ERP, as future directions for improvement, and management decision-making required to provide information. The purpose of this study in addition to the first exchange to import the entire general business success factors of ERP systems, but also by this study to further identify the wire and cable industry in the ERP system when the critical success factors, and then the final results obtained in this study provide other wire and cable industry in the future ERP system of reference.

企業內部創業關鍵成功因素之個案探討 / A Case Study of the Key Success Factors of Intrapreneurship

台灣的創業活動是非常活躍蓬勃的,近年服務業的興起更帶動各種個人創業的風潮,但由於個人創業先天瓶頸,因此本研究以內部創業的思考作為發想,從創新與創業精神做為創業的概念發想的基底,搭配多角化的策略應用,歸納關鍵成功因素,結合文獻與訪談實證做出結論。 本文中將會從探討創新與創業精神開始,創業精神其實就是創新的過程,而創新已由技術創新轉變為服務創新,以人為本的創新發想方式帶動創新方向,但大企業裡,個人的創意與創新能力有可能會因官僚體制或組織環境而受到壓抑,壓縮個人能力的結果往往導致整體組織的停滯不前,少了創新能力,大型企業也會逐漸步上生命週期循環的軌道,漸漸報酬率遞減只能賺取微利或成為夕陽產業,因此提出各種創新與策略上的做法,多角化策略即是其中重要且有效的方法,而多角化策略相關理論的範疇經濟與綜效考量因素與其他因素,其利弊判斷驅使其選擇外部或內部發展,衍伸至本文的重點關於內部創業相關理論的動機選擇與過程,並考量母公司參與程度決定內部創業模式與型態,以多角化策略組合搭配與應用,再探討其中內部創業可能的障礙,並以探討創業關鍵成功因素作為分析個案的理論基礎。 本個案為藥妝公司,其母集團旗下有物流公司與便利商店的諮詢平台,利用其母集團掌握了資源、物流、行銷而得以成功,從本案例的創業結構可以得知,其實開始的資源來源皆是母集團為主,而後在導入供應鏈管理系統、電子訂貨系統、銷售時點情報系統以及顧客關係管理與集團關係企業都有密切結合,從物流供應鏈透過關係企業物流公司的垂直多角化,到便利商店的資訊平台通路的水平多角化整合行銷,並透過便利商店的展店技巧加以修改成為本案例展店的知識。其關鍵成功因素以競爭優勢的創業活動,具備持續投資的能力與產業環境的適應力,在內部創業的採行上,必須建立一套完善的創業計畫,而非僅是資源上的提供,完善的創業計畫將會決定創業活動成功關鍵,同時須具備母公司的多角化條件的支援,不僅單單作為企業拓展工具,更要發掘新創事業的潛在資源獨特性建立差異化,才能真正達成內部創業成功的目的。

口碑情感對於募資專案之影響 / The Influence of eWOM Sentiment on the Success of Crowdfunding Projects

「群眾募資」為社會大眾透過小額資金的贊助,發揮群體集結的力量,支持個人 或組織使其目標或專案得以執行完成。隨著群眾募資平台的出現,加速了群眾募 資的發展,從國外知名的Kickstarter 到國內的Flyingv,這股募資的旋風一路席 捲了國內外傳統借貸生態。然而募資專案的成功因素也變成了一個重要的課題, 過去關於募資專案的文獻大多提到募資金額、募資更新次數等因素,較少著墨於 投資者對於募資產品的評論或口碑因素。因此本研究提出一個更廣泛的整合架構, 針對網路評論做情感分析作為影響募資專案成功的重要因素之一,並對 Kickstarter 上的專案,進行實證研究,結果發現口碑的數量及情感因素在不同類 別的專案中有不同的影響。在Game, Technology 和Design 類別對募資專案成功 有顯著的影響,但是在Music, Theater 和Dance 專案則沒有顯著影響。 / Abstract Crowdfunding is definded as a process or activity that openly solicits a small amount of money from a group of persons or orgnizations to make it success. The appearance of crowdfunding platforms in recent years has accelerated the popularity of crowdfunding. From Kickstarter to Flyingv, this Crowdfunding trend has changed traditional borrowing ecology. However, not all crowdfunding projects are successful. A substantial amount of proposed projects failed due to unable to raise the target money. Therefore, it is interesting to investigate factors that may affect the success of a fundraising project. Previous literature has reported several success factors for crowdfunding, such as the target amount, the number of updates, and so on. However, not many studies have investigated the effect of project reviews in the past literature. It is clear that word of mouth plays an important role in consumer decision, and it is reasonable to believe that project reviews as a kind of word of mouth will have effect on investors’ decision. Hence, this study adopts the sentiment analysis technique to analyze how the sentiment of project reviews, along with other factors, may affect the eventual project success. The data collected from the Kickstarter.com was used to evaluate our research model. Our findings indicate that the number and sentiment of project reviews did have impact on fundraising success, but only in certain categories such as game, design and technology that seem to have objective evaluation criteria. Their effect was not significant in categories such as music, theater, and dance in which investors’ preference may be very subjective.
