Les arcanes de la cryptomonnaie et de la chaîne de blocs à travers le prisme de l'article 8 de la Charte canadienne

L’essor fulgurant des cryptomonnaies au cours des dernières années a propulsé à l’avant-plan la chaîne de blocs auprès du public. Exploitant l’anonymat et la décentralisation du système, les acteurs dans le monde criminel ont profité de la commodité de ces devises pour faciliter leurs activités. Compte tenu de leur popularité récente, les principes en droit criminel demeurent embryonnaires et la littérature peu développée à ce sujet. Ce mémoire vise à déterminer s’il existe une attente raisonnable de vie privée à l’égard de la chaîne de blocs et des cryptomonnaies. À travers une analyse prospective des fondements de l’article 8 de la Charte canadienne entourant les fouilles et les perquisitions, nous exposerons le cadre juridique applicable à l’égard de ces technologies. En raison de ses caractéristiques intrinsèques, la garantie juridique ne s’applique pas aux données répertoriées sur la chaîne de blocs. Cependant, la protection s’étend aux portefeuilles de cryptomonnaie étant donné la nature sensible de leur contenu. Nous examinerons finalement les différents mandats applicables lors d’une saisie de ces actifs. / Over the last few years, the rapid growth of cryptocurrencies has brought blockchain to the forefront of the public. Harnessing the network’s anonymous and decentralized power, criminals have been using cryptocurrencies to facilitate their activities. However, owing to its recent surge in popularity, principles within criminal law are still undergoing development and the existing literature on the subject remains thin. This thesis aims to determine whether there is a reasonable expectation of privacy in blockchain and cryptocurrencies. Through a prospective analysis of the general principles on search and seizure, we will outline the analytical framework applicable to these technologies. Due to its intrinsic characteristics, the Canadian Charter does not confer protection to data stored on blockchain. However, the scope extends to cryptocurrency wallets due to its sensitive nature. We will also discuss the general and specific warrants used during a seizure of these assets.

Ur de senaste decenniernas tekniska innovation föddes så kallade kryptotillgångar. Kryptotillgångar är digitala enheter som är tillgängliga via teknik för distribuerad liggare. Marknaden för kryptotillgångar har expanderat avsevärt på senare år. Tidigare har handel med kryptotillgångar mest varit en bisyssla för tekniskt kunniga personer, men i takt med att kryptotillgångar ökar i popularitet växer investerarkretsen. Kryptotillgångar ägs huvudsakligen med investeringsavsikt men kan, beroende på den berörda kryptotillgångens egenskaper, skilja sig avsevärt från finansiella instrument. Det gör att befintliga EU-regelverk för finansiella tjänster sällan kan ligga till grund för bedömning vid kryptotillgångshandel. Det skapar i sin tur osäkerhet avseende investerarskyddet för konsumenter som handlar med kryptotillgångar. Marknaden för kryptotillgångar är hittills oreglerad på EU-nivå vilket har medfört spridda och otillräckliga regleringar avseende kryptotillgångar på nationell nivå i vissa medlemsstater. År 2020 publicerade Europeiska kommissionen ett förslag på reglering av kryptotillgångar där ett av syftena med förslaget är att stärka investerarskyddet vid kryptotillgångshandel. Om förslaget skulle implementeras innebär det betydande förändringar på kryptotillgångsmarknaden. De förslagna bestämmelserna innefattar bland annat ett EU-pass för emittenter av kryptotillgångar och leverantörer av kryptotillgångstjänster, krav för emittenter av kryptotillgångar att utge informationsdokument samt krav för leverantörer av kryptotillgångstjänster att bedöma om den berörda kryptotillgången är lämplig för kunden.  I uppsatsen undersöks vilka risker en investerare utsätts för vid handel av kryptotillgångar. Den övergripande risken som investerare utsätts för vid handeln är risken att förlora sitt investerade medel. Det i sig är inte en unik risk för kryptotillgångar då förluster förekommer även på marknader för finansiella instrument. Den största utmaningen avseende bristen på investerarskydd på kryptotillgångsmarknaden härleds emellertid till informationsasymmetrier. Det framkommer i uppsatsen att det krävs reglering på kryptotillgångsmarknaden för att säkerställa ett tillräckligt investerarskydd. Vidare diskuteras huruvida Europeiska kommissionens förordningsförslag står i paritet till de identifierade investerarskyddsriskerna. Sammantaget leder uppsatsen till slutsatsen att en reglering av kryptotillgångsmarknaden kan säkra investerarskyddet vid handel av kryptotillgångar genom att upprätta krav på informationsgivning för emittenter av kryptotillgångar och leverantörer av kryptotillgångstjänster.

Encadrement juridique des monnaies numériques : bitcoin et autres cryptomonnaies

Les informations relatives aux cryptomonnaies sont susceptibles de changer à l'avenir tant cette matière est nouvelle et encore peu ancrée dans le droit. Ce mémoire est une réflexion sur l'essor du Bitcoin et des cryptomonnaies à leurs débuts, alors même que le droit cherche à s'accaparer ces nouvelles technologies, à les intégrer dans son système préexistant. / Les cryptomonnaies sont des monnaies numériques, qui se sont développées hors de tout contrôle étatique et qui fonctionnent de manière décentralisée. Bien qu’étant encore à leurs balbutiements, ces cryptomonnaies, à l’instar du Bitcoin, soulèvent de nombreuses questions juridiques. Dans ce mémoire, seront analysées les différentes définitions qui pourraient inclure la cryptomonnaie, avant de nous concentrer sur la définition de la monnaie numérique. Ensuite, seront étudiés, les aspects criminogènes des cryptomonnaies et la volonté des États d’avoir un certain contrôle sur celles-ci. Puis après nous être concentré sur la fiscalité applicable aux monnaies numériques, il sera nécessaire d’examiner l’étendue de la protection des consommateurs, dans leurs rapports aux cryptomonnaies. Pour ce faire nous nous appuierons, entre autre, sur les lois canadiennes, françaises et américaines. Toutefois vous vous en rendrez-compte, les cryptomonnaies n’ont pas encore été totalement englobés dans les systèmes juridiques des trois pays étudiés, et les tribunaux n’ont été saisis que dans très peu d’affaires relatives aux monnaies numériques, ce qui implique que de nombreuses incertitudes juridiques persistent à l’heure actuelle. / Cryptocurrencies are digital currencies which developped outside of state control. They function in a purely decentralized manner. Although they are only at an early stage, those cryptocurrencies, like Bitcoin, raise many legal issues. In this article we will analyze different definitions which might include cryptocurrencies, before focusing on the definition of digital currencies. Therefore we will study the criminal aspects of cryptocurrencies and the willingness of the states to gain a certain control over them. Then, after focusing on the taxes applying to digital currencies, it is necessary to examine the extent of the consumer’s protection while dealing with cryptocurrencies. In order to do this, we will rely, among others, on Canadian, French and American laws. As you will notice by yourselves the cryptocurrencies have not yet been fully encompassed within the legal systems of those three countries, and as the courts have only been seized in very few cases relating to digital currencies, you will find that many legal uncertainties currently persist.

The aim of this Thesis is to depict current challenges that this area of financial law faces and to propose a basis for regulation that can be implemented in the Czech Republic. The main topic of this Thesis is virtual currencies, more specifically Bitcoins and their status within the system of payment services regulations. After a short introduction, the first chapter of this Thesis describes theoretical background of payment services regulation, especially general and specific aims of legislation in this area of financial law, by addressing it in full context of private and public law. Besides that, it also briefly illustrates the history of payment services and money. The next chapter deals with current regulation that has been adopted in the Czech Republic. Besides virtual currencies, electronic money is discussed in full detail due to its similar features with virtual currencies. The main aim of this diploma thesis is to find out how the Czech printed media face relatively new and complex phenomenon that emerged in the monetary sphere - virtual currency bitcoin. Through the means of quantitative content analysis, all printed titles showing relevant references to bitcoin between the years 2009 and 2016 were examined. The thesis is divided into several chapters. The theoretical part contains different media concepts dealing with the agenda-setting, the creation of a media portrayal and the construction of social reality through mass media. From a theoretical point of view, the cryptocurrency bitcoin was also subject for detailed analysis. The following methodological part of the thesis introduces the main objective of research, research questions and research design. The analytical part provides a clear overview of the results obtained, then interpreted and compared with predetermined hypothesis. The overview of collected findings about the media image of the virtual currency bitcoin in the Czech press are summarized in the conclusion. The thesis is the first paper to deal with the issues of the virtual currency bitcoin from the point of view of media discourse in the Czech Republic, and its ambition was to gather completely new information on this topic.

The thesis also describes the communication protocols and design of architecture to acceleration of the bitcoin mining. Virtual currencies and mobile banking are technology advancements that are receiving increased attention in the global community because of their accessibility, convenience and speed. However, this popularity comes with growing security concerns, like increasing frequency of identity theft, leading to bigger problems which put user anonymity at risk. One possible solution for these problems is using cryptography to enhance security of Bitcoin or other decentralised digital currency systems and to decrease frequency of attacks on either communication channels or system storage. This report outlines various methods and solutions targeting these issues and aims to understand their effectiveness. It also describes Secure Bitcoin Wallet, standard Bitcoin transactions client, enhanced with various security features and services.

The Use of Management Control in Decentralized Autonomous Organizations : A descriptive case study on the use of management control in three Ethereum blockchain based DAOs / Användning av styrning inom DAOs

Decentralized autonomous organizations, or DAOs, are spoken highly of in cryptocurrency spaces as a new way of organizing capital and labor. The basic concept is an organization with a shared vision or goal, where the participants and/or outside stakeholders own tokens that grant governing rights over resources through smart contracts. The smart contract usage allows the organization to govern resources without relying on any trusted third parties such as governments, banks, companies or other entities, at least in theory. It also allows the governing of resources without a legal entity. As the name suggests, DAOs have a large focus on decentralization, which raises the issue of how it moves in the right direction. Management control offers suggestions for how traditional organizations move in the right, or intended, direction, and this report tries to apply theory from that field to the DAO organization type. The purpose of this report is to investigate, describe and analyze how management control systems are used within DAOs. The report is an interpretive multiple case study, which gathers data from interviews, observations and a literature study. The data is analyzed by primarily using Malmi and Brown (2008), Olve and Nilsson (2018) and Simons (1994) to filter and identify management control systems. This report investigates three DAOs, DXdao, Index Coop and ENS DAO, that attempts to answer the question of how they use management control. DXdao develops products for the blockchain ecosystem, Index Coop creates index fund-like products that bundle together blockchain based assets and ENS DAO owns and furthers a product that lets users claim names on the Ethereum blockchain to be used as URLs, usernames or for other causes. The report identifies that many management control systems, such as budget, planing and values, are used in similar ways as in traditional companies. While some other systems such as rewards and compensation, and governance structure seem to have unique aspects to them though the use of tokens for compensation, and a governance process through blockchain based voting. Furthermore, the report identifies the different definition of Decentralization between the management control field and the blockchain industry. Where the blockchain industry focus on the distribution of decision-making and control, whereas in Management Controlthe focus is on the division of responsibility to managers. The report concludes that one can view decentralization as a position on a scale, between complete individual decision making to a completely collective decision-making, where most DAOs lay in between these two extremes.

Rozbor a návrh aplikace pro digitální měnu Bitcoin / Analysis and implementation of application for digital currency Bitcoin

The thesis is focused on the topic of virtual cryptocurrency Bitcoin. The theoretical part is divided into several chapters. First of all, there is a chapter containing basic information about the currency's history, its development to the present, as well as principles of operation of this currency. Because it is a currency based on cryptographic principles next chapter summarizing cryptographic techniques, which is necessary to know for subsequent analysis of this currency. In other parts is elaborated a detailed analysis of the principles of Bitcoin. The main point of this analysis is a system of transactions, decentralized history, then joining the transactions into blocks and in the end creating blockchain. It also explains the principle of P2P networks. The practical part of this work focuses on the analysis and design of payment applications for mobile devices. There used open-source libraries such BitcoinJ. The application is developed in Java programming language with plugin for portable devices, which work under the operating system Android. For the purposes of analysis and design of graphical user interface is used UML diagrams. The specification of the UML diagrams was utilized by freely available graphics software and the result is also included in this work.
