美國聯邦最高法院廣達v.LG案的判決結果,再次確認「專利權耗盡原則」之適用原則及標準。被告廣達電腦乃為台灣資訊代工產業的龍頭,該判決除了限制專利權人對產業鏈的不當控制外,也將影響整個產業供應鏈對於專利風險的承擔及專利授權策略。廣達案除了建立「未完成品足以體現專利物之必要特徵,且唯一用途係該專利物」及「方法權利項」適用專利權耗盡的重要標準,但也留下「附條件銷售或授權」合法性的爭議。在廣達案後續判決,對「專利權耗盡原則」的詮釋及適用,更值得加以重視。台灣資訊產業在產業供應鏈多居於「製造或組裝」角色,卻受制於上游關鍵元件的強勢及品牌客戶的訂單壓力,而被迫必須承擔產品引發的所有專利侵權的風險。如何善用廣達案及後續各國相關判決,將有助於台灣資訊代工廠商處理國際專利爭訟、專利授權等議題,並做為專利侵權抗辯手段的參考。 本論文首先從經營策略及代工模式,探討台灣資訊代工產業發展與面臨的困境。其次,從專利權與專利侵害的法律規範,到專利權耗盡原則的法理基礎做一完整論述,加以美國先前相關案例的整理及類型分析,對「專利權耗盡原則」的理論與發展做一完整的探討。更進而整理廣達案判決後美國、中國大陸及台灣重要案例,探討「專利權耗盡原則」在其專利法制及實務案例的適用及影響。接著,探討在「契約自由原則」與「專利權耗盡原則」的衝突與調和下,其對於專利授權實務的操作及影響。最後,整理台灣資訊代工產業的代工類型化與廣達案前後美國、中國大陸及台灣權利耗盡重要判決之關聯性,並提出看法及建議。本文初步結論,美國法院案例可初步解析侵權風險及專利權耗盡的適用,並在專利授權談判可提出有效因應條款。廣達案後,美國各級法院均大致遵守此一判決先例,惟中國大陸及台灣法院實務判決仍未完全採取美國的判斷原則。對於後續的研究建議,新興3D列印科技發展及應用,其引發的複雜智慧財產權及「專利權耗盡原則」適用的爭議,確實值得重視。 / Quanta v. LG reaffirmed the applicable principles and standards of the "patent exhaustion principle". As the Quanta plays the lead role in Taiwan’s Information ODM/OEM industry, this US Supreme court’s decision not only limits the patent holder improper control of the industrial chain, but also affects the entire supply chain face the risks and patent license strategies. Quanta establishes the index that "unfinished finished enough to reflect the essential features of the patent and the sole purpose thereof " and "method claim" apply to patent exhaustion. However, "conditional sale or license" is still controversial. Therefore, the Post-Quanta interpretation is worthy of attention. Taiwan's IT Industries most account for the role of "manufacture or assembly" in the supply chain. Subject to the upstream suppliers of the key components or downstream brand customers, they bear all risks caused by infringement of patented products. The Quanta case and its post development will help Taiwan Information foundries to deal with international patent litigation, patent license and etc., and take it as a means to defend against patent infringement claim. Firstly, this thesis explores the development of Taiwan's information ODM/OEM industry and the difficulties of its business strategies and ODM/OEM models. Secondly, it turns to discuss the development of the "patent exhaustion doctrine", and then reviews US critical cases of "patent exhaustion doctrine". In addition, it analyzes post-Quanta cases of the United State, China and Taiwan to discuss the application and impact of the "patent exhaustion doctrine". Furthermore it explores its operation and effect on patent license practice under the conflict and reconciliation of "freedom of contract" and "patent exhaustion doctrine". Then, it identifies Taiwan’s information OEM/OEM industry in a variety of models and associates the models with the important cases of the United States, China and Taiwan regarding patent exhaustion, and makes remarks and suggestions. Finally, this thesis preliminarily concludes that US court cases basically resolve the risk of infringement and patent exhaustion application, and patent license negotiation may be made to respond effectively to the situation. After Quanta, US courts are substantially in compliance with this precedent judgment, but not for China and Taiwan. For subsequent study suggestion, it is worth attention about dispute of the emerging 3D printing technology development and application, which link complex intellectual property rights and the application of "patent exhaustion doctrine".

Les licences libres et open source : outil stratégique de création et de captation de valeur pour les éditeurs open source : vers un dispositif de veille sur les business models viables

Cette thèse présente un retour d’expérience sur le dispositif de veille et d’intelligence économique mise en place au sein de Marseille Innovation pour permettre aux éditeurs open source accompagnées dans sa pépinière d’entreprise de surveiller efficacement leur environnement pour y détecter des opportunités de développement. Ce projet s’inscrit dans le cadre d’une démarche globale, conduite par Marseille Innovation et ses partenaires pour structurer un réseau d’acteurs open source en PACA.Nous avons tout d’abord réalisé un état de l’art de la littérature open source en soulignant le paradoxe que pose le modèle open source pour les éditeurs qui choisissent d’utiliser les licences libres : l’adoption d’un modèle open source par certains éditeurs pour leurs logiciels permet une création de valeur pouvant être supérieure à celle générée dans le cadre de modèles propriétaires traditionnels, mais que cet avantage est contrebalancé par une dangereuse incertitude, quant à la captation de cette valeur, susceptible d’être récupérée par des concurrents n’ayant pourtant consentis aucun effort de développement et n’en ayant pas subis les coûts. Par la suite, nous avons présenté la naissance du logiciel libre comme le résultat des mutations de l’industrie informatique qui ont marqué le début des années 70, mutations qui ont fait passer le logiciel libre de la sphère publique à la sphère commerciale. En réaction, les défenseurs du logiciel libre ont inventé un système original de « licences publiques » pour protéger ces logiciels contre tout verrouillage technique ou légal de leur utilisation, de leur diffusion et de leur modification. Cependant, si ces licences publiques permettent de favoriser la création de valeur, à travers la coopération d’une communauté de programmeurs et la diffusion du logiciel, le caractère aléatoire de la rémunération dans le modèle open source a conduit les éditeurs à chercher et inventer de nouveaux « Bunisess Models » plus ou moins aléatoires, garantissant mieux leurs revenus.Partant des connaissances accumulées sur le modèle open source, nous avons par la suite exposé la démarche initiée par Marseille Innovation, en collaboration avec CCI de Marseille Provence et l’association Libertis, pour structurer un réseau d’acteurs open source en PACA. Cette démarche a abouti au lancement de plusieurs chantiers d’intérêt commun dont un sur la mise en place d’un dispositif de surveillance sur la filière open source.La stratégie adoptée pour mettre en place ce dispositif de surveillance consiste dans un premier temps à dresser un état de l’art des différentes approches théoriques et pratiques recensées sur le sujet dans la littérature SIC. Ensuite, une approche pragmatique de la veille a été choisie et les moyens organisationnels, processuels et techniques pour mettre en place ce dispositif de surveillance ont été étudiés. Des actions de sensibilisation à la veille et l’intelligence économique ont été également conduites auprès des membres du réseau et des startups open source accompagnées par Marseille Innovation, grâce à lesquelles des besoins en veille sont identifiés et des produits d’information sont élaborés pour permettre aux membres du réseau open source de suivre efficacement leur environnement. Des études de veille sont également réalisées pour répondre aux attentes des entreprises sur le mode de création et de captation de valeurs dans l’open source, les segments de marché porteurs, les licences informatiques et les business models qui en découlent. / This thesis presents a feedback on the competitive intelligence device set up in Marseille Innovation to allow open source software editors housed in its business incubator, to effectively monitor their environment in order to detect new opportunities for development. This project is part of a comprehensive approach, led by Marseille Innovation and its partners to structure a network of open source companies in the PACA area (south of France).First, we achieved a state of the art of open source literature emphasizing the paradox posed by the open source model for software editors who choose to use free software licenses : the adoption of an open source model by some editors for their software allows a value creation that could be greater than that generated through traditional proprietary models, but this advantage is offset by a dangerous uncertainty as to the value capture, could be recovered by competitors who have yet made no programming effort to and not having incurred costs. Subsequently, we presented the birth of free software as the result of changes in the computer industry that marked the early '70s, changes which caused the passage of free software from non commercial/public sphere to commercial/private sphere. In response, defenders of free software have invented an original system of "public licenses" to protect these software’s against any technical or legal interlocking of their use, their distribution and their modification. However, if these public licenses allow to promote a value creation, through the cooperation of a community of programmers and software distribution, the randomness of remuneration in the open source model has led software editors to seek and invent new "Business Models" more or less random, to better ensure their income.Based on knowledge accumulated on the open source model, we have subsequently explained the approach initiated by Marseille Innovation, in collaboration with Marseille-Provence Chamber of Commerce and Industry (CCI) and Libertis, to structure a network of open source companies in the PACA area. This approach led to the launch of several projects of mutual interest, including one on the setting-up of a monitoring device to monitor open source software industry.The approach adopted to setting-up this monitoring device consists in a first step to establish a state of the art of different theoretical approaches and practices identified in the information and communication sciences’ literature. Then, a pragmatic approach of monitoring has been chosen. Organizational means, processual and technical have been studied to set up this monitoring device. Raising awareness actions to competitive intelligence were also conducted with members of the network and open source startups coached by Marseille Innovation, through which information needs are identified and information products are developed to enable members of open source network to effectively monitor their environment. Bibliometric studies are also made to meet the expectations of open source companies on how to create and capture value in the open source software model, about promising market segments, software licenses and business models that result.

El presente trabajo analiza los principios teóricos y conceptuales que componen el modelo “The Golden Stakeholder Circle”. La metodología empleada en este artículo corresponde al desarrollo de un paradigma naturalista e interpretativo, porque se estudia la gestión de las relaciones de las partes interesadas y se trata de comprender, analizar e interpretar la fenomenología de los conflictos sociales, centrándonos en la estructura del modelo, con el fin de comprender a cabalidad sus partes y generar nuevos conocimientos a partir del estudio de la literatura del modelo. Por ello se optó por recolectar y analizar el material bibliográfico empleado por Cesar Saenz para la elaboración de su modelo. Asimismo, se decidió analizar y comparar los datos e información sobre las teorías y conceptos empleados en dicho modelo con estudios y artículos de investigación en donde se desarrollaron casos en contextos similares y que exploraron algunas de las líneas de investigación que el autor empleó para construir su modelo. Finalmente, se complementó la información de los alcances del modelo con los aportes y descubrimientos de los otros estudios. / This work analyzes the theoretical and conceptual principles that make up the model “The Golden Stakeholder Circle”. The methodology used in this article corresponds to the development of a naturalistic and interpretive paradigm, because the management of stakeholder relationships is studied and it is about understanding, analyzing and interpreting the phenomenology of social conflicts, focusing on the structure of the model, in order to fully understand its parts and generate new knowledge from the study of the model's literature. For this reason, it was decided to collect and analyze the bibliographic material used by Cesar Saenz for the elaboration of his model. Likewise, it was decided to analyze and compare the data and information on the theories and concepts used in said model with studies and research articles where cases were developed in similar contexts and that explored some of the lines of research that the author used to build his model. Finally, the information on the scope of the model was complemented with the contributions and discoveries of the other studies. / Trabajo de investigación

Le produit de luxe n’est pas un bien comme les autres. Ses qualités matérielles et immatérielles lui confèrent une valeur particulière qui oblige son producteur à le vendre dans un environnement commercial adapté. La règle de droit peut-elle considérer cette particularité économique ? Paradoxalement, la France est leader mondiale du marché des produits de luxe, mais nul n’est en mesure d’affirmer avec précision ce qu’est le luxe. Intégrer une notion aussi insaisissable au sein d’un raisonnement juridique semble difficile. Pourtant, les atteintes subies par les titulaires des droits du produit de luxe ont convaincu le juge européen de mettre en place des règles protectrices spéciales. Le but poursuivi est légitime. Il s’agit de protéger les investissements réalisés pour vendre et promouvoir le produit de luxe. Mais cette démarche légale s’appuie sur une méthode de qualification qui n’est pas satisfaisante. L’«aura», le «prestige» ou la «sensation» de luxe qui émanent du produit marqué, sont des critères trop subjectifs pour assurer l’application systématique et cohérente de règles protectrices. C’est pourquoi, outre la démonstration d’un corpus de règles applicables au produit de luxe, il convient d’analyser les fondements de sa reconnaissance par le droit positif, ainsi que l’instauration d’un régime unifié reposant sur des critères de définition précis, prenant en considération les qualités intrinsèques de ce bien particulier. / The luxury product is not a product like any other. Its material and immaterial qualities confer a special value that requires its producer to sell it in a proper business environment. The rule of law can it consider this economic feature ? Paradoxically, France is world's leading luxury goods market, but no one is able to state precisely what is luxury. The law seems unsuited to integrate a concept as elusive as luxury. Yet, violations suffered by the owners of luxury product rights have convinced the European judge to set up special protective rules. The aim is legitimate. This is to protect the investments made to sell and promote luxury products. But this legal approach is based on a method of qualification which is not satisfactory. The "will", "prestige" or the "feel" of luxury emanating frombranded product, are too subjective criteria to ensure systematic and consistent implementation of protective rules. Therefore, in addition to the demonstration of a body of rules applicable to the luxury product, it should analyze the foundations of its recognition by positive law and the establishment of a unified system based on criteria precise definition, taking into account the intrinsic qualities of that particular property.

I dagens samhälle är det inte ovanligt för företag och organisationer att hitta bättre och alternativa mjukvaror med öppen källkod för att lösa sina behov. De söker programvaror som har de nödvändiga egenskaperna som krävs för att driva sin verksamhet och eventuellt ersätta egenutvecklad programvara för att spara tid och undvika onödiga kostnader. Denna avhandling har undersökt företagens behov av routing-applikationer och tagit fram ett förslag med hjälp av egenutvecklad testbädd. Den egenutvecklade testbädden kan användas av företag för att avgöra om den önskade öppen källkod programvara är lönsamt att implementera i ens verksamhet. Den routing-applikation som visade sig vara bättre än den befintliga är FRRouting(Free Range Routing). Lösningen som föreslås av studien har givit bevisad effekt genom ett pilotprojekt där öppen källkod har varit framgångsrikt på ett kvalitetsmässigt, funktionellt och kostnadseffektivt sätt att ersätta en befintlig programvara / Companies are looking into the open source community in the hope of finding a better alternative software to replace their existing software suit. They are looking for software that has the necessary properties required to run their business and possibly help them avoid unnecessary costs and save time. This thesis has examined the needs of routing application for companies and presented a suggestion by using self-developed testbed. The testbed can be used by companies to decide the beneficial of implementing the desired routing application software. The routing application that gave the best result in this study is FRRouting (Free Range Routing). The solution proposed by the study has been proven to be effective through a pilot project where open source program has been successful by retaining the expected quality, functionality in a cost-effective way.

Current legislation approaches the matter in a generic way, either equating the use of an image right to a simple obligation to use or to an obligation to give or even not specifically regulating the subject. Therefore, we will present an investigative method by means of which it is possible to consistently decide whether or not to levy taxes in such operations. The proposal herein is to start examining the transaction concerning the use of an image by identifying the main activity agreed in order to subsequently evaluate if such rendering implies an obligation whose legal nature is either to do or to give. The conclusion for charging or not the various taxes will result from the comparison between each tax s material aspect and the legal nature of the analyzed obligation. Notwithstanding, we aim to previously define the characteristic features of personality rights, especially image rights, in order to be able to indicate the constitutional protection provided to the image in its several aspects: social image, sole external image and group external image, differentiating them from arena rights. The purpose is also to analyze distinctive features of the image, which make it a sole and unique right, as well as its legal nature from the several theories developed by the doctrine so as to define the parameters of the image. It is only after the abovementioned definition that this work will effectively examine the compensation gained by the image rights holder. The identification of the main activities involved and their legal nature will allow one to decide on the subsumption of facts concerning the use of the images of entertainers and sportspeople to the following taxes: Municipal Tax on Services (ISS), State Tax on Distribution of Goods, Transport and Communication Services (ICMS), Income Tax (IR), Social Contribution on Net Profits (CSL), Contribution for the Social Integration Program (PIS) and Contribution for the Financing of Social Security (COFINS), Contribution for Economic Intervention Royalties (CIDE-royalties) and Import and Export Duty. By examining the taxation by Income Tax, we will also analyze the possibility of entertainers and sportspeople to constitute legal entities aiming to exploit personal rights and the situations in which it is accepted to disregard the corporate entity. Finally, the paper will address the taxation regime applicable to international transactions comprising the use of the image of those entertainers and sportspeople, in situations which the purpose is an obligation to do and in those in which the purpose is an obligation to give, in compliance with OECD Model Convention and the treaties signed by Brazil in order to avoid double taxation / O trabalho tem por objetivo examinar a tributação da contraprestação recebida por artistas e esportistas em decorrência da licença concedida a terceiros para o uso do direito sobre a sua imagem. Como a legislação existente trata do assunto de forma genérica, ora equiparando a sua utilização a uma obrigação de fazer, ora a uma obrigação de dar, ou mesmo não regulando especificamente a matéria, apresentamos um método investigativo pelo qual é possível concluir com consistência pela incidência ou pela não incidência dos tributos nessas operações. A proposta aqui trazida é a de se examinarem os negócios que envolvam a utilização da imagem a partir da identificação da atividade-fim contratada, para, posteriormente, avaliar se tal prestação consiste em uma obrigação cuja natureza jurídica é de um fazer ou de um dar. A conclusão pela cobrança ou não das espécies tributárias decorrerá do confronto da materialidade de cada uma delas com a natureza jurídica da obrigação analisada. Antes, porém, vamos fixar os traços característicos dos direitos da personalidade e, em especial, do direito de imagem, passando a apontar a tutela constitucional conferida à imagem nas suas diferentes vertentes: atributo, retrato e retrato em obras coletivas, diferenciando-as do direito de arena. Também serão analisados os traços caracterizadores da imagem, que a tornam um direito único e singular, bem como a sua natureza jurídica a partir das diversas teorias desenvolvidas pela doutrina, a fim de delinear os contornos da imagem. Somente após isso é que o estudo passará efetivamente a examinar a contraprestação auferida pelo detentor da imagem, com base na identificação das atividades-fim envolvidas e sua natureza jurídica para concluir pela sujeição ou não dos fatos envolvendo o uso da imagem de artistas e esportistas ao ISS, ao ICMS, ao IR, à CSL, ao PIS e à COFINS, à CIDEroyalties, ao Imposto de Importação e ao de Exportação. Ao se examinar a tributação pelo IR, também será analisada a possibilidade de artistas e esportistas constituírem pessoas jurídicas com a finalidade de explorar direitos personalíssimos e as situações em que se admite a desconsideração da personalidade jurídica. Por fim, o estudo abordará o regime jurídico tributário aplicável às transações internacionais envolvendo o uso da imagem de artistas e esportistas, nas situações em que o fim pretendido é um fazer e naquelas em que ele consiste em um dar, diante do disposto na Convenção Modelo OCDE e nos tratados firmados pelo Brasil para evitar a dupla tributação da renda

Multiculturalism and the De-politicization of Blackness in Canada: the case of FLOW 93.5 FM

This thesis presents a case study of Canada’s first Black owned radio station, FLOW 93.5 FM, to demonstrate how official multiculturalism, in its formulation and implementation, negates Canada’s history of slavery and racial inequality. As a response to diversity, multiculturalism shifts the focus away from racial inequality to cultural difference. Consequently, Black self-determination is unauthorized. By investigating FLOW’s radio license applications, programming and advertisements, this thesis reveals just how the vision of a Black focus radio station dissolved in order to fit the practical and ideological framework of multiculturalism so that Blackness could be easily commodified. This thesis concludes that FLOW is not a Black radio station but instead is a multicultural radio station – one that specifically markets a de-politicized Blackness. As a result, multiculturalism poses serious consequences for imagining and engaging with Blackness as a politics that may address the needs of Black communities in Canada.
