A community asset mapping programme for roots-driven sustainable socio-economic change in rural South Africa

Apartheid left a legacy that is spatially skewed. This is reflected in the present patterns of poverty and inequality in South Africa. While a number of global and national initiatives are in place to reduce the levels of poverty and inequality in rural South Africa, this research aimed at the development of a tool that would be able to assist communities themselves in reducing their own levels of poverty and inequality. This research was undertaken in collaboration with the Greater Rustenburg Community Foundation and a variety of rural communities in South Africa. The Community Asset Mapping Programme (CAMP) has as its purpose the achievement of sustainable and responsible high impact social change within communities. CAMP enables community members to map their own assets and empowers them to use these assets sustainably to create a better life for themselves. Communities are empowered to identify their own entrepreneurship and livelihood strategies and opportunities in an attempt to generate their own wealth. Unlike many existing asset mapping applications, CAMP advocates that the success of any roots-driven change depends on the inclusion of processes that will provide a cognitive shift in terms of a variety of processes such as wishes, fears, trust, self-worth, and power mapping, all providing different components that ensure a process of sustainable change within communities. The research presents an argument that if communities are to achieve effective roots-driven change they would require partnerships with Non Profit Organisations, government, civil society, business, and institutes of higher learning, who are willing to stand aside and allow communities to decide their own priorities in their journey to achieve their own wealth, but who would be willing to provide funding, mentorship, skills, and a continuous monitoring process over the medium to long term. / Geography / Ph. O presente trabalho tem por objeto o estudo do instituto da incorporação de ações. Para tanto, será analisado, (i) no primeiro capítulo, o regime legal vigente e sua natureza jurídica, apresentando-se as diferenças em relação à operação de incorporação de sociedade, fazendo inclusive um contraste com o direito norte-americano; (ii) no segundo capítulo, a proteção dos acionistas minoritários em operações de incorporação de controlada e eventual impedimento de voto do acionista controlador, analisando-se os recentes pareceres de orientação emitidos pela CVM; (iii) no terceiro capítulo, o estudo do instituto do tag along e do fechamento de capital e necessidade de realização de oferta pública em operações de incorporação de ações que impliquem transferência de controle ou cancelamento de registro de companhia aberta, à luz das últimas operações realizadas no mercado; (iv) no quarto capítulo, a discussão dos principais precedentes nos quais a CVM decidiu impor restrições ou impedir a realização de operações de incorporação de ações por entender ter havido um tratamento não equitativo entre os acionistas minoritários e controladores, com o objetivo de demonstrar a alteração do comportamento do órgão regulador no decorrer dos anos / The present work aims the study of the stock-for-stock exchange transactions (incorporação de ações). For this purpose, it will be examined (i) in the first part, the current legal regime and legal nature, contemplating differences with the statutory merger (incorporação de sociedade), including a comparison with the US law, (ii) in the second part, the protection of minority shareholders in the context of parent-subsidiary mergers and possible exclusion from voting of the controlling shareholder, taking into account the recent opinions issued by the Brazilian Securities and Exchange Commission (CVM), (iii) in the third part, the study of the tag along rights and the regulation for delisting companies and the need to conduct a tender offer in stock-for-stock exchange transactions involving transfer of control or delisting of a publicly-held company in light of recent transactions, and (iv) in the fourth part, the discussion of the key precedents on which CVM has decided to impose restrictions or prevent the conduct of stock-for-stock transaction under the understanding that there was inequitable treatment of minority shareholders and controlling shareholders, in order to demonstrate the change of the CVMs understanding over the years.

Participatory development communication in Ethiopia : a local development organization in focus

This research explores the perception and practice of participatory communication for development. To this end, the study focuses on a leading local Non-Governmental Organisation (NGO) named Organisation for Rehabilitation and Development in Amhara (ORDA), Ethiopia. This qualitative case study was based on the participatory development communication model which has been assumed to bring about sustainable socio-economic change of a country (Melkote & Steeves, 2001; Mefalopulos, 2008; Servaes, 2008). The data were collected using in-depth interviews, Focus Group Discussion (FGD), document analysis and field observation. The collected data were organised and analysed in the form of content and thematic analysis. The results revealed economic oriented and top down approach to development communication as the dominant conceptions, and majority of the research participants perceived the concept ‘participation’ as mere contributions of labour and materials which are not real participation, but co-option. Only a few of the management members of ORDA conceptualized the idea of ‘participation’ as an empowerment process in which the organisation’s official document is also stated. Besides, the results showed no genuine participation of the local community in ORDA’s development process. Generally, these results could lead us to conclude that participatory communication was the missing link in the development process. That is, communication was perceived as a transmission of development information and an image building activity, not a process of empowerment. The major communications practices of ORDA were also best described as one-way top down which could reveal the legacy of modernisation and dependency theories of the development literature. The study further indicated pressing factors such as individual, organisational and environmental related affecting the implementation of ORDA’s participatory development communication. The results of study further indicated that participatory development communication was not used a means of liberation from the chain of poverty, dependency syndrome and other underdevelopment problems which deeply persist in the region. Based on the findings, the study commends the mainstreaming of participatory development communication both at the perceptual and practical level for achieving sustainable development in rural Amhara region, Ethiopia. / D. Perceptions of the appraisal system for teachers held by heads of departments at selected primary schools in the East London region, Eastern Cape Province

This dissertation of a limited scope focuses on the Heads of Departments’ perceptions of the Integrated Quality Management System for teachers at selected quintile 5 Primary Schools in the East London Region of the Eastern Cape Province. It reveals the positive and negative aspects of the staff appraisal system, its implementation and purpose, as well as views on its improvement. By means of a qualitative case study and the Cognitive Evaluation Theory as theoretical framework, the researcher has determined that the Performance Measurement component of the appraisal system has a detrimental effect on the intrinsic motivation of teachers and that it should be separated from the Developmental Appraisal. Individual interviews with the Heads of Departments revealed the need for revising the assessment rubric in order for Performance Measurement to be conducted effectively. / Educational Leadership and Management / M. From a qualitative perspective the researcher want to explore and describe the criteria that must be taken in account during performance appraisal of community developers. A qualitative approach will be utilized following an explorative, descriptive and contextual research design. The study will be conducted by municipalities, non-governmental organizations and state departments in the Boland area in the Western Cape. Data will be collected by means of semi-structured focusgroup interviews with community developers. Data will be analysed according to the framework provided by Tesch (in Creswell, 1994). Guba's model (in Krefting, 1991) will be employed for data verification. Managing continuing professional development of teachers for curriculum change implementation

The current rapid school curriculum reform initiatives in the South African education system require teachers to develop continuously in order to understand and implement them effectively. Conversely, most teachers’ continuing professional development (CPD) activities based on curriculum change implementation are inadequate to produce their intended results. Teachers continue grappling with limited subject content knowledge, how to teach and assess in the outcomes-based way, and how to evaluate and select high quality textbooks. Extant studies suggest that most CPD approaches used thus far are typically loosely-matched to the teachers’ actual CPD needs, unrelated to classroom realities, and are seldom followed-up. These limitations imply deep-rooted problems and issues concerning how the relevant management structures within the various levels of the Department of Basic Education manage teachers’ CPD for curriculum change implementation. This qualitative case study examines the role of curriculum coordinators and school management teams (SMTs) in managing teachers’ CPD for curriculum change implementation, respectively, at the selected area offices and secondary schools in the North West Province. Through purposive sampling, this study involved the following participants: four curriculum coordinators, eight subject advisors, 24 principals, 24 Heads of Departments and 24 teachers. Empirical data were collected by means of interviews and document analysis. Data analysis followed Tesch’s steps for open coding. The findings suggest that the identified curriculum coordinators and SMTs are ineffective in discharging their role of managing teachers’ CPD for curriculum change implementation. They lack sound understanding of their role, and they also experience a litany of practical impediments. These barriers, inter alia, include limited training for CPD managers, shortage of relevant resources, difficulties of finding a suitable day and time for teachers’ CPD, CPD managers’ work overload and teachers’ change weariness. The implications of these findings on the quality of teachers’ CPD for curriculum change implementation are outlined. Relevant guidelines are developed to address the above challenges. It is anticipated that the findings and recommendations in this study will provide valuable and timely contributions in the fields of teacher development and curriculum change implementation. / Educational Leadership and Management / D. A Seguridade é uma das formas da intervenção pública do governo, com o objetivo de promover sua legitimação. A partir de uma problematização teórico-histórica sobre a teoria do Estado, base para os estudos, é discutida a construção do conceito de Seguridade no país e a regulamentação das políticas que a compõem Previdência, Assistência e Saúde , além da contra-reforma do Estado no Brasil e seus efeitos sobre essa política. Apresenta considerações sobre as alterações nas políticas componentes da Seguridade, discorrendo sobre a contra-reforma da Previdência Social com a incorporação da lógica atuarial à concessão dos benefícios; sobre a assistencialização das políticas sociais e o aumento dos gastos com a Assistência Social, ainda que em nível insuficiente para lidar com as mazelas sociais do país; e sobre o processo de implantação do Sistema Único de Saúde, que trouxe uma valorização da atenção básica à saúde e dos mecanismos de descentralização dos recursos, ficando os municípios responsáveis por boa parte da operacionalização e financiamento da política. A partir da discussão sobre o financiamento público, é ressaltada a predominância da valorização financeira do capital com a destinação de parcela crescente dos recursos arrecadados pelo governo para garantir a acumulação. Os principais mecanismos nesse sentido são os instrumentos de desvinculação das receitas, agora comprometidas com o pagamento dos juros da dívida, e as metas de resultado primário positivo. A intervenção pública dos anos 90 pautou-se pela busca da estabilização da economia, sobre-valorizando a importância de uma política econômica de cunho contracionista e conduzindo a cortes nos gastos públicos para a área social com a finalidade de pagar parte dos juros da dívida pública, ou seja, remunerar o capital especulativo e manter calmos, ou melhor, satisfeitos, os ditos mercados . Na medida em que avançou a penetração da ideologia neoliberal na sociedade e a utilização dos recursos arrecadados em nome da Seguridade para os gastos específicos foi reduzida, as possibilidades para a efetivação dessa política enquanto intervenção pública consolidada pioraram, dependendo cada vez mais de uma mobilização social nesse sentido.

自我國企業併購法容許以現金作為併購對價後,現金逐出合併即成為我國法制上適法之併購類型。惟現金逐出合併通常為控制股東利用股權優勢,以現金對價剝奪少數股東留存於併購後公司之手段,故控制股東是否濫用資本多數決侵害少數股東權益以獨占併購利益乃成為現金逐出合併上不可忽視之討論重點。 本文以比較日本法之觀點,針對專屬於併購之保護機制及公司法上既有之救濟機制進行比較分析,以釐清及了解現行制度於實際操作上是否確實能夠在現金逐出合併之實行過程中發揮保護少數股東之功能。討論範圍上,前者,包含「資訊揭露制度」與「股份收買請求權」;後者,包含「股東制止請求權」與「爭執併購決議效力之訴訟」。比較內容圍繞在此四項制度於解釋適用上之學說與實務觀點。 除保護機制之討論外,本文另從二階段收購之角度探討少數股東之權益侵害。討論範圍上,主要以與股份收買請求權具有密切關係之控制權溢價分配及公開收購壓迫性兩者作為討論之對象,並從日本法之比較分析觀點,探討是否可透過股份收買請求權使少數股東分享控制權溢價,及解決二階段收購下可能引發之壓迫性問題。 最後,本文針對現行制度提出檢討與建議。在保護機制部分,資訊揭露制度應補強揭露內容與強化非公開發行公司之保護,股份收買請求權應調整目前實務採用之計算方式,股東制止請求權與爭執決議效力之訴訟應作一體性之調整。至於二階段收購部分,則應容許少數股東可分享控制權溢價,並暫以股份收買請求權解決公開收購之壓迫性問題。

Vybrané otázky právní úpravy ochrany akcionářů v obchodním zákoníku / Selected matters covered by statutory provisions on shareholders protection as set out in the commercial code

This dissertation looks at selected matters covered by the statutory provisions on the shareholders protection as set out in the Commercial Code. It focuses mainly on the matters contained in Section 196a of the Commercial Code, Section 193 (2) of the Commercial Code, and on the issue of financial assistance. In addition, this dissertation deals with the legal protection of shareholders under the Business Corporations Act which is to take effect on 1 January 2014, and provides a brief outline of how these matters are regulated under certain foreign laws. As well, it provides a comparison with the legal regulations of the European Union. This dissertation is comprised of three sections, each having several parts. The parts are further divided into articles. Section 1 analyses the statutory provisions on the protection of shareholders as given in the Commercial Code, and is divided into four parts. The introduction, given in Part I, focuses on the protection of shareholders under the Commercial Code in the general sense. The remaining three parts concentrate on the above said selected statutory provisions.
