Esta dissertação analisa a exceção de ofensa à ordem pública como causa de recusa do reconhecimento e/ou execução da sentença arbitral estrangeira. Busca-se inicialmente determinar o conceito de ordem pública e sua extensão. Antes disso, contudo, elabora-se um breve panorama sobre sentença estrangeira e arbitragem comercial internacional, faz-se um apanhado histórico da homologação de sentença estrangeira no Brasil, analisa-se os aspectos gerais da homologação de sentenças arbitrais estrangeiras, as normas de origem interna e os tratados internacionais com vigência no Brasil, o procedimento homologatório e os pressupostos positivos e negativos da homologação. Após, analisa-se a ordem pública interna, internacional e transnacional, assim como a ordem pública processual e material. Em seguida, examina-se a extensão que a doutrina e a jurisprudência têm conferido ao conceito de ordem pública de que trata o art. V (2) (b) da Convenção de Nova Iorque e o art. 39, II da Lei nº. 9.307/96. Posteriormente, analisa-se alguns temas que já suscitaram questionamentos de ofensa à ordem pública, os casos já julgados pelo STF e STJ de homologação de sentenças arbitrais estrangeiras com alegação de ofensa à ordem pública e como o posicionamento do Judiciário, sob o enfoque da Análise Econômica do Direito, afeta os custos de transação dos negócios comerciais. Defende-se ao final do trabalho a necessidade de se restringir o campo de aplicação e o alcance dos questionamentos de ofensa à ordem pública. O objetivo do estudo é demonstrar que a ordem pública deve ser interpretada restritivamente e que a intervenção deve ser excepcional. / This Masters degree thesis analyzes the exception given to public policy offenses as a cause for the refusal of recognition and/or enforcement of foreign arbitral awards. This research initially attempts to define the concept of public policy and its extension. Prior to that, however, a brief analysis of foreign awards and international commercial arbitration as well as a historical overview of homologation in Brazil are drawn, and the general aspects of the recognition of foreign arbitral awards and the internal rules and international treaties which are effective in Brazil, the homologation proceeding itself, and both the positive and negative aspects of homologations are analyzed. Afterwards, the domestic, international and transnational public policies are analyzed, as well as the procedural and material public policy. Following, the meaning that the doctrine and jurisprudence have given to the concept of public policy presented in the Article V (2) (b) of the New York Convention, and in the Article 39 of Law No. II. 9.307/96 is examined. Later, some issues that have raised questionings related to public policy offenses are analyzed, as well as the cases already ruled by the Brazilian Supreme Court and the Superior Court of Justice for the homologation of foreign arbitral awards with alleged public order offenses and how the position of the judiciary, from the perspective of Economic Analysis of Law, affects transaction costs of business affairs. Finally, the need to limit both the scope of applications and the range of questionings concerning public policy offenses is defended. The main goal of this study is to demonstrate that public policy shall be strictly interpreted and that intervention must be exceptional.

This Dissertation is focused on issues concerning the position of an expert in international arbitration proceedings and in international investment disputes. Unlike proceedings conducted before general courts of law, arbitration proceedings have a number of advantages, and therefore they are used very often to resolve disputes in this area, and arbitration proceedings are used almost exclusively with regard to resolution of disputes relating to international investments. The aim of the Dissertation was an analysis of dispute resolution in arbitration proceedings from the expert's point of view and the expert's position in this procedure. It is without any doubt that experts can help arbitrators to reach a qualified resolution of disputes in a significant way. At first, the Dissertation deals with general and historical issues, such as comparison of methods of dispute solution where an international element appears, in both arbitration and judicial proceedings, and it lists the advantages of arbitration proceedings as well. After specification of the term "expert", the Dissertation provides a view into the expert's profession history in the territory of our country and into its legal regulation. L’arbitrage dans les pays arabes connaît aujourd’hui une nouvelle dynamique se traduisant pas la promulgation de nouvelles lois d’arbitrage et l’implantation de nouveaux centres d’arbitrage. Cette dynamique est d’autant plus particulière qu’elle se caractérise par la mise en place de zones franches juridiques conduisant à la division du pouvoir judiciaire et à la coexistence de deux systèmes juridiques, on-shore et off-shore. Cette nouvelle dynamique est-elle pour autant le reflet d’une approche désormais favorable à l’arbitrage ? Quelle est la place faite à l’arbitrage dans les pays arabes? La réponse à ces problématiques majeures ne peut s’effectuer qu’à travers l’étude du recours en annulation des sentences arbitrales. En effet, l’approche de l’arbitrage dans les pays arabes ne peut être évaluée qu’à la lumière de la position des tribunaux étatiques lors du contrôle judiciaire de la sentence arbitrale. Il s’agira d’examiner la nature du recours en annulation, sa coexistence avec les voies de recours ordinaires, son exercice et les différents motifs d’annulation. Il s’agira également d’analyser les règlements d’arbitrage qui prennent position sur les voies de recours et in fine sur le sort de la sentence arbitrale à travers l’étude de la demande de reconnaissance et d’exécution des sentences arbitrales, aussi bien dans les zones on-shore que dans les zones off-shore. Cette étude permettra ainsi de déterminer la perception de l’arbitrage dans les pays arabes et les réformes qui doivent être entreprises en vue de sa promotion comme mode normal de résolution des litiges du commerce international. / Today, within Arab states, a new dynamic in arbitration is taking shape. This is reflected in the proliferation of new arbitration legislation and the establishment of emergent arbitration centres across the region. What makes this new dynamic even more remarkable is the contemporaneous establishment of legal free-zones where judicial power is divided and co-exists between two systems best described as on-shore and off-shore. This thesis seeks to explore the possible implications of this new dynamic with a view to determining whether or not it can be considered a reflection of a developing, more favourable approach to arbitration in Arab countries. In order to address this issue effectively, this thesis will examine the present and immediate approaches to arbitration of judiciaries in 10 Arab states. This will be achieved through the study and analysis of the action for setting aside arbitral awards in these Arab states. This thesis will look at the nature, exercise and application of the action for setting aside arbitral awards. In addition, it will explore the grounds for this action and how, as a recourse, the action for setting aside exists alongside and interacts with other avenues of recourse. In order to assess the current approaches of judiciaries, within Arab countries, this thesis will also analyze current arbitration legislation and institutional regulations. This is in addition to the emerging trends and common practice, that is, in the context of the recognition and execution of arbitral awards, in both on-shore and off-shore legal systems.

La sentence est une notion complexe qui partage différentes caractéristiques avec le contrat, l’acte juridictionnel ou la décision de justice. En effet, la nature juridictionnelle de la sentence est aujourd’hui admise, mais en raison de son origine conventionnelle, elle demeure un acte privé. Ainsi, son régime d’acte juridictionnel est-Il modifié par un élément conventionnel – dès la désignation des arbitres appelés à rendre la sentence jusqu’à son exécution. L’étude du droit comparé montre que la notion et le régime de la sentence sont différemment appréciés en droit français et russe – tout est question d’interprétation des critères de qualification, bien qu’ils s’avèrent être les mêmes. Ainsi, convient-Il de faire ressortir ces différences à travers l’étude de la notion de la sentence et de son régime dans les deux ordres juridiques, sauf à démontrer que l’une et l’autre contribuent à la préservation du caractère particulier de la sentence qui ne peut et ne doit pas être assimilée, en définitive, à une décision de justice. / The arbitral award is a complex legal notion, sharing characteristics with the contract, the jurisdictional act and the judicial decision. Indeed, the jurisdictional dimension of the arbitral award has now been admitted, though, because of its contractual source, it is still considered as a private legal act. The legal regime of this jurisdictional act is therefore influenced by a contractual bias – as from the arbitrators’ appointment up to the enforcement of the arbitral award. A comparative approach shows that the arbitral award’s notion and legal regime are differently considered in French and Russian laws. The differences lie mainly in the interpretation of the legal qualification criteria, though the latter are similar in the two legal systems. The purpose of this analysis is to identify the said differences through the study of the arbitral award’s notion and legal regime in French and Russian laws, which might lead to consider that the specificity of the arbitral award should be preserved instead of considering the award as a judicial decision.

Arbitration stands between other alternative means of dispute settlement and the common court trial as a alternative dispute resolution. THESIS ABSTRACT The topic of Multi-tiered dispute resolution methods (or "MDR") is one of growing importance for parties involved in international transactions. When applied it allows them to resolve their disputes "smoothly" with the possibility to avoid an open conflict scenario and reduce their transaction costs. This masters thesis aim is to describe the legal phenomenon mentioned above in seven chapters. The first three chapters deal with theoretical and historical background of the topic, followed by the description of a variety of possible dispute resolution methods in chapter IV. Chapter V. lists three model MDR clauses and describes the Med-arb method as a typical example of MDR. Chapters VI. and VII. are concerned with practical questions of relevant legal orders in the arbitration step of MDR and with the importance of recognition and enforcement of arbitral awards.

1 Abstract This dissertation deals with investment protection in the European Union from several points of view. The first part deals with the history of investment protection and its main basis and grounds for current legislation and proposals for future regulation, particularly within the EU. In subsequent parts, current legislation and intra-European Union investment protection is analysed in detail, including the question of validity and applicability of Intra-EU BITs, i.e. bilateral treaties concluded between two EU Member States. The analysis is made from the perspective of EU law, as well as from the point of view of public international law. The dissertation further deals with their relationship and demonstrates contradictions between them in two crucial cases, Eureko/Achmea and Micula. Les litigants sollicitent les centres d’arbitrage pour diriger l’arbitrage dans toutes ses phases afin de donner une garantie supplémentaire qui assure la validité de la sentence arbitrale. Compte tenu du rôle important que les centres d’arbitrage jouent pendant l’instance arbitrale, les litigants mécontents de la sentence arbitrale ou du jugement annulant la sentence tentent d’engager la responsabilité du centre d’arbitrage dès lors qu’il a surveillé, dirigé et participé au rendu de la sentence.De plus en plus la responsabilité des centres d’arbitrage est mise en cause devant les juridictions étatiques différentes, les fonctions et les pouvoirs exercés par les centres d’arbitrage ainsi que le régime de responsabilité leur est applicable font l’objet d’une attention critique de la part de la doctrine dans plusieurs systèmes juridiques. Mit den konstituierungsbezogenen Rechtsbehelfen behandelt die Arbeit den Aspekt personeller Konfliktsituationen eines schiedsrichterlichen Verfahrens nach der ZPO. Es geht insbesondere um die Fragen, wie Schiedsrichter bei unterbliebener Mitwirkung einer Partei bestellt werden, auf welchem Weg eine Verfahrenspartei einen Schiedsrichter ablehnen oder dessen Amt sonst beenden kann und wie gegen einen Schiedsspruch vorzugehen ist, wenn die Konstituierung nicht ordnungsgemäß verlief. Definiert und systematisiert werden die Grundsätze und Begriffe der Konstituierung (Kapitel 1 und 2) sowie die Konstituierungshindernisse und Kriterien für die Bestellung von Schiedsrichtern (Kapitel 3 und 4). Im Detail und mit Blick auf die Praxis folgt die Erörterung aller konstituierungsbezogener Rechtsbehelfe (Kapitel 5 bis 8): Während des schiedsrichterlichen Verfahrens handelt es sich dabei um die Verfahren der Ersetzung von Schiedsrichtern (§ 1034 ZPO), der Ersatzbestellung von Schiedsrichtern (§ 1035 ZPO) und der Nachbestellung (§ 1039 ZPO), der Ablehnung von Schiedsrichtern (§ 1037 ZPO) und der Beendigung des Schiedsrichteramts (§ 1038 ZPO). Abschließend wird untersucht, wie Fehler der Konstituierung in den Verfahren nach dem Schiedsspruch geltend zu machen sind, also im Aufhebungsverfahren (§ 1059 ZPO) und im Vollstreckbarerklärungs- oder Anerkennungsverfahren (§§ 1060 f. ZPO). Ausgewertet ist neben der schiedsverfahrensrechtlichen Literatur und Kommentierung insbesondere die umfangreiche Rechtsprechung. / The text discusses the legal remedies for and in connection with the constitution of the arbitral tribunal, in regards to any personal conflict of arbitral proceedings as per the German Code of Civil Procedure (CPO). Hence the focus is on questions of how an arbitrator is to be appointed if one party fails to cooperate, of how a party may challenge an arbitrator or otherwise terminate an arbitrator''s mandate, and of how to proceed with an arbitral award issued by an unduly constituted arbitral tribunal. Chapters 1 and 2 deal with the principles, terms and definitions of the arbitral tribunal’s composition. Chapters 3 and 4 systematise obstacles to such a tribunal’s composition, and the criteria for an arbitrator’s appointment. Chapters 5 to 8 continue with a detailed examination, and focus on current practice with all corresponding remedies. During the arbitral proceedings such remedies make provision for an arbitrator’s replacement (section 1034 CPO), the appointment of an arbitrator (section 1035 CPO) or substitute arbitrator (section 1039 CPO), the challenge of an arbitrator (section 1037 CPO), or the termination of an arbitrator’s mandate (section 1038 CPO). Finally, for cases where an arbitral award has already been granted, the text discusses how an unduly constituted tribunal may be dealt with through proceedings for setting aside an award (section 1059 CPO), or for an award’s enforcement or recognition (sections 1060 f. CPO). In addition to the literature on arbitration and the annotations of the CPO, the substantial amount of legal precedent is particularly evaluated.
