Bakgrund: Aktieägarnas förtroende för revisionen och de finansiella rapporterna har påverkats negativt på grund av de revisionsskandaler som har varit aktuella under senare tid. Skandalerna har lett till att pålitligheten i revisionen har ifrågasatts av de finansiella rapporternas användare. En av skandalerna som har varit aktuell under 2000-talet är skandalen med HQ-Bank, där revisorn hade misskött sitt arbete och bedragit aktieägare och kunder. På grund av skandaler som denna har krav på hårdare lagstiftning efterfrågats. Till följd av detta har det tagits fram åtgärder i form av ett revisionspaket. Det har dock funnits delade meningar om åtgärdernas effekt när det kommer till att åtgärda problemet. Det faktiska och det synliga oberoendet har haft en stor roll i diskussionen när det kommer till att återuppbygga och stärka förtroendet.Syfte: Studien syftar till att fördjupa diskussionen i frågan om de förtroendestärkande åtgärderna och undersöker hur aktieägarnas förtroende till revisionen kommer att påverkas av åtgärderna i revisionspaketet.Metod: Frågeställningen besvaras genom kvalitativa intervjuer och lämpliga teorier för att skapa en korrekt bild över forskningsområdet. Teorierna som är utvalda för studien ligger till grund för analysen av det insamlade datamaterialet.Resultat: Studien tyder på att revisionspaketets effekt inte kommer att bli särskilt märkvärd, och frågan är om det är rätt åtgärd att vidta. Orsaken till det negativa utfallet tycks bero på osunda relationer som bygger på sociala mekanismer. Utifrån detta kan regleringen ses som att den endast fyller en social funktion eftersom sociala mekanismer kan anses svårreglerade.Det kan vidare uppfattas som att det synliga oberoendet har fått en större roll än det faktiska oberoendet när det kommer till att etablera förtroende. Studien finner ytterligare problem i att det råder ett förväntningsgap i samhället som visar på kunskapsluckor gällande revisorns ansvar, något som revisionspaketet inte kommer åt. En utjämning av förväntningsgapet skulle kunna mildra problemet varför fokus kanske borde ligga på att reducera gapet.Orginalitet/värde: Studien har bidragit till diskussionen kring förtroendestärkande åtgärder inom revisionen och revisionspaketets effekt när det gäller att påverka aktieägarnas förtroende. / Background: The shareholders trust in the auditing process has been affected negatively due to the recent audit scandals. The reliability of the audit has been questioned by the users of the financial statements due to the audit scandals. One of the main scandals during the 2000s is the scandal of HQ- Bank, where the auditor had mismanaged his work and defrauded shareholders and customers. Demands for stricter legislation has been requested because of the scandals. As a result of this, new arrangements in terms of a reform of the EU statutory audit market has been developed. However, there has been disagreements regarding the effectiveness when it comes to fixing the problem. The independence in fact and the independence in appearance has had a major role in this context when it comes to rebuilding strengthen the trust.Purpose: This study aims to deepen the discussion in trust-building actions and examines how the shareholders trust in the audit will be affected by the measures in the reform of the audit market.Methodology: The question is answered through qualitative interviews and appropriate theories to create an accurate picture of the research area. The theories that are selected for the study are the basis for the analysis of the collected dataFindings: The study indicates that the effect of the reform of the audit market will not be obvious, and the question is if it is the right move. The reason for the negative outcome appears to be due to unhealthy relationships based on social mechanisms. Based on this the regulation can be seen as only fulfilling a social function since social mechanisms can be difficult to regulate. It can further be seen as the independence in appearance has played a bigger role than the independence in fact when it comes to establishing the trust. The study finds further problems in the expectation gap in society that shows knowledge gaps regarding the auditor's responsibilities, which the reform of audit market cannot reach. A smoothing of the expectation gap might alleviate the problem as to why the focus should probably be on reducing the gap.Orginality/value: The study has contributed to the discussion regarding trust-building actions within the audit and the reform of the audit markets effect when it comes to influencing the shareholders trust.This thesis will continue in Swedish.

This study integrates elements from the theory of shareholder-value, the agency-theory, the theory of property rights and different stakeholder orientation-models to develop the approach of responsible stakeholder-management in the creation of shareholder-value. Stakeholders can be grouped into economic, social and environmental components. The concept of sustainable development has exploded in recent years. Three main elements of sustainable development were identified, namely economic, social and environmental development, referred to as "Triple Bottom Line (TBL)". Several organisations have started focussing on the concept of sustainability by guiding the development of sustainability policies. However, the Global Reporting Initiative (GRI) has become the de facto global standard for reporting on sustainable development. The concept of TBL, and how the three elements of sustainability could contribute to the maximisation of shareholder-value, is discussed. The results of the empirical study, where the financial performance and shareholder-growth of companies listed on the JSE and which adopted and reported on the GRI-guidelines, were compared to a group of companies in the same index grouping of the JSE that had not formally adopted and reported on the guidelines, identified a clear trend that those reporting on their sustainability policies had had a much better growth in five of the six financial measures used than the comparative group. / Thesis (M.Com. Previous issue date: 2016-05-09 / Since the mid-1990s the Brazilian business environment has experienced a significant increase in the sophistication of modeling corporate structures for large enterprises, a type of knowledge, however, mostly restricted to participants in these ventures and its legal and financial counsel. In the case of the corporate structure of Brazil Telecom, however, it was possible to access all documents and information in order to study this structure, due to the massive litigation involving this company for almost ten years , where most part of the documents analyzed in this dissertation were found. This material is precious because the case of Brazil Telecom - known as one of the major in Brazilian corporate law - has a very important peculiarity: the group was managed by a minority shareholder, Opportunity group, which exercised power control during those ten years, despite its diminished equity interest and strong opposition suffered from major shareholders for most of the time in which that power was exercised. The aim of this study is to reveal the legal techniques that allowed the exercise of this power, as well as to seek to understand why, in spite of so much opposition from other shareholders and the massive litigation, it took years for the Opportunity to be definitely removed from the administration and the exercise of controlling power of Brazil Telecom. / Desde meados dos anos 1990 o ambiente de negócios brasileiro tem passado por um relevante incremento na sofisticação da modelagem de estruturas societárias para grandes empreendimentos, um tipo de conhecimento que, porém, fica na maior parte restrito aos participantes desses empreendimentos e seus assessores jurídicos e financeiros. No caso da estruturação societária da Brasil Telecom, entretanto, foi possível ter acesso a todos os documentos e informações necessários ao estudo dessa estrutura, devido à enorme quantidade de litígios judiciais em que essa companhia esteve envolvida por quase dez anos, nos quais se pode obter a maior parte dos documentos analisados neste trabalho. Esse material é precioso, pois o caso da Brasil Telecom, conhecido como um dos maiores do direito societário brasileiro, tem uma peculiaridade muito importante: o grupo era gerido por um acionista minoritário, o grupo Opportunity, que exerceu poder de controle durante esses dez anos, apesar de sua diminuta participação societária e da forte oposição que sofreu dos acionistas majoritários por quase todo o tempo em que exerceu esse poder. O objetivo desse trabalho é revelar as técnicas jurídicas que permitiram o exercício desse poder, bem como buscar entender por que, apesar de tanta oposição dos demais acionistas e da enorme litigiosidade, anos transcorreram até que o Opportunity fosse definitivamente afastado da administração e do exercício do poder de controle da Brasil Telecom.

Previous issue date: 2016-12-22 / Under financial constraints, firms are kept from following first-best policies. It is in the best interests of the regulators to diminish this inefficiencies as firms play such a important roles in the economy as generating employment and contributing to the GDP. One of the channels through which regulation may interfere with firms funding availability is by protecting investors. This research assesses the relationship between investor protection and firms’ financial constraints. I split some of the most common measures of investor protection among three classes: creditor protection, minority protection and external investor protection. This division is relevant to screen the importance of a given class to alleviate the constraints: constrained firms are likely to share some characteristics that make them more akin to rely on given funding source, for example: firms facing asymmetric information problems are more suitable to debt financing. The cash-flow sensitivity of cash is used as a proxy for financial constraints. I construct cash saving models based on a sample of 27471 firms in 393 industries (3 digit-SIC), from 2001 to 2015. The models are fitted in two groups: for firms more likely to be constrained, and for firms less likely. To classify the firms between this two groups I rely on the Size and Age index, and on switching regressions with unknown separation points. The results points that creditor protection is related to lower cash-flow sensitivities of cash for the constrained firms, while external investor protection are related to more prevalent constraints. Minority protection present a negative interaction with the cash-sensitivity of cash in the panel model (indicating constraints relief) but positive coefficient relative to the switching regression. For the unconstrained batch, however, the results are mixed for the creditor protection measure, while external investor protection always diminish the firms’ propensity to save cash. / Sob restrição financeira, as firmas se distanciam de suas políticas ótimas. É do interesse dos reguladores diminuir as essas ineficiências pois as empresas desempenham funções importantes como contribuir para o PIB e gerar empregos. Uma das formas com que a regulação pode contribuir com a disponibilidade de financiamento para as companhias é estipulando leis que protegem seus investidores. Essa pesquisa investiga a relação entre proteção ao investidor e a restrição financeiro no meio corporativo. Nela, eu divido as leis que protegem os investidores em três tipos: proteção ao credor, ao acionista e ao investidor externo. A importância dessa divisão se dá por permitir identificar o efeito relativo de uma certa categoria de proteção em aliviar restrições financeiras: firmas restritas possuem características que podem torná-las mais suscetíveis a se financiar por certa forma de financiamento, por exemplo: firmas enfrentando assimetria de informação têm no endividamento sua forma de financiamento mais adequada. Para identificar restrição financeira eu me apoio na sensibilidade do caixa ao fluxo de caixa. Eu construo modelos de formação de caixa baseados em uma amostra de 27471 firmas em 393 industrias (SIC de 3 dígitos). A amostra compreende os anos entre 2000 e 2016. Os modelos são ajustados para 2 grupos: o das firmas mais prováveis de enfrentarem restrição financeira e o das menos prováveis. Para realizar essa classificação eu utilizo o índice de Tamanho e Idade, e em uma switching regression com pontos de separação desconhecidos. Os resultados apontam que proteção ao credor está relacionada a menores sensibilidades do caixa ao fluxo de caixa para ao grupo restrito, enquanto proteção ao investidor externo está relacionada ao restrições mais prevalentes. Proteção ao acionista apresenta uma interação negativa com a sensibilidade da caixa ao fluxo de caixa no modelo em painel, mas o sinal oposto no modelo de switching regression. No conjunto de firmas irrestritas por outro lado, os resultados são inconclusivos para a variável de proteção ao credor, enquanto proteção ao investidor externo sempre aparece relacionado a uma diminuição da restrição financeira.

La subordination financière est l’établissement d’une hiérarchie entre créanciers. Avant une procédure de répartition, cet ordre entre créances est mis en place à l’aide d’échéances différentes et de stipulations particulières (blocage des paiements). Après les répartitions, ce classement peut être créé par la suppression de l’égalité entre créanciers. Celle-ci est tantôt légale (droit de préférence), tantôt volontaire (déclassement) et s’assimile dans ce cas à une renonciation. Au terme de cette hiérarchie, certains créanciers seront payés en dernier, les créanciers résiduels. Le financement des sociétés est décrit par la distinction entre les associés et les créanciers. Devant la faiblesse de cette division, la doctrine a proposé les fonds propres. Ce concept est redéfini en mettant l’accent sur la subordination, qui fait clairement apparaître la qualité de créancier résiduel de l’associé. Il conduit à une nouvelle lecture du financement de la société, qui est transdisciplinaire / Financial subordination establishes a hierarchy between creditors. This degree is implemented through the legal or intentional suppression of creditors’ right to equal distributions in the bankruptcy proceedings. When it is a priority claim, this loss is imposed on creditors by law. When it is a subordinated claim, creditors accept to waive their right to equal distributions. In both cases, some creditors will be paid only after the full payment of others. Those are called residual creditors.Corporation financing is based upon a division between owner and lender. Traditionally, the former puts money into the business through legal capital while the latter grants loans. As this view no longer depicts the reality of corporation financing, the French jurisprudence tried to replace it with the concept of equity, which is broader than the legal capital. In this work, equity is redefined in setting in its core financial subordination, which clearly shows why a shareholder is a residual claimant. This new definition of equity, which is shared by other disciplines outside law gives a different approach to the financing of companies under French law

Corporate governance: a critical analysis of the effectiveness of boards of directors in public entities in ZimbabweMoyo, Nomusa Jane 10 1900 (has links)
The degree to which a country’s public entities observe basic principles of good corporate governance is an increasingly important factor for attracting investment capital, maintaining economic stability and encouraging growth. Zimbabwe is faced with the challenge of restructuring for greater efficiency and creating an investment-friendly environment, therefore practicing good corporate governance in public entities is crucial for success and economic growth. As business entities, public entities need to be managed effectively by a competent board, which is able to construct and implement strategies that are in the best interests of the entity and all stakeholders.
This study focuses on the corporate governance initiatives, laws and regulations aimed at enhancing the effectiveness of boards of public entities in Zimbabwe. The key question addressed is whether or not the corporate governance initiatives and legal and regulatory reforms in Zimbabwe are sufficient to enable boards of public entities to effectively discharge their duties and meet internationally accepted corporate governance standards. A comparative analysis of Zimbabwe’s public entities corporate governance framework to that of South Africa (a developing country like Zimbabwe) and Australia (a developed country with similar common law heritage) is also conducted. Recommendations are made on how best to enhance the effectiveness of boards of public entities in order to promote good corporate governance practices in Zimbabwean public entities.
The research established that the existing corporate governance framework has not been effective in improving the effectiveness of Zimbabwe public entity boards due to lack of commitment and consistency, political interference, weak enforcement mechanisms, corruption and general disregard for the rule of law. The research found that South Africa and Australia have performed better than Zimbabwe in terms of creating conducive environments for boards of public entities to effectively discharge their duties.
To improve the effectiveness of public entity boards, it was found that boards should be properly empowered, government intervention should be minimised, board appointment processes should be transparent and merit-based, boards should be properly composed, board remuneration should be fair and performance related, the performance of the board should be regularly evaluated and effective enforcement mechanisms should be put in place. / Mercantile Law / LL. Corporate governance and political economy in South Korea : family ownership, control of business groups, and state-led capitalismKim, Dongjeen January 2017 (has links)
The evolving nature of the Korean 'chaebol' - both a business group and the founding family who control the corporation - continues to intrigue scholars of corporate governance (Khanna and Yafeh, JEL 2007). In my thesis, I investigate these multi-generational controlling families to explain the chaebol's significance in the historical evolution of South Korea's political economy during the 20th century. My research first describes the origins of chaebol entrepreneurs and details their role in the growth of light industry before the the rise of state-led industrialisation during the social revolution of the 1960s in South Korea. I then consider the specific institutional features which appear to work against family control, even though they would ultimately support its proliferation: 1) progressive politics; 2) inheritance tax; and 3) ownership dispersion. Notably, my analysis of these distinctive institutions provides a clearer understanding of the contemporary behavior of the chaebols and their ability to maintain family control over many decades of growth. In order to better understand the role of controlling families, during the state-led industrialisation period (1961-1988), I analyse their corporate networks and their ability to wield political power. To do so, I employ an unconventional source of evidence: a database of marriages among chaebol families. This research is theoretically grounded in the contact capabilities hypothesis advanced by Amsden (1989) and Guillén (2001a, 2001b with Kock). My scholarly approach complements parallel research on human networks within the state. My findings have implications for: 1) the epochal nature of chaebol-political networks; and 2) the market reaction to such network events, thus demonstrating the economic significance of these informal networks. In my last chapter on the post-1998 era of financial liberalisation, I explore the evolution of the ownership structure within the business group as it relates to policy history. I do this through an analysis of The Holding Company Act of 1999, and show how the controlling families in South Korea found novel ways to use the Act to support their family ownership and corporate control in spite of the original intentions of the regulators. As I show, share buyback programmes, first popularized in Anglo-American financial markets, were crucial to the maintenance of chaebol. As it turns out, liberal policies, imported from the West, proved no more able to limit family capitalism in South Korea than domestic policy had been during the preceding state-led industrialisation era. Nonetheless, activist investor has a special role to play.

Previous issue date: 2016-02-26 / Não recebi financiamento / This paper presents a case study on the restructuring process of a Brazilian operation of a century-old Fortune 500 American multinational manufacturer of industrial equipment. The focus of the work lies with the dissonance between discourse and the result of that process, raising the hypothesis that capital market pressure is behind such restructuring. The annual reports of this company portray the restructuring as a recurring corporate strategy, through which the company seeks to boost confidence in the capital market itself and its ability to deliver better results (or reverse bad ones) without, however, such results are achieved in fact, as this case study aims to show. This institutional literature proved to be a flagship tool company speech aimed at telling the actors of the capital market, stories about the strategies set in motion in defense of the interests of shareholders. The examination of such documents for this case study revealed that these strategies unfold in sometimes more tangible actions, sometimes more performing ones and, while restructuring proved to be more performing actions; the strategy of acquisitions / divestiments in series proved to be the most tangible ones. / Este trabalho apresenta um estudo de caso sobre o processo de reestruturação da operação brasileira de uma multinacional americana centenária, fabricante de equipamentos industriais e presente na Fortune 500. O foco do trabalho recai sobre a dissonância entre o discurso e o resultado desse processo, levantando a hipótese de que a pressão do mercado de capitais esteja por trás de tal reestruturação. Os relatórios anuais desta empresa retratam a reestruturação como uma estratégia corporativa recorrente, através da qual, a empresa busca reforçar a confiança do mercado de capitais em si e em sua capacidade de oferecer melhores resultados (ou reverter os ruins), sem que, no entanto, tais resultados sejam alcançados de fato, como o presente estudo de caso pretende mostrar. Tal literatura institucional revelou-se uma ferramenta emblemática do discurso da empresa que visa contar aos atores do mercado de capitais, histórias sobre as estratégias colocadas em movimento em defesa dos interesses dos acionistas. O exame de tais documentos para este estudo de caso revelou que tais estratégias se desdobram em ações ora mais tangíveis, ora mais performáticas sendo que, enquanto as reestruturações se revelaram ações mais performáticas, a estratégia de aquisições / alienações em série revelaram-se as mais tangíveis.
