Le patriotisme économique à l'épreuve de la construction européenne / Can economic patriotism stand the test of the European construction?

Le patriotisme économique, souvent brandi comme un étendard afin de justifier l'intervention de l’État dans la sphère économique, est en cela une expression d'origine essentiellement politique. Ainsi ressort-il de manière régulière sur la scène médiatique française au gré d'offres publiques d'achat faites sur des fleurons nationaux. La traduction dans la sphère juridique de ce concept passe alors nécessairement par l'identification des instruments juridiques permettant sa mise en œuvre. Cette traduction se voit alors encadrée et dans une certaine mesure orientée par un impératif tenant à la détermination des limites du concept. Celui-ci n'a de sens, de manière autonome, que s'il parvient à se distinguer du protectionnisme. Dans cette optique, l'arsenal juridique du patriotisme économique désigne ainsi plus spécifiquement les moyens permettant à L’État de détenir un contrôle sur les entreprises qu'il juge « stratégiques » ou « essentielles » afin de veiller à garantir les intérêts nationaux vis-à-vis de prises de participation étrangères. De cette façon, le patriotisme économique s'affirme tant par son champ d'application, la protection de secteurs économiques stratégiques, que par son objet, en étant conçu à la lumière d'un élément tenant à l'extranéité, les capitaux étrangers. Dès lors, les instruments juridiques auxquels renvoie ce concept sont loin d'être propres à un État en particulier, bien au contraire. Étant donné qu'ils s'entendent sous le prisme de la souveraineté étatique, il s'agit même de se demander si leur mise en œuvre n'est pas inhérente à l’État. Parallèlement, la conception internationale de la souveraineté de l’État implique que celui-ci est libre de se limiter par la conclusion d'engagements internationaux. La construction européenne, caractérisant le processus dynamique d'édification d'une organisation d'intégration, est le fruit de l'exercice de cette souveraineté internationale. À mesure des transferts de compétences des États membres vers l'Union européenne, un point de jonction entre le patriotisme économique pratiqué par les États membres et la construction européenne s'est créé. Cette étude a donc pour objet d'étudier la dialectique entre le concept de patriotisme économique et la construction européenne, sous la forme d'une exigence de compatibilité. Cette dialectique doit alors s'analyser en miroir de la souveraineté de L’État. Si le patriotisme économique ne fait qu'exprimer la souveraineté territoriale et in fine la souveraineté interne de l’État, il porte en lui une certaine opposition au mouvement de libéralisation des échanges et des investissements, auquel l’État membre de l'Union européenne a lui-même consenti par le biais d'engagements internationaux. En cela des tensions peuvent être perceptibles entre la souveraineté interne et la souveraineté externe de l’État. / On the one hand, economic patriotism is often merely a ploy, flourished to justify State intervention in the economy. That is why it is first of all a political expression. Therefore, the matter routinely appears in the French media through the takeover bids made on national champions. The expression into the legal sphere of this concept requires an identification of legal instruments, which will make possible its implementation. This definition is framed and coloured by the necessity to distinguish economic patriotism from protectionism. As a result, the legal definition of economic patriotism refers to the means for the State to keep some control over the companies that it considers "strategic" or "essential" to ensure national interests are not jeopardized by foreign ownership. Therefore economic patriotism is asserted both through its scope, the protection of strategic economic sectors, and through its purpose, as an answer to an external threat: foreign capital. In this way the legal instruments to which this concept refers are far from being specific to a particular State. Since they are understandable through the State sovereignty, one even wonders if their implementation is not inherent to the State. On the other hand, external sovereignty implies that the State is free to restrict itself by entering into international commitments. European construction characterizes the dynamic process, which aims to build an integration organization and therefore it is the result of the exercise by the State of this international sovereignty. Even as jurisdictions have been transferred from member states to the European Union, economic patriotism practiced by the member states gradually fell into European integration realm. This study aims to explore the dialectic between the concept of economic patriotism and European integration as a compatibility requirement. This dialectic must be analysed from the State sovereignty point of view. Economic patriotism expresses the State territorial sovereignty whereas European integration is the result of its external sovereignty, which notably led to liberalize trade and investments. Therefore, tensions may appear between internal and external State sovereignty.

A critical appraisal of the creditor protective mechanisms under the South African Companies Act 71 of 2008

LLM / Department of Mercantile Law / This research examined the mechanisms that were employed by the Companies Act 71 of 2008 in order to protect the interests of creditors in company affairs. At the preamble of the aforementioned Act lies an undertaking from legislature to provide appropriate redress to investors and third parties/creditors. It was on that basis that the researcher sought to establish whether legislature had indeed fulfilled its commitment to provide appropriate redress to creditors. Traditionally, companies have been run to promote the interests of shareholders with little attention given to the interests of other stakeholders such as creditors. It is this research`s findings that South African company law has moved from the traditional view, that is the shareholder value approach, to the enlightened shareholder value approach: a model of corporate governance which permits directors to have regard, where appropriate, to the interests of other stakeholders but with shareholders’ interests retaining primacy. It is thus found that creditors cannot be protected by contract laws alone but that their protection should be enhanced by mandatory corporate laws which regulates the manner and conduct of company controllers in a way that ensures that the interests of all stakeholders, including creditors, are given due regard. Finally, it has been found that much work has been done by legislature in developing the re-enacted creditor protective mechanisms and also in statutorily adopting new mechanisms which are aimed at advancing creditor interests. Recommendations have thus been made to legislature for possible amendments to refine its corporate laws. / NRF

Convertible bonds financing : Shareholder wealth effects, Sequential Investments and Call Policies / Le financement par émission d'obligations convertibles : effets d'annonce, investissements séquentiels et politique de remboursement anticipé

Cette thèse apporte une lumière sur divers aspects du financement par émission d’obligations convertibles sur le marché ouest européen entre 1994 et 2016. La première étude analyse la réaction du marché à l’annonce d’obligations convertibles en période de crise. Nos résultats montrent une réaction significativement plus négative en période de crise qu’en période normale. L’étude des déterminants de cette réaction indique que les investisseurs intègrent le potentiel des obligations convertibles à réduire les coûts de financement externes. Cependant, la réaction négative du marché est au moins partiellement due à la suspicion d’une possible surévaluation de l’émetteur et cette suspicion est exacerbée en périodes de crise financière. Par ailleurs, nous montrons qu’une part de la réaction négative enregistrée à l’annonce des convertibles est probablement due aux ventes à découvert opérées par les arbitragistes. La deuxième étude de cette thèse teste la théorie du financement séquentiel de Mayers (1998) qui prédit que le recours aux obligations convertibles permet de financer de façon optimale des investissements séquentiels. Nous évaluons l’importance du call émetteur dans la mise en œuvre optimale du financement séquentiel en comparant les activités de financement et d’investissement des firmes ayant rappelées par anticipation leurs obligations convertibles à celles d'entreprises du même secteur les ayant remboursées normalement à leur échéance. Nos résultats indiquent que la clause de rachat anticipé permet aux émetteurs de minimiser les coûts d’émissions et signale une stratégie de financement séquentiel sous sa forme « forte ». De plus, le modèle des doubles différences indique que les firmes ayant rappelées leurs convertibles par anticipation investissent plus que les entreprises les ayant remboursées normalement aux dates de rappel et ce en considérant les effets temporels et autres variables de contrôle. Le dernier chapitre de cette thèse traite de la politique de remboursement anticipé des obligations convertibles. Nous montrons à l’instar des études précédentes que les firmes retardent le rappel de leurs convertibles par rapport au point optimal de rappel préconisé par Ingersoll (1977). L’analyse des différentes théories justifiant le rappel tardif des obligations convertibles débouche sur des résultats cohérents avec l’hypothèse de détresse financière mais rejette celles liées à l’existence de la période de notification. / This thesis focuses on three aspects of convertible bonds financing using a Western European sample between 1994 and 2016. The first study of this thesis is related to the shareholder wealth effects at the announcement of the convertible bonds issuance during financial crises. We find that the market reaction is more negative during crises’ periods compared to that in normal periods. Analysis of the determinant of this reaction indicates that the market recognizes the potential of convertible bonds to reduce agency and adverse selection costs. However, we also find that the signal of overvaluation sent by the issuance mitigates the investors’ optimism about the ability of the convertible bonds to alleviate external financing costs and this bad signal is exacerbated during the financial crises. Furthermore, we find that firms that are short-sale constrained incur less negative market reaction. The second study tests the sequential financing theory of Mayers (1998) which supports that firms issue callable convertible bonds in order to implement optimal sequential financing strategy. We point out in this study the importance of the call provision by comparing the investment and financing activities of Western European firms that early called their convertible bonds to those in the same industry that redeemed their bonds at maturity. We find that the inclusion of such provision allows firms (callable convertible bonds issuers) to better control issuance costs and signals a “strong” sequential financing strategy. We also find that the calling firms invest more than the non-calling firms at the call date and the difference-in-differences model shows that this difference is due to the call decision, after controlling for time fixed effects and other control variables. The last chapter of this thesis addresses the issue of convertible bonds call delay. As previous studies, we find that the companies do not call their bond at the optimum point identified by Ingersoll (1977). Unlike previous researches in the same area, our study considers the main theoretical rationales for convertible bonds call delay. We find strong evidence for the financial distress hypothesis, little evidence for cash flow advantage and signaling theories but no evidence for the notice period justification.

Styrningens påverkan i börsbolag : En kvalitativ studie om hur långsiktighet beaktas i en småländsk kontext

Bakgrund och problem: Att vara ett börsnoterat bolag innebär en ökad kravbild samtidigt som företaget blir offentligt kan förväntningar från främst aktieägare förhöjas. Fokus mot främst aktieägarna kan i vissa fall leda till att bolaget utgår ifrån ett mer kortsiktigt förhållningssätt, i den mån att skapa värde för ägarna. För att då minimera riskerna att bli kortsiktig, blir vikten av styrning mot långsiktighet en viktig faktor. Det blir därav intressant att undersöka hur börsbolag via sin styrning beaktar distinktionen mellan aktieägarvärde och långsiktighet. Syfte: Studiens syfte är att ge en förklaring till hur styrningen påverkas av att verka i en noterad miljö och hur detta avspeglas i de olika bolagens sätt att styra verksamheten. Studien ämnar att öka kunskapen om hur synen på aktieägarvärde och långsiktighet ter sig och om möjlig hur de båda samordnas i bolagen.  Metod: Metoden som valts för studien var en kvalitativ intervjustudie som ansågs vara mest lämplig sett till frågeställningar samt studiens syfte. Den empiriska materialinsamlingen har huvudsakligen skett med hjälp av semistrukturerade intervjuer som har utförts med ledande personer i börsbolagen. Slutsats: Styrningen i börsbolag ändras inte i så stor utsträckning av att verka i en noterad miljö, men det finns tendenser att den blivit mer formaliserad gällande främst rapportering. Den strategiska och taktiska styrningen formas till viss del utifrån börsen formella krav men även till viss del av intressenters kravbild. Samordning mellan långsiktighet och skapande av aktieägarvärde blir viktig för att begränsa kortsiktiga förhållningssätt främst med hjälp av bolagens tydliga strategiska inriktning. Koordineringen sker genom börsbolagens förmåga att tillgodose både aktieägarnas krav och uppnå bolagens långsiktiga planer. / Background and research problem: To be a listed company, it implies an increase in demands and, simultaneously, the expectations from the shareholders can be enhanced. The focus towards the shareholders, could in some cases result in short-sightedness in the company to increase their value. To minimize the risks of short-sightedness, the importance of management control towards long-sightedness becomes a crucial factor. It is thereby interesting to investigate how listed companies, with their management control, considers the distinction between shareholder value and long-sightedness.  Purpose: The purpose of this study is to give an explanation of how the management control alters by acting in a listed environment, and how it reflects in the different companies´ ways to control the business. The study intends to increase the knowledge of the view of how shareholder value and long-sightedness appears and, if possible, how these coordinates in the companies.  Method: The method that was chosen for the study was a qualitative interview-study, which were considered the most appropriate method aligned to the research questions and the purpose of the study. The empirical material collection has occurred primarily with the aid of semi-structured interviews which have been conducted with senior executives in the listed companies.  Conclusion: The management control in listed companies do not change, to a large extent, although there are tendencies that it has become more formalized regarding the reporting. The strategic management and management control are formed, to a certain degree, by the stock exchange´s formal requirements but also, to some degree, the stakeholder’s demands. The coordination between long-sightedness and the creation of shareholder value becomes vital in order to constrain short-term approaches, with the aid of the companies´ clear strategic direction. The coordination occurs by the listed companies’ ability to satisfy both the shareholders demands and accomplish the companies´ long-term plans.

An increased competitive climate has enhanced the importance for companies to differentiate from other companies. Today, the customer support within service organizations are often disregarded as a source of value due to the focus on costs. Further, it has become more important to leverage the contact with the customer at all encounters. New technological advancements within Business Intelligence have also enabled companies to increase their competitiveness through improved decision support. The objective of this thesis is through a case study investigate how an insurance company could leverage its customer support as a source of creating shareholder value as well as how to apply trends within Business Intelligence for increased decision support. This was done through developing a conceptual model based on academic theory in order to provide a tool for analysis and development of a customer support. The research questions intends to investigate how an customer support can contribute to, and balance a focus on service quality, costs and sales in order to enhance shareholder value. A business driven approach was further used in order to understand how a customer support could leverage the emerging trends of Business Intelligence. This since the thesis also aims to provide some first insights into how to leverage the trends of mobile- and Self-Service- Business Intelligence within the customer support within insurance companies. The research emphasizes the need to have a holistic view of what drives value and costs with regard to the retention, growth and acquisition of customers when viewing the customer support as a source of value. The thesis concludes that both the trends of mobile- and Self-Service- Business Intelligence could enable an insurance company to gain new insights through utilizing existing internal as well as external data in order to conduct a more continuous and flexible analysis of important matters.

Background: In recent years, there has been considerable interest in the philosophical concept of Open Banking and its practical implementation, often associated with digital platforms. The term ‘Open Banking platforms' has been used to describe the complex intersection between the two concepts of Open Banking and digital platforms, and it sometimes embody a series of challenges and opportunities. Open Banking aims to increase competition, innovation, and interoperability in the financial sector, creating opportunities for new players while challenging established banks to rethink their business models and value propositions. However, few researchers have addressed the question of challenges and opportunities faced by the various stakeholders involved in Open Banking platforms. Purpose: The purpose of this study is to investigate and deepen the understanding of the challenges and opportunities faced by various stakeholders involved in Open Banking platforms. Methodology: In this study, a qualitative methodology with an abductive approach was used, and the study was designed as a case study. The empirical data consists of seven semi-structured interviews conducted in 2023, as well as supplementary data from relevant documents. Thematic analysis and triangulation were employed to analyze the collected data. Conclusion: The complexity of Open Banking platforms becomes apparent during their practical implementation within the financial sector, involving technical, functional, interactional, relational, economic, and regulatory dimensions, as well as various stakeholders. On the one hand, third-party providers see opportunities for innovation. On the other hand, banks face issues with outdated IT infrastructure and threats to their existing business models. Some of the challenges arise due to varying perspectives and technological frames. This study also found that interest organizations play an important role in the design of Open Banking platforms, and regulatory requirements are therefore indirectly influenced by interest organizations. It is however challenging for stakeholders with limited resources to actively participate in the discussions about Open Banking. Additionally, a clearer dialogue and balance between compliance, security, and innovation is needed. Despite the challenges, Open Banking is considered important for the future but requires time to mature.

對於我國是否應開放合法賭場?在台灣已爭論十年以上。2009年1月23日修正公布《離島建設條例》增訂第10條之2,正式開啟我國於離島設置合法賭場之可能。 從中國澳門及美國開放合法賭場帶來經濟效益的經驗,加以新加坡2005年4月18日宣布,將開放成立兩處賭場度假村(Integrated Resort)以掌握賭場帶來的巨大觀光收益與稅收,似提供贊成我國引進合法賭場經營的有利論證。然對我國政府或官員而言,甚至學術研究領域,仍屬於相當陌生的新興產業;尚缺乏全盤性理解,尤其是外國法制的規範架構及內容的了解。 本論文以新加坡及澳門賭場管理法制為研究中心,採比較法學的方法,分析此二政府對賭場管理法制架構之異同,以作為我國未來建構賭場管理法制架構及內容之參考。另歸納賭場管理法的法律性質,及引進經濟學分析闡述其與賭場管理法制設計之關聯,是本論文另一重點所在。透過經濟學比較靜態的分析,提供新的法制設計思維。 本論文不辦證「開放合法賭場之利弊得失?」,而直接進入「政策已決定我國將開放合法賭場經營」之假設。就賭場管理法之法律性質,本研究歸納五項:一、是引進新興產業及增加投資的法律;二、是特許經營的法律;三、是具嚴格監控的法律;四、是慎選國家代理人的法律;五、是重視社會成本最小化的法律。此於第二章有詳細說明,並定位本論文之總論。 本論文第三章以下為各論之法制研究。分別以賭場特許執照之核發與撤銷、賭場營運之治理、賭場內部控制制度、賭場專責機關之設立等4章,作為分析新加坡及澳門賭場管理法制之架構。 最後,提出本研究之結論與建議:一、開放賭場合法化,應同時考量經濟利益與社會成本的效益;二、應建立嚴格治理的監理法制;三、設計降低社會影響衝擊的機制;四、強化股權控制與關係人之規範;五、賭場內部控制內容應提升至法律位階;六、賦予賭場專責機關較大的監理權限。

Le pacte d'actionnaires en droit égyptien sous le prisme du droit français / The shareholders' agreement under Egyptian law through the prism of French law

Les pactes d’actionnaires, conventions adoptées par les protagonistes des affaires internationales, répondent aux attentes des administrateurs et actionnaires quant à la circulation des actions et des parts sociales. Par contre, hors le marché règlementé, la liberté contractuelle accordée à la société – et actionnaires – de recourir à ce type d’arrangement contractuel, se heurte à la réalité légale et jurisprudentielle qui demeure la seule source de droit régissante cette convention. En optant pour la conclusion d’un pacte d’actionnaires, aucune disposition légale, notamment article de droit, ne régit cette convention. Ce contrat reste donc soumis aux règles de droit commun. Cette particularité accorde aux protagonistes une certaine liberté de rédaction, ce qui créé une originalité quant à la forme, au fond et aux effets de l’application du pacte. Reconnu, dans le monde des affaires français – tant par le législateur français que par les praticiens et protagonistes, comme étant une des formes adaptées à la gestion leurs sociétés, le législateur égyptien découvre encore cette forme contractuelle. La mondialisation, culturelle et commerciale, a non seulement permis de rapprocher entre les commerçants afin de trouver des solutions créatives quant à la conclusion des pactes d’actionnaires, mais aussi aux législateurs, autant bien français qu’égyptiens, de trouver des solutions quant aux problématiques qui s’opposent aux praticiens lors de la négociation, la conclusion ou même l’exécution de ces contrats. L’objet de cette étude sera d’examiner les particularités des pactes d’actionnaires dès la phase des négociations, passant par les phases de conclusion et exécution, jusqu’à la phase conflictuelle. Cette étude visera le modèle français, ayant déjà avancé sur ce domaine, en le comparant au modèle égyptien qui commence à se familiariser avec cette pratique. Bien que ces deux exemples demeurent toujours en voie d’évolution, le recours à ce type de contrat révèle des particularités et difficultés lors de son application, ce qui incitera les protagonistes à trouver des modalités novatrices permettant une mise en œuvre plus efficace de ces contrats et répondant à leurs attentes. / The shareholder agreements, considered as the one of the major contracts concluded by and between the actors of the international affairs, meet the expectations of the companies’ directors and shareholders regarding the transfer of stocks and shares. Nevertheless, outside the regulated market, the principle of contractual freedom accorded to the company - and its shareholders - to resort to this type of contractual arrangement, faces both legal and jurisprudential realities, which remains the only source of law governing this agreement.By choosing to undertake a shareholder agreement, no legal provision, including article nor law, governs this type of agreement. This agreement is therefore subject to the dispositions of the applicable general law. This feature gives the parties some freedom on drafting the agreement, which affects the form and content of the contract and produce its effects on the contract’s application. vWhile this agreement is frequently used in the French business practice - both by the French legislature and by practitioners and shareholders, and considered as one of the forms used to manage the companies, the Egyptian legislation is still discovering this contractual management form.The cultural and commercial globalization has not only helped traders to find creative solutions by entering into this agreement, but it has also helps the French and Egyptian legislations to find solutions as to issues that oppose practitioners during the negotiation of the contract, its conclusion or even during its execution.The purpose of this study is to examine the features of the shareholder agreements starting from the negotiations phase, through the conclusion and execution phases, until the conflictual phase. This study will focus on the French model, having already progressed in this area, compared to the Egyptian model that begins to become familiar with this practice. Although these two examples are still in process of evolution, the use of this type of contracts reveals the peculiarities and difficulties in its implementation, which will encourage the parties to find more innovative methods for more effective implementation of these contracts in order to meet their mutual expectations.
