跨國企業子公司的角色演化及擴展-以奇異塑膠台灣子公司為例 / Multinational subsidiary evolution: The case of GE Plastics Taiwan

本個案分析以奇異塑膠台灣子公司為例,說明在面對各跨國公司區域整合紛紛將將區域總公司設在中國的趨勢,台灣產業外移,奇異塑膠台灣子公司如何避免被邊緣化的威脅? 說明台灣在2000年初、電子組裝產業由OEM 轉型為ODM,及雖然生產線外移但是產業仍將研發連同規格制定仍舊保留在台灣。而奇異塑膠台灣的子公司經理人如何發揮他的創業家精神,利用這些規格制定留台灣優勢的因素、還有他的敏銳的觀察力發現電子產業的國際與大中華區域之間的價值鏈,善用他與總公司與姊妹公司的良好關係兜售他的創意、取得母公司的支持資源、而培養奇異塑膠台灣子公司在電子組裝產業獨特的能力,進而對在中國的姊妹子公司做出貢獻。而這ㄧ連串的主導活動奇異塑膠台灣子公司不但沒有被邊緣化,反而子公司因此轉型,子公司經理人運用他的創意制定“台商規格制定的生意的平台“使子公司的地位在電子產業處於更重要的策略角色,組織不但未被縮編、還因此增加人員、且獲得總公司的認可,更將重要的電子產業的全球角色成員編列在台灣及ㄧ系列的獨特資源。 筆者也將此個案與歷年的文獻做比對,讓個案更有學理的基礎,可以有信心的用本文作為跨國公司在台灣的子公司做為發展的參考及勉勵,並且個案所述的價值鏈及台商規格制定的生意的平台是可以套用在任何國籍或跨區域需要規格制定的產業上。希望這個成功的模式可以幫助別人。 / This case study uses GE Plastic as an example to illustrate how a Taiwanese branch prevailed when facing the global trend that international corporations, including Taiwanese firms, restructured their district headquarters to mainland China. Taiwan GE Plastic general manager leveraged Taiwan’s unique advantages on product specifications to gain strategic importance and supports from its global and regional headquarter. This manager realized several facts: first, although Taiwan moved its manufacturing components to mainland China. Taiwan kept its designing capabilities in-house; second. Greater China needs Taiwan’s capabilities to complete the value chain and generate profits; third, she maintained favorable relationships with the global headquarter and China regional headquarter. In lights of these facts, she sold an innovative concept to the global headquarter and attained resources to create a platform that kept Taiwan GE plastic relevant. This “speciation-dictating” platform enabled Taiwan GE Plastic to dominate its industry and contribute enormously to its sibling, the China branch. Not only wasn’t it marginalized, Taiwan GE Plastic placed itself in a key strategic position and gained recognition from its mother headquarter. This platform is not bounded by a particular industry and can be used in many other domains. Practitioners from other industries in Taiwan may gain insightful implications from this case and reposition their Taiwan branches in a vantage point.

O presente trabalho tem por objeto o estudo do instituto da incorporação de ações. Para tanto, será analisado, (i) no primeiro capítulo, o regime legal vigente e sua natureza jurídica, apresentando-se as diferenças em relação à operação de incorporação de sociedade, fazendo inclusive um contraste com o direito norte-americano; (ii) no segundo capítulo, a proteção dos acionistas minoritários em operações de incorporação de controlada e eventual impedimento de voto do acionista controlador, analisando-se os recentes pareceres de orientação emitidos pela CVM; (iii) no terceiro capítulo, o estudo do instituto do tag along e do fechamento de capital e necessidade de realização de oferta pública em operações de incorporação de ações que impliquem transferência de controle ou cancelamento de registro de companhia aberta, à luz das últimas operações realizadas no mercado; (iv) no quarto capítulo, a discussão dos principais precedentes nos quais a CVM decidiu impor restrições ou impedir a realização de operações de incorporação de ações por entender ter havido um tratamento não equitativo entre os acionistas minoritários e controladores, com o objetivo de demonstrar a alteração do comportamento do órgão regulador no decorrer dos anos / The present work aims the study of the stock-for-stock exchange transactions (incorporação de ações). For this purpose, it will be examined (i) in the first part, the current legal regime and legal nature, contemplating differences with the statutory merger (incorporação de sociedade), including a comparison with the US law, (ii) in the second part, the protection of minority shareholders in the context of parent-subsidiary mergers and possible exclusion from voting of the controlling shareholder, taking into account the recent opinions issued by the Brazilian Securities and Exchange Commission (CVM), (iii) in the third part, the study of the tag along rights and the regulation for delisting companies and the need to conduct a tender offer in stock-for-stock exchange transactions involving transfer of control or delisting of a publicly-held company in light of recent transactions, and (iv) in the fourth part, the discussion of the key precedents on which CVM has decided to impose restrictions or prevent the conduct of stock-for-stock transaction under the understanding that there was inequitable treatment of minority shareholders and controlling shareholders, in order to demonstrate the change of the CVMs understanding over the years.

Standardiserad modell för prestationsmätning inom en koncern : En fallstudie på Emballator Plastics & Innovations AB / Standardized performance measurement within a corporation : A study based on Emballator Plastics & Innovations AB

Bakgrund: Prestationsmätning utgör ett grundfundament i ekonomistyrning och avser styra i riktning mot långsiktiga mål. Vidare bör prestationsmätningen vara sprungen ur såväl långsiktiga mål som strategier där det på koncernnivå är av vikt att kongruens råder mellan moder- och dotterbolag. Vid utformning av en standardiserad modell för prestationsmätning måste hänsyn tas till rådande organisationsstruktur och företagsunika förutsättningar. Representerade mätetal avser påvisa kritiska områden med förhoppning att vidareutveckla verksamheten. Problemdiskussion: Koncernen Emballator Plastics & Innovations utgör tillsammans med underliggande dotterbolag ett konglomerat med koncerngemensam lean-strategi. Koncernen erhåller på månadsbasis rapporter över dotterbolagens prestationsmätning vilka upprättats utan direktiv ifrån koncernen och därmed är av särskiljande karaktär. Ett behov har uppkommit att låta standardisera en modell för prestationsmätning som samtliga dotterbolag kan nyttja för att enklare kunna skapa en övergripande bild över dotterbolagens prestationer. Prestationsmätningsmodellen skall vara standardiserad men samtidigt inte förbise företagsspecifika förutsättningar detta för att tillföra nytta på såväl koncern- som dotterbolagsnivå. Syfte: Denna studie syftar att utveckla en standardiserad prestationsmätningsmodell till Emballator Plastics & Innovations, vilken tar hänsyn till koncernens konglomerat och lean-strategi. Utvecklad prestationsmätningsmodell ämnar skapa en övergripande bild samt tillföra nytta på såväl moder- som dotterbolagsnivå. Metod: Detta är en fallstudie med kvalitativ ansats. Tillvägagångssätt för analys har varit av deduktiv karaktär där den teoretiska grunden i huvudsak baseras på vetenskapliga artiklar. Insamling av empiriskt material har erhållits via dokument samt intervjuer av övervägande semistrukturerad karaktär. Respondenter innefattar verkställande direktörer på koncern- liksom dotterbolagsnivå. Slutsats: Kongruens mellan långsiktiga mål och strategier på Emballator Plastics & Innovations och underliggande dotterbolag har identifierats. Med anledning av identifierad kongruens har förutsättningar funnits att utforma en standardiserad prestationsmätningsmodell. Väsentliga mätetal har utkristalliseras i avseende att skapa en övergripande bild över dotterbolagens prestationer. Modellens utformning främjar konglomeratet. / Background: Performance measurement is a basic foundation in financial management and control, where the intention is to fulfill long-term objectives. Performance measurement should therefore be developed with consideration to long-term objectives and strategies. Consequently, there is a need of congruence between the parent- and subsidiary level. When developing a standardized model for performance measurement, the current organizational structure and conglomerate needs to be considered. Represented key performance measurement aim to demonstrate the critical areas with the intention to influence improvements within the corporation. Problematization: Emballator Plastics & Innovations, is a composition of underlying subsidiaries, characterized of conglomerate and lean-strategy. The corporation receives monthly reports of the subsidiaries’ performance measurement, which have been constructed without directives from the corporation and this resulted in reports of distinctive character. Consequently, the need of a standardized model of performance measurement with the aim to easier receive a comprehensive picture of the subsidiaries' overall performance has arisen. However, the remaining problem is how to develop a standardized performance measurement model, which is beneficial for both parent- and subsidiary level, without ignoring the conglomerate. Purpose: This study aims to develop a standardized performance measurement model to Emballator Plastics & Innovations, where the corporations conglomerate and lean- strategy is taken into account. The developed performance measurement model intends to create an overall picture and bring benefits to both parent- and subsidiary level. Methodology: This is a case study with a qualitative approach. Procedure for analysis has been of deductive character where the theory is mainly based on scientific articles. Collection of empirical data has been obtained through documents and interviews with semi-structured character. Respondents include chief executives at parent- and subsidiary level. Conclusion: Congruence between long-term objectives and strategies at Emballator Plastics & Innovations and subsidiaries has been identified. Regarding to the identified congruence, potentials to develop a standardized performance measurement model have been secured. Significant key performance measurements have been detected, this with aim to receive an overall picture of the subsidiaries' performance. Finally, the design of the model has been designed in consideration of the conglomerate.

國際化與產品多角化對績效之影響——台灣製造廠商在大陸投資之實證研究 / Internationalization, Product Diversification and Performance:An Examination of Taiwanese Manufacturing Firms in China

廠商國際化與產品多角化程度對績效的影響有其重要性,然而過去的研究多著重於已開發國家,並針對大型多國籍企業之整體績效進行探討。本研究以經濟部統計處所進行的中華民國89年與91年製造業對外投資實況調查為樣本,分別由母公司與子公司角度著眼,探討國際化與產品多角化程度對台灣製造廠商於大陸投資之子公司以及台灣母公司本身績效之影響。 實證結果顯示:子公司之資源對其國際化和產品多角化程度均有正向影響,而國際化與產品多角化對於子公司績效亦分別具正向影響;母公司資源與國際化程度、水平相關的產品多角化程度均具有正向關係,而水平相關的產品多角化程度對於母公司績效亦存在正向影響。亦即,無論由母公司和子公司的角度切入,資源多寡有助於企業從事進一步的國際化和產品多角化策略,而藉由上述兩種成長策略之採行,對於公司的績效亦有提昇之效。惟母公司資源於89年資料分析中,對國際化程度呈現負向影響;而母公司國際化程度對績效也顯示為負向關係,本文研判原因應為實務界的運作中,國際化程度越高的企業越具有操弄績效的便利性,而國際化的指標選擇受限於次級資料之問卷設計,均對上述模型之統計結果有所誤導,相關探討請詳見本論文。此外,針對國際化與產品多角化影響績效之交互效果的分析顯示,產品多角化對於國際化與績效間正向關係的干擾效果不顯著,亦即廠商進行產品多角化策略對於國際化和績效間的正向效果無顯著助益。 / There seems to be a paucity of research regarding the interrelationships among internationalization, product diversification and performance, especially on the level of subsidiary. Additionally, past studies mostly described the results of firms from DCs. This research is designed to fill these voids. Based on literature on international business and strategic management, this study examines the relationships of performance with internationalization, product diversification and their interaction on Taiwanese manufacturing firms in 1999 and 2001. The data were from the “Survey of Foreign Direct Investment by Taiwanese Manufacturing Firms” conducted by the Statistics Department of the Ministry of Economic Affairs, R.O.C., annually. The empirical results showed that:(1) A Taiwanese firm with more than 200 employees tends to engage in internationalization more likely, and is able to exercise higher degree of corporate horizontally related international product diversification (2) A Taiwanese firm with more than 200 employees outperforms those with fewer employees. (3) Subsidiaries with more than 200 employees tend to have more internationalization and product diversification activities, and tend to outperform those with fewer employees. (4) Internationalization and product diversification at the subsidiary level are positively related to subsidiary performance. (5) Horizontally related international product diversification at the corporate level is positively related to corporate performance. However, the results did not show that internationalization at the corporate level is positively related to corporate performance. Besides, it did not support that product diversifications at both the corporate and subsidiary levels contribute significantly to the relationship between internationalization and performance. In other words, one type of growth strategy (i.e., product diversification) does not significantly change the relationship between another type of growth strategy (i.e., internationalization) and performance.

內部人參與投資母公司轉投資事業之研究 / An Empirical Analysis of Co-investment Between the Insiders and Parents in Subsidiaries

台灣上市公司為了轉型、多角化及提升競爭力等需求,經常轉投資於其他事業體,不同於其他歐美國家,台灣母公司通常未持有轉投資公司全數股權,而且經常有一部份股權是由母公司董監事、高階經理人及大股東等內部人所持有,此即本論文研究主題—內部人參與投資母公司轉投資事業。由於資訊不對稱下存在的代理問題,內部的參與投資母公司轉投資事業又改變了內部人報酬來源之結構,內部人動機及行為可能因而改變,進而影響轉投資績效及母公司價值。內部人參與投資母公司轉投資事業理論上有其重要性,但目前文獻尚未對此一現象之成因及影響進行探討,因此本論文針對內部人參與投資課題進行研究。 本論文取樣自台灣證券交易所在2001年底以前上市的74家各產業大型公司,藉由假說建構及變數的設計,以內部人參與投資為中心,本論文包含了三個研究課題,第一個課題關於轉投資事業間內部人參與投資差異性之成因;第二個課題是關於不同公司間內部人參與投資程度差異性之成因;第三個課題是檢視內部人參與投資對公司價值的影響。 在第一個課題轉投資業間內部人參與投資差異性成因方面,實證結果發現:母公司對轉投資事業持股比例愈高,參與投資比例愈低,支持「股權結構替代性假說」。對多數樣本而言,內部人對於有兼職的轉投資事業有較高的參與投資程度,支持「激勵機制假說」。內部人較傾向於參與投資與母公司經營無關行業的轉投資事業,支持「內部人投資多角化假說」。而「利益輸送因應假說」、「擇優投資假說」以及「內部人財務限制假説」並未受實證結果支持,可能代表對利益輸送效果之因應、追求具良好報酬特質的投資標的以及對自身財務限制之考量,並非內部人參與投資決策時的主要考量因素。 在第二個課題公司間內部人參與投資差異性之成因方面,實證結果發現,內部人參與投資會隨負債比例及轉投資組合比例而增加,表示內部人參與投資可能是為了解決母公司轉投資時資金來源的問題,支持「解決母公司財務限制假說」。而參與投資也會隨內部人兼職轉投資組合程度而增加,符合「激勵機制假說」之預期。內部人會因轉投資組合與母公司之間的契約交易關係密切,而增加其相對參與投資比例,符合「利益輸出因應假說」之預期。內部人參與投資比例平均值與母公司對轉投資事業持股比例平均值,呈顯著負向關係,支持「股權結構替代性假說」。而不論是轉投資組合規模、母公司規模或是局部轉投資組合相對規模,都對參與投資程度有顯著正向影響。未能受到本部份實證支持的假說包括「擇優投資假說」、「內部人投資多角化假說」、「直間接投資替代性假說」、以及「控制權補強假說」。 在第三個課題參與投資對公司價值的影響方面,實證結果發現參與投資比例中位數對轉投資組合報酬率有正向影響,支持「激勵誘因假說」,可以推論參與投資的激勵誘因效果,主要是來自於投資對象較為普遍,而不集中於少數轉投資事業的參與投資型態。除了少數分類樣本外,並未發現支持「內部人自利選擇假說」的直接證據。 在內部人控制權力集中以及家族控制公司,參與投資對公司價值的影響不論正負,都更為顯著;這可能是因為內部人參與投資最主要是透過影響內部人動機而影響母公司價值,由於這類公司的內部人比較能主導公司決策及營運,故內部人動機改變造成的效果會愈為顯著,造成了內部人參與投資對母公司價值有較為顯著的關聯性。而市場對於電子業內部人的參與投資評價似乎特別正向,可能是因為市場將內部人參與投資解讀為其對公司轉投資事業的認同。 / The large corporations in Taiwan often invest in other firms, namely the parent corporations own equity stakes of their subsidiaries. Interestingly, the insiders of parent corporations (including the directors, supervisors, senior managers and large shareholders of parent corporations) also frequently invest in these subsidiaries at the same time. I name this phenomenon co-investment. With the sample of 74 largest TSE-listed corporations of 17 industries, this empirical paper tries to investigate the causes and impacts of co-investment. The empirical results show that the degree of co-investment is negatively related to the equity stake hold by the parent corporations. The co-investment seems be used as an incentive mechanism, which can encourage insiders to improve the performance of subsidiaries. Insiders co-invest in those business-unrelated subsidiaries more likely, which is consistent with the “diversification hypothesis”. Those parent corporations with more transaction-related subsidiaries (TRS) have higher degree of co-investment, which implies that insiders may take the benefits of tunneling by increase their equity stakes of TRS. There are also some empirical results support that insiders co-invest in subsidiaries to finance the investment need of parents corporations. Although co-investment may reform the return source of insiders and theoretically deteriorate the incentives of insiders, however, this paper finds no strong evidence that co-investment would do harm to the value of parents corporations. One special type of co-investment may increase the performance of subsidiary portfolio and the value of parent corporations.

母公司智慧資本移轉對子公司經營績效之影響:以大陸台商為例 / The Impacts of Transfer Intellectual Capital from Parent on Performance of Subsidiary: An Examination of Taiwanese Enterprises in China

隨著中國大陸近十餘年來的改革開放,以低廉的勞工與土地成本、及高度持續之經濟成長,吸引台商紛紛將過去的台灣經驗移植到大陸。本研究從大陸子公司角度探討影響其經營績效之因素,分析台商母公司的智慧資本對大陸子公司經營績效的影響,特別將母子公司間的移轉機制與子公司的吸收能耐納入實證分析中。 本研究採用田野研究、問卷調查、與實證資料檢定,並結合多種不同的資料庫來源,以在大陸設有子公司進行投資活動之我國公司為研究對象進行問卷調查,回收之有效樣本合計共103家。路徑分析之結果發現大部分台商母公司所擁有的智慧資本會直接影響大陸子公司的經營績效。在智慧資本的移轉成效上,台商人力資本有移轉和吸收效果,但創新資本的效果則不佳。在上市櫃電子業之樣本下,母公司所擁有的人力資本係先透過影響母子公司間的移轉機制,再間接影響大陸子公司的資產報酬率。當台商母公司所擁有的人力資本愈高時,有助於提高大陸子公司之吸收能耐,並間接影響大陸子公司的資產報酬率。另外,迴歸分析之結果發現,不同智慧資本組成要素對大陸子公司經營績效影響的程度並不相同,人力資本對經營績效有顯著的正效果,而創新資本對經營績效的影響並不顯著。本研究最後建議理論或實務上之管理意涵。 / Over the past decade, the regulations of China have changed, and it provided a huge resource of cheap labor and land. Following the rapid economic growth has attracted Taiwanese enterprises to transfer their success experiences to China. It is important to examine the determinants of performance of subsidiary in China. This study analyzes the relationship between intellectual capital and performance covering the transfer from Taiwanese parent to Chinese subsidiary. This study particularly highlights the role of transfer mechanism and absorptive capacity in explaining the effect of intellectual capital on performance. This study integrates multiple research methodologies including field study, questionnaire, and empirical study. Since no single database exists to support this study, multiple sources are employed for constructing the sample frame. Based on a sample of 103 subsidiaries of Taiwanese enterprises in China, results of path analysis indicate that intellectual capital from parent is positively associated with the performance of subsidiary. In general, the results support that the effects of human capital on performance are mediated by both transfer mechanism and absorptive capacity, but the transfer roles of innovation capital are not supported. Finding from the public electronic industry reveals that the influence of human capital on return of assets is indirect through the mediating role of transfer mechanism. An absorptive capacity path is presented where absorptive capacity is associated with return of assets, and human capital influences absorptive capacity. Moreover, regression analyses demonstrate that different intellectual capital elements have a different effect on organizational performance. Human capital is important in explaining the variations in the performance of subsidiary, while innovation capital has little or no effect. Implications for theory and research are discussed.

La forte augmentation, depuis la fin des années 1980, des trafics transportés par les prestataires de transport (transport pour compte d'autrui) s'est traduite par une diminution de la part relative de ceux organisés par les chargeurs eux-mêmes (transport pour compte propre). Il reste cependant une part significative d'utilisateurs du transport pour compte propre. A la différence des travaux précédemment menés, cette thèse vise à étayer l'analyse de la dimension économique de l'évolution du transport pour compte propre en prenant en compte également les dimensions géographiques, sociales et juridiques. Pour appréhender les flux de transport, il s'avère nécessaire d'entreprendre une analyse des systèmes de production et de distribution et notamment les pratiques des acteurs afin de comprendre l'ensemble des mécanismes du choix modal. Cette thèse souligne l'importance de prendre en compte la dimension territoriale dans la prise de décision des entreprises.L'étude des caractéristiques de production et des organisations de transport a été permise par l'analyse quantitative des enquêtes chargeurs réalisées par l'INRETS en 1988 et 2004. La méthode qualitative a également été adoptée, en effet, des entretiens ont été réalisés auprès de responsables de transport chez les chargeurs afin de mieux saisir les conditions d'utilisation du transport pour compte propre. / The large increase, since the late 1980's, in freight carried by transport providers (for-hire transport) resulted in a decrease in the share of that handled by shippers themselves (own account transport). However, there remains a significant proportion of users of transport on own account. Unlike previous work, this thesis aims to support the analysis of the economic dimension of own account transport, taking into account also the geographical, social and legal dimensions. To understand transport flows, it is necessary to undertake an analysis of the production and distribution systems, in particular the practices of actors, to understand all the mechanisms of modal choice. This thesis underlines the importance of taking into account the territorial dimension in firms' decision-making. The study of production characteristics and of transportation systems was carried out by means of a quantitative analysis of Shippers' surveys conducted by INRETS in 1988 and 2004. A qualitative approach was also adopted: interviews were conducted with transport managers of shippers to better understand the conditions for use of own-account transport.

The purpose of this diploma thesis is to analyse certain aspects of the agreement on the performance of an office, a legal instrument with a long history in the Czech legal system. The foregoing type of agreement is regulated by the relevant provisions of the Act on Business Corporations (hereinafter the "ABC"). The paper focuses on the general definition of the agreement on the performance of an office, the subsidiary application of provisions relating to contract of mandate, as well as matters concerning the remuneration stemming from such agreements. The thesis is composed of an introduction, a main part comprising three chapters, and a conclusion. The individual topics make up chapters which are then divided into sub-chapters (the more extensive of which are further split into sections for the purposes of conciseness). The main conclusions of each chapter are summarised in a partial summary at the end of each chapter. The conclusion summarises all partial summaries and conclusions drawn from the thesis as a whole. The first chapter is introductory and defines the agreement on the performance of an office as a contract regulating the rights and obligations of a business corporation and a member of its body vis-à-vis each other.
