Human Rights and Contracts as Labour Governance: A (Post-)legal Realist InquiryMcDougall, Pascal 05 December 2013 (has links)
Law and development mainstream conceptions of labour market policies, while still marked by long-dominant views of contract law as economically superior to any labour regulation, have recently incorporated certain specific labour (human) rights. Core labour rights are thus accepted by global policy-makers, on the basis of their radical distinction from non-core labour standards and their rationalization according to certain foundational principles. This thesis criticizes the prevailing dichotomies between core labour rights and non-core standards, on the one hand, and contract law and regulation, on the other, bringing to bear the post-legal realist idea of legal indeterminacy. It argues that the organizing legal concepts that justify these dichotomies contain gaps and ambiguities that often lead to contradictory and indeterminate outcomes. It thus suggests that the core/non-core labour standards and contract/regulation distinctions are unproductive and should be rejected if a better conception of labour governance is to come to fruition.

In this article, the authors tell us about great risk insurances and describe its regulation in foreign law. Then, they point out the protective role of State in the consumption relationship is to reduce information asymmetries, but there is no total disclosure obligation in the market. Therefore, information asymmetry ceases to be relevant when the user of the service has negotiating capacity and necessary resources to make an informed decision. They conclude it is pertinent to equate the application of the Peruvian Insurance Contract Law to international standards. / En el presente artículo, los autores nos hablan de los seguros de grandes riesgos y describen su tratamiento en la legislación extranjera. Luego, señalan que el rol protector del Estado en la relación de consumo es reducir las asimetrías informativas, pero no existe una obligación total de divulgación de información en el mercado. Por lo tanto, la asimetría informativa deja de ser relevante cuando el usuario del servicio tenga capacidad de negociación y recursos suficientes para tomar una decisión informada. Concluyen que es pertinente equiparar la aplicación de la Ley del Contrato de Seguro peruana a estándares internacionales.

L’objet de cette thèse est d’analyser ce que l’on entend par « contrat » et de préciser ce que recouvre cette notion, qui est noyée sous une montagne de doctrine. Après une exploration minutieuse de la notion, qui devra permettre de tracer ses frontières avec les institutions voisines et d’appréhender la diversité des figures contractuelles et leur typologie, il s’agira d’opérer une synthèse de ces observations. La diversification des contrats ne se traduisant pas fatalement par un émiettement de la notion, la synthèse proposée sera unitaire. Prenant appui sur les diverses acceptions de la notion de contrat retenues au fil du temps (conception volontariste, conception normativiste…), la présente thèse brossera un portrait de la notion de contrat en en proposant une analyse renouvelée, tant dans sa dimension volontariste que dans sa dimension normative. La notion de contrat apparaîtra alors, débarrassée de tout dogme idéologique, comme une combinaison complexe d’éléments subjectifs et d’éléments objectifs. / The purpose of this thesis is to analyse and clarify what is understood by the notion of “contract”, buried as it is under mountains of doctrinal writings. After a detailed exploration of the general concept, which should enable demarcation of its boundaries with related institutions and give an appreciation of the diversity of contracts and their typology, the aim is to achieve a synthesis of these observations. As the diversity of contracts should not necessarily result in fragmentation of the basic notion, the proposed synthesis will be unitary. Building on the diverse interpretations over the years of the concept of contract (autonomy of the will theory, normative theory...) this thesis, after outlining the concept of contract in both its “voluntarist” and normative aspects, will propose a renewed analysis thereof. The notion of contract will then appear as a complex combination of objective and subjective elements, free of ideological dogma.

Le XXe siècle aura été celui de l’essor de la bonne foi objective en droit des contrats, et plus largement, de la prise en compte du comportement du contractant. La consécration des concepts de devoir et d’incombance contractuels permet d’appréhender techniquement cette donnée juridique sans altérer la catégorie des obligations civiles. Le devoir contractuel est une règle de comportement que le contractant doit observer tout au long de l’exécution du contrat, sous peine de commettre une faute contractuelle. Ainsi, par exemple, les exigences de bonne foi et de sécurité sont des devoirs en ce qu’ils imposent une certaine attitude au contractant, de manière continue, au-delà des obligations qu’il doit exécuter. L’incombance contractuelle est également une contrainte purement comportementale, mais sa particularité est qu’elle ne pèse sur le contractant que s’il désire obtenir l’avantage qu’elle conditionne. Il s’agit d’une exigence préalable et adventice à l’exercice d’un droit. Par exemple, l’acheteur qui désire obtenir la garantie du vice caché doit en dénoncer l’apparition au vendeur ; l’assuré qui veut bénéficier de la garantie du sinistre doit informer l’assureur de sa survenance. The adoption of the concepts of contractual duty and incombance allows a technical approach without affecting the category of civil obligations.Contractual duty is a code of conduct that the contracting party has to observe throughout the performance of the contract ; otherwise it might be viewed as being in a breach of contract. For example, the requirements of good faith and security are duties in that they require the contracting party to adopt a certain conduct on an ongoing basis, in addition to the obligations the contracting party has to carry out under the terms of the contract.Contractual incombance is also a merely behavioural constraint, however it differs in that it weighs on the contracting party only if they wish to benefit from the advantages it determines. It is a prerequisite for the exercise of a right. A buyer who wishes to avail himself of a legal warranty against latent defects, for example, must point out any defect to the vendor, just as the insured who wishes to make a claim must report the covered incident to his insurance company.Distinct sanctions apply to these notions : in case of a breach of contractual duty, penalties can be awarded as a result of the party’s failure to perform its contractual obligations ; on the other hand, non-compliance with and incombance will entail the loss of the determined right.

La problématique conduit à une analyse du droit européen privé des contrats. La première partie recherche les sources de la liberté contractuelle européenne. La multiplicité des règles et des pratiques permet de constater un défaut de définition. Le premier chapitre souligne que l'autonomie de la volonté est relative parce qu’elle est subjective et évolue au gré des équilibres en jeu. Il s'agit d'une liberté intégrée, issue du code civil romano-germanique. Le second chapitre permet de constater que l'autonomie de la volonté est un principe très relatif en droit international privé. Le pluralisme du droit implique que la liberté contractuelle est une notion sans source et ni stable, ni établie. Le droit international privé européen est en construction et fonctionnel.La seconde partie étudie la liberté contractuelle européenne du point de vue du droit positif au sens large du terme. Cette liberté est un principe relatif en symbiose avec les nécessités de protection des cocontractants et du commerce européen. Il s’agit d'un principe subjectif du fait de l'ordre public européen (qui contient l’ordre public économique, les lois de police et l’ordre public international classique), et d’un principe essentiel dans la construction européenne. Le premier chapitre trace le cadre et la structure générale de la liberté contractuelle européenne. Elle participe au commerce et se doit de respecter les principes essentiels de l’Union au sens de droit objectif (liberté d’établissement, juste concurrence, égalité commerciale) ; elle est traduite par l’essor de principes européens et par la pratique commerciale. Le second chapitre note que la liberté est une notion intégrée dans la société européenne. Elle est fonctionnelle et trouve son équilibre en correspondant avec l’ordre public au sens subjectif (protection des parties les plus faibles et des droits fondamentaux). / Problem drives to analyze what is European right of contract. The second chapter allows noticing that the autonomy of the will is henceforth a very relative principle in international private law.Pluralism of the law involves that the contractual freedom is a notion without spring neither stable nor established. The European private international law is under construction and organized in a functional waySecond part studies the European contractual freedom from the point of view of the substantive law. This freedom is a relative principle in symbiosis with the necessities of protection of the parties of contract and necessities of the European business. It is about a subjective principle because of the European law and order (it contains the economic law and order, the lois de police and the classic international law and order), and because of principles in the European construction. The first chapter draws the frame and the general structure of the European contractual freedom. It participates in the business and owes respect the essential principles of the Union in the direction of objective right-law (freedom of establishment, just competition, commercial equality); it is characterized by the European principal development and by the commercial practice. Second chapter notes that the freedom is integrated into the European Union. It is functional and finds balance by corresponding with the law and order to the subjective direction (protection of the weakest parties and the fundamental rights).
