En el presente proyecto de tesis, se analizaron factores importantes para la ciudad de Lima de hoy en dia y el potencial de esta como capital para seguir creciendo culturalmente para sus ciudadanos y visitantes. Debido al auge gastronómico peruano, se propone un Mercado y Patio Gastronómico; tipología que se ha instaurado internacionalmente en Europa y Latinoamérica en el siglo XXI de manera exitosa, como reivindicación del mercado de abastos que fuera relegado por los “supermercados”. La propuesta se ubica en el distrito de Barranco, en un terreno donde funciona actualmente un mercado en malas condiciones de funcionamiento y sobre todo de seguridad y sanidad. El proyecto considera la población de vendedores actual y segrega según los tipos generando dos niveles de mercado y un patio de comidas; aprovechando el surgimiento del distrito como destino de turismo; siendo esta una oportunidad para la regeneración de ese sector. El proyecto se emplaza con una propuesta volumétrica adecuada en escala y proporción, que conserva la contención de las calles; típicas del distrito. Se propone una respuesta contemporánea en compromiso con su entorno. / In this thesis project, important factors of the city of Lima and its potential as a capital to continue growing in a cultural way not only for its citizens, but also for its visitors, were analyzed. Due to the peruvian gastronomic popular increase in the last decade, a Gastronomic Market and Patio is proposed; typology that has been established internationally in Europe and America in the 21st century in a successful way, as a demand of the food market that was relegated by the appearance of “supermarkets”. The project is located in the district of Barranco, in an area where a market is currently operating in poor conditions, especially bad in safety and health conditions. It considers the current vendor population and segregates according to the types of market stands, making two levels of market and a food court, in this case the gastronomic patio, taking advantage of the emergence of the district as a tourist destination; this being an opportunity for the regeneration of that neighborhood. The project is set up with an adequate volumetric proposal in scale and proportion, which preserves the containment of streets, typical of the district. Выпускная квалификационная работы выполнена на тему «Разработка принципов построения малогабаритного снегоболотохода с дистанционным управлением». Расчетно-пояснительная записка содержит 198 листов, 90 рисунков, 16 таблиц, 11 источников, 42 приложения. Объектом разработки является малогабаритный снегоболотоход с дистанционным управлением, предназначенный для инженерно-изыскательских работ. Цель работы – разработка принципов построения малогабаритного снегоболотохода с дистанционным управлением, в том числе разработка новых узлов, выбор из ранее представленных, модернизация и реконструкция элементов, разработанных для других машин. В результате проведенной работы спроектированы 3 шнековых движителя, 4 подвески, 2 системы управления, также рассмотрены блоки задания скорости, кольцевые распределители импульсов и преобразователи «Код-напряжение». В проекте также рассмотрены вопросы безопасности труда, радиационная безопасность и природопользование и охрана окружающей среды. В разделе технико-экономических показателей приведены единовременные, текущие и приведенные затраты. / The goal of the research was to justify the selection of various structural elements and control systems on the basis of both design parameters and the analysis of assigned tasks. Thus, a number of existing designs of machines, propellers and suspensions were considered in the course of the study, all of which could be used for different purposes: for example, it is more rational to utilize motor-in-wheel propellers to glide over the water, since those are most lightweight and waterproof of all, and to choose a spring suspension – since it contains the minimal number of elements which could fail in the water medium. As to the systems of control, the selection of their control blocks is made on the criteria of reliability, since it is necessary to ensure no-failure operation of the system as a whole. As a result of the work, 3 screw propellers, 4 suspensions, 2 control systems were designed, and a few speed assignment blocks, circular distributors of impulses and number-to-voltage converters were considered. The project also analyses the problems of work safety, radiation safety, conservation and environment control. The section on project feasibility cites nonrecurring, current and reduced costs.

Secure information exchanges over cyberspace is on the increase due to the convergence of wireless and mobile access technologies in all businesses. Accordingly, with the proliferation of diverse multicast group service subscriptions that are possible to co-exist within a single broadband network, there is also huge demand by the mobile subscribers to ubiquitously access these services over high speed broadband using their portable devices. Likewise, the Network Providers (NPs) invest hugely in infrastructure deployment to disseminate these services efficiently and concomitantly. Therefore, cyber security in any business is obligatory to restrict access of disseminated services to only authorised personnel. This becomes a vital requirement for a successful commercialisation of exchanged group services. The standard way to achieve cyber security in a wireless mobile multicast communication environment is through confidentiality using Group Key Management (GKM).The existing GKM schemes for secure wireless multicast from literature only target single group service confidentiality; however, the adoption of multiple group service confidentiality in them involve inefficient management of keys that induce huge performance overheads unbearable for real time computing. Therefore, a novel authenticated GKM scheme for multiple multicast group subscriptions known as slot based multiple group key management (SMGKM) is proposed. In the SMGKM, the handovers move across diverse decentralised clusters of homogeneous or heterogeneous wireless access network technologies while participating in multiple group service subscriptions. Unlike the conventional art, the SMGKM advances its security by integrating location based authentication and GKM functions. Both functions are securely offloaded from the Domain Key Distributor (DKD) to the intermediate cluster controllers, Area Key Distributors (AKDs), in a distributed fashion, using the proposed location based authenticated membership list (SKDL). A significant upgrade of fast handoff performance with reduced performance overheads of the SMGKM scheme is achieved. The developed numerical analysis and the simulation results display significant resource economy in terms of reduced rekeying transmission, communication bandwidth and storage overheads while providing enhanced security. The performance of the SMGKM in a high speed environment is also evaluated and has demonstrated that SMGKM outperforms the previous work. Finally, the SMGKM correctness against various attacks is verified using BAN logic, the eminent tool for analysing the widely deployed security protocols. The security analysis demonstrates that SMGKM can counteract the security flaws and redundancies identified in the chosen related art.

Les abus de puissance économique dans les relations commerciales déséquilibrées / The abuses of economic power in unequal commercial relationships

La loi doit trouver le moyen de prévenir et sanctionner de façon efficiente les abus de puissance économique constatés dans les relations commerciales déséquilibrés mais sans provoquer d’effets pervers sur le marché et sans ruiner l’efficacité des autres règles relevant du droit de la concurrence. Lorsque les rapports de force entre les parties sont particulièrement déséquilibrés, la partie forte peut imposer des conditions inégales à la partie faible, notamment à la faveur du « facteur crainte ». En effet, tant que le contrat est en cours d’exécution, la partie faible ne réagit pas de peur que la relation commerciale ne se termine. De ce fait, en dépit de la présence de nombreux textes réprimant les abus, la réalité montre qu’ils ne cessent de se répandre. Le législateur agit généralement dans la précipitation, abuse de palliatifs et néglige la faculté d’adaptation des entreprises les plus puissantes qui trouvent souvent le moyen de contourner les règles. En définitive, seul un marché plus équilibré, c’est-à-dire moins concentré, permettrait de remédier durablement aux abus de puissance économique. Dans ces conditions, la mise en place d’une véritable injonction structurelle mériterait d’être de nouveau envisagée. Le présent travail se propose de comparer les principales mesures de prévention et de sanction des abus mises en place en France et en Corée du sud qui, face à un phénomène similaire, adoptent parfois des réponses différentes. / Competition provisions seek to regulate the abuse of economic power in unequal commercial relationships. However, in the process, such provisions should not have the effect of adversely impacting the market or harming the proper functioning of other competition rules. When there exists a significant power disparity between parties, the stronger party can impose unequal conditions on the weaker party, particularly through what is called the "fear factor". During the duration of the contractial relationship, the weaker party will not be able to stand up to the stronger party in fear of the commercial relationship being terminated. This is why oppressive behaviors continue in reality, despite the presence of numerous regulations designed to prevent such behaviors. Law makers have a tendency to react by hastily enacting ad hoc regulations. The adaptability of powerful corporations to circumvent the rules is often overlooked. Ultimately, abuses of economic power can only be regulated on a sustainable basis through the creation of a more balanced and less concentrated market. It is in this context that a truly structural approach should be considered. This analysis compares the principal measures against abuses of economic power employed in France and Korea, which sometimes adopt different responses to similar circumstances.

半導體原物料通路商之策略研究 / Strategy Research for Semiconductor Manufacturing Raw Material Distributors: the Case Study of Topco Scientific Co., Ltd

台灣半導體產業協會指出,半導體產業無論是在產值、營運附加價值、外匯收入、稅賦、就業機會、政府投資獲利、興建晶圓廠所帶動的周邊效益等,都有穩定且持續成長之表現,對國家有相當大的貢獻。在半導體產業中,半導體原物料通路商位居上游供應商與下游製造商之間的橋樑位置,維繫通路貨暢其流,在整個產業鏈中扮演重要角色。在此一領域中,以崇越科技的經營績效卓越,足為業界楷模。因此,本研究擬以崇越科技為個案,進行策略研究。 一個成功的營運模式,應該可以解釋如何增強價值展現、如何作好價值傳遞,以及如何達成價值回饋等議題。藉由研究連續成長的個案公司-崇越科技,本研究希望可以確認下列議題所採取的關鍵策略: (1)個案公司如何確保其在產業價值鏈中的位置?亦即如何增強價值展現? (2)個案公司如何提升相對於其他同業的競爭力,並更有效地提供客戶最大的價值?亦即如何作好價值傳遞? (3)個案公司如何作到提升營業利潤及實現公司價值?亦即通路商如何達成價值回饋? / 本研究使用吳思華教授的「策略三構面」及「四個競技場」分析進行個案研究。策略三構面理論主張,規劃企業策略時,可以由下列觀點進行: (1)營運範疇:產品/市場、活動組合、地理構形、業務規模 (2)核心資源:有形/無形的資源、個人/組織能力 (3)事業網路:體系成員、網路關係、網路位置 / 此外,本研究也將探討三構面之間彼此的調整關係。至於四個競技場分析,則是以下列四個不同觀點,分析企業的策略: (1)價值與效率競技場 (2)能耐與結構競技場 (3)實力與體系競技場 (4)異質與同形競技場 / 本研究針對崇越科技的四項重要策略事件,包括成立光電材料部、成立水處理部、IPO、成立中古設備部等,進行策略三構面分析,以及四個競技場分析。藉以研究半導體原物料通路商如何增強價值展現,如何作好價值傳遞,以及如何達成價值回饋。茲將各策略事件分述如下所示: (1)策略事件一:成立光電材料部 成立光電材料部,使得崇越科技的營運模式,由原本的佣金交易,擴增為現品交易。此一策略事件使得崇越科技提昇了倉儲、物管及資金調度的能力。成立光電材料部之後,崇越科技的主要產品,由原有的矽晶片、半導體製程用石英器材,擴展到黃光製程的主要原料-深紫外線光阻液,在2005年該項產品貢獻了逾18億台幣的營業額。其他主要產品如化學研磨液、環氧樹脂積體電路封裝材料、液態封裝材料…等,也可以複製深紫外線光阻液成功的營運模式進行推廣。 (2)策略事件二:成立水處理部 崇越科技成立水處理部,跨入半導體製造廠的廠務系統相關業務。此一策略事件使得崇越科技發展出工程設計、施工維護之組織能耐,並建立了良好的下包廠商體系。之後,水處理部將業務切割為:純水工程及廢水工程等二部份,並在廢水工程此一領域發展自有品牌。在2005年時,水處理部的年營業額達新台幣15億1千萬。此一策略事件也帶來其他額外的商機,如發展潔淨室建造工程以及中央供酸系統等相關業務。 (3)策略事件三:IPO IPO提供崇越科技較佳的籌措資金管道,使得財務運作上更有彈性。IPO使得崇越科技公司知名度及形象大幅提昇,對於延攬優秀的員工,自然也會有正面的助益。此外,財務管理的能力也因此提昇,與金融體系間的關係也更為緊密。 (4)策略事件四:成立中古設備部 崇越科技成立中古設備部,以成為高科技產業的全方位供應者。崇越科技掌握半導體中古設備的商機,使得營運範疇得以擴展至中古設備的買賣、運送、設備翻新、裝機、零件供應、機台調校、甚至包括製程參數設定。「高科技產業的全方位供應者」的公司願景,也使得崇越科技得以在半導體產業有更明確的定位。 / 經由「策略三構面」及「四個競技場」分析,確定崇越科技的四項策略事件對於其成長具有重大意義。崇越科技的營運範疇、核心資源、事業網路在各個策略事件之後均有顯著的擴展,而不論是在「價值-效率」、「能耐-結構」、「實力-體系」、「異質-同型」競技場,都可看到崇越科技的具體成長趨勢。因此,崇越科技在四個策略事件中所採行的各項關鍵策略,應可成為半導體原物料通路商在勾勒其未來發展的營運策略時的標竿參考。 / 在本研究的事件描述及三構面調整關係當中,我們可以整理出來個案公司在各個策略事件所運用的關鍵策略,並依研究目的所要探討的主題歸納如下: (1)以個案公司為例,通路商如何確保其在產業價值鏈中的位置,亦即通路商如何增強價值展現。 1)擴大服務平台,滿足顧客整體需求,是通路商確保代理權的重要關鍵。 2)維持暢通而綿密的人脈網路是通路商的天職。 3)對通路商而言,自有品牌的創立應該因勢利導,不該破壞與原有代理的供應商之間的良好關係。 4)踴躍參加各項服務品質競賽有助於提升通路商形象及強化公司體質。 (2)以個案公司為例,通路商如何提升相對於其他同業的競爭力,並更有效地提供客戶最大的價值,亦即通路商如何作好價值傳遞。 1)通路商辨識需求缺口的能耐,與其是否能持續發展有高度正向關係。 2)人才為通路商最重要的資產。 3)顧客內部的各個部門也存在競爭狀態,通路商應善用情勢並維持與各部門的良好互動。 4)通路商應建立完整的支援/外包體系。 (3)以個案公司為例,通路商如何提升營業利潤及實現公司價值,亦即通路商如何達成價值回饋? 1)通路商適用多種營運模式。 2)切割現有的服務內容,創造新立足點。 3)延伸產品線,善用核心能耐,創造新價值。 4)健全而靈活的財務控管是通路商持續成長、實現公司價值的重要基礎。 / As Taiwan Semiconductor Industry Association pointed out, semiconductor industry had been and is of great contribution to Taiwan in the aspects of GDP, foreign currency income, tax income, unemployment rate, government investment achievement, and also subsidiary industry of wafer fabrication. Semiconductor manufacturing raw material distributors play a very important role in semiconductor industrial value chain, who bridging the raw material manufacturers and semiconductor manufacturers. Topco Scientific Co., Ltd (TSC) is a leading company of semiconductor raw material distributor in Taiwan and Great China Region. TSC would be the case to be studied on the strategy of its continuous growth. / A successful business model should cover how to enhance “Value Proposition”, how to perform “Value Delivery”, and how to achieve “Value Capturing”. In the study of TSC’s continuous growth, we shall be able to identify the key strategies which were employed in the following three themes: 1. How does the distributor secure their position in the value chain i.e. how to enhance their value proposition? 2. In what way the distributor compete with their competitors and perform better i.e. how to perform their value delivery? 3. How does the distributor make their own benefit feasible i.e. how to achieve their value capturing? / “Three Aspects of Strategy” theory and “Four Coliseums of Business” analysis by Dr. S.H. Wu were applied in this study. The “Three Aspects of Strategy” theory provides the scope of establishing a thorough business strategy, and “Four Coliseums of Business” analysis exploit the business growth in four different points of view. “Three Aspects of Strategy” theory claims the following aspects should be reviewed when establishing the business strategy: 1.Business Domain : product/market, business activities, business geography, business scale 2.Core Resource : physical/non-physical properties, personal/ganizational competence 3.Business Network : network parties, network relationship, network position Also, the adjustment/correlation of these three aspects should be discussed. The “Four Coliseums of Business” analysis exploits the status of company’s strategy in four different points of view: 1.Value-Efficiency coliseum 2.Competence-Organization coliseum 3.Power-Networks coliseum 4.Innovation- Authenticity coliseum / This study applied the “Three Aspects of Strategy” and “Four Coliseums of Business” analysis on TSC’s four critical strategic issues including the issues of establishing the “Opto-Electronics Department”, establishing the “Water Treatment Department”, IPO, and establishing the “Used Machine Department”. From which we could conclude how the semiconductor raw material distributors enhancing their Value Proposition, improving their Value Delivery, and achieving their Value Capturing. The briefing of these four issues is as followings: Issue 1: Establishing the “Opto-Electronics Department” Establishing the “Opto-Electronics Department” was to extend the TSC’s business model from indent order business to stock sale business. Also, this issue strengthened TSC’s ability of technical service, logistics, and financial management. The success of DUV Resist brought annual revenue of over NTD1.8 billion in 2005. Other major products such as CMP slurry, Epoxy Molding Compound, IC Underfill Material…could also copy the business model of DUV Resist. Issue 2: Establishing the “Water Treatment Department” Establishing the “Water Treatment Department” was to create new business in the semiconductor manufacturers’ facility area. TSC built up their engineering capability and also the subcontractor network. The success of separating the water treatment business into pure water and waste water two categories let TSC could have their own brand waste water business. Water treatment business contributed NTD1.5 billion in 2005. Also it brought new business chance like Cleanroom and Chemical Supply System. Issue 3: IPO IPO to let TSC has much stronger financial flexibility. The company status has been up rated and could be easier to recruit excellent employees. The financial management capability had been improved and the business network is much stronger. Issue 4: Establishing the “Used Machine Department” Establishing the “Used Machine Department” was to address TSC as a Total Solution Provider of High Tech Industry. TSC captured the business chance of semiconductor manufacturing used machine off-shore service from which they could extend the business to used machine buy-and-sale, logistics, refurbish, installation, parts sourcing, calibration/tuning, and process parameter setting. The company vision of Total Solution Provider of High Tech Industry will lead TSC to exploit the semiconductor industry with a higher and thorough position. / Through the “Three Aspects of Strategy” and “Four Coliseums of Business” analysis we could confirm that the above mentioned four critical strategic issues are of great positive effects to TSC in the sense of Business Domain, Core Resource, and Business Networks. Also we could see the continuous growth trend in the Value-Efficiency, Competence-Organization, Power-Networks, and Innovation- Authenticity coliseums. Therefore, the key strategies applied in these four critical strategic issues could be the bench mark of semiconductor raw material distributors for their further growth. From the description of these strategic issues and the adjustment/correlation of three aspects discussion, we could conclude the key strategies for a successful business model of semiconductor raw material distributor, and list these key strategies with respect to our three themes of study: How does the distributor secure their position in the value chain i.e. how to enhance their value proposition? 1.Expanding the service base and providing the total solutions to customers is very essential to secure the agency rights 2.Maintaining a freely flowing and circumspect human relationship network is a must-do job of distributors. 3.Distributors should take very caution when developing own-brand products, should not damage the relationship with principles. 4.Attending the service quality contest will strongly promote company’s image and improve competence. In what way the distributor compete with their competitors and perform better i.e. how to perform their value delivery? 1.The ability of identifying customers’ needs is proportional to the success of continuous growth of distributors. 2.People are the most valuable assets of distributors. 3.Competitions inside customer’s organization should be handled with care, and should maintain good communications with each departments of customer. 4.Distributor should establish an integrated supporting/subcontractor system. How does the distributor make their own benefit feasible i.e. how to achieve their value capturing? 1.Multiple business models are adequate for distributor. 2.Rearranging current service contents to create new business niches. 3.Fully utilize core competence to extend product lines and create new values. 4.Nimble and integral financial management is the foundation of long-term growth and can capture company’s value.

半導體產業之資訊科技應用、服務品質、顧客滿意度及顧客忠誠度關係之研究—以半導體材料及設備通路產業為例

二十一世紀是講求通路效率及服務的年代,半導體材料及設備通路商在產業中所扮演的角色越趨重要,加上網際網路與資訊科技的蓬勃發展,對於企業而言,如何應用資訊科技技術以改善對顧客的服務並增加顧客的滿意度,已經成為每個成長中的企業所重視的課題,而介於半導體上游原物料及設備製造商與下游相關半導體製造商間的通路商,主要即在取得原廠的銷售代理權並整合銷售及售後服務等工作,將代理的產品透過服務達到加值,使得上游製造商可以專注於材料及設備的研發與製造,而通路商本身則透過對下游半導體製造業提供良好的服務品質,以創造下游顧客的滿意度,進而提高顧客的忠誠度。因此,如何透過資訊科技的應用及優越的服務品質,來提升顧客的滿意度,進而使顧客具有忠誠度,已經成為以強化整體銷售服務來創造競爭力的通路商所必須重視的課題。 本研究即在探討半導體材料及設備通路產業之資訊科技應用對於服務品質及顧客滿意度之影響,更進一步探討服務品質對顧客滿意度與顧客忠誠度的影響。因此,本研究以國內半導體材料及設備通路商為研究對象,對其資訊科技應用、服務品質、顧客滿意度及顧客忠誠度做一整合驗證性的研究,並利用線性結構相關模式(LISREL)來探討四個構面間的關係,在半導體材料及設備通路產業中,所得到的結論如下: 一、資訊科技應用對服務品質有顯著的正向關係。 二、資訊科技應用對顧客滿意度不具顯著的正向關係。 三、服務品質對顧客滿意度有顯著的正向關係。 四、服務品質對顧客忠誠度不具顯著的正向關係。 五、顧客滿意度對顧客忠誠度有顯著的正向關係。 / 21 Century is the time for the emphasis on the channel efficiency and services and the roles of the semiconductor distributors in semiconductor material and equipments industry have become more and more important as a result. Due to the flourish developments in the internet and information technology, how to make good use of the information technology in order to improve the service for the customers and further increase the customers’ satisfaction is the crucial issue to any growing enterprises. The semiconductor distributors mainly act as the sale agents of the semiconductor material and equipments industry and provide the function to integrate the sale and after-sale services. By doing so, it has increased the value of the products through these services. In addition, it makes the manufacturers of the upstream in the semiconductor material and equipments industry concentrate on the R&D and manufacture field. On the other hand, the semiconductor distributors themselves have focally developed the customers’ satisfaction and further enhanced the customers’ loyalty by providing great service quality. Therefore, how to elevate the customers’ satisfaction and own the customers’ loyalty through the application of information technology and excellent service has become a must for the semiconductor distributors that would like to reinforce their aggregate sale services in order to have competition advantages. This paper addresses the influences of the information technology application on the service quality and the customers’ satisfaction of the semiconductor distributors in the material and equipments industry. Moreover, it further investigates the influences of the service quality on the customers’ satisfaction and the customers’ loyalty. This paper uses the semiconductor distributors in Taiwan as the research targets and makes a completed discussion on the information technology application, service quality, customers’ satisfaction and customers’ loyalty. Besides, there are following conclusions by using the linear structural model to exam the correlations among four aspects. 1.There is a significant positive correlation between information technology application and service quality. 2.There is an insignificant positive correlation between information technology application and customers’ satisfaction. 3.There is a significant positive correlation between service quality and customers’ satisfaction. 4.There is an insignificant positive correlation between service quality and customers’ satisfaction. 5.There is a significant positive correlation between customers’ satisfaction and customers’ loyalty.

Les distributeurs sont des intermédiaires économiques car ils offrent sur le marché des produits ou services conçus, fabriqués ou exécutés par d’autres (les fournisseurs). Cette recherche démontre que le degré de protection accordé par le droit positif aux différents distributeurs n’est pas corrélé à leur degré de dépendance aux fournisseurs. Les qualifications de la dépendance sont multiples, incertaines, incohérentes et parfois artificiellement restrictives ou extensives, en droit du travail comme en droit économique. Des distributeurs connaissant un même degré de dépendance à leur fournisseur peuvent être traités de façon différente sans justification au regard des fondements des règles considérées. Il existe ainsi des inégalités de traitement. Il est donc proposé un nouveau droit de la dépendance des distributeurs, plus cohérent et égalitaire. Celui-ci se traduirait par un statut légal des distributeurs remplaçant les multiples statuts spéciaux existants, traçant une frontière plus nette avec le droit du travail et conciliant les intérêts des distributeurs avec la liberté des fournisseurs d’organiser la distribution de leurs produits et services. Dépassant la notion trop restrictive de contrat et les conflits de qualification, ce statut viserait la relation de distribution et prévoirait un régime appréhendant la complexité et l’évolutivité de la dépendance des distributeurs grâce à l’information, à une garantie de revenus et différentes indemnités de fin de relation. / Distributors are economic intermediaries because they offer on the market goods and services produced or served by others (the suppliers). This research demonstrates that the degree of protection offered by the Law to the various distributors isn’t correlated with their degree of dependence towards suppliers. The qualifications of dependence are numerous, incoherent and sometimes artificially restrictive or extensive, in labour law as in business law. Distributors experiencing a same degree of dependence towards their supplier can be treated differently without any justification regarding the grounds of the rules in question. Hence, appear inequalities towards the Law. Therefore, new legal rules are suggested. They would take the form of a statute ruling distributors and replacing the numerous statutes in force at the present time. It would draw a clearer line between labour law and business law and conciliate the distributors’ interests with the freedom of suppliers to organize the distribution of their goods and services. Going other the too restrictive notion of contact and the conflicts between qualifications, this statute would rule the relation of distribution and contain rules comprehending the complex and changing nature of dependence. It would ensure sufficient information of distributors and offer them an income guarantee and various compensations when the relation is terminated.
