銀行法上關係人授信法制問題之研究 / A Study on the Legal Issues of the Extension of Credit to Interested Parties in Banking Law

根據「關係人授信」的信息觀點(the information view)及掠奪觀點(the looting view)等理論分析,銀行對關係人授信各有利弊。世界各國為合理規範關係人授信交易,已制訂各項法令予以規制,我國亦不例外而於銀行法訂有明文。 我國現行銀行關係人授信規範在法令解釋、適用及銀行實務運作方面存有些許法制問題,且於金融控股公司法、農業金融法、信用合作社法及保險法等均有準用或參照銀行法之規定,而有相似之法制問題,影響之範圍相當寬廣深遠,因而引發本文研究之動機。 本文從我國銀行法在「授信」、「關係人範圍」、「授信限制規範」及「違反限制規範責任」等方面之相關規範及其問題,並參考美國、德國等國家及中國大陸、香港等地區之相關規範,綜合加以比較研究,最後並擬訂具體建議修正條文,以供主管機關及立法機關參考。 本文深切期盼主管機關及立法機關能使用衡帄的角度思考及採用可行的方案,而儘速增修銀行對關係人授信法制,以建立更為完善的關係人授信法制,進而適當地控管銀行對關係人授信之風險,並兼顧銀行經營效率及獲利能力。

企業購併與人力資源策略之研究-以南山人壽購併案為例 / M&A and human resources strategy: a study of Nan Shan life insurance co. ltd

本文以質化研究方式分析南山人壽購併案內的三個主體之人力資源策略,分別是南山人壽的人力資源策略、收購公司的人力資源策略以及利害關係人網絡中利害關係人所採取的策略,並經由整體性的個案分析來探求非經濟因素在此個案中影響購併決策的確實表現。   研究結果發現南山人壽長期以來的人力資源策略具防衛性,但購併風險的反應能力卻偏低,當購併發生時同時也將引發人才留用的挑戰。本研究從「導師制」以及「公積金制」進行分析,結果發現這兩個制度在南山人壽面臨外來壓力時留才的效果確實有限,此外公積金制甚至還會因為制度會員的恐慌而帶來員工牽制AIG轉讓股權的狀況,形成制度效果牽制母公司決策的尷尬事實。   另外在收購公司以及利害關係人網絡之人力資源策略部份,從資本的角度來看可以獲得南山人壽長期以來累積的豐沛資本是利害關係人網絡主動抵制外來勢力的研究結果。這個原因使得買家要想入主南山人壽前,得先證明自己有足夠的資本來滿足整體利害關係人社會網絡的期待,其效果有如南山人壽藉由整體利害關係人網絡來執行人力資源策略一般,呈現出以整體網絡來作為防禦機制的意涵。   最後,本研究詳細紀錄了南山人壽購併案過程中整體利害關係人社會網絡彼此之間的互動與牽制,從理論以及資料中探求各利害關係人所採取的行為之意義與影響,期望能對未來相關議題的研究盡一己之力。

自主管機關許可設立金融控股公司以來,臺灣現今已有十六家金融控股公司;意即十六個金融集團。然國內淺碟式金融市場一直有著金融家數過多且過度競爭的問題存在,不可諱言的是,金融集團之陸續成立,就金融市場秩序之穩定與金融監理面而言,具有一定之正面效益。然此一集團化之營運模式是否為一必然之發展方向,且利多於弊? 此外,對於跨入多角化經營,從傳統單一金融機構質變為集團化經營之金融控股公司而言,主要之挑戰在於如何共享核心知能與整合集團資源以發揮經營綜效,同時完備治理課題;不同經營特性與多角化經營程度之差異性,也間接影響集團綜效之發揮。 本研究報告從實務個案訪談與文獻研究,以公股與民營金融集團為例,檢視集團化所衍生之預期效益與利弊得失,分析業別與股權組成、經營管理模式、策略形成之過程、利害關係人權益變化、銷售文化及內控治理等面向,探討多角化經營程度對集團獲利之影響程度及其改變因子,並尋找未來成功因素,提供政策與實務面之建議。

國內推動低碳旅遊之研究─以台南市古蹟旅遊為例 / Research on domestic impetus low-carbon tourism - take Tainan heritage tourism as the example

近年來天災地變頻傳,溫室效應導致全球暖化現象,有鑒於此,全球湧起節能減碳浪潮,低碳旅遊亦應運而生。根據聯合國氣候變遷小組之評估報告,旅遊業對氣候變遷影響重大,人為之溫室氣體排放是肇致氣候變遷異常之主因,如何兼顧日益蓬勃發展之旅遊業與有效抑止二氧化碳排放量之增加,係各國刻不容緩的課題。 台南市以府城古都聞名,轄內古蹟觀光旅遊為其重要收入來源,本研究以市府預計推展古蹟低碳旅遊計畫之相關利害關係人為研究對象,並以訪談法瞭解其需求與對市府之期待。 本研究結果指出台南市古蹟旅遊存有僅實施少數不實用之環保措施、民眾尚未養成搭乘大眾運輸工具習慣、既有街道巷弄過於狹小、居民發展心態矛盾與缺乏減少使用私人運具之誘因、綠色認證制度叫好不叫座、古蹟導覽人員培訓制度簡陋等現存之困境與瓶頸、以及民眾與市府間認知之落差,並對市府提出現有古蹟區軟硬體設備設施之改善與提升、加強產業綠色認證制度之實用性、積極發展古蹟低碳旅遊多元面貌、厚實古蹟文化園區內涵,加強市府行銷能見度、建議逐步養成民眾搭乘大眾運輸使用習慣、型塑台南成為亞洲阿姆斯特丹等六項建議方案。 / In recent years the natural disaster and diastrophism happen frequently, the greenhouse effect caused the global warm phenomenon, therefore, the whole world to surge the energy conservation to reduce the carbon tide, the low-carbon tourism also arises with the tide. 參與治理下的公共政策決策品質管理--以全民健保牙醫總額預算制度為例 / Quality management for policy-making in an era of participatory governance: A study of dental global Budget payment system in Taiwan’s NHI.

在民主改革之浪潮中,政府的運作已從過往獨斷統治模式走向參與治理的型態。參與式治理的呈現方式包括了審議式民主、以公民為中心之協力公共管理、協力治理等型態。公共政策的制定本應以民意為基礎;因此,引導多元利害關係人至公共政策過程之中,共同制定決策即是參與治理的核心,而決策品質的形成關鍵在於政府如何有效管理、促進多元行動者互動以達成決策的參與過程;然而,回顧文獻發現,決策品質主題卻為學界所忽略。因此,本文從參與式治理觀點出發,以利害關係人之角度切入,選擇全民健保總額制度下的牙醫門診總額支付委員會作為個案,嘗試建構出決策品質評估架構。研究發現,由下至上的利害關係人參與過程不但有助於資訊的蒐集與分享、正確地界定問題,亦促進了利害關係人凝聚共識;同時,平等尊重的溝通態度,增強了政策學習功能;加上公共管理者適時地扮演領導角色,有效解決衝突,促進了決策過程的互動與效率。然而,研究亦顯示支委會決策過程仍有不足之處;參與決策行動者之包容性與代表性仍有改善之空間、決策資訊未達公開透明化、法律規範的模糊不清、以及決策原則標準的缺乏。因此,本文建議應該擴大參與團體類別並考量其行動能力,具體強化多元代表參與之可能;同時,應建立法規和參與機制之適當連結,確立相關法律規範,實踐權責分明的決策過程;最後,更應強調互動討論過程的公共商議精神,促進理性決策的落實。此外,也建議學界未來可著力於相關實務經驗研究,設計更為完善的評估架構,以期對於決策品質面向提供更為豐富完整的論述。 / Under the trend of democratic reform, the way of public administration has changed from despotic to participatory governance. The forms of participatory governance include deliberative democracy, citizen-centered collaborative public management, and collaborative governance. The core of participatory governance is threefold which includes involving multiple stakeholders into policy-making process, to make decisions collectively, and to base public policy making on public opinion. However, after reviewing the literature, it can be found that seldom are there studies of decision-making quality. The quality of decision making lies in effective management of the process; that is, how to encourage and manage different stakeholders’ interactions to make decisions counts a lot. Consequently, this thesis intends to fill the gap by studying the quality of participatory governance and choosing the committee of Dental Global Budget Payment System as a case to establish evaluation framework of decision-making quality based on policy stakeholder participation theory. The research findings reveal several important insights of committee governance. First, on the good side, bottom-up stakeholders’ participation is beneficial not only to the collection and share of policy information to define proper policy questions, but also to the cohesion of stakeholders’ consensus. The way of equal and respectful attitude to communicate accentuates policy-learning function during the process. Furthermore, public managers play a leading role at the right moment to solve a conflict effectively and to promote the efficiency of decision-making interactions. However, there are some defects about the process. There is some room for improvement about the inclusiveness and representativeness of participation groups. Also, the openness of decision-making information is still far from the standard of transparency. The ambiguity of statutes interpretations and the lack of decision-making principles are critical problems to solve as well. Therefore, this study suggests that the government should include even more diverse and complete stakeholders into the decision-making process and help to increase their competence to participate. Also, an effort to closing the gap between regulations and participative mechanism should be made in order to increase the outside-accountability of the process. Thirdly, the spirit of public deliberation should be highlighted during the interactions to increase the rationality of decision-making. Lastly, in order to create a more adequate evaluation framework, this thesis suggests that academia should devote more time to study the issue of public decision-making quality in the era of participatory governance.

在後數位化時代,有無數的數位服務生態圈在爭奪著有限的市場。而要贏得這場競爭最好的方式就是遵照服務設計的理論來滿足顧客的渴望。本研究期望運用科技化的輔助方式來幫助服務設計者建立一個以顧客主導邏輯為基礎的區塊鏈服務生態系統。在這個方法裡面,我們必須要解譯服務設計者的服務價值主張,並且找出與之相關的價值活動來作為之後服務設計的樣本。最後透過服務渴望度、創新度以及利害關係人認可程度三個面向來衡量整個價值結構設計是否可行並有發展潛力。 / In the post-digital era, there are countless digital ecosystems to fight for the limited market share. Using service design theory to fulfill customers’ desire is the best way to win the competence. This paper proposes a technology facilitating approach to help service designers configure their blockchain-based service ecosystem with customer-dominate logic. We rephrase the service value proposition inputted by service designers and filtering related value activities as the model of designed ecosystem. To make the decentralized ecosystem become a destination, we have to examine the value configuration from three different perspectives which are desirability, disruption, and consensus. These three dimensions provide service designers with a method that can help assess if a configuration is making sense or not. After all, this paper is aimed to support service designers to create a digital destination ecosystem by recommending activities and evaluating score of ecosystem configuration.

我國著作權集體管理機制現況及趨勢之研究 / A Study on Copyright Collective Management Mechanism in Taiwan: Exploring the Current Situation and Envisioning the Future

著作權集體管理機制(Copyright Collective Management Mechanism),誕生已有數百年的歷史,國際間已經發展出相當成熟的運作機制,相較於我國自民國八十年起才開始有類似收費機制運作,發展經驗可說是相當地懸殊。而我國該機制之正式法制化—著作權仲介團體條例於民國八十六年十一月五日公布施行以來,十年間實務上爭議不斷,機制運作陷於巨大的危機。加以近年來我國推動數位內容產業,著作權授權議題更是攸關數位影音應用產業未來的發展,在在顯示我國著作權集體管理機制確有重新審視之必要。 於是自民國九十五年起在經濟部智慧財產局的主導下,開始召集各方進行對話,並藉此機會蒐集意見以推動著作權仲介團體條例的修法工程。除了國內的改革,國際間在過去十年來也開始對著作權集體管理機制的運作進行檢討,此乃由於數位時代的到來,著作權集體管理機制受到各種新興數位科技,諸如:網際網路、數位權利管理、點對點檔案分享等之巨大衝擊,此種態勢影響機制的保護、行使和管理的環境,使得國際著作權社群開始思考著作權集體管理機制應該如何因應數位環境所帶來的挑戰。 有鑑於此,本研究希望能夠立基於我國著作權集體管理機制的現況,以過去實務上及近日修法歷程中所遭遇的爭議問題為著眼點出發,回顧過去國際間著作權集體管理機制運作經驗,並探討近年國際間發展趨勢,以勾勒出我國機制未來藍圖。探討的重點包括:著作權集體管理機制的歷史與法律背景、意涵、功能與操作原則,以為我國機制擘畫運作之參考;著作權集體管理機制運作場域—我國著作權產業的發展現況;採納「利害關係人」觀點,釐清我國機制中的各方利害關係人為何、所追求的目標何在及互相的利益衝突,進而界定出各方利害關係人未來參與機制的適當形式;評析我國著作權集體管理相關法制的沿革、內容與修法;並針對國際間近年兩大發展趨勢:數位化及跨越疆界的著作權集體管理趨勢,先行探討有哪些新興的數位科技對著作權集體管理機制帶來衝擊,評估其影響與機制的新角色定位,其次討論跨越疆界趨勢:單一窗口、跨國界集體管理及其衍生的公平交易法課題。 最後回應本研究的研究問題,論述對我國實務現況之觀察、著作權集體管理法制總評、國際運作經驗及發展趨勢對我國的啟示,並且提出三大項建議:我國著作權集體管理團體現階段要務、政府的角色、對我國未來機制的幾點省思,是為本研究之結論與建議。 / Copyright Collective Management Mechanism has been established for centuries and developed maturely worldwide. However, it was not until 1991 that some similar collecting organizations started to operate in Taiwan. Compared with some countries around the world, the development experience is quite different. After the formal legalization—the enactment of the Copyright Intermediary Organizations Act on November 5 1997, there were lots of argues emerged in the aspect of law enforcement. Besides, Taiwan’s government has promoted the development of digital content industry in recent years. The issues concerning copyright licensing will have a big impact on the development of audio-visual application industry in the future. It is therefore, necessary to raise concerns and re-scrutinize Taiwan’s copyright collective management mechanism. Since 2006, Taiwan Intellectual Property Office (TIPO) has started to gather public opinion for revising the act. Except the revolution in Taiwan, people started to examine the exercise situation of copyright collective management internationally in last ten years. This is because the advent of digital technologies, such as: the Internet, digital rights management, peer-to-peer file sharing, has changed the environment surrounding the copyrighted works. International copyright societies started to think about how to deal with the challenges brought in digital era. This thesis aims to discuss some of these issues by exploring the current situation of Taiwan’s copyright collective management mechanism, the obstacles encountered in the past practice, the process of law revising, and the latest development trends worldwide. First of all, Chapter One is an Introduction to this thesis. Then Chapter Two discusses the historical and legal background, definition, functions, and operating guidelines of the mechanism for future reference when Taiwan intends to modify current mechanism. Chapter Three describes the developing situation of Taiwan’s copyright industries. Chapter Four adopts “Stakeholder Analysis” to clarify who are the stakeholders in Taiwan’s mechanism, their pursuing goals, and conflicts of interest between them. Chapter Five traces the developing process, content and revision in relation to Taiwan’s copyright collective management legislation. Chapter Six outlines the two latest development trends: digital and cross-border copyright collective management. At first, it analyzes the impact of new digital technologies and the new role of copyright collective management mechanism. Integration trends: one-stop-shop, cross-border collective management and antitrust concerns, are explored as well. At the end of this thesis, Chapter Seven, I propose three recommendations for Taiwan’s mechanism in the future: the urgent missions of Taiwan’s collective management organizations, the role of government, and the self-examination. It is my hope the recommendations contribute to the better resolution of existing and future challenges.

共享價值與智慧電網之關係研究-以IBM公司個案探討 / A study of relations between Creating Shared Value and Smart Grid- case of IBM Company

由於環保意識抬頭及商界和社會之間日益惡化的情況下,企業正在努力尋找新的商業模式來重塑資本主義。麥可·波特主張創造共享價值,試圖找尋新一波創新的商業模式來重塑資本主義。共享價值模式能夠為企業和社會創造財富,因此為越來越多的企業紛紛加入創造共享價值的行列。 本論文主要使用個案分析法和次級資料分析法進行研究。研究係透過了解利害相關人對於智慧電網的態度,以及解析智慧電網產業價值鏈來分辨共享價值之所在。透過對於智慧電網相關的研究,以及共享價值的學術文獻來建立研究架構。同時也蒐集了IBM公司以及智慧電網相關產業的動態訊息支持研究分析。其目的是要找出IBM公司的商業模式是否符共享價值模型之定義。研究彙整了智慧電網的利害相關人的意見,並且進行IBM所提供智慧電網方案與共享價值的關聯性分析。然後建議IBM對於創造共享價值可能的發展方向與模式。 研究結果發現IBM提供的智慧電網方案與創造共享價值其實是有關聯性的。然而,大部分的價值是透過與產業鏈結合而間接被創造出來的。在智慧電網方面,IBM並無法獨立創造出共享價值。因而提出了在面對利害關係人時,需要清楚辨認誰是最主要的影響者。透過連鎖效應的方式使得智慧電網能夠更符合創造共享價值。 另外,由於智慧電網應用技術的複雜性使得本研究的力度受到限制。 / Due to the rise of environmental awareness and the worsening situations between the business community and society, corporations are trying to find a way to reinvent capitalism. Michael E. Porter advocates that Creating Shared Value might be the answer for how business will able to reinvent capitalism and unleash the next wave of business and innovation. More and more corporations have jumped on the CSV bandwagon to create wealth for both the business and the society. Case analysis and secondary data analysis techniques are employed in this paper as the research method, through analyzing the stakeholders that are in the smart grid landscape. Academic literature, research papers, publications and information from relevant websites are used to support the analysis. The purpose is to find out whether IBM Company’s business model is in accordance with the shared value model by analyzing the opinions of stakeholders of smart grid and the proposes values of IBM’s smart grid solutions. The results are that most of the solutions that IBM has for smart grid are somehow relevant to the concept of CSV. However, most of the values proposed are rather indirect as they are often created through collaborating with other players in the value chain. IBM alone would not be able to create a shared value model of its own. Therefore, suggestion has been made to emphasize on the importance of clearly identifying who has the biggest influence among stakeholders. Through chain effect between the stakeholders to enhance Smart Grid to become a more distinct shared value model. Also, due to the complexity of technologies involved in smart grid, the research has many limitations.

在自己的土地上漂流: 臺灣美麗灣度假村開發案爭議的民族誌研究 / Rafting on Their Own Land:Ethnography of Development and Conflict on the Miramar Resort, Taitung, Taiwan

本研究透過針對台東縣都蘭社群建造傳統竹筏所記載的民族誌,探索該社群在政府授權的美麗灣民間興建營運後轉移模式(BOT)發展案中的角色與互動。研究內容包括了(1)對民間興建營運後轉移之模式的總體回顧,以及美麗灣此個案的評估。(2)在地阿美族社群對發展計畫反對的詳細論述。(3)在替代發展方案上的建議。我的田野調查包含了在社群集會與示威抗議活動上的參與觀察,但調查的重心則立基於一條阿美竹筏建造與出海的過程。本文的結論提供了一套能夠兼顧在地居民互動及外來廠商利益的發展方案,旨在透過融合相關各方的觀點以圖能夠減少衝突並促進共同利益。 / This research explores the dimensions and interactions of the Amis community under the Miramar Resort (MR) Build-Operate-Transfer (BOT) development project authorized by the local county government through an ethnographic approach on the construction of a traditional bamboo raft in the township of Dulan, Taitung, Taiwan. The content of this study includes (1) A status review of the BOT policy in general and the MR development project in particular, (2) A detailed account of the local Amis community’s opposition to the project, and (3) Suggestion on alternative methods of land management. My fieldwork includes participant observation in the context of seminar meetings and activist demonstrations. However the centerpiece of the research at Dulan revolves around my personal participation in the construction of an Amis traditional bamboo raft and its launching into the ocean. Conclusions offer alternative ways for the development of an area that is interactive with indigenous peoples and outside commercial interests. The perspective taken is aimed at alleviating conflict through incorporating the views of stakeholders in the best interests of all parties involved.
