近年來,「訴訟外紛爭解決制度」(Alternative Dispute Resolution,ADR)被認為具有調和傳統社會觀念與現代法律之功能,在勞資爭議事件中,ADR制度尤為重要,係因調整事項勞資爭議並無法用訴訟途徑解決,若是遇到協商僵局時,傳統上僅能用爭議行為來進行實力對抗,以尋求新的團體協約之簽訂,而調解與仲裁制度,能夠帶來不同的爭議處理途徑,以避免爭議權之行使所帶來的負面效應。但勞資爭議處理法制中的調解與仲裁制度,既然最終目的係簽訂新的團體協約,原則上程序之開始應以雙方之合意為主,而現行我國法制乃至於ILO之意見及世界各國立法例,均有所謂強制仲裁與強制調解之制度存在。行政機關得以職權發動仲裁或調解使雙方進入程序,次藉由和平義務的維持而使勞資雙方重行進入談判桌,乃至於無法行使爭議權之合理性何在?我國制度設計上是否合理?此乃本文所欲討論之重點。 藉由比較我國與 ILO 之文獻、澳洲與新加坡立法例後,本研究發 現:( 現:( 1)於我國法制中,可能妨礙到爭議權之行使者應以強仲裁為主而 ILO 近年來對於行政機關介入勞資爭議,以強制仲裁與妨礙結社自由間所劃出 的界線即為定「必要服務行業 」之範圍,界定標準乃是「爭議行為使將 對於生命、人身安全健康或是整體個財產法益立即危險」甚為具體;反觀我國勞資爭議處理法中發動強制仲裁之條件並不盡想、明確。( 體;反觀我國勞資爭議處理法中發動強制仲裁之條件並不盡想、明確。( 2) 現行法中有部分強制仲裁的立甚為不當,並符合 ADR 之理論與功能,依據 ILO 之標準,亦有妨礙結社自由的可能性。( 之標準,亦有妨礙結社自由的可能性。( 3)雖不宜全面引進,但澳洲與新 加坡的立法例,應對我國勞資爭議處理制能有所啟發;由其是在調解度上,該制度為我國解決勞資爭議的主力本文建賦予程序更強能 / The purpose of this study was to investigate compulsory arbitration and mandatory mediation in the Act for Settlement of Labor -Management Disputes. Alternative dispute resolution (ADR) was considered to have a function reconcile the traditional and modern concept of the laws society. ADR system was particularly important in incident of the labor disputes, because these disputes interest cannot be solved by litigation. When negotiations have reached an impasse, however, a strike may make difference by collective arbitration and mediation avoid the side effect by act of right to dispute. But administrative organization may apply compulsory arbitration and mandatory mediation to make both parties to reach the mutual agreemen t, or put out the negotiation between an employer and trade union. The major topic of this study would be the evaluation of ADR system design. Compared to the ILO’s publications, ACT from Australia and Singapore, this study found that : (1) Compulsory arbi tration may impede freedom of association. ILO,in recent years, the executive intervention for labor disputes to compulsory arbitration and hinder freedom of association between the boundary is drawn to define scope of "essential services ", defined in the standard but " life, personal safety, health or property " very specific; instead that our approach in labor disputes to compulsory arbitration of conditions to launch, on the other hand, was not quite explicit. (2) Current law in the legisl ative part of the compulsory arbitration was very inappropriate and not incompatible theory of the ADR, in accordance with standards of the ILO, also hinder possibility freedom of association. (3) Legislation Australia and Singapore should bring some inspiration to our legal system, especially, mandatory mediation should be main strength of the system to resolve the labor disputes. It is suggested that ADR program should be empowered to provide the suggestion of this matter.

ADR的資訊內含與對市場效率的影響 / ADR information content and its impact on the market efficiency

美國存託憑證(American Deposit Receipt,ADR)對美國投資人而言是進入外國市場最簡便的方式之一,因為它以美金計價且在美國交易。發行ADR可以使公司的知名度提高,增加股票的流動性,進而提高股票價格。 有些國家對外資設有投資上限,使外資投資不易或投資成本太高,造成投資障礙。透過購買美國存託憑證可以持有表彰外國公司股份的股權,為投資人帶來收益且達到風險分散效果。亞洲地區為發行美國存託憑證最多的地區,本研究選取了九個新興國家以及日本企業所發行的ADR為研究樣本,探討三個問題:美國存託憑證價格的折(溢)價是否有資訊內涵、美國存託憑證的折(溢)價是否受到美國市場情緒影響以及發行ADR後,本國市場的股票訂價效率是否改善。 研究結果發現,多數ADR折(溢)價的資訊內涵為正向且顯著,意即,今日美國存託憑證的折(溢)價透露出隔日標的股票報酬率的訊息。顯示美國存託憑證存在溢價,不只反應外國政府設立的投資障礙或是外國股票的交易成本過高,還透露出對隔日標的股票報酬率的預期。 美國存託憑證雖然表彰的是外國公司的股權,但卻是在美國交易。ADR的價格不只反應出與標的股票本身的價值,可能還受美國市場情緒影響。本研究的實證結果支持ADR價格受到美國市場情緒影響的論點。表示投資人在選擇美國存託憑證投資標的時,除了要對公司進行合理的評價,也要將美國市場的表現納入考慮。 本研究的研究樣本為九個新興國家以及日本,開發中國家可能對外資設有投資限制且市場資訊效率不高,造成股票的訂價未完全反應其真實價值。海外上市後,更多投資人參與交易,市場資訊環境改善,本國市場的股票訂價效率應該因此提升;過去探討海外上市公司的外國市場價格與本國市場價格間共整合過程的文獻,多以一階自我相關為基礎所發展出來的模型進行實證且未除去市場效率改善帶來的影響。使用一階自我相關為基礎的模型時,須假設樣本為常態分配,但股票報酬的分配很可能不符合常態分配,導致實證結果有偏誤;本研究以無母數連檢定(Run Test)進行實證並除去同時期市場效率改善的影響。究實證結果顯示,股票報酬率在海外上市後變得更為隨機,可預測性降低,表示資訊環境改善明顯有助於股票價格反應其真實價值。 / American Deposit Receipt (ADR) is one of the most convenient ways for U.S. - based investors to acquire foreign shares since ADRs are quoted in U.S. dollars and are traded in the U.S. markets. Foreign investors have difficulty in acquiring foreign shares because of investment limit or high transaction cost. ADRs issued by companies from nine emerging countries in Asia and Japan were picked as sample data to verify the information content and U.S. market sentiment issues. The empirical result for information content is significant and positive. ADR premium (discount) today reveals information that the return of the underlying stock tomorrow will be positive (negative). ADRs are foreign shares but are traded in the U.S. markets. ADR price may not only contain its intrinsic value but also U.S. market sentiment. The empirical result supports that argument. The result reminds investors that in addition to appropriate valuation of a company, the reaction of other investors in the same market should be taken into account. Employ a simple non-parametric test and control for contemporaneous marketwide efficiency shifts and the potential contamination from the price effect of cross-listing announcement, the empirical result demonstrated that with improvement of informational environment, stock pricing efficiency was enhanced after cross-listing.

Accordingly to the last legislative amendments that express many important transformations of civil procedure, the creation of new legal governance tools can help the entrepreneur to fight against economic litigation risks. Considering the fact that the amendments tend towards accountability, by establishing an obligation of risks prevention, and towards the empowerment of in house counsels by directly participating in the resolution of disputes, corporations has to enforce a legal governance that participates to the prevention of economic litigation. A consolidação da arbitragem como mecanismo amplamente utilizado para a resolução de controvérsias em nosso país traz questionamentos a respeito dos riscos e da efetividade de tal método quando o assunto é a execução da sentença arbitral. Enquanto no processo estatal a efetividade da sentença é assegurada pelo reconhecimento da fraude à execução (sancionada com a ineficácia dos atos fraudulentos), restam dúvidas acerca da aplicabilidade da mesma regra no processo arbitral. A garantia da higidez patrimonial através da repreensão da fraude à execução também deve ser observada no processo arbitral, do contrário será incentivada a má-fé, bem como enfraquecida a efetividade da execução da sentença para aqueles que elegem a arbitragem para a resolução de suas controvérsias. Neste mister, o presente trabalho procura traçar os contornos da fraude à execução e da jurisdição arbitral para, através do confronto entre elas, trazer reflexões que colaborem com a compreensão dos riscos assumidos pelo usuário da arbitragem, especialmente no que diz respeito à efetividade de uma eventual execução da sentença arbitral. / The consolidation of arbitration as a method widely used in Brazil has brought up the discussion over the risks and over the effectiveness of the arbitration award enforcement. While in state court procedures the effectiveness of the decision is assured by the legal recognition of fraud of execution (sanctioned with disregard of the fraudulent acts), in arbitral procedures the applicability of this same rule is doubtful. The assurance of the patrimonial integrity through punishment of fraud of execution also must be observed in arbitration, otherwise bad faith would be stimulated and the enforcement of the arbitral award will be compromised for those who chose arbitration for solving their controversies. This paper intents to analyze and to confront the features of fraud of execution and of the arbitral jurisdiction in order to collaborate with the understanding of the risks taken by the user of arbitration, especially regarding the effectiveness of the enforcement of the arbitral award.

O presente estudo tem por objetivo realizar uma reflexão sobre as possibilidades de utilização da mediação para a administração de conflitos nas relações individuais de trabalho. O estudo foi realizado levando em consideração os aspectos virtuosos da mediação, seus enfoques e possibilidades de intervenção. O trabalho leva em conta um conceito de conflito que reputamos adequado aos conflitos de justiça, diferenciando-o de outros enfoques possíveis ao fenômeno. Também foram apreciados os diversos modelos de mediação, a formação e a ética dos mediadores e a capacidade da mediação em representar uma alternativa ao desejado acesso à justiça, sem que isso implique em um viés de resolução da incapacidade do Poder Judiciário em distribuir o justo. A mediação foi estudada em seus princípios e também em sua correlação com os princípios do direito do trabalho, possibilitando estabelecer uma linha argumentativa acerca das críticas e limitações essenciais frequentemente apontadas por aqueles que defendem a incapacidade da mediação em prover uma adequada intervenção nos conflitos em relações individuais de trabalho. O enfoque procurado propõe uma ampliação do conceito de conflito individual de trabalho, estabelecido entre empregadores e empregados, para incluir aqueles conflitos existentes entre empregados e que não recebem previsão de adequado tratamento. Tais conflitos, conhecidos pelos economistas como micro conflitos, são portadores de uma litigiosidade latente que ao se desenvolver tem como única previsão a extinção da relação de trabalho. A intervenção mediadora, assim, representa meio de preservação das relações de trabalho, protegendo ainda os direitos fundamentais dos trabalhadores, concedendo uma nova perspectiva de acesso ao justo. / This study aims to carry out a reflection on the possibilities of use of mediation to manage conflict in individual relationships work. The study was performed taking into account the virtuous aspects of mediation, their approaches and possibilities for intervention. The work takes into account a concept of conflict that we deem appropriate to conflicts justice, differentiating it from other possible approaches to the phenomenon. Were also appreciated the various models of mediation, training and ethics of mediators and the ability of mediation to represent a desired alternative to access to justice, without this implying a bias in the resolution of the judiciary\'s inability to distribute the fair. The mediation was studied in its principles and also its correlation with the principles of employment law, allowing to establish a line of argument about the critical and essential limitations often highlighted by those who argue the failure of mediation to provide an adequate intervention in conflicts in individual employment relationships. The approach sought, proposes an expansion of the concept of conflict of employment established between employers and employees, to include those conflicts between employees, which do not receive adequate treatment prediction. Such conflicts, known to economists as micro conflicts, carry a latent litigation has to be developed as the only forecasting the demise of the employment relationship. The mediator intervention thus represents a means of preserving working relationships, yet protecting the fundamental rights of workers, giving a new perspective on access to fair.

O papel do terceiro facilitador na conciliação de conflitos previdenciários / The role of the third party in the conciliation of pension funds conflicts.

A conciliação judicial de conflitos previdenciários envolve, em geral, uma proposta de acordo baseada na renúncia pelo indivíduo de parte dos valores do benefício em atraso em um processo no qual a decisão contrária ao entendimento do Instituto Nacional do Segurado Social (INSS) é muito provável. Como regra, há um notório desequilíbrio de poder envolvendo, de um lado, um litigante ocasional (indivíduo) e, de outro, um litigante habitual (INSS). O presente trabalho pretende discutir qual o papel do terceiro facilitador nesse contexto, de modo a legitimar a prática existente e avançar para uma mudança de paradigma. Para tanto, parte-se da tese de que a conciliação deve ser adequada ao conflito que se pretende tratar, cabendo ao terceiro facilitador atuar de acordo com as peculiaridades desse conflito. Desse modo, propõe-se que, para o tratamento do conflito previdenciário, o conceito de conciliador deve ser entendido em termos amplos, abrangendo não apenas o conciliador leigo, mas também o juiz conciliador e o Judiciário como conciliador interinstitucional. Embora cada uma dessas atuações possua características próprias, sustenta-se que o ponto em comum é o respeito a um devido processo legal mínimo que possibilite a existência de uma base adequada de poder e que permita, assim, a tomada de uma decisão informada pelas partes. Dessa forma, a flexibilidade instrumental própria da conciliação não impediria o estabelecimento de parâmetros mínimos da atuação do conciliador. Por isso, tendo como limite a tomada de uma decisão informada, o conciliador atuaria por meio de estratégias variadas, aproximando-se e distanciando-se das partes, com maior ou menor interferência, de acordo com as características do caso apresentado. Conclui-se que, com a atuação conjunta e coordenada das diversas espécies de conciliador é possível aprimorar qualitativamente a conciliação de conflitos previdenciários. / The court-connected conciliation (or evaluative mediation) of pension funds conflicts in Brazil involves, generally, an agreement in which the individual plaintiff waives part of a benefit in a lawsuit that the defendant, a national government agency called Instituto Nacional do Seguro Social (INSS), will probably loose. As a general rule, there is a significant imbalance of power between a one-shotter (individual) and a repeat player (INSS). The present work aims to discuss the role of the conciliator (or evaluative mediator) in this scenario, in order to legitimate the current practice and to allow a paradigm shift. Firstly, it argues that conciliation should be appropriate to the conflict to be resolved and that the conciliator also should act according to the peculiarities of this conflict. Therefore, it proposed that the definition of conciliator might be enlarged to cover not only the lay person who acts as a conciliator, but also the judge as a conciliator and the Judiciary as an interinstitutional conciliator. Although each specie has its own characteristics, it is argued that the common point is that all must try to guarantee the observance of a minimal due process of law which allows the existence of an adequate basis of power and thus enable parties to make an informed decision. Consequently, the flexibility of the conciliation rules would not prevent the establishment of minimum standards of the conciliator\'s performance. Limited by the aim to allow parties to make an informed decision, the conciliator would act through a variety of strategies. It means being close or far from the parties, interfering in a greater or a smaller level, depending on the characteristics of a particular conflict to be dealt. To sum up, this work concludes that, if the three species of conciliator work together in a coordinated way, it could be possible to have a qualitative improvement in the conciliation of pension funds conflicts.

Adaptações observadas nas empresas emissoras de ADR durante o processo de harmonização com os padrões internacionais de Contabilidade

The convergence process transcended the accounting technical limits and required the companies, changes and adaptations that somehow changed the structure of the business and often the business management. The objective of this study is to analyze the changes and adaptations that have occurred in ADR issuers in the IFRS implementation process, identifying the financial, cultural and behavioral technical impacts in these companies. The search strategy was conducted by a multiple case study which analyzed in depth, four large corporations that are part of the ADR issuance program on the New York Stock Exchange and which went through the process of alignment with the international accounting standards. To this end, interviews were used, document analysis and participant observation was found that the process of convergence to IFRS improved the quality in the calculation of the results of companies and facilitated the comparison of the results with competitors. Existing systems before harmonization were adapted to receive the new accounting model. It was noticed also better positioning the counter on the companies command structure and an improved understanding of the importance of accounting for other areas of the companies, being supported by the employees of behavior change at all levels of the companies with greater interaction the departments. However there were no significant changes in the culture of corporations with the accounting harmonization process. Finally, in future studies it is recommended that a new search will be made to update the data and perception of cultural changes that take longer to happen / A aceitação dos países para a harmonização das normas contábeis internacionais com o padrão IFRS mudou a forma de apuração dos resultados das corporações em âmbito mundial. O processo de convergência transcendeu os limites técnicos contábeis e exigiu das empresas mudanças e adaptações que, de certa forma, modificaram a estrutura dos negócios e muitas vezes a gestão empresarial. O objetivo desse estudo é analisar as mudanças e adaptações ocorridas nas empresas emissoras de ADR no processo de implementação do IFRS, identificando os impactos técnicos contábeis, culturais e comportamentais nessas empresas. A estratégia de pesquisa foi conduzida por um estudo de caso múltiplo no qual foram analisadas, em profundidade, quatro grandes corporações que integram o programa de emissão de ADR na bolsa de Nova Iorque e que passaram pelo processo de harmonização com as normas internacionais de contabilidade. Para esse objetivo, foram realizadas entrevistas, análise documental e observações participantes. Foi possível constatar que o processo de convergência ao IFRS melhorou a qualidade na apuração dos resultados das empresas e facilitou a comparação dos resultados com os concorrentes. Os sistemas existentes antes da harmonização sofreram adaptações para receber o novo modelo contábil. Percebeu-se, também um melhor posicionamento do Contador na estrutura de comando das empresas e um aprimoramento no entendimento da importância da contabilidade por outras áreas das companhias, sendo respaldado pela mudança de comportamento dos colaboradores em todos os níveis das empresas com uma maior interação entre os departamentos. Contudo, não foram encontradas mudanças expressivas na cultura das corporações a partir do processo de harmonização contábil. Por fim, para estudos futuros recomenda-se a elaboração de uma nova pesquisa para atualizar os dados e perceber as mudanças culturais que demandam mais tempo para ser implantadas

A reação do mercado frente ao cross-listing internacional : evidência das american depositary receipts de empresas brasileiras

O objetivo desse trabalho é analisar os efeitos do anúncio da dupla-listagem sobre o comportamento das ações no mercado doméstico das empresas que promoveram a listagem de ADRs. Os aspectos do comportamento analisados são os retornos anormais, os padrões de liquidez e volatilidade de preços. Foram analisados 22 programas de ADRs. Para cada uma das características analisadas foi utilizada uma diferente técnica empírica. A análise dos retornos anormais foi realizada através de um estudo de eventos para 5 diferentes janelas de estudos. A segunda técnica empírica utiliza-se do Índice de Negociabilidade, uma métrica desenvolvida pela Economática envolvendo o número de negócios diários e o volume diário transacionado da ação para medir potenciais alterações na liquidez das ações e, por fim, a terceira técnica utilizada utiliza a variância dos retornos como medida relevante de alteração de volatilidade dos mesmos. Embora com limitações, o estudo apresentou resultados em linha com parte da literatura de referência, demonstrando, excetuando-se pela janela de 5 dias pré e pós evento, que não é possível afirmar que os retornos das ações estudadas após o anúncio da emissão das ADRs são diferentes dos retornos apresentados pelas ações antes do anúncio. Com relação à análise de impacto sobre a liquidez das ações (INM 50d), foi possível rejeitar a hipótese de que o programa não causa impacto na liquidez com um nível de significância de 10% após comparar a liquidez das ações das empresas que emitiram ADRs com a liquidez das ações das empresas que compunham as carteiras dos grupos de controle. Finalmente, ao estudar a volatilidade das ações, foi possível observar que, para os testes-F realizados, das 22 ações testadas, 11 apresentaram resultados que permitem rejeitar a hipótese nula e, portanto, inferir que, para essas companhias, a variância dos retornos durante o período de 50 dias pós-evento foi diferente da variância dos retornos durante o período de 50 dias pré-evento dentro de um nível de significância de 5%. Para as outras 11 empresas testadas, não foi possível rejeitar a hipótese nula e, portanto, não foi possível concluir, para essas empresas, que o evento do anúncio da emissão de ADRs exerceu qualquer influência sobre a volatilidade dos retornos das ações subjacentes. Essa dissertação contribui para o entendimento mais aprofundado das consequências da emissão de ADRs. Tal processo, caro e demandante, expõe as companhias a diferentes níveis de regulação e exige um nível mais elevado de governança e, portanto, deve ser bem entendido por gestores, bancos e consultores. / The purpose of this paper is to analyze the effects of the cross-listing announcement on the behavior of the shares of Brazilian companies that enroll in ADR programs. The analyzed aspects of the domestic shares’ behavior are the abnormal returns, the liquidity levels and the volatility of the returns measured by their variance. 22 ADR programs were analyzed. For each of the characteristic studied, a different empirical technique was utilized. The abnormal returns analysis was conducted through an event study for 5 different study windows. The second empirical technique rely on the “Indice de Negociabilidade”, a metric developed by Economatica which involves the number of daily trades of the market and of the shares to measure potential changes in the liquidity levels of the shares. Finally, the third method used analyzes the variance of the returns of the domestic shares as relevant measure of volatility of returns. Although with limitations, the study presented results aligned with part of the reference studies and bibliography, demonstrating, except for the window of 5 days pre and post event, that it is not possible to assert that the returns of the shares analyzed after the announcement of the issuance of the ADRs are different from the returns presented by the shares before the announcement. With regard to the analysis of the impact on shares’ liquidity (INM 50d), it was possible to reject the hypothesis that the program does not impact liquidity with a significance level of 10% after comparing the liquidity of the shares of the companies that issued ADRs with the liquidity companies’ shares that composed the portfolios of the control groups. Finally, in studying volatility of the shares, it was possible to observe that for the F-tests performed, of the 22 shares tested, 11 presented results that allow the rejection of the null hypothesis and, therefore, infer that for these companies, the variance of returns during the 50-day period postevent was different from the variance of returns over the 50-day period previous to the event within a significance level of 5%. For the 11 other companies tested, it was not possible to reject the null hypothesis and therefore it was not possible to conclude, for these companies, that the event of the announcement of the issuance of ADRs had any influence on the volatility of the returns of the underlying shares. This dissertation contributes to a more in-depth understanding of the consequences of issuing ADRs. Such an expensive and demanding process exposes companies to different levels of regulation and requires a higher level of governance and therefore must be well understood by managers, banks and consultants.

The research has three points of view: word definition and ideologies of its application, technical aspects of the practice in Brazil and a historical panorama of Dubbing and ADR uses in Motion Pictures.
