A responsabilidade dos administradores de instituições financeiras frente aos credores / Financial institutions managersliability to creditors

A dissertação trata da responsabilidade especial prevista no art. 40 da Lei 6.024/74 para os administradores de instituições financeiras frente aos credores sociais na hipótese da quebra da instituição. É discutida a natureza dessa responsabilidade, se objetiva ou subjetiva, buscando seu exato conteúdo. O tratamento adotado é interdisciplinar, envolvendo diversas áreas do direito e da economia. O direito constitucional fornece a tábua de valores para o sistema, impondo limites, e a teoria geral do direito contribui com a análise do conteúdo e a finalidade das normas de responsabilidade, com o regramento prudencial do Banco Central servindo para o detalhamento das condutas. São então utilizadas as ferramentas de análise econômica do direito, particularmente a teoria dos jogos para a modelagem de um regime de responsabilidade subjetiva, e outro de responsabilidade objetiva, como jogos estratégicos, na forma normal e na extensiva, identificando os pontos de equilíbrio e de eficiência, O resultado aponta para uma ineficiência do modelo de responsabilidade objetiva para o administrador. O modelo de responsabilidade subjetiva revela-se mais eficiente, apontando como desejáveis as ferramentas de delação premiada e inversão do ônus de prova, para mitigar problemas de assimetria de informação entre depositante e instituição financeira. A dissertação conclui que a responsabilização objetiva do administrador seria inconstitucional e ineficiente, e que o regime jurídico atual é de responsabilidade subjetiva, mas que pode ser aprimorado, especialmente tornando mais claras as regras aplicáveis. / The dissertation analyzes financial institutions\' managers\' special liability to creditors in the event of bankruptcy, as established by Brazilian Law 6.204/74 article 40. Its discussed the nature of such a liability, whether a negligence standard or strict liability rule, seeking to clarify its full extent. The approach is interdisciplinary, using many fields of both law and economics. Constitutional Law provides the goals and values for the system, and General Theory of Law contributes to analyzing the content and purpose of liability rules, with the Central Bank\'s prudential supervision rules detailing actions. The tools of economic analysis of law are then used, particularly game theory to model a system based on a negligence standard, and another based in a strict liability standard, as strategic games in both normal form and extensive form, identifying the points of equilibrium and efficiency. The result points to an inefficient model of strict liability for the administrator. The model based on a negligence standard is shown to be more efficient, pointing as desirable tools that grant immunity to whistleblowers and reverse the burden of proof, to mitigate problems of asymmetric information between depositors and financial institutions. The dissertation concludes that the strict liability of the manager would be unconstitutional and inefficient, and that the current legal regime is that of negligence standard liability, but it can be improved, particularly by clarifying the rules.

A presente pesquisa tem por objetivo analisar o uso do método da proporcionalidade para decidir questões acerca de direitos sociais. Nesse sentido, antes relacionada somente à proibição do excesso (Übermaßverbot), a proporcionalidade passa a ter reconhecida sua outra face, denominada proibição da proteção insuficiente ou deficiente (Untermaßverbot). O legislador e o administrador passam a ter suas ações balizadas pela proibição do excesso de intervenção e pela imposição da intervenção para proteção de direitos. O termo pouco usual se refere ao controle judicial das omissões do legislador e administrador, na medida em que orienta a atividade deles quando da conformação e implementação dos direitos sociais. Os escassos estudos na doutrina não permitiram o desenvolvimento do método em relação aos direitos sociais no Brasil, em que pese a jurisprudência do Supremo Tribunal Federal se utilizar da proporcionalidade como proibição da proteção insuficiente ou deficiente em alguns de seus julgados, especialmente em época recente. Mas se a utilização de tal método na argumentação judicial passa a ser vista de forma recorrente, o Tribunal deve primeiro ter clareza de seus elementos quando pretende invocá-lo em suas decisões e até mesmo firmeza da utilidade de seu uso quanto a esses direitos. Ainda, tem-se que o transplante de métodos de revisão judicial dos direitos de defesa para os direitos sociais merece estudo específico, tanto em relação à concepção desses direitos quanto à possível aplicabilidade da proporcionalidade, pois as diferenças entre eles apontam que nem sempre ambos os direitos comportarão argumentações idênticas para os problemas que enfrentam. / This research aims to analyze the use of the proportionality method for deciding social rights questions. Thus, the proportionality was related before only to prohibition of excessive state actions (Übermaßverbot), begins to have its other face recognized, called prohibition of lacking or insufficient state actions (Untermaßverbot). The legislator and administrator now have their actions bounded by the prohibition of \"excessive intervention\" and by the imposing of \"intervention to protection\" rights. The unusual term refers to the judicial control of the omissions of the legislator and administrator, in so far as guides their activity of conformation and implementation of social rights. The few studies on the doctrine did not allowed the development of the method regarding the social rights in Brazil, notwithstanding the fact that the jurisprudence of the Supreme Court uses proportionality as prohibition of lacking or insufficient state actions in some of its decisions, especially recently. But if the use of such a method in the judicial argumentation starts to be seen recurrently, the Court must first get clear of its elements when intends to invoke it in their decisions and even firmness of utility of its use regarding such rights. Also, the transplantation of judicial review methods of defense rights for social rights deserves a specific study, both in relation to the understanding of these rights and in relation to the possible applicability of proportionality, cause the differences between them suggest that not always both rights shall include arguments identical to the problems they face.

Especially after the Civil Code of 2002, the analysis of this kind of torts became even more relevant for the Brazilian Law system because of the several cases in which it is applied, including especially the adoption of this system as a general clause statement. Because of this necessity, the present work intends to study the strict liability, especially concerning its axiological foundations, that for long are beyond the original idea of risk, and some microsystems where this kind of liability is applied. To accomplish this result, the paper was divided in two parts: the first one is used to study the fundaments of torts, since the private vengeance until the strict liability as we know nowadays; the second part is about some of the Microsystems that are not based on a negligent act to impose the damage doer the obligation to pay the victim for the damages caused in the Brazilian legal system. The study is done, as much as possible, in a comparative form with other foreign legislation. Some of them influenced the Brazilian legislator on the text of the 2002 Civil Code, but others just have a similar regulation on the matter, even if there is not any influence on Brazilian Civil Code. These comparative studies are done, as much as possible, based on foreign books that study local statutes, so we tried to avoid an interpretation of foreign legislation out of the country s cultural and social context / A responsabilidade civil objetiva, aquela que prescinde da culpa para sua análise e conseqüente imputação de obrigação de indenizar ao causador do dano, vem ganhando cada vez mais espaço no mundo jurídico, desde o final do século XIX. Especialmente com o advento do Código Civil de 2002, a análise desta espécie de responsabilidade passou a ser ainda mais relevante para o Direito brasileiro, em razão das inúmeras previsões deste tipo de responsabilização neste corpo legislativo, inclusive e especialmente com a adoção deste sistema por meio de uma cláusula geral. Em razão desta necessidade, o presente trabalho tem por objetivo analisar a responsabilidade civil objetiva, especialmente no tocante aos seus fundamentos axiológicos, que ultrapassam a originária hipótese de risco, e alguns microssistemas jurídicos em que tal espécie de responsabilidade é aplicada. Para tanto o trabalho foi dividido em duas partes: a primeira cuida da análise dos fundamentos da responsabilidade civil, desde a vingança privada até a responsabilidade objetiva dos tempos atuais; a segunda parte diz respeito especificamente a alguns microssistemas jurídicos que dispensam a culpa para a imputação civil dos danos no ordenamento jurídico brasileiro. A análise, sempre que possível, é feita de forma comparativa com outros ordenamentos jurídicos que influenciaram o legislador de 2002, ou apenas possuem regramento parecido, mesmo que não haja uma relação de influência na legislação brasileira. Nowadays, teachers work is affected by proletarization, precarization and intensification of work, since they act in organizations with low budgets, doing a variety of functions that are not directly related to their profession, with rare opportunities of continuing professional development and, moreover, having to double or triple their daily schedule in order to make a paltry salary. Given this situation, we found it necessary to understand how these hardships affect teaching, more specifically that of Cristina, a teacher within the public school network of the municipality of São Paulo, in a Unified Educational Centre (CEU). From her narrative, as well as those of six other educators, it was possible to identify different indicators of subjective senses in these educational situations. Through articulation of the speeches, significations were identified that were gleaned as part of a dialectically determined society by means of social mediation, forming a picture that is, as the actual literature frequently points out, probably shared by the teaching professionals. The data obtained was analyzed according to the procedure suggested by Aguiar e Ozella (2006, 2013) and named Nuclei of Significations. In light of theoretical and analytical assumptions of sociocultural psychology and its main categories of analysis (historicity, mediation, thought, speech, senses and meanings), the results revealed that the distance between what is expected of the teachers and the little that they are offered in terms of resources and training has created feelings of abandonment and the desire to abscond from their professional responsibilities, as well as indifference and depersonalization, resulting from institutional problems which oppress them, producing an incapability to theorize beyond what they experienced and to understand the historical, political and economic determinations that impoverish the teaching career. Restricted by a precarious initial and continuous professional formation and by the limits of time and economic resources, the teachers need to be satisfied to teach at a level that is hardly related to pedagogical scientific knowledge / O presente estudo tem como objetivo compreender quais são os sentidos e significados que professores atuando em escolas de periferia constituem para as dificuldades e desafios encontrados em sua profissão e a maneira como, segundo eles, tais percalços afetam sua forma de pensar, sentir e agir. O trabalho docente na atualidade, em termos de processo, é afetado pela proletarização, precarização e intensificação do trabalho, uma vez que os docentes não estão isentos de trabalhar em estruturas organizacionais com baixos recursos, exercendo uma multiplicidade de funções alheias a sua formação, com escassas oportunidades de desenvolvimento profissional e, no mais das vezes, tendo que duplicar ou triplicar sua jornada de trabalho para fazer jus a um salário menos que razoável. Inseridos nesta lógica precária, achamos oportuno entender como esses percalços afetam o trabalho docente, especificamente o de uma professora da rede pública de São Paulo, que exerce sua profissão em um Centro Educacional Unificado (CEU). De seu relato, bem como do de outros seis educadores, foi possível identificar diferentes indicadores de sentidos subjetivos configurados nessas situações educacionais. A articulação das falas revela significações que são apreendidas como parte dialeticamente determinada da totalidade via mediações sociais, formando um retrato que é, possivelmente, compartilhado pelo coletivo profissional do magistério, como aponta, com frequência, a literatura atual. Os dados obtidos foram analisados de acordo com o procedimento de análise e interpretação proposto por Aguiar e Ozella (2006; 2013), núcleos de significações. À luz dos pressupostos teóricos e metodológicos da Psicologia Sócio-Histórica, e subsidiados pelas principais categorias de análise que sustentam o referencial adotado (historicidade, mediação, pensamento e linguagem, sentidos e significados), os resultados obtidos desta pesquisa revelaram que a distância entre o que se espera dos docentes e o pouco que lhes é oferecido em termos de recursos e formações têm produzido neles sentimentos de abandono e fuga frente às responsabilidades profissionais que lhes competem, além de indiferença e despersonalização, fruto das mazelas institucionais que os oprimem, produzem a incapacidade de sair do empírico e compreender as determinações históricas, políticas e econômicas que empobrecem a carreira do magistério. Restritos por uma formação inicial precária e pelas limitações de tempo e de recursos financeiros, os docentes precisam satisfazer-se em desempenhar uma docência pouco articulada ao conhecimento científico pedagógico

Cette thèse a pour sujet les effets que l’information a sur les incitations. Les trois articles fournissent et explorent des résultats lorsque l’information est la principale variable d’intérêt, est endogène, pas homogène entre les acteurs et évolue dans le temps d’une manière qui n’est pas nécessairement rationnelle. Le premier article étudie les problèmes de hold-up dans les hiérarchies verticales avec la sélection adverse montrant qu’alors que le pouvoir de négociation des travailleurs augmente, les distorsions provenant de l’asymétrie d’information disparaissent. En outre, il étudie l’effet de la scolarité et du degré d’hétérogénéité de la population de travailleurs sur la répartition du pouvoir de négociation dans les marchés réglementés. Le deuxième article assouplit l’hypothèse des croyances homogènes dans les relations principal-agent avec sélection adverse. Dans un apprentissage évolutif qui est imitatif, les principaux peuvent avoir des croyances différentes sur la répartition des types d’agents dans la population. La convergence à une croyance uniforme dépend de la taille relative de la polarisation dans les croyances. En outre, le modèle est une version d’un cobweb stable. Notre approche offre des explications pour l’alternance des périodes avec quantité oscillante et relativement stable. Le troisième article étudie la fac¸on dont le contenu informatif des politiques juridiques, comme la responsabilité stricte et négligence, en cas de soucis morales, influence la conception optimale des régimes de responsabilité. Plusieurs cas récents ont montré qu’un individu ayant causé un dommage s’expose non seulement a une sanction légale — par exemple, une amende — mais aussi a un boycott social, la désapprobation ou la stigmatisation. L’article montre que le choix d’une stratégie dépend de façon complexe de l’importance du dommage et du “coût moral”. / This thesis focuses on the effects that information has on incentives. The three papers provide and explore some results when the information is the main variable of interest, it is made endogenous, not homogeneous between actors and evolving over time in a way that is not necessarily rational. The first paper studies hold-up problems in vertical hierarchies with adverse selection showing that as the bargaining power of the worker increases, distortions coming from asymmetric information vanish. Moreover, it studies the effect of schooling and degree of heterogeneity in the workforce on the allocation of bargaining power in regulating markets. The second paper relaxes the common assumption of homogeneous beliefs in principal-agent relationships with adverse selection. In an evolutionary learning set-up, which is imitative, principals can have different beliefs about the distribution of agents’ types in the population. Convergence to a uniform belief depends on the relative size of the bias in beliefs. In addition, the set-up is a version of a stable cobweb model. Our approach offers explanations for alternating periods of oscillating and relatively steady quantity. The third paper studies how the informative content of legal policies as strict-liability and fault-based, in case of moral concerns, influences the optimal design of liability regimes. Many recent cases show that an individual found to have caused harm faces not only the possibility of a legal sanction — e.g., the damages he must pay — but also social boycott, disapproval or stigma. ATTIVITA' DI PROTEZIONE CIVILE E RESPONSABILITA' PENALE

L’interesse a realizzare un approfondimento delle responsabilità penali connesse al fallimento delle attività di protezione civile sorge in connessione all’incremento di procedimenti penali a carico di operatori della Protezione Civile. Collocato l’obiettivo primario nella individuazione delle condizioni di dichiarazione della responsabilità, inquadrato il fenomeno di flessibilizzazione delle categorie penalistiche emerso nella prassi giudiziaria in risposta al bisogno sociale di sicurezza, l’indagine si snoda attraverso due aree tematiche idealmente suddivise, volte alla ricostruzione della disciplina dedicata alla P.C. e alla descrizione dei criteri di affermazione della responsabilità, secondo un approccio per problematiche che segue l’incedere dell’accertamento. Quale trait d’union il rischio, elemento trasversale dell’intera analisi, è oggetto delle attività di protezione civile da un lato, fattore di distorsione delle categorie penalistiche in funzione espansiva della responsabilità dall’altro, manifestazione della necessità di scindere la visuale prospettica della funzione di valutazione e gestione del rischio da quella di giudizio sul fallimento dell’attività previsionale. Le soluzioni prospettate, calate nella realtà giudiziaria attraverso l’analisi critica del procedimento sul terremoto dell’Aquila, si muovono in un’ottica di equilibrio tra opposti valori di sicurezza e libertà, in vista di una tutela penale che, se non può a priori essere esclusa, deve situarsi entro confini imposti dalle garanzie penalistiche. / The interest in realizing an in-depth analysis of the criminal responsibilities related to the failure of the activities of civil defence arises from the increase in criminal proceedings against workers of the Civil Defence. Given the phenomenon of versatility of the elements of crime risen from the social need for safety, the main purpose of the investigation is the identification of the conditions of statement of responsibility. The investigation is divided in two thematic areas intended to remodel the legislation of Civil Defence and describe the criteria of statement of responsibility. As a joining link, the risk, cross element of the whole analysis, is both the subject of the activities of civil defence and a factor of distorsion of the elements of crime and expression of the necessity to distinguish the perspectival view of the management of risk from that of judgement on the failure of previsional activity. The proposed solutions, placed in the legal reality of the criminal procedure of Aquila earthquake, have a perfect balance between the opposite values of safety and freedom, in order to grant a legal protection which cannot be excluded and must be placed within the borders of the guarantees of the criminal procedure.

Qualification et quantification de l'obligation de sécurité informationnelle dans la détermination de la faute civile

L'obligation de sécurité informationnelle - c'est-à-dire la tâche qui incombe aux entreprises d'assurer l'intégrité, la confidentialité et la disponibilité de l'information découle, tant en droit québécois que dans une majorité de juridictions occidentales, d'une série de dispositions législatives imposant non pas l'adoption de comportements ou l'utilisation de technologies ou de procédés identifiables, mais bien l'implantation de mesures de sécurité «raisonnables », «adéquates », ou « suffisantes ». Or, dans un domaine aussi embryonnaire et complexe que celui de la sécurité informationnelle, domaine dans lequel les solutions disponibles sont multiples et où la jurisprudence est éparse, comment une entreprise peut-elle jauger avec justesse l'étendue de son obligation? Bref, comment établir ce que ferait une entreprise raisonnablement prudente et diligente dans un domaine où il n'existe actuellement aucune balise législative, jurisprudentielle ou même coutumière permettant de fixer avec justesse le niveau de diligence imposé par le législateur? L'absence de sécurité juridique offerte par une telle situation est patente et nécessite une reconfiguration du cadre opératoire de l'obligation de sécurité informationnelle afin d'en identifier les composantes et les objectifs. Cet exercice passera par la redéfinition de l'obligation de sécurité informationnelle comme obligation de réduire les risques qui guettent l'information à un niveau socialement acceptable. En effet, la sécurité pouvant être définie comme étant la gestion du risque, c'est donc le risque qui réside au cœur de cette obligation. Or, en analysant les risques qui guettent un système, soit en analysant les menaces qui visent à exploiter ses vulnérabilités, il est possible d'établir quelles contre-mesures s'avèrent utiles et les coûts associés à leur mise en œuvre. Par la suite, il devient envisageable, en recourant à la définition économique de la négligence et en prenant compte des probabilités de brèches de sécurité et des dommages escomptés, d'établir les sommes optimales à investir dans l'achat, l'entretien et la mise à jour de ces contre-mesures. Une telle analyse permet ainsi de quantifier avec un certain degré de précision l'étendue de l'obligation de sécurité informationnelle en offrant aux entreprises un outil s'inspirant de données matérielles auxquelles elles ont librement accès et s'intégrant aisément dans le contexte juridique contemporain. / In Quebec, as in most western jurisdictions, the duty to ensure information security, i.e. the obligation bestowed upon companies to protect the integrity, confidentiality and availability of information, stems from a series of legal dispositions which, rather than to impose a certain conduct, or the use of given technologies or processes, simply demand that "reasonable", "adequate", or "sufficient" security measures be applied. However, in a field an nascent and complex as information security, where available solutions are numerous, and where case law is sparse, how can a company reliably predict the full extend of its duty? In other words, how can one establish what a reasonably prudent and diligent company would do in a field where laws, case law, and even customs fail to dictate precisely what level of diligence is sought by the legislator? The lack of legal certainty offered in such a case is obvious, and requires us to reconfigure the framework associated with the duty to ensure information security in order to identify its components and objectives. Such an endeavour begins with redefining the duty to ensure information security as a duty to reduce information-related risk to a socially acceptable leve1. Since security stems from risk management, it can therefore be said that risk is at the core of said duty. By analysing risk, i.e. by identifying the threats that aim to exploit a system's vulnerabilities, it becomes possible to specify which counter measures could be useful and what costs they may entail. From that point, it's feasible, if using the economic definition of negligence (which is based on the probability of a security breach, and the damages incurred), to establish the optimal amount that should be invested in the purchasing, upkeep and replacement of these counter measures. This type of analysis will allow companies to quantify, with a certain degree of precision, the extend to which they need to ensure information security by giving them a set of tools based on easily accessible data. Furthermore, said tools appear to be fully compatible with the current legal landscape.

Om die studie geldig te maak, is al die rolspelers wat by sportafrigting by die skole betrokke is, by die studie ingesluit. Die Grondwet, onderwyswetgewing, beroepsveiligheid en –gesondheidswetgewing, tersaaklike regspraak en die gemene reg is as regsdeterminante ontleed. Daar is veral in die bespreking van die gemene reg gefokus op deliktuele aanspreeklikheid as regsdeterminant. In die studie is n kwalitatiewe ondersoek na opvoeders se persepsies gedoen. Daar is gefokus op deelnemers in die onderwys in n spesifieke geografiese area is, en die hele spektrum van rolspelers is betrek. The concept duty of care is defined as heedful, careful guarding, supervision of a minor, and/or overseeing. An obligation rests on teachers to scrupulously see to the safety (and also the well-being) of all learners entrusted to them. Hence teachers are responsible for the physical safety of learners and for creating a safe haven for them. The Civil Technology workshop teacher has an increased caring duty towards his learners due to the potential life-threatening circumstances and conditions that can prevail in his workshop compared to, for instance, the ordinary classroom environment. Furthermore, a specific legal duty rests on a person when he is placed in control of dangerous objects or machinery, seeing that he has to see to it that he ensures the safety of others through positive action. Internationally, the circular saw is statistically speaking seen to be the most dangerous woodwork machine in the Civil Technology workshop. Circular saws are responsible for more accidents than any other machine, and the most claims for damages against teachers and school managements also arise from it. Due to the underlying dangers inherent to circular saws and the presence thereof in Civil Technology workshops, it increases the risks attached to the caring supervision duty of the Civil Technology teacher to a great extent. Civil Technology workshop teachers are therefore confronted by unique challenges in their workshops. Hence it is essential that they be equipped with sufficient knowledge pertaining to educational law so as to make head against these challenges. Civil Technology workshop teachers should therefore not only be aware of all common law principles, relevant legislation and case law as applicable to workshops, but also be able to apply it in practice in the workshop environment. This practical application furthermore requires workshop teachers to be knowledgeable to be able to maintain workshop machinery in a safe working condition through regular upkeep and maintenance. An empirical investigation (n=38) was launched, based on a questionnaire filled in by all Civil Technology teachers and their heads of department North West where Civil Technology is presented as a choice subject at high schools. The aim of the empirical investigation was to determine: * what the level of Civil Technology workshop teachers‘ expertise and knowledge is regarding legal key issues concerning their caring supervising duty, and * to what extent effective safety management of woodwork machinery in Civil Technology workshops is applied. The empirical investigation found, amongst others, that: * The respondents do not have sufficient knowledge of the principles pertaining to educational law to apply it in the Civil Technology workshops of the study population practically. * Civil Technology workshop teachers and heads of department should have a high degree of expertise with a view to execute their duty of care. Poor educational law training can possibly be proffered as reason why their level of expertise cannot be seen to be sufficient in a case where an increased level of duty of car is required in potentially dangerous workshops. Following on above-mentioned findings, specific recommendations were made to all role-players involved that are involved in learner safety in Civil Technology workshops. Sport by skole is n verlengstuk tot die opvoeding van die kind, en in die meeste goed funksionerende openbare skole vind sportafrigting wel plaas. Sekere kommerwekkende gebeure rakende die onderwysers se regsaanspreeklikheid tydens die afrigting van sport het hierdie studie genoodsaak. Die klem van hierdie studie fokus op die sekuriteit en veiligheid van nopvoeder, veral tydens die afrigting van sport. In die studie is daar na opvoeders verwys in hulle rolle as sportafrigters, wedstrydbeamptes en administrateurs by skole. Hierdie navorsing val binne die vakgebied Onderwysreg en die opvoeders se sekuriteit en veiligheid word onder andere vanuit n gemeenregtelike perspektief bespreek. Om die studie geldig te maak, is al die rolspelers wat by sportafrigting by die skole betrokke is, by die studie ingesluit. Die Grondwet, onderwyswetgewing, beroepsveiligheid en –gesondheidswetgewing, tersaaklike regspraak en die gemene reg is as regsdeterminante ontleed. Daar is veral in die bespreking van die gemene reg gefokus op deliktuele aanspreeklikheid as regsdeterminant. In die studie is n kwalitatiewe ondersoek na opvoeders se persepsies gedoen. Daar is gefokus op deelnemers in die onderwys in n spesifieke geografiese area is, en die hele spektrum van rolspelers is betrek.
