A critical analysis of exclusionary clauses in medical contracts

This thesis examines the validity of exclusionary clauses in medical contracts, more especially, hospital contracts in which the healthcare provider exonerates itself against edictal liability arising from the negligent conduct of its staff, resulting in the patient suffering damages. In assessing whether these types of clauses should be outlawed by our courts, this thesis attempts to synthesize six major traditional areas of law, namely, the law of delict, the law of contract, medical law and ethics, international and foreign law, statutory law and constitutional law into a legal conceptual framework relating specifically to exclusionary clauses in medical contracts in South Africa. This thesis highlights systemic inconsistencies with regard to the central issue, namely, whether these types of clauses are valid or not, especially, given the fact that the practice of exclusionary clauses or waivers in hospital contracts has hitherto traditionally been assessed within the framework of the law of contract. The alignment of the various pre-existing areas of statutory and common law with the Constitution highlights that an inter-disciplinary and purposive approach under the value-driven Constitution, brings about a less fragmented picture in assessing the validity of these types of clauses. This approach accords with the new solicitude of the executive, the judiciary, the legislature and academia to transform the South African legal system not only in terms of procedural law but also substantive law. This has resulted in the alignment with constitutional principles and the underlying values to test the validity of these types of clauses, alternatively, contracts. Whereas pre-constitutionally the assessment of disclaimers in hospital contracts was done against the stratum of antiquated principles, namely, freedom of contract and the sanctity of contract, ignoring values such as reasonableness, fairness and conscionability, post-constitutionally, because the values that underlie the Bill of Rights and which affects all spheres of law, including the law of contract, concepts such as fairness, equity, reasonableness should weigh heavily with the decision-maker. In this regard, broader medico-legal considerations, normative medical ethics and the common law principles of good faith, fairness and reasonableness play a fundamental role in the assessment of contractual provisions, including the practice of disclaimers or exclusionary clauses in hospital contracts. This thesis critically examines how these types of clauses or contracts ought to be adjudicated eventually against the background of such alignment. It concludes that the entering into a hospital contract, in which the patient exonerates a hospital and its staff from liability flowing from the hospital or its staff's negligence causing damages to the patient, would be inconsistent with the Constitution and invalid. In the old order in which traditional divisions of law have been encouraged, a fragmented approach resulted in legal in congruencies which, in turn, created turbulence and a lot of uncertainty. This approach is apposite to that which the new constitutionally based legal system, aims to achieve. The rights in the Bill of Rights which are interconnected and which influences all spheres of law, including contract law, offers a fairer basis upon which, the validity of contracts, or contractual provisions, can be measured than, the pure contract approach. In this regard, although contracts or contractual provisions in the past may have been unfair and unreasonable, the courts, however, refused to strike them down purely on this basis. The law of contract, as a legal vehicle for adjudicating the validity of exclusionary clauses or waivers in hospital contracts, is therefore not ideal. This is primarily due to the antiquated approach the South African courts have always taken in this area of law. The law of delict, statutory law and medical law, standing alone, also does not provide a satisfactory answer. What is needed is an integrated approach in which the traditional areas of law are united and wherein constitutional principles and values, give much guidance and direction. Ces dernières décennies ont été marquées par une accélération des échanges mondiaux. Le transport maritime du fait de son coût peu élevé a contribué à ce développement. En effet, aujourd’hui près de quatre vingt dix pourcent des marchandises transportées dans le monde le sont par voie maritime. L’augmentation des volumes échangés et la capacité des navires ont fait augmenter les risques d’incidents et du même coup la responsabilité de tous les acteurs des contrats maritimes de transport de marchandises. La responsabilité du chargeur, qui a été longtemps restreinte à un simple cas excepté libérant la responsabilité du transporteur, prend son essor. Elle s’autonomise autour de la construction d’un régime général et spécial qu’il convient de mieux ordonner. A cet égard, l’étude comparative des expériences sino-françaises dans le domaine des responsabilités du chargeur fait apparaître de nombreuses disparités et différences de traitement. Les Règles de Rotterdam s’inscrivent dans cette perspective en consacrant ce phénomène. Elles prennent en considération de nouveaux types de chargeurs tels que le chargeur documentaire afin de mieux s’adapter à la réalité de l’opération de transport. Les risques d’atteinte à l’environnement par des marchandises dangereuses sont aussi pris en compte. Mais contrairement à la responsabilité du transporteur, la responsabilité contractuelle et délictuelle du chargeur est illimitée. En attendant une ratification des Règles de Rotterdam, la liberté contractuelle constitue un moyen intéressant pour le chargeur de limiter sa responsabilité dans le respect des dispositions d’ordre public ou de ses obligations impératives. / Recent decades have seen an acceleration of world trade. Due to its low cost, maritime transport has contributed to this development. Indeed, nearly ninety percent of goods transported in the world are seaborne. The increase in trading volumes and vessel capacity have increased the risk of incidents and thereby the responsibility of all actors in maritime carriage of goods contracts. The responsibility of the shipper, which has long been restricted to a simple except case releasing the carrier’s liability, is now taking off. This new autonomy, built around general and special ratings, should be better organized. In this regard, the comparative study of Chinese and French experiences in the responsibility of the shipper reveals many disparities and differences in treatment. The Rotterdam Rules follow the recent trend by taking into account new types of shippers, such as the documentary shipper, in order to better adapt to the reality of transport operations. The risks to the environment due to hazardous goods are also taken into account. But unlike the carrier's liability, the shipper’s liability and tort are unlimited. Etude sur les clauses limitatives ou exonératoires de responsabilité / Limitation and exclusion clauses

Présentes dans de nombreux domaines, les clauses limitatives de réparation et les clauses exonératoires de responsabilité constituent une pratique très courante. Si elles se rencontrent le plus souvent en matière contractuelle, ces conventions peuvent également aménager la responsabilité extracontractuelle d’un potentiel responsable qui connaîtrait déjà la victime éventuelle, tel un voisin ou un cotraitant dans la réalisation d’un ouvrage. Malgré leur utilité et leur fréquence pratique, ces clauses pâtissent aujourd’hui d’un régime incertain, qui suscite nombre d’interrogations, tant en matière contractuelle qu’extracontractuelle. Pour savoir si une clause limitative ou exonératoire de responsabilité peut jouer en faveur du responsable, il faut dans un premier temps vérifier sa validité. Or, tant les droits spéciaux (droit des transports, droit de la consommation…) que la jurisprudence (notamment l’arrêt Chronopost) ont porté de multiples atteintes aux règles classiques de validité de ces stipulations. Il est dès lors nécessaire d’instaurer des directives renouvelées afin de clarifier cette question primordiale. Dans un second temps, il n’est pas certain que la clause relative à la responsabilité, pourtant valable, puisse déployer tous ses effets. L’efficacité de ces stipulations revêt ainsi une grande importance. Cependant, là encore, les règles de paralysie en cas de faute qualifiée du responsable, ainsi que celles qui gouvernent l’opposabilité des clauses aux tiers victimes d’un dommage causé par un manquement contractuel, méritent d’être rénovées pour balayer les incertitudes qui jalonnent aujourd’hui la matière. À l’heure où le droit de la responsabilité civile est en passe d’être réformé, cette étude propose un nouveau régime applicable aux clauses relatives à la responsabilité pour que la notion recouvre sa fonction de véritable outil de prévisibilité pour les parties. / Limitation and exclusion clauses constitute a very common practice in many areas. Although they are more often used in the contractual field, these agreements can also change tort liability of a potential tortfeasor who would already know the potential victim, as a neighbour or a consortium member. Nowadays, despite their utility and practical frequency, these stipulations suffer from an uncertain regime, that gives rise to questions, as much in contractual field as in tort field. Firstly, to know whether an exclusion clause can be invoked by the responsible, we need to verify its validity. Yet, both laws in different fields (transport law, consumer law …) and case law (especially the famous Chronopost case) have affected the classic rules of validity of these stipulations. There is therefore a need to establish new guidelines to clarify this important question. Secondly, it is not certain that the exclusion clause, however valid, will apply. The effectiveness of these provisions is also of great importance. Nevertheless, the rules governing the paralysis in case of gross fault from the responsible and those who regulate the enforceability of clauses to third parties, victims of a damage caused by a breach of contract, should be renovated to sweep away the uncertainties that confuse the subject. At a time when French civil liability law is about to be reformed, this study proposes a new regime for exclusion and limitation clauses in order to restore their true function of foreseeability for parties.

Le secret des affaires / Confidentiality in business law

En dépit de son importance pratique, le secret des affaires n’est guère pris en compte par le droit français. Bien que mentionné par quelques textes épars, il ne peut être qualifié de notion juridique. Face aux lacunes de notre législation, les tribunaux sont contraints d’appliquer le droit commun pour protéger les informations économiques sensibles : or, l’article 1382 du Code civil, comme les textes réprimant le vol et le recel, ne sont pas adaptés. Pourtant, comme en témoignent certains systèmes juridiques étrangers, la protection du secret est nécessaire ; il convient donc d’en rechercher les fondements. Bien que justifiée, la sauvegarde des renseignements confidentiels doit toutefois être conciliée avec les autres intérêts en présence, tels que les droits particuliers à l’information, les principes directeurs du procès, la transparence financière ou encore la liberté du travail. Le but de cette étude est donc de cerner la notion de secret des affaires, puis de proposer des modalités de protection, en respectant les intérêts des tiers. / Despite its practical relevance, business secrecy remains barely recognized under French law. Even if various texts refer to that concept, it cannot be considered as a legal concept under French law. In order to face the defects of our law, courts are bound to apply ordinary law to guarantee the protection of sensitive business information. However, applying article 1382 of the French civil code (torts) as well as referring to the concepts of robbery or handling (criminal law) are inappropriate solutions. Nevertheless, some foreign legal systems have demonstrated that protecting business secrecy was necessary. Therefore, our study will seek the grounds of that need for protection. Protecting confidential data, although justified, must be compatible with other key principles: individual rights to information, civil trial practice standards, financial transparency or freedom of work. Thus, the purpose of that study is to delimitate the concept of business secrecy before suggesting new measures to protect it while preserving third parties beneficiaries.

L’étude de l’évolution des méthodes du juge administratif français doit être rattachée aux nouvelles priorités choisies par lui dans l’exercice de sa fonction. « Dire le droit et trancher les litiges » reste bien la principale mission du juge administratif. Certaines des composantes de son office ont néanmoins pris une importance renouvelée dans le cadre d’une politique de renforcement de sa légitimité. La juridiction administrative tient en effet de plus en plus compte de la personne du justiciable et a placé le renouveau de son office sous le signe de la protection des droits fondamentaux, terrain d’élection du dialogue des juges. Ces tendances fortes ont motivé et alimenté une profonde rénovation de ses techniques et méthodes de jugement. Le juge administratif français est aujourd’hui pleinement adapté au temps de l’action administrative et à ses enjeux. Qu’il s’agisse des opérations de contrôle de légalité ou de leur issue, l’efficacité de ses interventions est manifeste. En pleine possession de ses pouvoirs, le juge administratif français apporte une réponse adéquate à la demande de justice contemporaine et a une nouvelle fois relevé le défi du renouvellement. / The study of the evolution of the methods used by the French administrative judge is necessarily connected to the new priorities that were chosen regarding the carrying out of his functions. « Pass judgment and resolve disputes » remains the foremost mission of the administrative judge. Some of the aspects of his powers and duties have nevertheless grown in importance as part of a policy of strengthening his legitimacy.. Indeed , administrative courts increasingly take into account the persons subject to trial and they have focused the revitalization of the jurisdiction on the protection of fundamental rights, a favoured field for the dialogue of judges. Those strong orientations led to a deep reform of their techniques and methods of judgment. The French administrative judge is now fully in accordance with the requirements of administrative actions and the issues at stake. Whether it concerns reviews of legality or their outcome, those interventions are obviously efficient. Thanks to the powers he now detains, the French administrative judge brings an adequate response to the needs of modern justice and has once again taken up the tough challenge of self-reforming his functions.

En France, depuis les années 1990, la polarité traditionnelle service public / fonction publique est mise en cause par des mesures de privatisation et d'externalisation des services publics d'une part, et par la contractualisation et la « managérialisation » de la fonction publique d'autre part. Ces tendances s'observent également en Chine dans la construction d'un système de services publics à partir des années 1990, et dans l'instauration d'une fonction publique décidée à la fin des années 1980 et entérinée par la loi du 27 avril 2005 « sur les agents publics ». Malgré les divergencespolitiques et culturelles entre les deux pays, on constate non seulement un même mouvement de recul de l'administration publique dans la gestion des services publics, mais aussi l'influence croissante du droit privé sur le droit de la fonction publique. Le droit public, en tant qu'il régit traditionnellement le service public et la fonction publique, est dès lors mis en question tant au niveau de son périmètre qu'au niveau de sa substance. À mesure que la relation entre service publicet fonction publique se distend, la corrélation entre les finalités de l'État et les structures administratives devient moins évidente. Dans ce contexte, la comparaison des droits français et chinois éclaire les transformations en cours du droit public. / In France, since the 1990s, the traditional polarity public service / civil service is questioned by privatization and public services outsourcing on the one hand, and by contracting and "managerialization" of civil service on the other hand. These trends are also observed in China in the construction of a public services system from 1990s, and in the establishment of a civil service decided in the late 1980s and endorsed by the Law of 27 April 2005 on Public Servants. In spite of the political and cultural differences between the two countries, there is a converging movement : the public administration steps back from the public services management, while the private law grows its influence on the civil service law. Public law, as it traditionally governs the public service and the civil service, is therefore challenged both in its scope and in its substance. As the relationship between public services and civil service distends, the correlation between the purposes of state and the administrative structures is less obvious. In this context, the comparison of French and Chinese laws illuminates the ongoing transformations of public law.

La volonté précontractuelle est le socle de la formation contractuelle. Au cours des négociations, les parties formulent leurs exigences et perfectionnent leurs volitions. Les manifestations de volonté à l’origine du contrat sont donc le fruit d’un processus volitif propre à chaque contractant. En dépit des apparences, le droit n’ignore pas le vouloir des parties au stade des négociations. Il s’intéresse aux mécanismes d’élaboration de cette volonté. La perception de la volonté précontractuelle est alors un enjeu essentiel dans la compréhension de l’acte qui en résulte. Il s’intéresse également aux manifestations de volonté. Celles-ci fixent ponctuellement le vouloir de leur auteur. Elles rassurent alors par leur perceptibilité. Toutefois, ces manifestations n’ont pas toujours la clarté attendue. En effet, le doute innerve la période précontractuelle et plus particulièrement les manifestations de volonté qui s’y développent. Confronté à cette difficulté, le droit doit s’adapter. Il entreprend donc de réagir en tentant d’adapter le résultat de ces manifestations. Ainsi, le contrat ne sera en définitive qu’une résurgence partielle des manifestations de volonté à son origine. Il peut par conséquent être appréhendé comme l’expression imparfaite des volontés précontractuelles à sa source. En somme, la frontière entre le précontractuel et le contractuel est ténue. L’analyse de la volonté précontractuelle et de ses manifestations va révéler les liens existant entre ces deux notions / The pre-contractual willingness is the basis of contractual training. During the negotiation, the parties draw up their requirements and develop their volitions. The demonstrations of willingness at the initiation of the contract are therefore the outcome of a volitional process for each contracting party. In spite of appearances, the legal entitlement does not ignore the will of contracting parties at the negotiating phase. It is interested in the mechanisms of elaboration of this willingness. The perception of the pre-contractual willingness is the essential stake throughout the apprehension stage of the final deed. It is highly concerned by the demonstration’s ways of a willingness. These delineate punctually the willingness of their originator. It reassures by their perceptibility. However, these manifestations are not always unambiguous like expected. Indeed, the doubt innervate the pre-contractual stage and more particularly the manifestation phase of a willingness which emerges here. Confronted with this challenge, the legal entitlement must adapts. It engages to react by trying to adapt the outcome of these manifestations. In this way, the contract will ultimately become a partial resurgence of the manifestation of veritable willingness. It can therefore be comprehended as the imperfect expression of pre-contractual willingness at its source. In essence, the border between the pre-contractual and the contractual is tenuous. The analysis of the pre-contractual willingness and its manifestations reveals the existing links between these two notions

Management efektivního jištění stavebních zakázek z pohledu veřejného investora / Management of effective protection of construction contracts from the perspective of the public investor

The doctoral thesis deals with an analysis and comparison of the effective protective forms for construction contracts from the perspective of the investor/contracting authority in public construction work orders according to Act No. 134/2016 Coll., on Public Procurement. The theoretical part includes the risk management of construction projects with regard to the management of the business risk. The functions of protective forms within the project life cycle are described. The legal standards and regulations related to the procurement process and the contract management between the client and the main contractor are presented. International legal standards used for construction projects in the Czech Republic and abroad are mentioned. The aim of the thesis is to investigate the current situation and to create a model of management of business risk as a methodical practical approach for the public investor. Quantitative research of the protective forms in the contracts for works was conducted. The research data consisted of a database of selected public works contracts published on the public profiles of the contracting authorities during the performance phase of contracts during the years 2011–2018. Within the data analysis, a structured database of inputs and the used protective forms was created according to the documentation of the construction work orders. Furthermore, the relationship between the estimated value of the contract and the contract price was examined. Based on the data analysis and the benchmark study the model of management of business risk was created. To optimize the selection of protective instruments in works contracts, a portfolio of effective protective forms and their recommended parameters was proposed. The quantitative analysis was complemented by the questionnaire survey method and the structured interviews with the public sector representatives. The results of the research were compared with current international practice.

The thesis deals with the topic of bank guarantees in the construction industry focusing on the contractor of the construction commission. The aim of this paper is the definition of bank guarantees in legal and economic terms, and on the basis of available literature, and also a proposal for the application of a bank guarantee in construction contracts. This thesis includes an overview of the products offered by national bank institutions in the field of bank guarantees and their comparison. The thesis contains an overview and description of bank guarantees used in the construction industry. The thesis focuses on a bank guarantee for the proper execution of the work (for the correct execution of the contract for work). There is described the progress of the guarantee from the contract for work until the warranty exercise and any dispute over the amount paid under the guarantee. Further, the paper deals with the use of bank guarantees in practice from the point of view of construction companies, focusing on the guarantee for the proper execution of the work. The thesis also describes solutions in the field of bank guarantees of construction companies, ways of surety, credit limits and bank charges for bank guarantees. In conclusion, there are described terms of the bank guarantee in the contract for work for the specific construction contracts and a method of preparation of the bid price for the contract with regard to where the cost appears applying the bank guarantee at the contractor's bid price. The contribution of this thesis is a comprehensive overview of bank guarantees in the construction industry and their application intended for a contractor of the construction commission.
