L’objectif de la présente étude est de faire l’état de la lutte contre la fraude à la constitution qui entrave le processus de démocratisation en Afrique noire francophone. Il s’agit de montrer que le renforcement de la démocratie et de l’État de droit a favorisé l’émergence de nouveaux usages de la constitution dans la plupart des États africains. Les gouvernants qui ont intériorisé les contraintes du constitutionnalisme le rejettent de plus en plus par le recours à des artifices juridiques qui se révèlent très difficiles à combattre sur le terrain du droit. Il en est ainsi parce que le fraudeur à la constitution prend toujours le soin de se conformer à la lettre de la constitution pour en combattre son fond. Toutefois, on voit émerger au niveau national, régional et international une synergie d’actions de quelques institutions juridictionnelles, politiques et sociales tendant à combattre les actes des pouvoirs publics qui, revêtant l’apparence de la légalité constitutionnelle, la contrarie. Pour ce faire, les acteurs impliqués dans la lutte contre la fraude n’hésitent pas à tirer du dispositif normatif qui se révèle dans sa mise en œuvre inadaptée, les moyens pour identifier et sanctionner. Le bilan des actions menées contre la fraude révèle des rares succès. Les échecs enregistrés induisent que pour la consolidation de la démocratie en Afrique, la lutte contre la fraude à la constitution doit être placée au centre du contrôle du juge constitutionnel. / The objective of this study is to review the state of the fight against fraud in the constitution that hinders the process of democratization in francophone Africa. These show that the strengthening of democracy and the rule of law has encouraged the emergence of new uses of the constitution in most African states. The leaders who have internalized the constraints of constitutionalism reject more and more by the use of legal devices that are very difficult to fight on the field of law. This is so because the fraudster to the formation always takes care to comply with the letter of the constitution to fight his background.However, are emerging at national, regional and international synergy of actions of some judicial institutions, and social policies aimed at combating acts of public authorities, taking on the appearance of constitutional legality, the upsets. To do this, those involved in the fight against fraud do not hesitate to draw the normative system which is revealed in its inadequate implementation, the means to identify and punish. Review the actions conducted against fraud reveals rare success. The failures that lead to the consolidation of democracy in Africa, the fight against fraud in the constitution must be central control of the constitutional court.

Le droit des sociétés à l’épreuve de la société privée européenne / Company law to the test of the European private company

« L’Europe ne se fera pas en un jour, ni sans heurts.», dixit Monsieur Robert Schuman. Tel est le constat qui peut encore être fait à l’heure actuelle avec l’adoption, après trente ans d’intenses débats au niveau européen, de la Societas Europaea, introduite en droit français avec la loi du 26 juillet 2005 pour la confiance et la modernisation de l’économie, complétée par les décrets du 14 avril 2006 et du 9 novembre 2006. La même analyse peut s’appliquer à la proposition du règlement de la commission européenne relatif au statut de la société privée européenne faite le 25 juin 2008, en cours d’examen devant le Parlement Européen. Il s’agit de démontrer l’existence de normes communautaires flexibles propices au développement des normes statutaires, à l'image de celles applicables à la société privée européenne (SPE) d'origine communautaire et d'essence contractuelle. La SPE doit être analysée comme structure sociétaire, symbole de l’émancipation du droit communautaire et vecteur du principe de libre établissement des sociétés, à la fois par rapport à sa « grande cousine », la société européenne, et à travers l’étude des normes communautaires comme éléments nécessaires au bon fonctionnement des structures européennes.La question est enfin de savoir si le recours à la SPE constitue un instrument pertinent dans les opérations de restructuration intra-communautaire. Deux axes de réflexion semblent s’imposer : l’aménagement des relations contractuelles intragroupe via le modèle de la SPE et la SPE comme élément moteur dans le cadre des opérations de fusion intracommunautaire. / “Europe will not be made in a day, nor without any clashes,” according to Mr Robert Schuman. The statement proved to be true with the adoption, after thirty years of intense debates at the European level, of Societas Europaea, introduced into French law with the bill of July 26, 2005 for the confidence and modernization of the economy, supplemented by the decrees of April 14, 2006 and November 9, 2006. The same analysis can be made of the European Commission proposals for the regulations relating to the statute of the European private company made on June 25, 2008, and now under consideration before the European Parliament. The question is to show the existence of flexible Community standards favourable to the development of statutory standards, in the image of those applicable to the European Private Company of Community origin and which is contractual in essence. The European Private Company should be analysed as a member structure and a symbol of the emancipation of Community legislation as well as a vector of the principle of free establishment of companies both in relation to its “big cousin,” the European Company, and through the study of Community standards as necessary elements to the correct operation of European structures. The next step is to question if resorting to the European Private Company constitutes a relevant instrument in the operations of intracommunitarian reorganization following two main lines of investigation: the adjustment of contractual intragroup relations via the model of the European Private Company and the European Private Company as a mainspring within the framework of intracommunitarian fusion operations.

Le droit des aides d’Etat est un domaine singulier du droit de l’Union européenne (UE). Sonobjectif le rend même unique au monde et pourtant il demeure en partie méconnu et seseffets sous-estimés. La crise économique et financière débutée en 2007 l’a remis sur ledevant de la scène. Dans ce contexte, un outil s’est révélé comme central dans la gestiondes évènements : la conditionnalité. Longtemps ignorée, cette technique, présente depuisles origines en droit des aides d’Etat, s’avère être d’une influence insoupçonnée sur lemécanisme de contrôle des soutiens étatiques. D’une part, elle autorise la Commission àexiger des modifications substantielles, tant du projet d’aide que des bénéficiaires, afin d’enautoriser la mise en oeuvre. D’autre part, la conditionnalité permet à la Commissiond’avancer un agenda politique, de manière indirecte, au service de l’approfondissement del’UE. Son incidence ne se limite pas seulement à la question de la compatibilité desfinancements publics. Elle s’exprime également dans le cadre du suivi des décisionsconditionnelles, et des éventuels recours juridictionnels. De nouvelles techniques basées surla conditionnalité ont fait leur apparition à tous les stades de l’examen des aides. Plusencore, elle joue un rôle considérable, en amont, dans le processus de création du droit desaides d’Etat et de sa soft law. Compte tenu de sa portée, cette étude s’est attachée àmesurer l’ampleur de ce phénomène, à définir ses concepts, à identifier ses formes et àévaluer ses conséquences. Il en résulte que la conditionnalité est à l’origine d’une nouvelleapproche du droit des aides d’Etat. / State aid law is a unique area of European Union (EU) law. Its objective makes it evenunique in the world and yet it remains partly unknown and its effects underestimated. Theeconomic and financial crisis, which began in 2007, has brought it back to the forefront. Inthis context, a tool has proved to be central in the management of events: conditionality. Thistechnique, which has long been ignored, has always had an unsuspected influence on themechanism of control over state support. On the one hand, it authorizes the Commission torequire substantial changes, both in the aid project and for the beneficiaries, in order toauthorize its implementation. On the other hand, conditionality allows the Commission to putforward a political agenda, indirectly, to service the deepening of the EU. Its impact is notlimited to the question of the compatibility of public funding. It is also expressed in the contextof the monitoring of conditional decisions, and possible judicial review. New techniquesbased on conditionality have emerged at all stages state aid control. Moreover, it plays aconsiderable role, upstream, in the process of creating state aid law and its soft law. Givenits scope, this study focused on measuring the extent of this phenomenon, defining itsconcepts, identifying its forms and evaluating its consequences. As a result, conditionality isat the origin of a new approach to state aid law.

Majority-Preferential Two-Round Electoral Formula: A Balanced Value-Driven Model for Canada

This research is an enquiry to find an electoral formula that conforms to Canadian constitutional values. Three core values that are pertinent to the issue of electoral systems are identified: democracy, diversity, and efficiency. Each of these core values is divided into different aspects. These aspects will form the backbone of the evaluation of different electoral systems in this work. I will begin with an evaluation of the plurality model of elections, which is currently used in Canada. I will demonstrate that many of the attributes of the current system are not in tune with Canadian constitutional values, in particular with the progressive interpretation that the Supreme Court of Canada has given to the right to vote as enshrined in Section 3 of the Canadian Charter of Rights and Freedoms. Although the interpretation of the right to vote will be the main thrust of the constitutional scrutiny in this work, attention will also be given to other pertinent rights such as equality rights, minority rights, and the freedom of expression. Next, I will examine provincial electoral reform initiatives that were initiated in five Canadian provinces. All of these initiatives - three of which were put to referenda and eventually defeated - proposed adopting a variant of proportional representation. Accordingly, I will evaluate proportional systems according to the intended values. I will conclude that these systems have problems of their own and they also cannot strike a fine balance between competing values. In the final stage, I will make a new proposal for elections to the Canadian Parliament. First, I will demonstrate that majority systems are better candidates to attain the envisioned values. Then I will introduce a new variant of the majority model, which I call a majority-preferential two-round variant. I will demonstrate that this new variant will outperform the other variants in the attainment of values if adopted for elections to the House of Commons. Finally, I will argue that the combination of a House of Commons elected through the majority-preferential formula and a proportionally elected Senate will result in a more balanced approach to the relevant constitutional values.

The study is developed from five in-depth interviews with individuals from different walks of life who have interacted significantly with the North Sea. The study discusses change in the North Sea specifically in the development of fixed turbine wind farms and their physical and aesthetic effects. Observations speakers make as to changes in the North Sea and as to its beauty are contextualised and discussed using NASA satellite images, photographs and review of available academic literature, UK policy documents and law. This context includes a study of the industrialised North Sea with reference to the sediment sea plumes behind monopile turbines. The United Kingdom was selected for particular study of its wind farm development permissions process, including evaluations of seascape and the requirement of independence for expert evidence. Decline of trawler access to the North Sea is referenced to wind farm growth, and to adverse changes in public opinion leading to closure of the UK Dogger Bank to trawlers. Finality of wind farm development decisions is considered against the prospect of overturn by the courts. This aspect covers the application and development of principles relating to appeal by way of judicial review in the UK jurisdictions of Scotland, England and Wales, and Northern Ireland. The study identifies, and explains the English aesthetic evaluation of wind farms. It concludes that sea plumes are the result of a legal choice to allow permit applications to succeed without testing by reference to detailed in-sea turbine dimensions. In the permissions process (a) sea plumes are not evaluated by the seascape criteria applicable to coastal or off-coastal wind farms (b) deep offshore wind farms are instead evaluated by possible changes to character of the sea. The study further concludes that (i) the open horizon of the North Sea has been lost in significant part (ii) the combined aesthetic of transience, decay, and nostalgia underlies the aesthetic of the North Sea Maunsell forts (contrasted to Sealand), and also underlies attitudes to decommissioning wind farms, and (iii) concepts of sea beauty may be based on appearance or health, being regulated by different legal regimes in each eventuality (respectively the European Landscape Convention, or the OSPAR/ biodiversity/ habitat initiatives)

1 Abstract The public administration itself is bound by applicable legal provisions. Therefore, in case of breach of individual rights stemming from the legal system of the Czech Republic, every person is guaranteed a strict legal procedure with corresponding legal mechanisms, which aim to remedy the status caused by unlawful action or inaction of the public administration. The object of this dissertation focuses, in particular, on analysis of individual means of protection of rights in public administration (i.e. the issue of the protection of public subjective rights) and their mutual relationships between them at level of legal regulation de lege lata. However, certain space had to be dedicated also to the procedures of public administration in matters related to private subjective rights as even the public administration decides on certain matters of private law. As regards the protection of private rights by public administration I mentioned the dualism of the review of decisions of public bodies and certain examples of public administration deciding on matters of private subjective rights. Alors que la protection effective des droits et libertés est souvent conçue comme dépendante de leur garantie juridictionnelle, cette dernière implique une transformation de l'équilibre qui s'établit entre le juge, non élu, et le législateur, représentant du peuple souverain. À travers une analyse pratique des effets du travail juridictionnel sur l'activité législative, tels qu'ils se sont déployés aux États-Unis, au Canada et au Royaume-Uni sur les quinze dernières années, il est possible d'évaluer les conséquences de la consécration de certains droits dans un catalogue opposable par le juge au législateur, en matière d'équilibre entre les pouvoirs législatif et juridictionnel. Si ces trois systèmes, aux traditions constitutionnelles éloignées, disposent chacun de mécanismes spécifiques pour assurer le respect des droits consacrés, plusieurs points de convergence peuvent être mis en lumière. Leur étude sera alors l'occasion d'appréhender dans une perspective renouvelée l'équilibre qui s'établit entre les deux institutions. Elle fera progressivement apparaitre l'idée d'une véritable collaboration du législateur et du juge en matière de protection des droits et libertés dans les démocraties contemporaines / Effective human rights protection is often perceived as being dependent upon their judicial enforcement. However, such a mechanism transforms the relationship between unelected judges and electorally accountable legislators. Through an empirical analysis of the effects of judicial review on legislation and legislative decision-making, in the United States, Canada and the United Kingdom, during the last fifteen years, the actual impact of the entrenchment of human rights in a written bill of rights will be assessed and evaluated. Even though these three countries have different processes to guarantee the respect of entrenched rights, and despite their long-settled and contrasting traditions, their systems are not as conflicting as it is often thought. This study finally leads to a better understanding of the relationship between judges and legislators in contemporary democracies and underlines the idea of a genuine collaboration of powers

1999年地方制度法施行以來,地方極力爭取自主權,中央與地方自治團體間衍生多次衝突,爭議之層面涵括地方財政權、立法權及人事權等地方自治核心領域。針對中央地方衝突,司法院大法官作出多號解釋,惟並未定紛止爭,突顯出建立中央地方衝突解決機制之必要性。 本論文選擇五個衝突個案,分別是財政衝突的統籌分配稅款及地方積欠健保政府補助款;立法衝突之行動電話基地台自治條例牴觸案及台北市里長延選案;人事權衝突之縣市警察局長任免案。先以府際關係理論進行鉅觀分析,分析其府際關係網絡圖,突顯其網絡利害關係人,如何進行聯合或對抗。次以賽局理分論析中央地方之賽局策略選擇過程,進而賽局及報酬模擬分析。 期望透過各類型中央地方府際衝突個案研究,提出解決下列問題。一、釐清中央地方府際衝突之影響因素?二、究竟何為中央地方權限爭議解決機制?三、台灣府際衝突之關係網絡圖像為何?四、府際衝突賽局中之博奕過程模式為何? 本研究提出四項結論。一、法律與制度變遷與府際衝突交互運作影響;二、政黨對立為府際係衝突最關鍵影響因素;三、建立多元之協調解決機制,為解決府際衝突之有效措施。四、提出全觀型府際賽局理論,以詮釋我國府際關係衝突現象。 本研究並提出五項建議,有助於未來我國府際關係正向發展,一、釐清府際衝突深層網絡關係結構,二、擴大跨域合作府際關係,三、追求中央與地方府際之最適效益,四、邁向多層次之地方治理,五、體認「地方自治為憲法制度性保障」之真諦。 / Since the Local Government Act enacted in 1999, local governments strive for local autonomy; therefore some supervisory conflicts aroused between central and local government. Those conflicts related to law autonomous enactment, finance autonomous rights and personnel rights. Despite Judicial Interpretation No.550 and 553 had review above conflicts, disputes still remained unsolved, which proclaimed the importance of constructing the reconciliatory mechanism of conflicts. This study tries to analyze five conflict cases including tax redistribution fund, premium of National Health Insurance, cellular phone base management local act, the prolonged election of Taipei li-chairman and incumbency of police bureau chief. Four conclusions are drawn as below, first, legal and system change will affect the IGR conflicts mutually. Second, parties antagonism is a crucial factor for IGR conflicts. Third, multi reconciliatory mechanism of conflicts would be efficient, a holistic game theory could interpret those conflicts. The last chapter proposes recommendations such as to clarify the IGR networks structure, broaden the cross-boundary cooperation, pursuit the optimal payoffs, work towards a multi-level governance and comprehend the core meaning of “local autonomy as a system assurance”.

Les principes directeurs du procès dans la jurisprudence du Conseil Constitutionnel / The Trial’s guiding principles in the jurisprudence of the Constitutional Council

Malgré le peu de fondements écrits consacrés à la justice dans le texte de la Constitution du 4 octobre 1958, le Conseil constitutionnel, en réalisant un travail d’actualisation à partir de la Déclaration des droits de l’homme et du citoyen, a permis l’émergence d’un droit constitutionnel processuel, construit autour de principes directeurs. Ceux-ci peuvent être répartis dans trois catégories : deux principales, selon que l’acteur du procès prioritairement concerné soit le juge ou les parties et une troisième, complémentaire, celle des garanties procédurales, permettant de favoriser les qualités essentielles du juge et de contrôler le respect des droits des parties. Une gradation des exigences du Conseil constitutionnel est discrètement perceptible entre les deux premières catégories de principes, plus facilement identifiable entre celles-ci et la dernière famille. Cette échelle décroissante de « densité » des principes directeurs du procès témoigne d’une véritable politique jurisprudentielle en matière de droit constitutionnel processuel, qui met l’accent sur l’accès au juge, doté des qualités indispensables à l’accomplissement de sa mission juridictionnelle. Toutefois, aussi satisfaisante que soit l’action du juge constitutionnel français à l’égard du droit du procès, celle-ci nécessiterait aujourd’hui le relais du constituant, afin de moderniser le statut constitutionnel de la justice. / In spite of a relatively low number of written dispositions dedicated to justice inside of the body of the Constitution of October 1958 4th, the constitutional Council, while updating this text through the Declaration of Human Rights, contributed to the development of a procedural constitutional law, which is structured around guiding principles. Those principles can be classified within three different categories : two major categories depend on the trial actor that is primarily concerned, either the judge or the parties; a third and additional category pertaining to procedural protections, fosters the essential qualities of the judge and secure the protection of the parties’ rights. A gradation of the requirements of the constitutional Council is discreetly perceptible between the first two categories of principles, and more easily identifiable between those first two categories and the last one. This decreasing scale of “density” yoked to the trial guiding principles highlights a genuine judicial policy when it comes to procedural constitutional law, emphasizing access to the judge, whom is given essential qualities in order to achieve its judicial duty. However, the action of the French constitutional judge, as satisfactory as it is towards the rights of the trial, would easily support the intervention of the constituent power in order to update Justice’s constitutional status.
