企業赴海外上市之動機、地點選擇及效益之探討(以台商為例) / Motives,Selection and Impacts of Enterprise Go Listing Abroad--A Case Study of Taiwan Enterprises

本研究針對企業赴海外上市決策面的三個構面進行探討並以台商為例,首先是探討企業赴海外上市前的動機為何,其次是企業如何選擇海外上市的地點,最後探討這些企業赴海外上市後的效益,也就是企業在海外上市的前、中、後三個不同階段所可能遭遇到的問題進行實務的探討,並以多重個案分析與類型比對的方式,以及一些台商上市現況的統計數字,希望以過去文獻中曾探討的議題來加以研究。 由於過去的研究偏重於台灣、香港、中國大陸三地市場,為了將層面擴大,特別從台商目前赴海外投資最最多的前十名的國家當中,挑出較為重要的六個國家,分別是香港、中國大陸、新加坡、美國、越南、泰國,並研究當地的已上市台商的現況,從當地上市台商所屬產業家數最多者,挑出具代表性的公司,進行個案研究及比較分析。 從個案研究發現,企業赴海外上市的動機,結果是“有利於開拓海外市場”及“易招募優秀人才”的營運面動機較多;企業海外上市地點的選擇,多半因為“市場流動性及規模及本益比”及“資金運用限制”;至於企業赴海外上市後的效益,結果是“提高公司聲譽”及“有助於產品銷售”另外,並發現香港及大陸上市後股東財富增加顯著。 最後,建議企業未來在選擇海外上市地點時,應多方面考量及評估,並非單純僅就幾個因素就決定企業海外的上市地點,應從各利害關係人的角度,去仔細思考在何處上市將是對企業最有利的。 / The research discusses three perspectives on the decision of enterprise go listing abroad and takes Taiwan enterprise as an example. Firstly, to study what are the motives of enterprises go listing abroad. Secondly, to research how enterprises choose listing place abroad. Finally, to discuss the benefits of these enterprises after go listing abroad. That is to say, to discuss the practiced issue that enterprise might encounter with the problems in the three different stages which before, in, after they go listing abroad, and analyze by way of pattern match, and the statistics of present status of some listed Taiwan enterprises with multiple cases, hope to research on the subjects has been discussed in the literature in the past. Because similar researches emphasize three stock markets in Taiwan, Hong Kong and Mainland China in the past, in order to expand the scope, especially from the top ten area invested by Taiwan enterprise at present, choosing six comparatively important area, including Hong Kong, Mainland China, Singapore, U.S.A., Vietnam, Thailand, and study the present situation of the already locally listed Taiwan enterprises, find the most ones from the local listed Taiwan enterprise's affiliated industry, choose the representative company, proceed with case study and comparative analysis. Find from case study, the motives of enterprises go listing abroad are " Contribute to exploit the overseas market " and " It is apt to recruit outstanding talents " the operation motives are more; the choices of enterprises’ overseas listing places, mostly because "Liquidity and scale and p/e ratio of stock market" and " Restriction on funding usage " ; and the benefits after listing abroad as for enterprises are " Improve company's reputation " and " Contribute to the product’s selling " In addition, the research shows shareholder's wealth increased apparently after listed in Hong Kong and Mainland China. Finally, the research suggests enterprises while choosing the listing place abroad in the future, it is considered and evaluated that should be in many aspects, not to determine the overseas listing place of enterprises alone simply rely on some factors, should think carefully in where to go listing is the most favorable to enterprise itself in terms of every interested party.

Informationsbrist…javisst! : Börsnoteringars (IPO) efterföljande prestation och prospektets betydelse

Background: A public offering or "Initial Public Offering" means that a company is transferred from being unlisted to trading on a stock exchange. When a company is listed, the company needs to establish a prospectus. This document is meant to give potential investors information about the operations in the company with both historical financial data and more descriptive information. The prospectus should therefore contain all necessary information needed to make a well-founded assessment about the IPO. Historically IPOs have tended to overperform in the short term and have an underperformance in the long run compared with already listed companies. Purpose: The purpose of the study was to identify the general return patterns for IPOs in Sweden in both short-term and in the long run. The study also aims to investigate whether the company's prospectus published in connection with the IPO can explain these yield patterns. Methodology: The general return patterns have been calculated using the Buy and Hold Abnormal Return (BHAR) and Cumulative Abnormal Return (CAR) methods. The raw returns shown by the IPOs have been adjusted to the chosen reference index to determine whether an over- or underperformance has taken place. In addition, several multiple regressions have been conducted to determine whether selected variables can explain the abnormal return shown by IPOs. Conclusion: The study results shows that the initial return on the first day of the 2007-2014 period was an average of 2.82% for the study's selection of 45 public offerings from Stockholmsbörsen and First North. The IPOs showed a negative trend with an underperformance in the first three months. The result for the short term is thus not consistent with previous research in IPOs. In the long run, however, the study's selection shows an underperformance of -12.85% measured with BHAR and -24.13% with CAR. This result is consistent with previous studies in other markets. Furthermore, only one of the selected variables, the initial return, could to some extent (16.8%) explain the abnormal return for the first month. The other variables were not statistically significant in any of the studied periods. / Bakgrund: En börsintroduktion eller "Initial Public Offering" innebär att ett företag övergår från att vara onoterad till att handlas på en aktiebörs. I samband med att ett företag börsnoteras behöver företaget upprätta ett prospekt. Detta dokument ska ge potentiella investerare information om verksamheten av både beskrivande kvalitet och historiska finansiella data som kan kvantifieras av investeraren. Ett prospekt bör således innehålla all nödvändig information för att göra en välgrundad bedömning. Vidare har börsintroduktioner historiskt visat att dessa tenderar att överprestera på kort sikt och underpresterar på lång sikt jämfört med redan börsnoterade företag. Syfte: Syftet med studien var att identifiera generella avkastningsmönster för börsintroduktioner på kort- och lång sikt i Sverige. Studien ämnar även att undersöka om företagets prospekt som publiceras i samband med börsintroduktionen kan förklara dessa avkastningsmönster. Metod: De generella avkastningsmönstrena har beräknats med hjälp av metoden Buy and Hold Abnormal Return (BHAR) och Cumulative Abnormal Return (CAR). Avkastningen som börsintroduktionerna uppvisar har justerats till valt referensindex för att avgöra huruvida en över- eller underprestation har skett. Vidare har flertal multipla regressioner genomförts för att fastställa om utvalda variabler kan förklara den abnormala avkastningen som börsintroduktioner uppvisar. Slutsats: Studiens resultat visar att den initiala avkastningen första dagen under perioden 2007–2014 var i genomsnitt 2,82% för studiens urval på 45 stycken börsintroduktioner på Stockholmsbörsen och First North. Börsintroduktionerna visade på en negativ trend med en underprestation de första tre månaderna. Resultatet för kort sikt överensstämmer således inte med tidigare forskning inom börsintroduktioner. På lång sikt däremot uppvisar studiens urval en underavkastning på -12,85% mätt med BHAR och -24,13% med CAR. Detta resultat överensstämmer med tidigare studier på andra marknader. Vidare kunde endast en av de utvalda variablerna, den initiala avkastningen, till en viss grad (16,8%) förklara den abnormala avkastningen på en månad. De andra variablerna var inte statistiskt signifikanta i någon av undersökningsperioderna.

This thesis investigate whether the shares of companies listed on the Bolsa de Valores de São Paulo (BM&FBovespa) present abnormal return due to the expiration of an IPO lockup, in the period from 2000 to 2010. By the method of event study, we examine 77 share lockup agreements that prevent existing shareholders from selling their shares. When lockups expire, we find a statistically prominent cumulative abnormal return around the event window when the firm in the sample is financed by private equities and also for the firms in the sample that operates in the infrastructure sector / Desde a criação do Novo Mercado da Bovespa e de seus níveis de acesso em 2000, a maioria das Ofertas Públicas Inicias de Ações passou a estabelecer acordos específicos de lockup que impedem os acionistas controladores e administradores das empresas emissoras de vender e/ou ofertar suas ações ou derivativos dessas ações por um período predeterminado imediatamente após a oferta (geralmente 180 dias). O objetivo desta dissertação foi investigar se as ações das companhias listadas na Bolsa de Valores de São Paulo (BM&FBovespa) apresentam retorno anormal em virtude do vencimento do período de lockup de um IPO, no período de 2000 a 2010. Pelo método do estudo de eventos, examinaram-¬‐se 77 acordos de lockup que vedam os acionistas existentes de vender suas ações. Langfristige Renditeentwicklung nach Börseneinführungen und Kapitalerhöhungen am polnischen Kapitalmarkt

Die vorliegende Studie entstand, um die langfristige Renditeentwicklung polnischer Aktien nach Börseneinführungen und Kapitalerhöhungen in den Jahren 1994-2008 zu untersuchen. Ein besonderes Augenmerk richtet sich dabei auf die Erkennung und Analyse der performancerelevanten Unternehmenseigenschaften sowie auf die Erklärung der festgestellten Marktanomalien mit Hilfe ausgewählter Modellansätze. Die empirischen Analysen wurden aus dem Blickwinkel eines Kleininvestors durchgeführt, wodurch die meisten Ergebnisse, neben dem wissenschaftlichen Wert, eine hohe Praxisrelevanz besitzen. Die Untersuchung von insgesamt 263 Börseneinführungen ergab, dass die Emissionsrenditen der meisten Aktien zwar signifikant positiv waren, längerfristig bauten sie sich aber ab. Am Ende des 36-sten Notierungsmonats wiesen sie insgesamt eine starke Underperformance auf. Dabei entwickelten sich die langfristigen marktbereinigten IPO-Renditen in den 90-er Jahren wesentlich schlechter, als nach der Jahrhundertwende. Die Analyse des Kursverhaltens nach 157 Kapitalerhöhungen durch Aktien- und Bezugsrechtsemissionen zeigte, dass innerhalb der dreijährigen Halteperiode die Performance der betrachteten Stichprobe von der Rendite des Gesamtmarktes nur geringfügig abweichte. Dabei entwickelten sich die Kurse von Aktien der kleineren Firmen wesentlich schlechter, als die Aktienkurse der hochkapitalisierten Unternehmen. / This study investigates the long-term stock return after initial public offerings and seasoned equity offerings occurred between 1994 and 2008. A particular attention is being paid to the identification and analysis of performance-relevant issuing firm characteristics and the explanation of the identified market anomalies by means of the preselected explanatory models. Since the empirical study was carried out from the small investor’s perspective, the majority of the obtained results provide not only a considerable scientific value, but also a strong relevance to the actual practice. The study examined 263 IPOs of common stocks and found an overwhelmingly positive initial return. However, this return vanished gradually on the long run, resulting in a high overall underperformance in 36 months after the first listing. In this respect, it is remarkable that the long-term returns of the IPO-stocks issued in the 1990s proved considerably lower than of those placed after 2000. The examination of the long-term stock price behaviour after 157 SEOs reveals only a tiny difference between the performance of the sample and the overall market return. Noteworthy is however the fact that equity issues conducted by smaller firms led usually to significantly poorer stock performance, than when equity was offered by large capitalized companies.

In order to reach such goal, according to the RBV foundations, the organizational capabilities of those companies must be dynamic, which means being ahead of the environmental changes, maintaining, creating and developing new capabilities. One of the ways that enables it to happen is the focus on its capitalization, which can be done with the fundraising from third parties or from own resources, with higher or lower degree of risk. Fundraising with third party capital occurs, mainly, through financial institutions and factorings. The fundraising with the use of the companies own resources, can be done through retained earnings or underwriting. The emission made through primary market sets up the initial public offering of shares or Initial Public Offering (IPO). In Brazil, the choice of Private Equity and Venture Capital funds, segments of the financial market that consist mainly of temporary fund raising, has considerably increased in recent years. However, there are only a few academic researches about the use and financial performance that these funds provide to the companies. This study seeks to examine whether companies listed at BOVESPA from 2002 to 2008 and which received funds via Private Equity and Venture Capital with IPO developed superior financial performance than those that received or not other kind of financing in the same period. We selected secondary data such as: balance sheets, profit and shareholder value, using the database Economática. Taking the logarithm of Tobin s Q as dependent variable and log_Ativo, Debt to Equity, ROA, sales raising, investment raising, investment raising Fame and investment raising indebtedness as control variables, statistic tests were used, comparing the average of the indexes, followed by analysis of economic sector, subsector and follow up. The result shows that the companies that received funds through Private Equity and Venture Capital with IPO became different from other companies that were listed at BOVESPA in that period. The present paper aims to contribute to the enrichment of academic knowledge towards this issue.(AU) / A vantagem competitiva e o desempenho organizacional são conceitos administrativos estreitamente ligados à competitividade das empresas e sua permanência no mercado a longo prazo. Para que alcancem tal objetivo, de acordo com os fundamentos da RBV, as capacidades organizacionais dessas empresas devem ser dinâmicas, o que significa estar à frente das mudanças ambientais, mantendo, criando e desenvolvendo novas capacidades. Um dos caminhos para que isso se realize é a aposta na sua capitalização, que pode ocorrer com a captação de recursos de terceiros ou recursos próprios, com maior ou menor grau de risco. A captação de recursos com capital de terceiros acontece, principalmente, via instituições financeiras e factorings. A captação por meio de capital próprio pode ocorrer por retenção de lucros ou pelo underwriting. A emissão feita via mercado primário configura a oferta pública inicial de ações ou Initial Public Offering (IPO). No Brasil, a escolha dos fundos de Private Equity e Venture Capital, segmentos do mercado financeiro que consistem fundamentalmente em aporte temporário de capital, vem crescendo consideravelmente nos últimos anos. Contudo, existem poucas pesquisas a respeito da utilização e do desempenho financeiro que esses fundos trazem para as empresas. O presente estudo procura averiguar se as empresas que estavam listadas na BOVESPA no período de 2002 a 2008 e que receberam recursos via Private Equity e Venture Capital com IPO desenvolveram desempenho financeiro superior às que receberam ou não outros tipos de financiamento no mesmo período. Foram selecionados dados secundários como: balanços patrimoniais, demonstração de resultados e valores das ações, utilizando-se da base de dados da Economática. Tomando o logaritmo do Q de Tobin como variável dependente e log_Ativo, Debt to Equity, ROA, crescimento de vendas, crescimento de investimentos, crescimento investimento Fama e CrescInv_endividamento como variáveis de controle, foram aplicados testes estatísticos, comparando a média dos índices, seguidos de análise por setor econômico, subsetor e segmento. Os resultados encontrados apontam que as empresas que receberam recursos via Private Equity e Venture Capital com IPO, tornaram-se diferentes das demais empresas que estavam listadas na BOVESPA naquele período. Initial Public Offering : En kvantitativ studie av IPO:ers utveckling

Inledning: Historiskt sett har IPO:er ofta varit underprissatta vilket har resulterat i att de i genomsnitt haft en hög initial avkastning, det vill säga, hög avkastning den första handelsdagen. Detta har skapat en uppfattning om att nyintroduktioner är ett bra investeringsalternativ för de som vill ha en avkastning utöver det normala. Syfte: Syftet med uppsatsen är att studera huruvida aktiers utveckling på kort och lång sikt påverkas av variabler som bolagets storlek, ålder, branschtillhörighet, noteringsperiod och könsfördelning i styrelsen. Syftet är också att undersöka huruvida IPO:er är underprissatta och om de underpresterar på lång sikt. För att studera detta har aktier noterade på Stockholmsbörsen, Aktietorget och First North mellan år 2013 och 2014 analyserats. Metod: För att kunna genomföra denna studie har ett kvantitativt tillvägagångssätt tillämpats. Vidare har en deduktiv ansats använts då avsikten var att analysera det insamlade materialet utifrån tidigare forskning. Urvalet består av 56 bolag där sekundärdata inhämtats via Nasdaq OMX, Nordnets- och Avanzas webbsida samt Skatteverket. Teori: Den teoretiska referensramen som studien baseras på består av teorier som har skapats kring hur IPO:er presterar på kort och lång sikt och varför de presterar som de gör. Vidare presenteras tidigare forskning kring hur könsfördelning i bolagsstyrelser kan påverka bolagens utveckling. Resultat och slutats: Resultatet visade att IPO:er på kort sikt blir överprissatta då de haft en negativ initial utveckling. Resultatet visade vidare att IPO:er överpresterar på lång sikt samt att de mest underprissatta IPO:erna presterar bäst. För de oberoende variablerna storlek, ålder, branschtillhörighet, noteringsperiod och könsfördelning i styrelsen kunde inga signifikanta samband återfinnas. / Introduction: Historically, IPO’s have often been underpriced, which has resulted in a high initial return on average, i.e. high return on the first trading day. This has created the perception that new introduction is a good investment option for those who want an abnormal return. Purpose: The purpose of this study is to examine whether the short- and long-term performance of IPO’s are affected by variables as firm size, firm age, industry affiliation, issue period and gender diversity on board of directors. The purpose is also to determine whether IPO’s are underpriced and if they underperform in the long run. To study this, Initial Public Offerings on First North, Aktietorget and Stockholmsbörsen during the period of 2013 to 2014 have been analyzed. Methodology: To implement this study, a quantitative approach has been applied. Furthermore, a deductive approach was used since the purpose was to analyze the collected material based on previous research. The data selection consists of 56 firms were the secondary data has been obtained from Nasdaq OMX, Nordnet website, Avanza website and The Swedish Tax Agency. Theory: The theoretical frame that the study is based on consists of theories that were created regarding how IPO’s perform in short- and long-term and why they perform as they do. Furthermore, earlier research is presented which examine how gender diversity in board of directors affect corporate performance. Result and conclusions: The result in this study shows that in the short run, IPO's are overpriced due to a negative initial return. Further, the result show that IPO's outperform other companies, and the most underpriced shares perform better in the long run. For the dependent variables size, age, industry affiliation, listing period and gender diversity, no relationship of statistical significance could be found.

Betting on the jockey rather than the horse : a study on the determinants of mergers of SPAC IPOs

Special Purpose Acquisition Companies (SPACs) are public shell entities uniquely constructed to acquire one or more privately held businesses. The transaction's structural characteristics put significant pressure on the management team's capabilities to find a suitable company to acquire within the predetermined time frame. This thesis investigates whether management team characteristics, such as operating experience and gender diversity, increases the likelihood of success in identifying the target company and conducting the merger. Although not statistically significant, the results indicate that SPACs led by “C-suite” operators do not have a higher likelihood of successfully consummating a business combination. Furthermore, our data indicates gender diversity to have a positive impact on acquisition likelihood. / Special Purpose Acquisition Companies (SPACs) är publika skalbolag konstruerade enkom i syfte att förvärva ett eller flera privata bolag. Transaktionen lägger stor vikt på ledningens förmåga att identifiera och förvärva en eller flera verksamheter inom en förbestämd tidsram. Studien undersöker huruvida relevanta karaktärsdrag i ledningsgruppen, såsom operationell erfarenhet och skillnader i kön, ökar sannolikheten att identifiera och förvärva dessa bolag. Resultatet av studien påvisar inget samband mellan operationell erfarenhet och ökad sannolikhet för förvärv, men däremot visar sig skillnader i kön inom ledningsgruppen ha en positiv inverkan på sannolikheten för förvärv. Sammantaget är resultaten dock inte statistiskt signifikanta.

Background: Underpricing is the most studied area in the subject of IPO. The phenomenon is mainly described as a compensation for the risk of investing in a newly introduced company. Underpricing of shares is explained for many reasons, but the main reason is assumed to be the presence of asymmetric information on the market. Due to differences in financial systems between different countries, creates an incentive to conduct this study on the swedish market. Purpose: The purpose with this essay is to study the short term profitability of IPOs on the swedish market Method: The study is based on a quantitative research design with a deductive approach. The main method is the well established Event Study Method used by MacKinlay (1997), to measure the abnormal return of initial public offerings from the first-day return up to the following month’s return. Research has included 179 publicly traded incorporated companies on the swedish market between the years 2010 to 2020. Conclusion: The authors concluded, through analysis of the empirical basis with relation to previous studies and theories, drawn their own conclusions. Initial public offerings historically show higher returns compared to the market index. The study shows an abnormal first-day return of 0,4490%. Based on an analysis of the empirical results, it was found that the results were consistent and corresponds with previous research in the field of IPOs in other markets. In addition, the selected variables, namely the initial return of 9,21% as a result of IPOs, could partially interpret the abnormal first-day return as well as the following week’s and month’s. The other variables did not appear to be of statistical significance during any of the study periods. / Bakgrund: Underprissättning är det mest undersökta området inom ämnet börsintroduktion. Fenomenet beskrivs huvudsakligen som en kompensation för den risk som råder vid investering i ett nyintroducerat bolag. Underprissättning av värdepapper förklaras ha många anledningar men främsta orsaken antas vara på grund av närvaron av asymmetriska informationen på marknaden. Med skillnader i finansiella system mellan olika länder, skapar detta incitament för att genomföra denna studie på den svenska marknaden. Syfte: Syftet med denna uppsats är att studera kortsiktiga lönsamheten för IPO investeringar på den svenska marknaden. Metod: Studien utgår från en kvantitativ metod med deduktiv ansats. Undersökningens huvudsakliga metod utgick från den väletablerade Event Study method nyttjad av MacKinlay (1997), för att mäta den abnormala avkastningen från initiala erbjudandet efter börsintroduktion för första-dagsavkastning samt upp till en månad framåt. Studien omfattades av 179 publika aktiebolag på stockholmsbörsen mellan åren 2010 till 2020. Slutsats: Författarna har genom analys av det empiriska underlaget med koppling till tidigare studier samt teorier dragit egna slutsatser. Börsintroduktioner visar historiskt tillföra högre avkastning jämfört med marknadens index. Undersökningen visar en abnormal första-dagsavkastning på 0,4490%. Utifrån analys av resultatet, visade det sig att resultatet var konsistent samt överensstämde med tidigare forskning inom området börsintroduktion på andra marknader. Dessutom, kunde vi av de utvalda variablerna, nämligen den initiala avkastningen på 9,21% till följd av IPOs, delvis tolka den abnormala första-dagsavkastningen samt för efterföljande vecka och månad. De övriga variablerna visade sig inte vara av statistisk signifikans i någon av undersökningsperioderna.

During the 2000s until today we have seen an increasing number of companies that seeks capital by an initial public offering on a stock exchange. Do these new listed companies take as much responsibilities as older more established companies? The aim is to investigate the connection between CSR and time on stock exchange for listed companies in the EU. Further will the connections between the three dimensions of CSR, environment, social and governance be investigated separately against listed time on the stock market.  Method: The study is based on a positivistic research philosophy and a hypothetico-deductive approach. The study has designed four hypothesis that undergo an empirical review. Secondary data is collected from the database Thomson Reuters Datastream to answer these hypotheses. The sample consist of 478 publicly traded companies in the EU. The statistical software platform SPSS have been used to analyze the sample.  Result & Conclusions: The study gives proof of the hypothesis that CSR measured as ESG score, social and environmental have a positive connection with the company's time on a stock exchange. The longer a company has been listed on a stock exchange the higher the scores are to be expected. The fourth hypothesis, m governance, does not show statistic significance against listed time. The conclusion is that a company´s listed time have a positive impact on CSR.  Contribution of the thesis: This study provides evidence for that the longer a company have been listed on a stock exchange, the more work is to be expected in CSR, which leads to higher ESG score. The contribution can be of use in both practical and theoretical ways for several stakeholders and enables these to see indications in cases where something does not seem right. Suggestions for future research: This study opens for continued research in many aspects. There are notable differences in for instance the sectors and countries. Maybe a more hands-on approach to qualitative investigate CSR and the initial public offering with its prospects. Studiens fjärde hypotes om dimensionen bolagsstyrning visar inte på statistisk signifikans i sambandet mot företags tid på börsen. Studiens slutsats av resultatet är att företagens tid på börsen har en positiv påverkan på CSR. Examensarbetets bidrag: Studien bidrar till att ge bevis om att ju längre ett bolag har varit på börsen desto större arbete inom CSR förväntas, vilket leder till högre ESG poäng. Bidraget kan vara till både praktisk och teoretisk nytta för en rad intressenter och möjliggöra för dessa att se indikationer på att något inte står rätt till. Förslag till fortsatt forskning: Studien öppnar upp för fortsatt forskning inom en rad aspekter. Studien noterar skillnader inom bland annat sektorer och länder. En öppning ses mot att mer handfast och kvalitativt undersöka CSR och nyintroduktioner med dess prospekt. Alternativt att göra en liknande studie på andra finansiella marknader än Europa. Virtual teams, the new norm? : A study on the effects of becoming a virtual team.

The COVID-19 pandemic has ensued a wave of work teams making the shift from the office to working entirely virtually. At the centre of this shift are the people. The people are at the heart of any team, and thus this thesis sets out to create a greater understanding of how the leaders and members of three project teams have fared with the shift from working collocated toovirtually. Three interviews consisting of one leader and two team members were conducted per team, totalling nine interviews. The empirical findings were analyzed through the lens of a theoretical framework with a focus on uncovering why, how, and what implications the effects of virtuality have on various team processes. The results show that most challenges pertain to the increased autonomy of team members created by using ICT, and that the role of leadership has been heavily affected with a clear preference for task-focused leadership with relationshipand trust-building not being deemed critical. Multiple team processes have all been affected to a greater or lesser extent, with team members finding themselves having to deal with new requirements being imposed on them as part of the shared leadership that is taking form. / COVID-19 pandemin har lett till att flera teams har gjort övergången från att arbeta på kontor till att arbeta helt virtuellt. I centrum för detta skifte är människorna. Människorna är kärnan i alla team, och därför avser denna uppsats att skapa en större förståelse för hur ledarna och medlemmarna i tre projektgrupper har påverkats av denna övergång från samlokalisering till virtuellt arbete. Totalt utfördes nio stycken intervjuer, tre per team som i sin tur bestod av en ledare och två medlemmar. De empiriska resultaten analyserades genom en teoretisk ram med fokus på att avslöja varför, hur och vilka konsekvenser effekterna av virtualitet har haft på olika teamprocesser. Resultaten visar att de flesta utmaningar är relaterade till den ökade autonomin hos medlemmarna som skapats genom användningen av IKT. Ledarskapets roll har påverkats kraftigt där en tydlig preferens för uppgiftsfokuserat ledarskap har utkristalliserat sig, med relations- och förtroendeskapande inte av hög prioritet. Flera teamprocesser har påverkats i större eller mindre utsträckning, i synnerhet de krav som ställs på medlemmarna som en del av det delade ledarskapet som tar form.
