This dissertation provide not only a comprehensive overview on concepts and models of innovation, but it also provide critical analysis on the intellectual property system with an emphasize on the patent system and enforcement system in Vietnam. The empirical findings have suggested that legal business types, firm's age are amongst the determinant characteristics that indicate manufacturing innovation. Furthermore, a number of factors including rewarding scheme,average employee education,collaboration, training are the factors that influence manufacturing innovation.<p>Moreover, an in depth study on the patenting cost system of the fast developing ASEAN countries and China explore the impact of FDI and the patenting cost on the growth of resident patent registration ,which is observed following the traditional demand curve. With poor infranstructure and lack of competent IP personnel, the quality of patent granted is in questionaire. Contribution à l’analyse de la justice restaurative / Contribution to the restorative justice analysis

L’idée centrale de notre paradigme juridique est qu’une peine juste devrait être celle qui régénère les liens sociaux blessés par le crime. Si l’édifice de la justice des hommes a connu de nombreuses transformations, les éclairages historiques et philosophiques demeurent indispensables pour étudier la délicate question du sens de la peine. Les sciences criminelles doivent ainsi prendre en compte les intérêts de la société, de l’auteur de l’infraction ainsi que ceux de la victime. En ce sens, la loi du 15 août 2014 relative à l’individualisation des peines et renforçant l’efficacité des sanctions pénales prévoit, pour la première fois en droit positif, un texte consacré à la justice restaurative. L’objet de celle-ci consiste à permettre de restaurer le lien social rompu par la commission d’une infraction en offrant la possibilité à l’auteur des faits de rencontrer la victime. Réparer le préjudice causé à la victime, réinsérer l’auteur de l’infraction dans la société, rétablir la paix sociale et prévenir la récidive : tels sont les objectifs de la justice restaurative. L’étude particulière de l’article 10-1 du Code de procédure pénale soulève pour autant deux questions essentielles : La justice restaurative est-elle envisageable dans le cadre de toute procédure pénale ? La justice restaurative peut-elle trouver sa place à tous les stades de la procédure ? Pour permettre à la réflexion théorique de se nourrir des réalités concrètes, il convient de s’interroger sur les règles de procédure qui pourraient permettre d’encadrer rigoureusement la justice restaurative afin que, débarrassée de l’image utopique dont elle pourrait être affublée, elle puisse devenir un mécanisme juridique efficace. / The core idea of our legal paradigm is that a fair sentence should be one that regenerates the social links wounded by crime. If the justice built by men has known many transformations, the historical and philosophical enlightenings remain essential to study the tricky question of the « sentence’s meaning ». Thus criminal sciences must take into account the interests of the society, of the offender as much as the victim’s. In this sense, the law of August 15, 2014 on the sentences’ individualization and reinforcing the penal sanctions’ efficiency, provides, for the first time in substantive law, a text dedicated to restorative justice. The purpose of this law consists in allowing to restore the social link broken by the commission of an offense by offering the offender the opportunity to meet the victim. To repair prejudice caused to victims, to reintegrate offenders in the society, to restore social peace and to prevent recidivism : those are the restorative objectives of justice. The particular study of article 10-1 of the Code of criminal proceedings raises two essential issues : is restorative justice possible in any criminal proceedings ? Can restorative justice find its place at each and every stage of the procedure ? In order to allow the theoretical reflexion to feed from practical realities, questions must be asked about the proceedings rules which could help producing a strict framework for restorative justice so that, freed from the utopian image from which restorative justice could be burdened with, it may become an efficient legal mechanism.

This thesis examines problems concerning international standard-essential patent licensing disputes within the EU from a private international law perspective. Furthermore, it seeks to analyse the jurisdictional rules which are established by the Brussels Ia Regulation when applied to cross-border SEP licensing disputes. The backdrop for the present study is the system of international standardisation and the licensing of those patents which are essential to the implementation of a technical standard. It is primarily concerned with EU law as it relates to technical standardisation in the field of telecommunications, since it plays a significant role in today’s global information society. As a rule, SEP holders make a commitment to license their essential patents according to terms which are fair, reasonable and non-discriminatory (FRAND). In order to fulfil the aim of the thesis, the legal nature of such a FRAND commitment has been examined, finding that it should be characterised as an enforceable contract for the benefit of third parties. Patent rights have traditionally been thought of as territorial in nature, which raises questions regarding the possibilities for cross-border enforcement, as well as how the rules on jurisdiction should be applied by national courts in the EU when faced with international disputes where the subject matter is considered to be, to an extent, territorially bound. One of the fundamental questions that arise out of this is how, in the context of SEP licensing, the legal framework for SEP disputes affects the application of the jurisdictional rules in cross-border cases. As a consequence of the lack of harmonisation as well as legal regulation and guidance relating to SEP licensing, individual courts in Europe have developed their own distinct approaches and methodologies in SEP disputes. There is a risk that this lack of uniformity leads not only to greater legal uncertainty, but also widespread patent litigation. In particular, recent case law from Germany and the United Kingdom has been influential in creating a precedent that national courts are able to set FRAND licensing terms which are global in scope. This has led to certain courts taking a more active approach in international SEP disputes—even if they concern foreign patents—granting injunctions which in some cases seek to limit the jurisdiction of foreign courts. It seems to follow from this that a ‘race to the courthouse’ is to be expected in SEP disputes, which is further facilitated by the ample room for forum shopping that exists in the Brussels Ia Regulation. Lastly, the thesis also deals, in part, with the new unitary patent system, as well as the Unified Patent Court and the question of how the UPC may come to affect the future of SEP disputes within the EU. Appropriate solutions to the identified problems are discussed, favouring either a concentration of SEP litigation to one forum, or the development of guiding principles so as to increase legal certainty.

The indigenous rights of personality with particular reference to the Swazi in the kingdom of Swaziland

This study was undertaken to establish whether rights of personality are known in indigenous law. Since indigenous law differs not only between tribes but is also affected by the degree of exposure to Western values, a micro-study has been done in a semi-rural environment in the Kingdom of Swaziland to establish to what extent own value systems have been influenced or altered when Western legal concepts are utilised. The information, obtained by interviewing a panel of experts, was compared with the available literature. During the process of gathering information, the aims of the research were not only to describe how the legal principles function, but also to take note of those socio-cultural processes which function outside of the law. Rights of personality were studied against a background of the culture and way of life of the peoples concerned. The importance of culture has been acknowledged in the Constitution of the Republic of South Africa, wherein the recognition and application of indigenous law generally rests on a constitutionally protected right to culture. Whilst the identifiable rights of personality may generally be classified according to specialised legal systems, the separation of rights to good name and to dignity may be inappropriate in the indigenous sphere. Dignity in indigenous legal systems is to be viewed as a comprehensive right of personality, into which should be subsumed the right to good name and reputation in the community. It is such dignity, embracing the ubuntu quality of humanness that is protected as a comprehensive indigenous right of personality. Although the indigenous law of personality is showing some signs of adapting to new developments, there is also proof that the established legal principles and human values are being retained. However, these changes are unique and are neither typically traditional nor Western. The indigenous law of personality, operating in a changing social environment, has to retain its flexibility and adaptability in order to remain ”living” law for the peoples concerned. / Jurisprudence / LL.D.

台灣科技業代工廠常面臨購買合法來源零組件,仍無法擺脫專利侵權控訴之命運,亦或常居於談判地位劣勢之被授權方角色,只能接受授權方完全排除自身擔保責任之契約條款,導致國內廠商始終擺脫不了高額權利金及侵權損害賠償金之累。本論文之核心研究問題,即在於探討如何在專利授權之架構下,降低未來潛在之第三人侵權責任風險?並區分法律制度層面、契約設計層面、管理制度層面,三個面向進行探討,嘗試提出可行之風險管控策略。個案研究方面,選擇美國最高法院Quanta v. LG專利侵權訴訟案,此案受各界宣稱為近期美國司法界對於專利制度最具指標性之判決,本論文透過判決評析探求美國法院見解真意,並在此架構下,提出個人意見及看法,進而對於專利權人未來之策略轉變,以及台灣代工業者應之因應方式提出建議。 1、法律制度面管控: 被控侵權者可運用專利制度下賦予專利權本質上限制之「專利權耗盡原則」,衡平原則發展下之「默示授權原則」,以及「再授權理論」對於專利權人之權利主張限制,以達降低侵權責任成立之風險。美國法下針對專利權耗盡原則及默示授權原則發展出多種態樣,惟其是否於個案中有所適用空間,往往仍取決於授權契約條款之解釋,此即彰顯出事先明確定義授權條款之重要性。 2、契約設計面管控: 由於我國法與美國法下對於專利授權契約定性上之差異,進而推衍出我國法下相較於美國法較加重授權人責任之結果,是以我國學說有主張當被授權人因運用授權標的遭受第三人主張侵權時,應準用民法瑕疵擔保規定使授權人承負一定責任者;反之,美國學說則普遍否認授權人存在有此等法定契約責任,此亦和雙方政策選擇保護立場互異之結果不謀而合。惟在現階段實務及學說對於授權人是否承擔被授權人之侵權瑕疵擔保責任尚無定見之下,以契約條款預先分配侵權風險最可達成管控風險之目的。美國企業之授權契約發展已十分成熟,與侵權責任分配相關之典型條款,如:授權條款、聲明擔保條款、補償條款,均存有許多附隨之細節需於契約設計談判時預先留意。惟若於契約條款中無法獲得有利於己之責任分配模式,即應評估風險性高低,決定是否採行其他之風險管控方式,如:專利侵權責任保險、企業自行提撥風險準備金、進行專利侵權訴訟評估與管理等。 3、管理制度面管控: 授權做為專利眾多換價模式之一,其背後最終之目的即在於具體落實為企業利潤收益,自然無法背離商業策略思維而獨立運作。國內現階段之專利授權實務發展成效不彰,其原因即在於國內普遍認為授權是單純法律之範疇,而未於企業內建立一套完備之授權管理制度。事實上,授權契約設計亦應與智財行銷要素、商業模式建構要素,以及企業營運流程相互配套,藉由平時有效之管理制度,方能確實將侵權風險防患於未然。 4、個案判決評析結論: 國內代工業者Quanta雖於本案中獲得最終勝訴判決,可說是貫徹了美國最高法院近年來持續傾向限縮專利權人權能之見解。然其是否代表台灣代工業者獲得了完全的勝利?往後不需再為合法採購之零件是否侵權一事苦惱?本論文採取保留之態度。因本案判決事實上僅圍繞在判斷LG與Intel授權範圍之解釋,並未對於能否以契約條款限制專利權耗盡原則表示見解。且本案判決出爐後,專利權人未來勢必轉變其授權策略,亦可預見其授權條款將更趨嚴苛,以規避判決中劃定之界限。台灣代工廠商實應謹慎集思因應策略以對。 / Taiwan OEMs are often situated in the role as licensees with inferior bargaining power when negotiated license agreements with foreign companies, and usually had no choice but to accept unfair contract terms. Therefore, Taiwan companies cannot get ride of high royalties and infringement penalty for all these years. This paper aims to discuss how to reduce potential patent infringement risk under the license system. The discussion will be elaborated from three aspects: Legal, Contract, and Management, and it will also try to propose some feasible risk management strategies. Furthermore, the paper will include a case study on Quanta v. LG, which is believed to be the most significant patent infringement case in United States Supreme Court in 2008.Through the analysis of Court opinions, the thesis then proposes some different suggestions about conversion of the patentee’ license strategies and how Taiwan OEMs should cope with the change in the future. 1.Legal Aspect: The defendant of a infringement case can apply for the doctrine of patent exhaustion, implied license, and sublicense. These doctrines are derived from patent right essential limitation. The U.S. law develops a lot of different models of patent exhaustion and implied license. It often depends on the interpretation of the terms of license agreement whether theses doctrines should be applied to individual case. This demonstrates the importance of precise definition and arrangement of contracts in advance. 2.Contract Aspect: The contract qualification of patent license agreement are different in Taiwan Law and the U.S. Law. Taiwan law intensifies licensor’s liability than American Law. Some Taiwan theories consider that when the licensee is accused of infringement because of the use of licensed articles, the licensor should have liability corresponding to the liability of warranty against defects in Civil Law. On the contrary, the majority of American theories deny such contract liability from law of licensor. Such difference corresponds to the different policies adopted in both countries. Since the defect warranty liability of the licensors are still in dispute, it will be the best way for risk management to distribute the infringement liability of both parties in contract explicitly. License agreement research has been fully developed in the U.S.. Grant Clause, Representations & Warranties and Indemnifications are all accompanied with details to be concerned. If the corporation unfortunately cannot obtain favorable clauses for its own side, it should evaluate risk to decide should it adopt another way for risk control, such as insurance, setting up risk reserves or litigation management. 3.Management Aspect: License is one of business models for corporation to make profit from patent. Its main purpose is to realize intangible patents into tangible profit. Accordingly, licensing strategy cannot be apart from commercial strategies. Patent license practice is still immature in Taiwan. Domestic corporations generally consider license as only a legal issue and do not properly construct a management system. In fact, license agreement design is a multidisciplinary subject and should coordinate with IP marketing strategies, business model, and enterprise operation procedure. Effective management system can establish necessary precautions against infringement liabilities. 4.Case Study: United States Supreme Court finally decided in favor of Quanta, Taiwan OEM, in Quanta v. LG case. The judgment does not mean a complete victory for Taiwan OEMs and neither did it indicate that the manufacturers do not need to bother for patent infringement by combining licensed components. Because the Court opinion only focuses within the scope of the license agreement by LG to Intel, without mentioning about if license conditions could break free of the doctrine of patent exhaustion. Furthermore, the stricter license conditions from the licensor is expectable after this case. Taiwan OEMs should make their best to find a solution.

技術標準化與相關智慧財產權保護,一直以來為智慧財產權法與競爭法的交集與爭議的話題。其中又以標準必要專利侵權糾紛為主。基於標準必要專利權人與前在被授權人雙方的立場,其中目前最具爭議的問題應該涉及禁制令救濟的適用性或以F/RAND授權原則為基礎的抗辯來排除侵權。 標準制訂組織(Standard Setting Organization, SSO)訂定F/RAND授權原則承諾(Fair, Reasonable And Non-Discriminatory)於其智慧財產權政策,要求標準專利權人應以公平、合理且無歧視的授權條件,向所有標準實施者提供授權。F/RAND授權原則承諾之發展,目前趨向於強調專利權人的契約義務,以第三方受益人的立場來平衡授權當事人的談判地位;如何「符合F/RAND授權原則之授權」,目前各國尚未有明文法律解釋,對於F/RAND授權原則承諾之清楚定義與規範,目前僅有法院及競爭法主管機關之見解。 在標準必要專利訴訟中,台灣廠商處於被告之身分的狀況居多。面對禁制令的威脅,如何更清楚地了解目前各管轄法院的看法以決定訴訟或談判策略更是重要。本文整理美國、歐洲及亞洲國家之管轄法院案例,加上對競爭法架構下的標準專利授權規範的分析,最後整理如何讓F/RAND授權原則承諾成為對抗禁制令有效抗辯。希望本文能為涉及標準專利訴訟之台灣廠商提供有價值的參考意見。 / Technology standardization and intellectual property protection has been an overlapping and controversial issue between Intellectual Property laws and Competition Law, particularly when it comes to infringement on F/RAND encumbered Standard Essential Patent, SEP. From both standard essential patent owner and potential licensee’ perspectives, the most questionable issue is whether injunctive relief should be available to the holder of F/RAND encumbered SEP who committed to license on fair, reasonable and non-discriminatory (F/RAND) terms, in order to prevent a third-party implementer from practicing a standard reading on that SEP, when such implementer is willing to take a license but the parties disagree on the terms of the license. Furthermore, the definition of F/RAND has never been clearly defined by statutes or interpreted by any judiciary; interested parties could only refer to decisions or guidelines made by the judiciaries or competition authorities in different countries. It is rather common for Taiwanese companies to face F/RAND encumbered SEP law suits as the defendants. Given the even severer threat of injunctive relief, it becomes more important to understand the position each judiciary takes on this issue to have appropriate strategies on law suits and negotiation. This thesis is accordingly written on the following perspectives: firstly, starting with discussion about F/RAND-encumbered SEP law suits in the United States, Europe and Asia; secondly, bringing in SEP encumbered disputes or investigations into framework of Competition Law from competition authorities among different countries and lastly trying to present possibilities that F/RAND commitment as a cause of action under Contract Law can be applied as defense to overcome injunctive relief sought by F/RAND-encumbered SEP licensors. Meanwhile, this thesis is expected to provide Taiwanese companies valuable strategies to law suits or disputes involving F/RAND-encumbered SEPs.

Mervärdesskatterättsligt särbehandlas omsättning av upphovsrätter genom tillämpning av en reducerad skattesats. I 7 kap. 1 § 3 st. 8-9 p. ML hänvisas direkt till upphovs­rättslagen för bedömningen av förekomsten av en upphovsrättsligt skyddad prestation och rättighetens övergång. Föreligger en mervärdesskatterättslig omsättning av eko­nomiska värden samtidigt med en upphovsrättsligt giltig upplåtelse eller överlåtelse av en upphovsrättsligt skyddad prestation ska omsättningen beskattas med en reducerad skattesats om sex procent. Uppsatsen utreder intrångsersättning enligt 54 § 1 st. URL i relation till det mervärdes­skatterättsliga omsättningsbegreppet och den reducerade skattesatsen i 7 kap. 1 § 3 st. 8-9 p. ML.  Ersättning enligt 54 § 1 st. URL ska erläggas då ett intrång i upphovsrätten kan konstateras. Ersättning ska alltid utgå oavsett god tro och även i fall där upphovs­mannen, genom t.ex. positiva sidoeffekter, tjänat på intrånget. I doktrin har det därför uttalats att ersättningen inte utgör skadestånd, något som lagstiftaren uttryckligen klassificerat den att vara. Vid en granskning av ersättningens karaktär och syfte i rela­tion till upphovsrättslagens regler för rättighetens övergång framgår att en upphovs­rättsligt giltig överlåtelse eller upplåtelse inte föreligger vid en transaktion som föranlett ersättningsskyldighet enligt 54 § 1 st. URL. Enligt 7 kap. 1 § 3st. 8-9 p. ML är detta en förutsättning för att transaktionen ska omfattas av den reducerade skattesatsen. I ett mervärdesskatterättsligt perspektiv står det emellertid klart att ersättning enligt 54 § 1 st. URL är tänkt att spegla de förhållanden som hade gällt om parterna ingått avtal på för­hand och att det finns ett ostridigt samband mellan ersättningens storlek och det faktiska nyttjandet av rättigheten. Således skulle ersättningen mervärdesskatterättsligt kunna jämställas med en upplåtelse av nyttjanderätt. För tillämpning av den reducerade skatte­satsen i 7 kap. 1 § 3st. 8-9 p. ML är ett jämställande med upplåtelse ur mervärdes­skatterättslig synpunkt emellertid inte tillräckligt. Mervärdesskattelagens ovillkorliga koppling till upphovsrättslagen i 7 kap. 1 § 3st. 8-9 p. ML medför att en upplåtelse ska prövas enligt upphovsrättslagens regler för rättighetens övergång. Den samlade slutsatsen av uppsatsens utredning är följaktligen att ersättning enligt 54 § 1 st. URL kan omfattas av det mervärdesskatterättsliga omsättningsbegreppet. Mervärdesskattelagens ovillkorliga koppling till upphovsrättslagen innebär emellertid att ersättningen inte kan omfattas av 7 kap. 1 § 3st. 8-9 p. ML och den reducerade skattesatsen om 6 procent. Ersättningen utbetalas till följd av ett intrång och avsaknaden av en uttrycklig överenskommelse hindrar en tillämpning av 7 kap. 1 § 3st. 8-9 p. ML. / VAT turnover of copyrights are subject to a reduced VAT-rate. In the Value added tax act (ML) the paragraph of 7 kap. 1 § 3 st.  8-9 p. ML refers directly to the Copyright act (URL) for the assessment of the existence of a copyright and, the sale or lease of such a right. If a taxable supply is at hand while, simultaneously, a legally valid lease or sale of a copyright can be established, the turnover is taxed at a reduced VAT-rate of six percent. The thesis investigates intrusion compensation under Article 54 § 1 st. URL relative to the value added tax turnover concept and the reduced rate in 7 kap 1 § 3 st.  8-9 p. ML. Compensation according to Article 54 § 1 st. URL must be paid when an infringement of copyright is at hand. Compensation should always be paid regardless of good faith and even in cases where the holder of the right has earned revenue by e.g. spin-offs. In the legal literature, it has therefore been expressed that Article 54 § 1 st. URL does not con­stitute damages, something that the legislature explicitly has classified it to be. When reviewing the character and purpose of the compensation in relation to URL, and its rules for the transition of the right, it is clear that a valid transition does not exist in a transaction that has prompted compensation under Article 54 § 1 st. URL. According to 7 kap. 1 § 3st. 8-9 p. ML, this is a prerequisite. For the transaction to be covered by the reduced VAT-rate, a valid transition, according to the general rules of the rights transition in URL, must be at hand. However, from a VAT-perspective, compensation under 54 § 1 st. URL is meant to reflect the conditions that would have been if the concerned parties had reached an agreement in advance. There is an undisputed link between the remuneration and the actual use of the right. Thus, the compensation could be deemed equal to a lawful lease of copyright. For the purposes of the reduced tax rate in 7 kap. 1 § 3st. 8-9 p. ML, an equation of the compensation to a lawful lease of copyright is not sufficient. The provision is directly connected to URL and any transition of copyright must therefore be examined under the URL's rules for the transition of rights. The overall conclusion of this thesis is therefore that compensation under 54 § 1 st. URL may be subject to VAT. However, due to the unconditional connection to URL, the turnover cannot qualify for the reduced tax rate of six percent stipulated in 7 kap. 1 § 3st. 8-9 p. ML. The compensation is paid as a result of an infringement of copyright and the absence of an explicit agreement prevents the application of the reduced tax rate in 7 kap. 1 § 3st. 8-9 p. ML.
