La présente étude a pour objet de montrer que les moyens de la protection des actionnaires minoritaires en droit chinois et en droit français ne sont pas soumis à des critères fondamentalement différents. Dans les sociétés anonymes, les règles juridiques visent à trouver un équilibre des rapports entre les actionnaires majoritaires et minoritaires, ainsi qu’entre les actionnaires et la société ou le groupe de sociétés.C’est l’intérêt social et le principe d’égalité qui guident le législateur et le juge de proposer des solutions convenables.Il importe de noter qu’en droit français, les dispositions sur les responsabilités et les moyens de recours pour les minoritaires sont d’applications faciles qu’en droit chinois. D’ailleurs, la recherche de l’acquisition des sociétés cotées chinoises sous l’angle de la protection des minoritaires, tout à fait différent à l’offre publique en droit français, présente les particularités du marché réglementé chinois et mérite que les investisseurs étrangers découvrent davantage. / The dissertation aimed to point out that the methods of the protection of minority shareholders in Chinese law and in French law are not subject to the different criteria. In company limited by shares, the legal provisions intend to find a balance of relation between majority shareholders and minority shareholders, and between the shareholders and the company or group of company. It is corporate profits and the principal of equality that direct legislators and judges to suggest applicable solutions.It is important to notify that in French law, legal provisions about the responsibility of majority shareholders or company leaders and the ways of resort of minority shareholders provide reference for improvement of Chinese law. Besides, the study of acquisition of chinese listed companies, looked from the angle of the protection of minority shareholders, very different from tender offer in French law, demonstrate the characteristics of Chinese stock market and deserve foreign investors’ enough attention.

SAMMANFATTNING Bakgrund Elevers grupparbeten utgör en betydande del av HKK-undervisningen. Tidigare forskning kring elevers grupparbeten i allmänhet är omfattande, men forskning gällande elevers grupparbeten inom HKK är ytterst begränsad. Som utpräglat processämne är det av största vikt att eleverna ges möjlighet att träna på praktiska moment inom hem- och konsumentkunskap (HKK), för att eleverna ska kunna utveckla kunskap i handling vilket sedermera ska bedömas av undervisande lärare. Syfte Syftet med studien var att utforska lärares uppfattningar, upplevelser och erfarenheter av grupparbete i HKK. Metod Kvalitativa intervjuer genomfördes med tio HKK-lärare runtom i Sverige. Intervjuerna analyserades med stöd av kvalitativ innehållsanalys. Resultat Det mest framträdande resultatet i studien var att arbetsformen grupparbete var dominerande i såväl praktiskt som teoretiskt arbete inom HKK. Ramfaktorer påverkade, styrde och begränsade undervisningen. Samarbete, kamratlärande, trygghet och praktisk träning var främsta syften med grupparbeten inom HKK. Det sociala klimatet, elevernaskunskapsnivå och särskilda behov var de faktorer som främst togs i beaktning vid sammansättning av elevgrupper. Lärarnas arbete kring elevgruppernas varaktighet skilde sig åt. Observationer var den vanligaste bedömningsformen när elever arbetade i grupp. Bedömning av elever som arbetade i grupp upplevdes vara svårt och utmanande bland lärarna i studien. Slutsats Grupparbete som undervisningsmetod framstår som rådande kutym inom ämnet. Studien påvisade brister med denna undervisningsmetod, främst utifrån bedömningsaspekten. Med mer noggrant uttänkta strategier för varför, hur och när det vore lämpligt att använda grupparbete som undervisningsmetod anser vi att HKK-läraren har möjlighet att höja kvaliteten på såväl undervisning som bedömning. / ABSTRACT Background Students' group work constitutes a significant part of the teaching in Home and Consumer Studies (HCS). Previous research on students 'group work in general is extensive, but research on students' group work within HCS is extremely limited. As a distinct process subject, it is of the utmost importance that students are given the opportunity to practice practical elements in HCS, so that students can develop ”knowledge in action”, which will be assessed by the teacher. Objective The aim of the study was to explore the teachers’ perceptions and experiences regarding group work in HCS. Method Qualitative interviews were conducted with ten teachers in HCS within Sweden. The interviews were analyzed on the basis of content analysis. Results The most prominent result in the study was that group work was dominant in both practical and theoretical work within HCS. Framework factors influenced, controlled and limited teaching. Cooperation, peer learning, safety and practical training were the main purposes of group work within HCS. The social climate, the students' level of knowledge and special needs were the factors that were mainly taken into account when composing student groups. The teachers' work on the duration of the student groups differed. Observations were the most common form of assessment when students worked in groups. Assessment of students who worked in groups was perceived as difficult and challenging among the teachers in the study. Conclusion Group work as a teaching method appears to be the prevailing custom within the subject. The study demonstrated shortcomings with this teaching method, mainly based on the assessment aspect. With more carefully thought out strategies for why, how and when it would be appropriate to use group work as a teaching method, we believe that the HCS teacher has the opportunity to raise the quality of both teaching and assessment.

The Minor in the Civil Procedure JUDr. Jana Sladká Hyklová Abstract The thesis deals with the topic of the minor in civil procedure. This topic has not been yet properly compiled in Czech legal literature although the issues of participation of minors within civil proceedings are still actual and their importance is increasing. The basic legal source covering the chosen topic is Act No. 99/1963 Coll., Civil Procedure Code, which had to be amended more than 120 times. Procedural law in family law matters, which form substantial part of the content of this thesis topic, is firmly connected with substantive law. Substantive legislation is nowadays represented by Civil Code and Family Law, which are supposed to be replaced on 1 January 2014 with new code of civil law, Civil Code (Act No. 89/2012 Coll.). This is the reason why the thesis pays attention to the existing legislation as well as to novelties brought by the new code. Where needed, an analysis of new legislation in terms of proper procedural protection of the rights of minors is provided. New legislation of civil law brings the question of preparation of appropriate procedural code. The meaning of loss is love. I know this through attention to experience. Whether loss or love is experienced in abundance or in absence, the meaning is mystical with an opening of body, mind, heart and soul to spirit. And so, in the style of a memoir, in the way of contemplative prayer, I contemplate and share my soul as a promise kept in the mystical reach through loss. With the first, initiating loss, the loss of my nine-year-old nephew, Caleb, I experience an epiphany that gives me spiritual instructions that will not be ignored. I experience loss as an abundance of meaning that comes to me as gnosis, as “knowledge of the heart” according to Elaine Pagels or divine revelation in what Evelyn Underhill calls mystical illumination in the experience of “losing-to-find” in union with the divine. Then, with gnostic import, in leaving the ordinary for the extraordinary, I enter the empty room in the painful yet liberating experience of the loss of my self. In the embrace of emptiness, I proceed to the first wall, the second wall, the third wall, the dark corner of denial, the return to centre, and, finally, to breaking the fourth wall in the empty room so as to keep my promise to you. Who are “you”? You are God. You are Caleb. You are spirit. You are my higher soul or self. And, you are the reader. You are my dear companion in silence. And then, through a series of broken promises and more loss, within what John of the Cross calls, “the dark night of the soul,” I am stopped by the ineffability of the dark corner of denial, the horror of separation and the absence of meaning, which is depicted as the grueling gap between the spiritual abyss and the breakthrough. What does it mean to keep going through a solemn succession of losses? I don’t know. In going into the empty room, I simply put pain to work in order to reach you. Through loss, though there are infinite manifestations, there is only one way: keep going. And so, in a triumph of the spirit, I keep going so as to be: a promise kept in the mystical reach through loss. We Can Do It (Education) Better: An Examination of Four Secondary School Approaches for Aboriginal Students in Northwestern OntarioLandon, Rocky 17 December 2012 (has links)
The following study is an exercise in understanding how educators can improve their professional practice in terms of addressing the needs of Aboriginal high school students. The study was delimited to four different high schools in Northwestern Ontario in order to develop a broader understanding of best practices used by various school communities. Interviews were conducted with students and educational professionals such as teachers, administrators, guidance personnel and school board members. The study was completed over a period of one week, where one day was spent in each school completing interviews.
This study is unique in two ways: it presents the voices of secondary school educators (which had scarcely been reported or heard in the academic community) outlining the direction in which Aboriginal education should go and secondly, as a researcher I attempted to use the medicine wheel as a model for completing and conducting research.
There were a number of findings that appeared through the interviews. Teachers and administrators agreed that in order for Aboriginal students to succeed they needed to have involved parental support. It was important to teachers that parents take an active role in the educational life of their child. Additionally, it was acknowledged that First Nation communities were ideal settings for schooling of Aboriginal students as they were supported by family and community kinships. Yet in this study, it was also acknowledged that First Nation schools suffered financially in comparison to provincial schools. They were not able to provide programming comparable to provincial schools and

were limited to a barebones program with compulsory courses being offered. In some cases, if students failed a course, they were not able to participate in the rest of the school program, until the course was re-taught in two years. Despite these shortcomings, students might do better in First Nation based schools if they were adequately funded with current resources and adequately compensated teachers.
This study offers some suggestions on how to improve the practice of educating First Nation secondary students.

Malgré le peu de fondements écrits consacrés à la justice dans le texte de la Constitution du 4 octobre 1958, le Conseil constitutionnel, en réalisant un travail d’actualisation à partir de la Déclaration des droits de l’homme et du citoyen, a permis l’émergence d’un droit constitutionnel processuel, construit autour de principes directeurs. Ceux-ci peuvent être répartis dans trois catégories : deux principales, selon que l’acteur du procès prioritairement concerné soit le juge ou les parties et une troisième, complémentaire, celle des garanties procédurales, permettant de favoriser les qualités essentielles du juge et de contrôler le respect des droits des parties. Une gradation des exigences du Conseil constitutionnel est discrètement perceptible entre les deux premières catégories de principes, plus facilement identifiable entre celles-ci et la dernière famille. Cette échelle décroissante de « densité » des principes directeurs du procès témoigne d’une véritable politique jurisprudentielle en matière de droit constitutionnel processuel, qui met l’accent sur l’accès au juge, doté des qualités indispensables à l’accomplissement de sa mission juridictionnelle. Toutefois, aussi satisfaisante que soit l’action du juge constitutionnel français à l’égard du droit du procès, celle-ci nécessiterait aujourd’hui le relais du constituant, afin de moderniser le statut constitutionnel de la justice. / In spite of a relatively low number of written dispositions dedicated to justice inside of the body of the Constitution of October 1958 4th, the constitutional Council, while updating this text through the Declaration of Human Rights, contributed to the development of a procedural constitutional law, which is structured around guiding principles. Those principles can be classified within three different categories : two major categories depend on the trial actor that is primarily concerned, either the judge or the parties; a third and additional category pertaining to procedural protections, fosters the essential qualities of the judge and secure the protection of the parties’ rights. A gradation of the requirements of the constitutional Council is discreetly perceptible between the first two categories of principles, and more easily identifiable between those first two categories and the last one. This decreasing scale of “density” yoked to the trial guiding principles highlights a genuine judicial policy when it comes to procedural constitutional law, emphasizing access to the judge, whom is given essential qualities in order to achieve its judicial duty. However, the action of the French constitutional judge, as satisfactory as it is towards the rights of the trial, would easily support the intervention of the constituent power in order to update Justice’s constitutional status.

Detta går att åstadkomma genom komprimering, det komprimerade materialet tenderar dock att återgå mot sin ursprungsform då materialet utsätts för fukt om ingen låsning sker. Låsningen kan ske mekaniskt i en treskiktskonstruktion som motverkar träets fuktrörelser. Dessa skivor har dock visat sig vara instabila och tidigare försök har uppvisat deformationer i form av kupning. Denna undersökning syftar till att utreda förutsättningarna för att använda komprimerad asp samt att ta fram underlag för framtagning av en kommersiell produkt. Praktiska tester har genomförts för att studera hårdhet, återfjädring och densitet hos det komprimerade virket. Vidare har treskiktsskivor tagits fram för att testa om det går att få en stabil konstruktion genom att variera tjockleken på spärrskiktet. Även skillnader i acklimatiseringstid och fuktkvotens inverkan för virkets återfjädring har studerats. Resultaten visar på att aspens hårdhet efter komprimering blir i samma nivå som bok och ask, en låg fuktkkvot vid komprimering av materialet ger en låg återfjädring, komprimerat material har en längre acklimatiseringstid till jämviktsfuktkvot och materialet går att låsa tvärs fiberriktningen i en treskiktskonstruktion. / To make wood harder it can be densified. The fixation can be done mechanically in a three-layer panel construction which reduce movements in the timber. These panels have been found to be unstable and previous attempts have shown deformations in form of cupping. This study aims to evaluate the conditions for using compressed aspen wood, and to provide a basis for development of a commercial product. Practical tests have been conducted to study hardness, springback and density of the compressed wood. In addition, three-layer panels have been developed to test whether it is possible to have a stable construction by varying the thickness of the buttom layer. Differences in acclimatisation time and the moisture contents effect on the springback has aslo been studied. The results show that the hardness of aspen wood after compression is in equal levels with beech and ashes, a low moisture contet provides a low springback, compressed timber have a longer time for acclimatisation and it is possible to fixate the material in the direction across the grain in a three-layer panel construction.
