The implementation of International Accounting Standard 32 Financial Instruments:
Disclosure and Presentation (lAS 32), International Accounting Standard 39 Financial
Instruments: Recognition and Measurement (lAS 39) and International Financial Reporting
Standard 7 Financial Instruments: Disclosures (IFRS 7) by developing countries has been
met with mixed reactions largely due to the extensive use of the fair value concept by the
three accounting standards. The use of the fair value concept in developing countries has
proved to be a significant challenge due to either a Jack of formal capital market systems
or very thinly traded capital markets. This study investigates the obstacles to determining
fair values of equity share investments, government bonds and corporate bonds, treasury
bills and loan advances in Mozambique.
The study was done through a combination of literature review and empirical research
using a questionnaire. The trading statistics of the financial instruments on the
Mozambique Stock Exchange and the prospectuses of bonds were used. The empirical
research was carried out using a type of non-probability sampling technique called
purposive sampling. A subcategory of purposive sampling called expert sampling was
used to select the eventual sample which was composed of people with specialised
knowledge on the capital market system in Mozambique. The results of the empirical
research were analysed using pie charts to summarise the responses.
The research concluded that the Mozambique Stock Exchange is an inactive market for
financial instruments characterised by thin trading in both equity shares and bonds. The
estimation of fair values evidenced by observable market transactions is therefore
impossible. The absence of credit rating agencies in Mozambique presents a significant
challenge in assigning credit risk and pricing financial instruments such as bonds. The
research also noted that significant volatility of the main economic indicators such as
treasury bills interest rates and inflation made it difficult to determine fair values of financial
instruments using financial modelling techniques. Due to the above obstacles to
determining fair values of certain financial instruments in Mozambique, the best
alternatives are to value these financial instruments at either cost or amortised cost. / Financial Accounting / M. Com. (Accounting)

La subordination financière est l’établissement d’une hiérarchie entre créanciers. Avant une procédure de répartition, cet ordre entre créances est mis en place à l’aide d’échéances différentes et de stipulations particulières (blocage des paiements). Après les répartitions, ce classement peut être créé par la suppression de l’égalité entre créanciers. Celle-ci est tantôt légale (droit de préférence), tantôt volontaire (déclassement) et s’assimile dans ce cas à une renonciation. Au terme de cette hiérarchie, certains créanciers seront payés en dernier, les créanciers résiduels. Le financement des sociétés est décrit par la distinction entre les associés et les créanciers. Devant la faiblesse de cette division, la doctrine a proposé les fonds propres. Ce concept est redéfini en mettant l’accent sur la subordination, qui fait clairement apparaître la qualité de créancier résiduel de l’associé. Il conduit à une nouvelle lecture du financement de la société, qui est transdisciplinaire / Financial subordination establishes a hierarchy between creditors. This degree is implemented through the legal or intentional suppression of creditors’ right to equal distributions in the bankruptcy proceedings. When it is a priority claim, this loss is imposed on creditors by law. When it is a subordinated claim, creditors accept to waive their right to equal distributions. In both cases, some creditors will be paid only after the full payment of others. Those are called residual creditors.Corporation financing is based upon a division between owner and lender. Traditionally, the former puts money into the business through legal capital while the latter grants loans. As this view no longer depicts the reality of corporation financing, the French jurisprudence tried to replace it with the concept of equity, which is broader than the legal capital. In this work, equity is redefined in setting in its core financial subordination, which clearly shows why a shareholder is a residual claimant. This new definition of equity, which is shared by other disciplines outside law gives a different approach to the financing of companies under French law

Die interpersoonlikestylrepertoire van middelvlakbestuurdersKoortzen, Pieter, 1966- 06 1900 (has links)
Text in Afrikaans / The goal with the research is firstly is to study and theoretically describe the interpersonal style
repertoire of middle level managers according to the interpersonal approach and more specifically
the 1982 Interpersonal Circle. Secondly the interpersonal development interventions and the
development process for middle level managers were discussed from this approach. The third
theoretical goal involved compiling a interpersonal development programme for middle level
managers.
The empirical goals of the research involved the evaluation of the interpersonal style repertoires
of middle level managers by means of self and fellow manager evaluations in an attempt to get
an indication of the most prominent interpersonal styles of middle level managers. Furthermore
the empirical investigation involved an analysis of the influence of the interpersonal development
programme in expanding the interpersonal style repertoires of middle level managers.
The results of the self evaluations suggest that the warm-friendly, deferent-trusting, assureddominant
and sociable-exhibitionistic styles are the primary styles of the 263 middle managers
in the sample. Their evaluations by the 82 fellow managers seem to indicate that the warmfriendly,
assured-dominant, deferent-trusting, and sociable-exhibitionistic styles are the most
prominent interpersonal styles of middle level managers. Although these results seem to
correspond to the teoretically applicable style repertoires of middle level managers the scores
were all below average.

With the interpersonal development programme an attempt was made to make the group of 32
managers aware of their own interpersonal style repertoires and to provide them with the
opportunity to study the way in which these are used in interpersonal transactions during a
experiential learning experience. The development interventions, process and the influence of
the development programme are also discussed. / Die doel met hierdie navorsmg is eerstens om die interpersoonlike stylrepertoire van
middelvlakbestuurders aan die hand van die interpersoonlike benadering en meer spesifiek 1982
Interpersoonlike Sirkel, te bestudeer en teoreties te beskryf. Tweedens is die interpersoonlike
ontwikkelingsintervensies en -ontwikkelingsproses vir middelvlakbestuurders vanuit die
benadering beskryf. Die derde teoretiese doelstelling het die samestelling van 'n interpersoonlike
ontwikkelingsprogram vir middelvlakbestuurders behels.
Wat die empiriese doelstellings in die navorsing betref, is die interpersoonlike stylrepertoire van
middelvlakbestuurders deur middel van self- en medebestuurderevaluasies geevalueer om
sodoende 'n aanduiding van die mees prominente interpersoonlike style van
middelvlakbestuuders te kry. Verder het die empiriese ondersoek ook 'n ontleding van die
invloed van die interpersoonlike ontwikkelingsprogram op die uitbreiding van
middelvlakbestuurders se interpersoonlike style ingesluit.
Die resultate van hulle selfevaluasies suggereer <lat die warm-vriendelik, geleidend-vertrouend,
versekerd-dominant en sosiaal-ekshibisionistiese style die primere interpersoonlike style van die
steekproef van 263 middelvlakbestuurders is. Wat die resultate van die evaluasies van die 82

O instituto de benefício particular nas assembléias gerais de sociedades anônimas / The private benefits regulation in general meetings of corporationsNícolas Cesar Juliano Butros Prestes Nicolielo 15 May 2013 (has links)
O presente trabalho tem por objetivo traçar os principais contornos do instituto do benefício particular, positivado na legislação brasileira por meio do artigo 115, §1º, da Lei n. 6.404/76, diferenciando-o do instituto relativo ao interesse conflitante nas sociedades, insculpido no mesmo dispositivo supra citado. A partir da análise do Direito Comparado, constatou-se que o benefício particular, tal como o conhecemos hoje no Brasil, tem origem na legislação francesa, especificamente nas Leis de 17 de julho de 1956 e 24 de julho de 1867. Os contornos de sua conceituação, portanto, estão intimamente ligados às razões de ordem histórica e teleológica que levaram o legislador estrangeiro a criá-lo, o qual visava, à época, afastar os abusos e inconveniências decorrentes da aprovação, em assembleia, de vantagens especiais e exclusivas pelo próprio sócio beneficiário dessas vantagens. Complementarmente, por meio da análise e interpretação sistemática da legislação societária brasileira e de outras fontes de direito disponibilizadas, como a doutrina e a jurisprudência, pôde-se definir algumas das características mais marcantes do instituto, das quais se pode destacar a licitude, a gratuidade e o caráter social das vantagens a ele associadas, garantindo ao beneficiado acesso aos fundos sociais. Em paralelo, para fins de mera comparação com o instituto do benefício particular, foram abordados alguns aspectos relativos ao instituto do conflito de interesses, reafirmando conceitos doutrinários já sedimentados acerca do alcance do interesse social e procurando, a partir da análise da legislação brasileira e comparada, fixar alguns elementos intrínsecos a esse instituto, tal como a ilicitude e o caráter extrassocial da vantagem visada pelo acionista conflitado. Comparando as características do benefício particular e do conflito de interesses, pode-se concluir que, apesar da aparente semelhança que carregam, tratam-se de institutos distintos, que regulam situações diversas, não podendo ser confundidos ou tomados um pelo outro, sendo possível, de fato, se estabelecer um critério relativamente seguro para distingui-los entre si, conferindo uma maior segurança jurídica aos aplicadores do direito, evitando-se, assim, algumas interpretações equivocadas acerca dos institutos, tais como aqueles constantes nos posicionamentos da Comissão de Valores Mobiliários analisados ao final desse trabalho. / The current paper has the sole purpose of designing the main lines of the private benefits regulation, reaffirmed by means of Act 115, §1st, in the Brazilian law number 6.404/76, distinguishing it from institutions that relate to conflicting partnership interests, comprehended by the same aforementioned Act. From assessing the Paired Law regulation, it has been understood that the private benefits, such as it is currently recognized in Brazil, is based on the French legislation, more specifically on the July 17, 1956 and July 24, 1867 Acts. Therefore, the contours of its conceptualism are intimately connected to historic and teleological reasoning that took the foreign regulator to create it and which aimed, at that time, to keep away abuse and inconveniences resulting from the approval, in an shareholders meeting, of special and exclusive advantages by their own beneficiary parties. In addition, by means of systematically assessing and interpreting the Brazilian Corporate Law and other Law resources made available, such as the Law doctrine and jurisprudence, it was possible to determine some of the most outstanding characteristics of such an institute, among which the lawfulness, gratuity and social character of the advantages associated with it can be highlighted, thus assuring the access of the beneficiary party to social funds. In parallel, by means of solely comparing the private benefits regulation, some aspects regarding the conflict of interests were also assessed, reaffirming doctrine concepts about the reach of social interests that are already established and trying to determine, by means of analyzing the Brazilian Corporate Law and Paired Law, some of the elements that are inherent to that establishment, such as its wrongfulness and the extrasocial character of the advantage pledged by the conflicting party. By pairing the characteristics of private benefits and the conflict of interests, it is concluded that, despite their apparent similarities, those are distinct institutes that regulate diverse situations, which cannot be confused or taken by one another and, in fact, it is possible to establish a relatively safe criteria to differentiate both, thus providing greater judicial accuracy to Law enforcers, and this way avoiding misinterpretation of regulation, such as those that are common to the positioning of the Brazilian Securities and Exchange Commission that are analyzed in the end of this paper.

A Contabilidade, na qualidade de Ciência voltada à administração e a economia, envolve, a um tempo, um valor específico e uma prática abrangente, na medida em que tem por função orientar, controlar e registrar eventos econômicos proporcionando informações para a tomada de decisões. Esse conceito exige, portanto, dos seus profissionais, uma visão sistêmica, holística e interdisciplinar, que lhes possibilite um desempenho de qualidade. No entanto, as estratégias de ensino utilizadas, ainda hoje, têm priorizando os aspectos operacionais da Contabilidade, em detrimento da sua capacidade informativa, que implica necessariamente juízo de valor. Visando contribuir para dotar o ensino da Contabilidade Geral em nível de 3º grau de um instrumento de aproximação entre a teoria e a prática que reflita melhor a realidade das empresas e suas necessidades das informações contábeis para a tomada de decisões, esta pesquisa objetiva a apresentação de um simulador de transações, em forma de jogo, aplicado ao ensino da Contabilidade Geral. Por meio da pesquisa-ação, desenvolve-se a modelagem de um simulador de transações, em forma de jogo, desdobrando analiticamente a tomada de decisão num processo de planejamento, execução e controle, valendo-se para isso da teoria dos jogos, levando o aprendiz a tomar decisões e fazer julgamento de valor. Ao elaborarmos um simulador de transações e aplicá-lo em sala de aula, a nossa contribuição reside não na estratégia em si, mas, antes, no processo de comunicação, motivando o aluno a participar de uma situação simulada. Importa, sobretudo, a representação, ou seja, a ficção que obriga a trabalhar não apenas tendo em vista o real, mas aquilo que tem a aparência de real, e que possibilita o interesse do jogo para o aluno. Conclui-se da pesquisa que o uso do simulador de transações, em forma de jogo, estimula e favorece o aprendizado dos conteúdos propostos pela disciplina de Contabilidade Geral, proporcionando ao aprendiz a visão abrangente desejada. / Accountancy as a Science oriented to management and economy involves at the same time an specific value and more encompassing practices based on the purpose to guide, control and record economic events providing information for decision making. This concept demands, however, a systemic, holistic and interdisciplinary view from professionals to achieve high quality performance. Nevertheless, teaching strategies used both in the past and today have prioritized the operational aspects of Accountancy to the detriment of its informative ability which involves a judgment of value. The goal of this study is to help in providing an instrument that can bring together theory and practice in the teaching of General Accounting Level 3 that better expresses business reality and the needs of accountable information for decision making. In addition to the presentation of a simulator of business transactions as a game applied to the teaching of General Accounting. This model representation of business transactions as a game will be developed by means of action-research. This game will analytically unfold the decision making during the planning, performance and control of a process using the theory of games and leading the learners to make decisions and judge values. The key factor of this representation of business transactions and its application in class will not be the strategy itself, but the communication process. It will encourage the students to participate in a simulated situation. All in all, the key aspect is the role play, or in other words, the fiction that encourages the work not only having real facts, but also with the representation of real-life situation and this will increase students interest in the game. The final conclusion of this study is that the use of a simulator of business transactions as a game encourages and favors the learning process of the subjects proposed by General Accounting, therefore providing the students with the desirable comprehensive view.

Previous issue date: 2018-05-11 / Transações com parte relacionadas (RPT) é um problema recorrente na maioria das empresas com propriedade compartilhada porque, ao mesmo tempo que pode trazer uma redução significante dos custos de transação, por outro lado apresenta o risco de ser abusada causando perdas para os acionistas minoritários e credores. A Parceria Público Privada (PPP) de infraestrutura, sendo um empreendimento em sociedade, está sujeito a este dilema e, devido à alavancagem proporcionada pelo Project Finance, há inclusive maiores incentivos ao comportamento oportunista. Um exemplo recente, motivando a discussão, é o case da usina hidroelétrica Santo Antônio, que, com um orçamento inicial de R$ 12 bilhões, acabou custando um total de R$ 20 bilhões. O potencial de retorno imediato por expropriação dos custos majoritários, tipo aquisição e construção para o projeto, na maioria das vezes é extremamente superior à exposição do agente oportunista às perdas durante a futura operação da infraestrutura. Neste trabalho é proposto um modelo microeconômico simples para explorar os incentivos subjacentes nos projetos de PPP com o objetivo de encontrar alternativas para mitigar o desalinhamento de incentivos causados por RPT’s nas PPPs. Finalmente, a literatura pesquisada, em conjunto com o modelo proposto, são usados na comparação com dados empíricos mostrando forte evidência de efeitos negativos das RPTs. Em muitas PPPs no Brasil, a presença de grandes construtoras nas holdings dos seus controladores, aliada à pouca experiência dos agentes governamentais e deficiência de recursos na utilização do modelo PPP, criou um ambiente muito desfavorável ao sucesso desses projetos. / The Related Party Transaction (RPT) is a recurring issue in most shared ownership companies because, at the same time, it has the potential to bring significant reduction of transaction costs, on the other hand, presents many pitfalls of being abused to the loss of the minority shareholders and creditors. The infrastructure Public Private Partnership (PPP), being a shared enterprise, is prone to this dilemma and, because project finance is extremely leveraged, there are even stronger incentives for opportunistic behavior. As a recent example to motivate the discussion there is the case of Santo Antonio hydroelectric power generation facility, which had an initial budget of R$ 12 billion and ended up costing a grand total of R$ 20 billion. The potential immediate returns of expropriation from major expenses, such as acquisition and construction for the project, most of the time, far outweighs the opportunist’s exposure to losses in the future operation of the infrastructure. It is proposed a simple microeconomic model for exploring the underlying incentives of PPP projects to help devise options for mitigating the incentive misalignment of RPTs in PPPs. Finally, the literature and the proposed model findings are used to compare with empirical data which has showed strong evidence of negative RPT effects. In many PPPs in Brazil, the presence of big construction firms in the controlling shareholders’ holdings, coupled with the government’s lack of experience and adequate resources to work with the PPP model, created a difficult environment for the financial success of those projects.

Atualmente, verifica-se um momento de grande reflexão dos aplicadores do Direito Tributário, em decorrência do impacto trazido pelos novos métodos e critérios contábeis aplicados à apuração do lucro societário das empresas no Brasil. A aplicação dos princípios contábeis geralmente aceitos passou a estabelecer novos paradigmas para o reconhecimento e mensuração do lucro, influenciando a forma de interpretar a legislação tributária. Esse contexto ganha grande relevância no que tange à apuração e tributação da renda no setor imobiliário. Isto porque esse setor da economia é cuidadosamente regulamentado, do ponto de vista contábil, tanto pela legislação societária quanto pela fiscal. Com efeito, o presente estudo analisa a delimitação da competência constitucional para tributação da renda pela União, sobretudo os limites oferecidos pelos princípios constitucionais tributários. Também se analisam as definições de renda pelo CTN e os critérios de definição do momento de realização. Ocorre que a definição do fato gerador do imposto de renda muitas vezes se vale de conceitos previstos em outras áreas do Direito, especialmente no Direito Privado. Dessa forma, são analisados os conceitos estabelecidos pelo Direito Contábil Societário, pois são fundamentais para a quantificação da matéria tributável. Após o estabelecimento da base teórica para a tributação da renda, passa-se à análise dos principais aspectos jurídicos das operações imobiliárias (negócios que envolvem a exploração econômica, direta ou indireta, da propriedade imobiliária). Essa primeira análise é necessária para se estabelecerem os parâmetros adequados para o reconhecimento e a mensuração da renda, intrinsecamente relacionada à transferência de riscos e benefícios. Um segundo passo importante, para a apuração da renda do setor imobiliário, corresponde à análise dos principais métodos e critérios contábeis estabelecidos pela legislação societária, pois esse é o parâmetro inicial para a apuração do montante a ser tributado. Por fim, analisam-se a coerência e a adequação das regras de tributação da renda no setor imobiliário, para as pessoas físicas e as pessoas jurídicas. Também serão abordados os regimes específicos de tributação previstos na legislação brasileira. / In recent years, tax law practitioners have been forced to rethink due to the impact of new accounting methods and criteria applied to the calculation of corporate profits in Brazil. The application of generally accepted accounting principles has established new parameters for the recognition and measurement of profits, thereby influencing the interpretation of tax law. This ontext has acquired great relevance regarding the calculation and taxation of income in the real estate sector. This is due to the fact that this economic sector is carefully regulated from an accounting standpoint, as much by corporate law as by tax law. Indeed, this work analyzes the limits of the constitutional authority for Federal taxation of income, especially as regards the bounds set out by constitutional principles of taxation. It also analyses the Brazilian National Tax Code (CTN) definition of income, as well as the definition of the moment when income is realized. It happens that the definition of the tax-triggering event for income tax often relies on concepts derived from other areas of law, especially privet law. Therefore, the concepts established by corporate accounting law are analyzed here, as they are fundamental concepts for the quantification of the tax bases. After establishing the theoretical basis for income taxation, the main legal aspects of real estate transactions are analyzed (those involving direct or indirect real estate economic exploration). This first analysis is necessary in order to establish the appropriate parameters for the recognition and measurement of income, intrinsically related to the transfer of risks and benefits. A second important step for the calculation of income in the real estate sector corresponds to the analysis of the main accounting methods and criteria established by corporate law, as this is the initial parameter for the calculation of the tax basis. Finally, this work analyzes the coherence and proportion of the income taxation rules in the real estate sector, for individuals and corporations. The special tax regimes established by Brazilian law will also be addressed.

This is due to the increased competition, forcing companies who wish to prosper, to seek inorganic growth through acquisitions. The objective of this research was to develop a methodology for prospecting in the customer base of the commercial bank, maximizing the efficiency of the investment bank in the search of potential mergers and acquisitions transactions. The developed model in this research can be used by M&A (Mergers and Acquisitions) analysts on investment banks, since it will be possible to perform a screening in the customer base of commercial bank already using existing information held by the bank to find counterparties in transactions of M&A. It was developed a qualitative exploratory study based on historical of mergers and acquisitions transactions in the healthcare industry , it was analyzed the reasons which provided mergers and acquisitions transactions, deals value and also the acquisitions made by public companies in the healthcare industry. After that it was made a model to find counterparts in the customer base of a commercial bank, to seek potential targets or buyers. This model was applied in a real case, showing satisfactory outcome. / O número de transações em fusões de aquisições vem aumentando e cada vez mais ultrapassando as barreiras do país de origem das companhias. Isso ocorre devido à concorrência mais acirrada que obriga as empresas, que desejam prosperar, a buscar crescimento inorgânico através de aquisições. O objetivo desta pesquisa foi elaborar um modelo de prospecção na base de clientes do banco comercial, maximizando a eficiência do banco de investimentos na busca de transações na área de fusões e aquisições. O modelo desenvolvido nesta pesquisa pode ser utilizado por analistas de F&A (Fusões e Aquisições) de banco de investimentos, uma vez que será possível realizar uma triagem na base de clientes do banco comercial, já utilizando as informações existentes em poder do banco para buscar contrapartes nas transações de F&A. Foi realizada uma pesquisa qualitativa exploratória baseada em transações históricas de fusões e aquisições no setor de saúde; foram estudados os motivos que originaram as transações de F&A, perfil das empresas, valores dos deals e ainda as aquisições realizadas no setor por empresas de capital aberto. Com o estudo realizado foi elaborado um modelo para buscar contrapartes na base de clientes de um banco comercial, tanto para buscar potenciais alvos como compradores. Modelo este que foi aplicado em um caso real, demonstrando resultado satisfatório.

Previous issue date: 2012-09-13 / The work is situated in the large area of corporate law, specifically under the subject of conflicts of interest in the deliberations of listed companies. The assumed objective was to critically explore theoretical interpretation of the legal problem resulting from these conflicts, and then perform an empirical study about a potentially contentious negotiating mode, the related party transactions. After studying the logic from these doctrinal proposals, the thesis maintains the hypothesis that the explanations of the Brazilian legal literature vary the ratio of the open concept of 'best interests of the company', according to articulate the position of the party represented by counsel. Arbitrarily designed as 'formal' or 'substantial', such interpretations cares about the time of infringement of the Company's best interest, respectively, to prohibit or guarantee the exercise of voting from the interested party, through suitable arrangements at the dispute. Due to this impairment of abstract reasoning to the practice of law, it is suggested to approach the subject by another theoretical proposal, linked to a specific notion of Law. Understood as a provider of relevant information to stakeholders of the companies, it acts in the regulation of data required from these corporations and in the information produced by them, individually. Such transparency, along with the rules that bind the market, form the conceptual content of the expression 'corporate governance', developed around the proposal called by 'corporate governance system'. The interpretation of information from the various possible systems must offer the decision maker a chance to meet their powers, prerogatives, incentives, skills, limitations and prohibitions in order to assess whether their choice is a good government practice for the business, according the system in which the company operates. For interested third parties, the system should serve to verify if the decision-making process follows the expectation of the business environment designed by the governance system. On the issue of conflicts of interest, the suggestion to think the problem through this notion of Law intended to support the creation and disclosure of rules conceived by the listed companies, which feed the alluded governance system and serve to guide the decision making oriented by the alignment of dissonant goals involved in the company, without the use of external arbitration. So, the empirical work focuses on studies of these particular rules applicable to related party transactions, such mechanisms were collected in the annual report of the 100 most liquid corporations listed at BM&FBovespa in 2011. The results show that only 6% of companies have procedures to identify conflicting relationships arising from related party transactions and 29% to address the problem. The figures relating to companies that establish rules for managing conflicts of interest in the deliberations of the general assembly and board of directors are also low, respectively, 7% and 13% present identification mechanisms, 4% and 11% for treatment. The low frequency showed by the results lighted with the built theoretical proposal identifies an opportunity, namely, to think of mitigating the problem using this private and extrajudicial route. / O trabalho está inserido na grande área do direito societário, especificamente sob a temática dos conflitos de interesses nas deliberações de S.A.´s listadas em Bolsa de Valores. O objetivo assumido foi o de percorrer criticamente as propostas teóricas empregadas na interpretação do problema jurídico resultante destes conflitos, para depois realizar um estudo empírico sobre uma modalidade negocial potencialmente conflitiva, as transações entre partes relacionadas. Após o estudo da lógica norteadora das propostas doutrinárias, sustenta-se a hipótese de que as explicações da literatura jurídica brasileira variam na razão do conceito aberto de 'interesse da companhia', articulado de acordo com a posição da parte representada pelo advogado. Arbitrariamente concebidas como formais ou substancias, tais interpretações cuidam do momento de violação do interesse da companhia, respectivamente, visando proibir ou garantir o exercício de voto do interessado por meio de entendimentos convenientes ao tempo do litígio. Diante deste comprometimento do raciocínio abstrato com a prática da advocacia, sugere-se a abordagem do tema por outra proposta teórica, vinculada a uma noção específica do Direito. Compreendido como um provedor de informações relevantes aos interessados nas operações das empresas, ele atua na regulação dos dados exigidos destas sociedades e na confecção das informações produzidas individualmente por elas. Tal transparência, junto das regras que vinculam o mercado, forma o conteúdo conceitual da expressão governança corporativa, desenvolvido em torno da proposta chamada de 'sistema de governança corporativa'. A interpretação das informações dos diversos possíveis sistemas deve oferecer ao tomador de decisão a chance de conhecer os seus poderes, prerrogativas, incentivos, competências, limitações e proibições, de modo a avaliar se a sua escolha é uma boa prática de governo da empresa, segundo o sistema no qual ela opera. Aos terceiros interessados, deve servir para verificar se o processo decisório segue o esperado pelo ambiente negocial que o sistema de governança delineia. No tema do conflito de interesses, a sugestão de pensar o problema por esta noção do Direito visa respaldar a criação e divulgação de regras próprias pelas empresas listadas, as quais alimentem o aludido sistema de governança e sirvam à tomada de decisões que orientem o alinhamento dos objetivos dissonantes envolvidos na companhia, sem que haja a necessidade de recorrer ao arbitramento externo. O trabalho empírico se debruça então nos estudos destas regras particulares aplicáveis às transações entre partes relacionadas, tais mecanismos são colhidos nos formulários de referência das 100 companhias mais líquidas da BM&FBovespa no ano de 2011. Os resultados mostram que apenas 6% das empresas possuem procedimentos para identificar as relações conflituosas decorrentes da modalidade negocial estudada e 29% para tratar o problema. Os números relativos às sociedades que estabelecem regras para a administração dos conflitos de interesses nas deliberações de assembleia geral e conselho de administração também são baixos, respectivamente, 7% e 13% apresentam mecanismos de identificação, 4% e 11% para o seu tratamento. A baixa frequência mostrada pelos resultados à luz da proposta teórica construída identifica uma oportunidade, qual seja, a de pensar a mitigação do problema por esta via particular e extrajudicial.

隨著科技的進步和普及,電子商務的發展日益蓬勃,帶動商業模式的多元化,使得電子商務的商品不僅限於實體貨物也包含數位化商品及線上提供服務等電子勞務交易。將跨境電商納入課稅規範已是全球趨勢,日前台灣也已通過並發布針對跨境電子勞務交易之營業稅法修法,明定跨境銷售電子勞務予我國自然人買家之外國業者,應自行或委託報稅之代理人於我國辦理稅籍登記及報繳營業稅,旨在維護租稅公平並掌握稅源。本文擬以文獻探討法、比較研究法及個案研究法,以跨境電商營業人為主體,探討電子勞務交易之營運模式,深入了解業者透過跨境電子商務平台銷售電子勞務在我國目前稅制下之課稅議題,並以國際性之知名訂房網站-Agoda.com進行個案分析。最後針對我國電子勞務課稅現況提出政策之建議。 / Rapid development in technology has resulted in the prosperity of e-commerce and the variety of business models. The products of e-commerce are not only physical commodities but also electronic services like digital products and online services.
With the global trend of taxation on cross-border electronic services, Taiwan government has announced an amendment to Value-added and Non-value-added Business Tax. The amendment specifies the tax obligation of cross-border business entities which sells electronic services to domestic individuals shall apply for taxation registration in order to uphold tax fairness and ensure tax revenue for the country. This study discussed the business models of electronic services and its tax issues ,adopting document method, comparative analysis method and case study on Agoda. The last chapter concluded the results from the aforementioned research methods and proposed ways to improve the current tax collection system on cross-border electronic services.
