影響海外事業技術來源的決定因素 / The determinants of sources of overseas technology in Taiwan FDI manufacturing Firms

本研究藉由不同的對外投資理論及實證研究文獻,來探討跨國企業影響其海外事業技術來源的因素,再運用2007年經濟部統計處「製造業對外投資實況調查」之資料,作實證研究,建立兩階段實證模型。第一階段以多元羅吉特模型,探討海外事業技術來源係外購或自行研發之影響因素;第二階段仍以多元羅吉特模型,探討其海外事業在自行研發之技術來源係由母公司提供或由子公司自行研發之影響因素。經實證分析發現,第一階段影響海外事業外購技術或自行研發策略的決定因素為,產業別變數、當地化程度變數,及組織型態變數。投資產業愈傾向資訊電子工業、當地化程度愈高、組織型態愈不傾向與外資合資者,其海外事業技術來源愈傾向採自行研發策略。第二階段影響海外事業由母公司提供技術或由子公司自行研發的決定因素為,投資地區變數、產業別變數、當地化程度變數、研發比重變數,及行銷方式變數。海外投資地區愈傾向投資工業化國家、投資產業愈傾向資訊電子工業、當地化程度愈高、研發比重愈高、行銷方式愈傾向由海外事業行銷者,其海外事業技術來源愈傾向由海外事業自行研發。

海外事業行銷方式會影響其經營績效之良窳,本研究主要目的在於探討海外事業行銷方式之決定因素,根據經濟部2007年製造業對外投資實況調查,分別由公司特性、產業特性、地主國特性及營運特性四個構面進行探討,運用二階段Multinomial logit model進行實證分析。經本研究第一階段實證發現,投資地區數、組織型態、最主要投資地區、國內生產毛額及技術來源是影響廠商選擇海外事業行銷方式之重要因素,第二階段再進一步討論選擇母公司行銷、子公司行銷及混合行銷三種自行行銷方式之決定因素,研究結果發現投資年限、投資地區數、海外營業額占比、組織型態、行業類別、經營方式、市場競爭激烈、技術來源、當地銷售占比、外銷接單大陸出貨比率及回銷比率皆為重要影響因素,實證結果供台灣製造業廠商海外事業行銷方式之參考。 / The overseas marketing strategy can affect firm’s performance. The main purpose of this study is to explore the determinants of overseas marketing strategy. Using data from the Ministry of Foreign Affairs’ 2007 survey of foreign investment in manufacturing, this empirical study applies a two-stage multinomial logit model to analyze the issue based on the following four dimensions: company characteristics, industry characteristics, operating characteristics and characteristics of the host country. For the first stage regarding the oversea marketing strategy decision, the empirical results show that the number of investment areas, organization type, key investment areas, and those areas’ GDP and source of technology are important. For the second stage of the parent company marketing decision, a subsidiary marketing and mixed marketing approach, the three kinds of self-marketing study, include investment period, the number of investment areas, overseas sales contribution, the organization type, industry type, mode of operation, market competition, technology source, local sales contribution, export orders delivered by mainland ratio, and reverse ratio are prominent.

廠商海外生產對台灣就業之影響-以資訊電子產業為例

台灣經濟高度依賴對外貿易,經濟成長與出口成長的變化關係密切,但是近年來由於廠商大量對外投資,赴海外設立生產基地,特別是製造業中主要的資訊電子產業很多廠商到大陸設廠。因此部分人士認為海外生產係造成台灣出口不振,就業機會減少,產業空洞化的原因。但也有人認為這反而證明台灣在產業全球化、自由化及產業升級轉型的成功證明。 台灣對外投資從1987年開始蓬勃發展,1990年開放對大陸間接投資後,對外投資金額更是快速成長,也形成廠商大量海外生產的營運模式,這種現象到底對台灣就業市場造成何種影響?本論文主要研究海外生產會不會造成就業機會減少等產業空洞化現象?特別是對於製造業中海外生產比重越來越高的資訊電子產業而言,海外生產比率變動情形與該產業就業人數之間到底存在何種連動關係,對廠商勞工雇用又具何種影響? 本論文研究發現資訊電子產業海外投資增加及外銷比例的提升,可以增加就業機會,但海外生產是造成勞工雇用減少的主因。資訊電子產業產品生命週期短,低附加價值製程應開放赴大陸或其他地區投資,高附加價值製程設法留在台灣生產;也就是將核心競爭力的關鍵技術或零組件保留台灣製造,以製程切割,垂直分工的模式開放對外投資,才能維持國內廠商的國際競爭力,提高產品附加價值,加強研發創新、品牌行銷,協助廠商在地升級及全球佈局,才能減少海外生產對國內勞工雇用的衝擊。 另外本論文建議,政府應該改善投資環境,輔導廠商在地升級,協助提升廠商全球運籌佈局能力,改善生活環境加強人才培訓,才能提升廠商競爭力,如此才能有效降低廠商海外生產的比率。 / Taiwan economy is highly dependent on its international trade -- economic growth is highly influenced by exports growth. Nevertheless, the increasing outward investment, especially the huge IT investments in China, may change this trend. Some people argue that overseas production is the key factor of slacked export, diminished job opportunities, and industrial hollowing-out, the other people insist that the above phenomenon is an evidence of Taiwan’s globalization, liberalization, and Industrial Upgrades. The Taiwan’s outward investment started from 1987, accelerated in 1990, the year that Taiwanese government lifted the ban against indirectly investing China and formed a new business model of “Taiwan Orders, Overseas (Chinese) Productions”. What is the influence of this new business model? Is this the root of diminished job opportunities and industrial hollowing-out? What’s the correlation between overseas production growth rate and unemployment rate in Taiwan IT Industry particularly? This article discovered the increment of outward investment and export ratio in IT industry could boost job opportunities; however, overseas production is the key factor to cause layoffs. As a result of short product life cycle characters, the low value-added IT production should apply open door policy while high value-added ones should be encouraged to produce locally and keep the core competency domestically. Keep the key component or technology manufacture in Taiwan will help create Taiwanese international competitiveness, increase added values, inspire research and innovation, direct brand marketing, upgrade industries levels, connect globally, and lower the impact of overseas production on employment. In addition, this article advised the government should cement Taiwanese companies’ international competitiveness and lower overseas production ratio by improving the investment climate, assisting local industries’ upgrades and the abilities of global logistics, improving living environment, and reinforcing manpower cultivation.

隨著全球經濟和社會發展需求的變化,資訊產業的全球性結構調整日益明顯,由硬體主導型的發展轉為向軟體和服務主導型發展。經濟全球化為我國軟體產業發展提供了難得的機遇,我國軟體產業要積極參與國際分工,就必須走向世界,但是在走向世界的同時,也必須仔細思考什麼才是自己國際化的目的、自己企業內部的核心資源是什麼、做好自己的國際化策略或戰略的準備嗎?也因此在國際化動作中,如何選擇正確的海外市場進入策略就顯得格外重要,要採用怎樣的進入策略與企業核心資源、國際化策略、企業服務內容與產品等等之間的關係與互動已不是單純不變的環結,而是隨著市場變動不停變化的,也因此動態性調整就成為一個很重要的課題。 在眼前的日常生活當中,什麼事情已經都脫離不開資訊。也因此作為資訊產業核心的軟體及資訊服務產業,已成為新世紀全球的第一大產業。IDC 在2005年9月的研究報告中顯示全球資訊服務產業在 2003年產值已高達6410億美元,爾後年平均成長率一直保持在 5-9% 之間,可以說是一片欣欣向榮的氣象,到去年 2005年整個產值達到 7400億美元,預期到 2009 年,整個資訊服務產值將到 9250億美元,這也意味著繼工業大革命後的另一個新經濟時代的到來。 在整個產業成長中,又以亞太地區成長最大,從 2003-2009 CGAR 達 9.7%,遠超過全球平均 CGAR 6%。我國因具備良好資訊基礎設施、具備與華人相同語言、文化背景、接近並熟悉亞太市場、充裕資金與高階經營人才、與西方的技術合作經驗、豐富的 PC 軟硬體整合經驗等。充分顯示台灣軟體產業在競爭的市場環境中比起歐美資訊大廠已率先佔據極佳位置。 因此本研究就以進入策略的學術理論做為基礎,再結合個案公司實務上軟體業海外發展經驗,整合一套適於軟體產業的海外市場進入策略供企業參考。以研究結論來看,資訊軟體業因為產品與服務的特性關係,較易偏向採用較高承諾度的資源投入方式,將營業拓展至海外市場;除此之外,在地化的深耕發展也是必需要走的一條路,而且因為隨著地主國市場的投入,對地主國市場的熟悉度也會漸漸增加,也因此會在地主國市場進行一系列動態性的營運策略調整。這裡所謂的營運策略,不僅僅只是產品策略或市場策略,甚至整個市場的進入策略也會隨之調整,譬如說由獨資的進入策略轉變為合資的模式。 / As today’s global economic and social development needs continue to change,the Information industry’s global economic requirement change has gradually become more obvious;shifting from a hardware-driven type of development,to software and service-lead development。Economic globalization has brought along excellent opportunities to the development of our national software industries;to actively participate one’s software industry in the international division of labor,one will have to proceed toward the outer world;meanwhile,one must also carefully consider the purpose of one’s internationalization,the core resources of one’s inner enterprise,and whether one is prepared with a proper internationalization strategy。Consequently, knowing how to correctly select suitable foreign markets and entry strategies to be incorporated into the strategy is exceptionally critical in the process of internationalization,and in addition to that,the decision as to how the foreign markets should enter into the strategy,the enterprise’s core competence,internationalized strategy,the service content and product of the enterprise and etc. ,the relationship and interactivity between the each are no longer simple and invariable connections;instead,they are now constantly varied in accordance with the market change,and as a result, dynamic adjustment has became a very important topic today。 In today’s society,our everyday lives have become inseparable from the information technology;therefore,as being the core of information industries,software and information service have become one of the worlds top main industries of the new century。In August,2005,research from IDC have shown,that the global information service industries’ industrial output value in 2003 has increased up to 6410 billion USD;from then on,the output value has successfully maintained an annual average rate of 5-9%。Apparently,that was the sign of a long-term prosperity,as last year (2005) the output value has boosted up to 7400 billion USD。Predictions have been made that the value will continue to rise dramatically in the years to come,and in 2009,the output value for information service industries will reach a height of 9250 billion USD;this also meant the arrival of the age of new economics after the industrial revolution。 Within the whole industrial development in general,the Asia Pacific area stand to have the most rapid growth,with a CGAR rate of 9.7% from the year 2003-2009,which highly exceeded the world average rate of the CGAR of 6%。The reason for our outstanding industrial development is basically due to our possession of a good information infrastructure,similarity of the language and cultural background in Asia, familiarity toward the Asia Pacific market,abundant funds and talented individuals with high management skills,and our rich background experiences with the western technical collaboration,PC hardware and software integrations and etc。These qualities all demonstrated that apparently,in today’s competitive market,Taiwan software industries have already exceeded many of Europe and America’s top information manufacturers。 The following study will use the academic theories for the process of foreign market entry strategies as the fundamental base,and on top of that,the practical aspect based on personal experiences of software industry’s foreign market developments;these will be combined into a set that is applicable to software industries for the foreign market entry strategies,suitable for enterprises’ reference。

母子公司架構可否增進公司籌資彈性 / Does a Parent-Subsidiary Structure Enhance Financing Flexibility?

本研究就台灣上市母子公司之現金增資發行與新股發行海外存託憑證進行事件研究與發行個體的選擇研究,是否在母子公司的架構下因為發行個體的選擇會為公司帶來不同的宣告效果影響,進而提升公司籌資彈性。 在事件研究上,宣告發行新股對發行公司而言在發行公司為母公司時有負向的效果,子公司則可能因為成長機會存在而不顯著為正;對非發行公司而言,則無顯著價格效果存在,可見宣告效果僅存在於發行公司。與國外Vijh (2006)的實證研究結果相符。但母子公司架構下,母公司的管理階層仍有就發行個體作選擇。管理階層傾向選擇前期股價高估程度較高之公司進行新股發行;在子公司有資金缺口時傾向以子公司作為發行個體,然而在母公司有資金缺口時則不一定選擇以母公司為發行個體,可能因子公司通常為成長型公司,此時選擇以子公司發行對子公司股價影響程度較低。 / This study examines if parent-subsidiary structure is capable of enhancing a company’s financial flexibility by influencing the announcement effects of issuing SEOs and DRs in Taiwan. The event studies under the parent-subsidiary structure in Taiwanese companies show that: 1) When issuing companies are the parent company, issuing companies have negative announcement effect. 2) When issuing companies are the subsidiary company, issuing companies have non-significant positive effect, probably due to high growth potential of subsidiaries. 3) For non-issuing companies under parent-subsidiary structure, the evidence shows that there are no significant effects. Yet under parent-subsidiary structure, the executives do choose the issuing entity between parent and subsidiaries. Executives lean to choose more overvalue entity as issuing companies. And choose subsidiary to issue stocks when subsidiary do have positive deficit. But when parent company has deficit executives are not significantly choosing parent company to issue stock. This may be due to the reason that subsidiaries are usually with higher growth potential and result in less announcement effect on the stock price.

傳統紡織業國際擴張策略: 以探討業務據點之研究 / The Management of International Expansion Strategy for Sales and Marketing Sites in the Textile Industry

過去紡織產業為台灣的主力產業,由於本國廠商掌握純熟的製造技術與低廉的勞力成本,促使產品達到高品質、低成本之優勢。然而,產業環境逐漸全球化,導致台灣廠商面臨中國大陸及東南亞地區勞力成本低之威脅,而喪失成本優勢,因而促使些許廠商採取海外設立製造據點策略,以因應客戶低成本的需求。但此海外擴張策略需要組織投入大量資金於建置廠房,除了提高組織之營運風險外,此策略並無法有效維持及強化自身與客戶的長遠關係,此外,台灣紡織廠商應運用研發技術之優勢,提供差異化產品以創造更高利潤。而當紡織廠商欲達到此目標且藉此拓展海外潛在客戶合作關係時,唯有利用海外業務據點之成立,才能降低營運風險,且貼近客戶端以了解需求,並提升雙方合作關係之緊密度。 本研究將採取質化個案研究方法,深度訪談台灣紡織產業內的標竿企業─A公司,且輔以蒐集隸屬於同集團下─B公司之次級資料,並加以運用Dunning(1980)之折衷理論,探討個案公司如何運用自擁優勢、區位優勢及內部化優勢,及組織與內外部重要利害關係人之網絡關係,以提高組織設立海外業務據點之成功機會,此外,本研究也蒐集大量之次級資料,分析組織分別設立海外業務據點及製造據點所需具備OLI理論各層面優勢之差異性。 研究結論顯示,於OLI架構下,文化距離差異度愈低之自擁優勢、廠商專屬程度愈高之資產;產業聚合密度較高與人力專屬性較高之區位優勢;母公司掌控程度越高之內部化優勢皆正向影響組織設立海外業務據點;而於內外部網絡關係層面,廠商與相關企業間業務人員銷售能力共用程度高之網絡關係、廠商間相互依存度高之外部網絡關係及地主國政府所提供的資源豐富性越高之外部網絡關係,皆能對於廠商設立海外業務據點形成助益。 / In the past, the textile industry was prosperous in Taiwan because of professional techniques and low labor costs. However, these advantages disappear gradually because of the economic growth of developing countries such as China and Vietnam. Therefore, the managers in textile enterprises in Taiwan have to develop some strategies to overcome the challenges. Most of these companies strengthen their R&D skills to make differentiated products and then gain more profits. At the same time, they will reduce the operational risk and build the strong customer relationships by establishing the overseas sale and marketing sites. The study uses qualitative research method to interview the vice president and the assistant manager in the case company. Furthermore, the research applies the “Eclectic Paradigm”, which was published by Dunning in 1980, to discuss how the case company used the ownership advantages, location advantages, internalization advantages and the network relationships to increase the possibility of expanding the business overseas by establishing the sites. Moreover, the research also compares the differences between the production sites and sales and marketing sites. To sum up, there are some findings in the research. When the ownership advantages with low cultural difference and high specific assets, the location advantages with high cluster density of the industry and high specific labor assets, the internalization advantages with high control by the headquarter will encourage the company to set the sales and marketing sites overseas. On the other hand, the internal social networks about the sale resources between the organization and affiliated companies, the external social networks with high dependency from the customers and the supporting from the host government will encourage the company to implement the global expansion strategy.

臺灣對外投資廠商海外投資事業經營方式的影響因素 / The Determinants of Choices of Overseas Operation Modes in Taiwan FDI Manufacturing Industry

海外經營方式會影響廠商能否成功達成其對外投資目的,本研究主要目的在探討廠商海外事業經營方式之影響因素,借由經濟部2007年製造業對外投資實況調查,透過廠商特性、投資動機、地主國特性及營運特性四大面向進行討論,運用兩階段Multinomial Logit Model進行實證分析。經第一階段實證研究發現,擴張型市場動機、經濟動機、策略動機及原料來源是廠商選擇海外事業經營製造業、銷售服務業或同時經營製造及銷售服務業的影響因素;第二階段實證則發現經濟動機及母子公司分工關係是影響製造業廠商海外經營代工、自有產品或同時經營代工與自有產品製造的影響因素。 實證說明多項變數使臺灣海外投資廠商傾向同時經營製造及銷售服務業,亦會讓海外經營製造業之廠商同時經營代工及自有產品製造,實證結果可提供臺灣廠商海外事業經營之參考。

日本海外直接投資之研究-以1994年至2007年為例- / Studies on Japanese foreign direct investment:1994~2007

日本為東北亞地區的主要國家,自二次大戰後受限於和平憲法規定,被迫禁止硬權力的發展;為求國力發展,日本以戰後重建、恢復經濟、繁榮富裕的和平原則,成為經濟大國。而日本海外直接投資(FDI)在對外經濟活動中所佔比例極重,不僅對日本經濟發展貢獻良多,在日本對外關係中也扮演重要角色;透過海外的大量投資、專業技術的把持,使得日本在國際關係中扮演舉足輕重的角色,而80年代末東亞地區盛行的雁行模式,便是由日本海外企業投資所主導。 日本在國際關係上,向來為美國最重要也最忠實的伙伴;缺乏自衛武力的日本,在冷戰背景下,受到美國核傘的保護,並於國際事務上追隨美國的全球戰略,並以此原則確立冷戰時期日美外交事務的基軸。在吉田主義的指導原則下,日本致力於經濟復甦,而美國則扶持日本作為其戰略伙伴、大力支持日本經濟發展,並開放美國市場,協助日本產品進入美國。 隨著日本經濟日漸發展,日美貿易產生順差,而後發展為日美貿易摩擦,最後在美國的壓力下,日本於1985年簽訂廣場協議,逼迫日幣升值;受到匯率的影響,日圓不斷升值,在1985年至1996年間,日幣對美圓的比例由250:1遽升為87:1。日幣的升值固然在國際上削弱日本產品的競爭力,但美元的相對貶值,卻造成日本的資本輸出熱潮。從1986年至1991年,日本的海外投資總額達4000億美元,成為全球最大的海外直接投資輸出國。1985年後,日商公司開始大量購買美國企業,或在美國開設工廠,日商公司的瘋狂收購行動,也引起美國民眾的恐慌。而此時期的日本企業因缺乏海外投資經驗,在資訊不明、非理性決策模式下大量收購收購美國資產,導致日商在期貨、地產等行業的損失慘重。 本文將日本海外直接投資的研究範圍設定在1994年至2007年,主要是因為此時期的FDI不同於80年代末期的日本對美投資;不同於以往海外投資失敗的經驗,日本企業將國內失去比較利益的產業外移至其他工資低廉、生產成本較低的開發中國家,為貿易取向的海外投資。而日商企業至歐美等先進國家的投資,則是著眼於當地市場,為市場導向投資。隨著不同時期重大事件的發生,日商企業微調自己在全球佈局的戰略方向:NAFTA的成立,促使日本跨國公司加快前往墨西哥投資的腳步、亞洲金融風暴雖然重創該區開發中國家的經濟,但卻增強亞洲產品的競爭力,鑑於對亞洲開發中國家的經濟成長潛力與未來市場發展,日商企業依舊苦撐在此地區的生產據點、中國低廉的勞工成本則是吸引日商投資,造成熱潮、隨著中國經濟發展,工資相對於越南、印度提高,使得日商企業思考中國以外的投資熱點、由於印度等金磚四國的崛起,日商的投資觸角也延伸至南亞地區。 在全球化的浪潮下,日本的海外投資已不再是單向行為,不僅影響與地主國間的經貿關係,也牽動著第三國的貿易活動:日本對中國的直接投資佔中美貿易順差絕大比例,透過對中國直接投資,將產品出口至美國,日商企業藉著中國的低廉工資降低生產成本,也縮減日美貿易順差,將此缺口部分轉移至中美順差。產品所標示的「中國製造」標籤,只能說明產品的最後製造地為中國,但生產資本投入、中間財與獲利企業可能是來自於不同國家。 2008年自美國掀起之世界金融海嘯,較1997年亞洲金融風暴、2001年IT產業泡沫化更加嚴重,普遍造成全球國家景氣衰退、企業獲利短缺,在一片悲觀的氛圍下,仍有日商企業於海外投資活動中獲利。這些企業與眾不同的地方,正是在金融海嘯下生存的關鍵;日商企業的研發能力與不斷求新、求進步的活力,更是台灣企業值得借鏡的地方。 關鍵詞:海外直接投資(FDI)、兼併(M&A)、跨國公司、比較利益、貿易與投資的替代效應。

日本系統的台獨運動在1950年代發端至1960年代由台灣青年社扛起大旗並引領、啟蒙世界各地的台灣留學生,在1970年代交棒,台獨運動的重心轉至美國。在這樣一個運動興衰的過程中,台灣青年社無疑扮演了 「銜接與轉換點」的關鍵角色。《台灣青年》作為台灣青年社的機關刊物,更承擔起論述台灣民族主義的重責大任。《台灣青年》所呈現的台灣民族主義面貌,在對外的界線上,劃出了中國人與台灣人的清楚鴻溝,但包納了在海外的台僑,在對內的界線上,曖昧的區分出原住民與漢人,但對閩客問題卻未有更多的討論。在 「台灣人」的內涵中,《台灣青年》試圖以多種方式定義台灣人,有從族群演變的觀點,也有從歷史事實的分隔點,更試圖直接探討抽象理論,希望找到清楚定義的嘗試。而對於台灣人過去的書寫,具有代表性的「列傳」專欄,卻呈現出立場跳動的問題,最後草草收場。在觀察史明等人的共同體論述後,大致可以認定,《台灣青年》主張台灣人意識與中國人意識從未重疊發展,而是在不同的空間下各自發展,而當台灣在日本統治下發展出具近代性意義的共同體意識時,中國卻尚未形成,這也是兩者無法消弭的界線。而台灣的現在到未來,《台灣青年》也持續不斷的觀察、思考與想像。在國際上,他們堅持要求尊重台灣人民族自決的權利,進而創造出一中一台的國際空間,在國內,他們針貶時政,並在海外對島內的政治反對運動遙相呼應,同時以清晰的表達台灣民族主義運動的立場來為將來定調。 / The Taiwan independent movement in Japan launched from 1950’s.During 1960’s ,it was lead by Taiwan Chinglian(Youth) Association, to inspire Taiwanese students studying abroad worldwide. Until 1970’s the independent movement was transported from Japan to America. From 1960’s to 1970’s, Taiwan Chinglian(Youth) Association played a key role .Taiwan Chinglian , as a journal of Taiwan Chinglian(Youth) Association, took the great responsibility of defining and explaining the meaning of Taiwanese Nationalism.First of all, The defining made by Taiwan Chinglian , it clearly told the difference of Chinese and Taiwanese, but including overseas Taiwanese .Second, it not apparently told the difference of aborigine and Han people , and did not discuss the difference of the problem between Minnan people and Hakka people .In the contents of Taiwanese , Taiwan Chinglian tried to use variety approaches to define Taiwanese, someone defined it from the changing of folk ,someone defined from confirming the turning point of historical truth ,and someone even tried to discuss the abstract theory . In explanation of Taiwan history ,the representative column ‘Biography(列傳)’ failed to find the same standard to define Taiwanese. After observing the community discourse of Su-Bing and the others, we can find that they considered Taiwanese awareness and Chinese awareness has never engaged and developed in different spaces. When Taiwanese had developed the modern community consciousness under Japan’s domination , Chinese modern community consciousness had not yet .And that is the line between Taiwanese and Chinese that can not be erased. In 1960’s ,Taiwan Chinglian continued to observe and imagine the exist and the future of Taiwanese. About international affair , they demanded other countries to respect the Taiwanese right of national self-determination , and claim one China and one Taiwan . They discussed and cared about the politics and democracy activities on the inside of Taiwan . and clearly stated the stand point of Taiwanese nationalism activity to define the future of Taiwan.
