全球城市之建構--以上海市為例 / The Construction of a Global City--Shanghai as an example

在全球化的影響下,全球各地人才、物質、資金、資訊呈現高度流通的狀況,全球許多著名城市,便成為此一流動的匯聚之處,並具有影響全球資源流通的能力,亦即所謂的「全球城市」。其為「全球城市」,除了本身的發展規模外,更強調其在全球化時代,具有與其他城市的高度關連性,同時,亦具有影響全球政治、經濟的能力。 在此前提下,改革開放後,積極融入全球經濟體系的中國大陸,也著重於城市的發展建設,特別是經濟發展著有成效的上海市,更成為中國積極建構「全球城市」的標的,這樣的雄心企圖,具體體現在前上海市長陳良宇的眾多談話中。 有鑑於此,本論文即對於上海市積極建構「全球城市」的目標、過程、結果進行分析探討。全論文共分七章,除緒論外,分別探討「全球城市」的理論系譜與其在中國大陸的運用,其次,討論上海市在人口與空間佈局方面的政策與結果,再接著討論中央為了建構上海市,所提出的四大中心---經濟、金融、貿易、航運,其建設過程以及面臨的困境。於此之後,開始分析上海市與其他城市的關連性,分別就上海與長三角的其他十五個城市的關係、上海吸引跨國公司的博奕關係進行探討,並採取內容分析法,藉由上海文匯報、經濟學人、新聞週刊等傳播媒體,檢視上海與其他國內外重要城市的關連性。再者,則將重點分析討論,上海市在城市建構背後的主要動力,即「上海市政府」,其為了進行城市建設並積極融入全球化,所進行的「城市治理」。最後則是提出結論與討論。 藉由上述的分析,本研究指出,儘管上海市政府在建構「全球城市」的過程時,具有「政府主導型的互動建構」模式,積極規劃上海市的建設發展,但是由於中央政府的影響、與周邊城市的關係,使得上海在發展上,仍未能稱為「全球城市」,僅能達到「全球化城市」的階段。另外,也必須反思,上海市的發展也許未必適合套用西方的發展模式,而是具有其獨特的發展軌跡。 / Under the effects of globalization, the flows of people, material, finance, and information transit very fast, and a few famous cities with the power of affecting the flows become the places of gathering, namely Global Cities. So call depends not only on its scale , but the power of its connection with other cities as well. Considering this, China begin to emphasize its city development after its reform and open policy, and especially focuses on Shanghai to be a global city, and such ambition can often be seen from the several speeches of its former mayor Chen Lian Ju. According this background, the dissertation tries to research the construction process of Shanghai being a global city. It includes seven chapters, besides the introduction, it traces the development of the theory of global city, and then discusses the policies of Shanghai’s people and space arrangement. Ensuing we discuss its Four Centers—economic, financial, trade and shipping, their developments and difficulties. After these, we begin to discuss its connection respectively with Yangtze River Delta cities and foreign cities by adopting content analysis method to examine Shanghai Wenhui Newspaper, Economist, and Newsweek. And then we discuss Shanghai Government including its transformation and its urban governance. Finally it’s the conclusion. By this analysis and discuss, the dissertation points out the fact that spite of its striving construction, Shanghai with the trait of “Interactive construction mode by its government leading ”, it at most can only be called a “globalizing city”, not a “global city”. At the same time , it also reflects that adopting western theory to Shanghai may not be a good way , for Shanghai can be a global city by its own way.

台灣與東南亞跨國家庭青少年外表形象、自我概念及族群認同間關連性之初探 / Understanding the Relations among Self-concept, Ethnic Identification and the Perception of Physical Appearance in the Adolescents from Transnational Families Composed of Taiwanese and Southeast Asians

本研究探索台灣與東南亞籍跨國婚姻子女其自我概念、外表形象與族群認同之內涵及三者概念之間的關連性。本研究以質性研究方法進行,透過參與觀察、焦點團體以及個別深入訪談等多元方式從事資料蒐集並以歸納方式進行分析。本研究對象主要包括了五個類別的青少年:外表具有明顯族群特徵的跨國原生家庭青少年、外表不具有明顯族群特徵的跨國原生家庭青少年、外表具有明顯族群特徵的跨國繼親家庭青少年、親生父母皆為台灣人的跨國繼親家庭青少年以及特殊類別青少年。本研究產生幾項主要發現:(1) 跨國家庭青少年在自我概念上的形塑與一般青少年無異;他們皆能以抽象字眼描述自己,並運用多種不同面向以建構其自我概念。在當中,父母和同儕為影響其自我概念的重要他人。(2)外表亦為跨國家庭青少年自我概念的重要面向之一,尤其是女性。此外,跨國家庭青少年所持之審美觀與一般青少年並無明顯差異。(3)跨國家庭青少年均已發展出初步的族群認同,能選擇自身的族群身份以及運用族群相關線索來區分「我群」和「他群」。同時,外表特徵影響自身揭露族群身份的經驗與方式,具有明顯族群外表者較無彈性選擇族群身份界定與揭露方式。(4)對於擁有明顯族群外表特徵的跨國原生家庭青少年與特殊類別青少年而言,他人對其族群身份與外表特徵的評價,會明顯地對其自我概念產生雙重影響,其中性別亦為一個重要因素。對女性來說,明顯的族群外表特徵(例如膚色黑)容易降低她們對外表的自信。本研究的結果,期望能對跨國家庭及族群研究,相關決策者,以及台灣社會大眾做出有意義的貢獻。 / The aim of this research is to understand the relations among self-concept, ethnic identification and the perception of physical appearance in the adolescents from transnational families composed of Taiwanese and Southeast Asians. The study uses qualitative research methods to collect and analyze data, and the sample comprises five categories: the adolescents from transnational families with identifiable ethnic physical features, the adolescents from transnational families without identifiable ethnic physical features, the adolescents from transnational stepfamilies with identifiable ethnic physical features, the Taiwanese-born adolescents from transnational stepfamilies, and the special category. There are several findings from this research. First, the construction of self concept is similar between adolescents from transnational families and the general Taiwanese adolescents; they are able to describe themselves in abstract sense and present their self-concepts in multiple dimensions. Parents and peers are significant sources of influence in their construction of self concepts. Second, the perception of physical appearance is a significant aspect of self concept in adolescents from transnational families, and this is especially so to female adolescents. Moreover, the perceptions of beauty and physical appearance of adolescents from transnational families tend to coincide with those of the general Taiwanese adolescents. Third, the adolescents from transnational families have developed preliminary ethnic identities, which are shown by their abilities to indicate their ethnic memberships and to distinguish the ethnic in-groups from out-groups. Furthermore, physical appearance tends to affect the ways and experiences of revealing ethnic identities. Adolescents with identifiable ethnic physical features generally have less power to negotiate their ethnic identities. Fourth, to those adolescents from transnational families with identifiable ethnic physical features and the adolescent in the special category, others’ opinions of their ethnic memberships and their ethnically denoted physical appearances can powerfully shape their self-concepts, and gender acts as an important factor affecting this linkage. To the female adolescents from transnational families with identifiable ethnic features, their self-esteem is likely to be negatively influenced by their ethnically denoted physical appearances. The results of this study are expected to contribute to the academic fields of transnational family study and ethnicity, as well as to policy makers and the general Taiwanese society.

我國生技製藥廠商與國際生技製藥廠商研發合作關係之研究 / R&D Collaboration of biopharmaceutical firms between taiwan and other countries

根據KPMG的研究顯示(2014),生技製藥廠商間的合作是產業發展的趨勢,但合作的目的已經從原先的降低成本,發展到加速創新的產生。眾多國際製藥公司已經與外部夥伴進行合作,其中合作研發最能發揮合作夥伴間的效用,越緊密的合作越能使得合作網絡中多樣化的技術、能力結合,從而增強對於未被滿足醫療需求的理解。由此可見,跨國研發合作成為全球生技製藥廠商的企業策略。過去已有許多學者研究我國科技產業與國際廠商之研發合作,但甚少探究生技製藥廠商與國際生技製藥廠商間的研發合作。 本研究選定具有跨國研發合作豐富經驗的台灣生技製藥廠商為研究對象,探討其企業策略、核心能力及跨國研發動機如何影響跨國研發合作的管理。本研究從跨國研發合作影響因子以及跨國研發合作管理之內容兩個構面探討台灣生技製藥廠商與國際生技製藥廠商進行研發合作的互動關係。研究方法採取多重個案研究法,文獻探討部分包含生技製藥產業、企業策略與核心能力、國際研發合作、合作夥伴篩選因素、知識移轉與智財管理,研究者結合研究問題與文獻回顧導出觀念性研究架構,再依研究架構為主軸進行個案訪談與資料收集,實地深入訪談我國兩家生技製藥廠商,得出以下結論: 本研究發現,台灣生技製藥廠商與國際生技製藥廠商研進行發合作的動機一致,為降低及分散風險、分攤固定成本、技術與資源的互補與移轉、夥伴間營運策略的互補與相容性。篩選合作夥伴的主要考量也大致相同,包含資源及技術的互補、過往合作經驗、夥伴間營運策略的互補及相容性及財務能力。另外核心技術能力會影響台灣生技製藥廠商與合作夥伴合作起始的階段,研發合作起始階段的差異,更會影響知識移轉機制、以及合作方式的不同。另外,本研究也發現到,台灣生技製藥廠商在國際合作夥伴上的選擇會以不具直接競爭關係者為主,且與合作夥伴選擇以營業秘密的方式來保護技術知識。 / According to the research of KPMG in 2014, R&D collaboration between biopharmaceutical firms is the trend of biopharmaceutical industry. Under the circumstance of globalization, product life-cycles are gradually shortening. The purpose of R&D collaboration change from cost reduction to speeding up innovation. Therefore, multinational R&D collaboration has become a global business strategy for biopharmaceutical firms. Most of the past studies of multinational R&D collaboration focus on ICT industry in Taiwan. Few specially investigate biopharmaceutical industry. Consequently, a research gap can be found as multinational R&D collaborating between biopharmaceutical firms of Taiwan and biopharmaceutical firms of other countries. This research focus on the biopharmaceutical firms of Taiwan, explore how multinational R&D collaboration influence factors (business strategy, core competencies and the motivation of multinational R&D collaboration) affect multinational R&D collaboration management of firms. This research adopts two biopharmaceutical firms in Taiwan as case studies and conducts interviews with managers to understand multinational R&D collaboration influence factors and multinational R&D collaboration management. The conclusions of this research are as below: This research finds out that the motivations of multinational R&D collaboration of Taiwan firms are coincident, including cost reduction, diversification of risk, resources and technologies complementarity. The evaluations of partner selecting are also coincident, including resources and technologies complementarity, collaboration experience, operating strategy complementarity and financial capability. In addition, core competencies may affect the initiation stage of R&D collaboration and the initiation stage of R&D collaboration may affect the mechanisms of knowledge transfer and the way of multinational collaboration. Moreover, this research also found out that the biopharmaceutical firms of Taiwan might primarily choose to collaborate with international partners who have indirect competitive relationship with them. Last, the biopharmaceutical firms of Taiwan and their partners protect their intellectual property in the way of trade secret.

因應跨國營運企業人力資源管理策略之研究 -以個案公司為例

跨國營運發展與全球化趨勢是現今每個企業非常重要的策略之一。然而,企業發展跨國營運最關鍵的資源之ㄧ,乃是到處都有供給卻也可能是到處都不足的人力資源,由此看出人力資源管理是跨國營運發展之關鍵,不僅影響企業永續經營能力的育成,更是關係企業長期的獲利能力,顯然人力資源管理對於企業發展跨國營運成敗,乃具有舉足輕重的地位。本研究以發跡於台灣、深耕於台灣市場的典型本土企業為對象,針對其所屬的生活商品產業,積極由本土企業轉型為跨國企業之發展策略,該企業如何在有限的時間、有限的財力、突破舊思維、不足的人力資源和管理工具之前提之下,台灣母國企業走向國際化與海外子公司之人力資源管理體系建置之管理機制全面性的探討。 本研究採行「探索性研究」(Exploratory Study)與「個案式研究」(Case Study)為主的研究方式。經由對個案公司的資料分析與深入訪談,一方面更加了解個案公司進行所需面對考量環境與發展因素;另一方面,亦可從中歸納一些結論與建議,以期提供個案公司、其他業者、國內相關方面另一思考方向及相關考慮議題。對於研究建議的說明,主要分成兩部分。第一部分期能提供個案公司對於目前進行跨國營運發展之人力資源管理的提升。其次,以研究的角度,對未來從事與進行跨國營運發展企業之人力資源管理管理相關的研究,提出注意之處。 / Today, the development of multinational operation and globalization is one of the most important strategies for every company. However, the most important factor of multinational operation development is human resource, which you can find everywhere but always be insufficient mode. Therefore, human resource management is the key to the development of multinational operation, which not only affects the sustainability and its development of the company, but also deeply impact/relative to the long-term profitability. Obviously, human resources management is directly relative to the success of the company when it develops its multinational biz/operation. The research here is studying of a life style industry company founded and well developed in local Taiwan market, which then aggressively develops itself to a multination company. A comprehensive study of the details regarding how to establish the oversea subsidiaries HR management system and develop globalization strategy in holding company facing the challenge of limited bandwidth, finance support, human resources, management tools as well as traditional “follow the rule behavior”. This study was based on methodologies of "exploratory research" and "case study". Through data analysis and in-depth interviews of the company, several summary and suggestion are developed based on the extensive understand of the environment and key development factors and ideally for future reference to this company and other active players in the similar arena. There are two parts of the suggestion. 1st one is trying to support the improvement of the company’s HR management while it develops it multination operation. Following part provides the advice to future research work of HR management in multinational companies.

反資本弱化條款對台灣跨國公司資本結構的影響 / The Impact of Anti-thin Capitalization Rules on the Capital Structure of Taiwanese Multinational Firms

由於許多公司會利用資本弱化來從事跨國利潤移轉,各國政府因而相繼制定反資本弱化條款,在稅務上限縮公司可減除的利息費用,以防堵企業規避稅負。惟多數探討反資本弱化條款有效性的實證文獻,都是以地主國的觀點看外來投資。 不同於之前文獻偏重探討某一特定國家 (大多數是歐美國家) 的反資本弱化條款是否會改變其境內公司之資本結構,本文則是以居住國的觀點,探討 2008 年至 2012 年台灣電子製造業的上市公司與其國內外關係企業的資本結構,是否會受到其所在國的反資本弱化條款影響。另外,基於內部債務和外部債務間的替代性,本文進一步將負債區分為內部債務與外部債務,以期能更細部了解公司的融資行為。 本文共分為四個模型:以模型一、二分析反資本弱化條款對公司內部債務的影響;以模型三、四分析反資本弱化條款對公司外部債務的影響。實證結果發現,處罰方式若為重分類為股利,會造成公司的內部債務比率下降15.45%,外部債務比率上升 27.66%。而安全港比率中的分子若指所有負債,會造成公司的外部債務比率下降 14%。此外,反資本弱化條款的施行對公司外部債務比率的影響取決於處罰方式和安全港比率中負債的定義。最後,若安全港比率的分子僅指關係人間負債,公司仍可透過增加外部債務的方式,繼續享受利息費用的稅盾效果。 / Because many companies shift their profits through debt financing, governments had imposed anti-thin capitalization rules one after another to limit the tax deductibility of interest expenses. However, most empirical researches on the effectiveness of the anti-thin capitalization rules are from host countries perspectives. Different from previous literature focusing on how the anti-thin capitalization rule of one country affects capital structures of companies in that country, this paper is from a home country perspective to analyze the effects of the anti-thin capitalization rules on capital structures of Taiwanese listed companies (Electronics manufacturing industry) and their affiliates over the period 2008-2012. This paper subdivides debt into internal debt and external debt on account of the substitution between them so that it would help us to understand financing behavior of companies in depth. Model 1 and Model 2 are to investigate how anti-thin capitalization rules affect internal debt of companies. Model 3 and Model 4 are to investigate how anti-thin capitalization rules affect external debt of companies. The findings indicate that reclassifying excess interest as dividends reduces a company’s internal debt ratio by 15.45% and increases its external debt ratio by 27.66%. Defining the numerator of the safe haven ratio as total debt reduces a company’s external debt ratio by 14%. Moreover, how the enforcement of the anti-thin capitalization rule affects a company’s external debt ratio depends on the penalty and the definition of the debt measure in the numerator of the safe haven ratio. Finally, if the numerator of the safe haven ratio refers to related-parties debt, a company may still make good use of the tax shields of interest expenses by increasing external debt.

已開發國家食品產業跨國購併宣告效果之研究 / Announcement Effect of Food Industry Cross-Border Mergers and Acquisitions - Evidence from Developed Countries

本研究以2002年至2012年已開發國家食品產業跨國購併案為樣本,以事件研究法,比較已開發國家食品產業跨國購併已開發國家及開發中國家企業的購併宣告效果,去看在跨國購併的文獻議題上和實證結果是否相符。並以雀巢集團為收購公司之案例,比較其進軍已開發國家(美國惠氏營養品)及開發中國家(中國徐福記)的策略及收購後營運與財務績效,可否套用於產業研究結果,希望為後續食品產業購併提供研究參考。 本研究有以下三點發現:1.食品產業自已開發國家購併已開發國家對收購公司的股價宣告效果,較購併開發中國家對收購公司的股價宣告效果佳。2.已開發國家之食品產業收購與該產業相關性越高的企業,對其收購公司的股價宣告效果並無重大顯著之影響。3.無法將雀巢集團收購惠氏營養品之個案套用於產業研究結果,收購徐福記之個案則與實證結果相似,無正向顯著的宣告效果。此二個案皆著重搶攻新興國家市場,並以水平整合及策略互補方式,擴大市佔率及強化產品線,近五年之財務狀況,與同業相比有較佳之獲利表現,且繼續經營之價值。 已開發國家食品產業在選擇跨國購併對象時,可以已開發國家企業為主要收購對象,降低文化及地理距離帶來的資訊不對稱問題及取得策略性資產,投資人對其有較佳的預期,在選擇向前垂直整合策略時需留意,因零售通路需較大規模之經營整合,對於該市場需有更深入之了解,才適合投入至通路端。 / This paper treated cross-border Mergers and Acquisitions (M&A) cases of developed countries’ food industry over the period of 2002 to 2012 with event study. We compared the announcement effects of acquired companies following developed or developing countries M&A and to confirm that whether the empirical results are consistent with the literature. We used Nestle S.A. as acquiring company to compare its M&A’s strategies and performance when acquiring Wyeth Nutrition and Hsu Fu Chi. Hope to be the reference for the following food industry M&A research. The major research finding as follows. First, the announcement effects of developed countries’ food industry following developed countries M&A are better than developing countries M&A. Second, the results demonstrated that the announcement effect had no significant difference among different industrial relevance of target companies. Third, the case of Hsu Fu Chi acquisition is similar with the empirical results but Wyeth Nutrition acquisition cannot. Furthermore, both cases were focused on the emerging markets and complementary strategies. Developed countries’ food industry can chooses the developed countries’ firms as target companies to decrease asymmetric information which caused by cultural, economic and geographic distance and to acquire strategic assets. They also should have enough acquaintance of the markets before they invest in the channel.

台灣地區大陸配偶社會適應問題之研究

自開放探親以來,兩岸交流日趨熱絡,截至民國九十四年底陸續來台團聚及申請居留、定居的大陸配偶已逾廿三萬人,成為新興移入人口的主流。「兩岸婚配」的盟合大多係由台灣男性主動認識大陸女子、或經由親友介紹、及婚姻仲介等方式而結婚,大陸配偶透過「跨海婚姻」的歷程來到台灣,在陌生的社會民情與生疏的家庭環境中試圖展開新生活,她們無不努力地學習並詮釋新的角色;然因兩岸的社經環境、風俗習慣,人民的成長背景及價值觀念等文化之差異與隔閡,建立自己的同儕生活上有所困難,加上在台灣取得社會資源的不易,使其與台灣社會網絡互動貧乏,只能依賴婚姻的狀況下更顯得被孤立,而成為社會的弱勢族群,且因人數眾多已形成嚴重的社會問題。 由於大陸配偶來台者日眾,在相關的社會新聞中,造成台灣民眾常抱持著偏執與異樣眼光看待她們,總將其視為外來者或麻煩製造者而產生了許多誤解,使她們在異鄉的生活適應上備感艱辛,諸如她們漂洋過海的婚姻動機為何?來台後對於兩岸的生活習慣與價值觀念之差異要如何適應?又將如何與台灣的社會相連結?對於國家與社群的認同為何?微視她們真正的心聲是值得我們作抽絲剝繭的探究。本文針對中國移民女性來台的社會適應問題進行研究,讓現實生活中的大陸配偶自己發聲,筆者實地去瞭解她們的生活底層,聆聽她們的心聲、感受與生活經驗,試從其自身的敘述中來勾勒出她們的「台灣經驗」,而非新聞媒體上所建構與杜撰的故事,或是三姑六婆們街頭巷尾的竊竊私語。 / Ever since Taiwan and PRC opened door for citizens to visit their relatives across Taiwan Straits, cross-border interactions from both sides are becoming more frequent. According to statistical data released by Taiwan government, more than 230 thousand PRC immigration requests to Taiwan have been granted by the end of 2005. In consequence, PRC residents are becoming the mainstream in Taiwan immigration population. Typically, cross-border marriage took place through matchmakers or relatives’ introduction or Taiwanese males actively create opportunities to know PRC female. Thereby female is the dominant gentile in PRC immigrant population. Due to different value systems, and vast cultural gap, it is not easy for PRC spouses to quickly adapt to the new environment and families. In addition, for lack of proper access to Taiwan social networks, PRC immigrants are usually isolated and speechless. And the issues become more severe as PRC immigrants increases in Taiwan. From time to time, social incidents caused by PRC immigrants are mistakenly reported or even exaggerated by public media that lead to biased misunderstanding from Taiwanese pollution. And there’s virtually no chance for PRC spouses to speak up. In this paper, we will focus primarily on the following issues: what are the motivations of PRC spouses to come to Taiwan, how they adapt themselves to make up the cultural gap and the new value system, as well as how can they link up with Taiwan societies. Rather than referencing to media reports that could possibly be distorted, we chose to collect first hand experiences by face to face interviews with PRC spouses. Let’s listen to their genuine voice about their “Taiwan experiences”.

本文研究重點為探討跨國公司對在地國之影響,分析與比較俄羅斯天然氣工業集團(Gazprom Group)在烏克蘭與白俄羅斯兩國之議價關係。 Gazprom為全球壟斷性天然氣公司,在2006年冬季俄、烏天然氣談判破局而發生歐洲大規模斷氣事件後,其對在地國的特殊影響力才逐漸成為各界熱烈討論之議題。一般而言,在全球化下的跨國公司研究多半聚焦在跨國公司的經濟影響力,然而Gazprom在母國政府的支持下,在全球市場上除了經濟面外,還對其他國家發揮著政治面向上的影響力,特別是在烏克蘭與白俄羅斯的例子上格外明顯。學界目前對於Gazprom的主流評論認為Gazprom為母國外交工具,然而追溯Gazprom、在地國與俄羅斯三方之天然氣關係背景,發現Gazprom在烏、白兩國之作為不能單純將Gazprom設想為「母國外交工具」,Gazprom與兩國之天然氣衝突是俄羅斯政府「外交目標」與Gazprom「商業獲利」考量下之綜合結果;以Gazprom為主體方向下思考,對Gazprom來說,俄羅斯政府是企業對在地國的「產業政策影響工具」,更正確地來說,Gazprom與俄羅斯政府是屬於互相為用的關係。 為破除既定「外交工具」思考方向,本文採議價能力衰減模型(Obsolescing Bargaining Model)作為基礎研究架構,以Gazprom為研究主體,突破以往傳統上單層議價模型中只論跨國公司與在地國之議價過程,加入母國政府與在地國政府之議價關係,分析俄與烏、白兩國政府議價結果與Gazprom影響力之關聯,以貼合本文案例實際研究需要。 / This paper examines the impact of multinational corporations (MNC) on host country, analyzes and compares the two cases in Ukraine and Belarus of bargaining relations between Gazprom Group and host governments. Gazprom is a global natural gas monopoly, after the breakup of gas negotiation between Russia and Ukraine and cut-off of Russian gas to Europe, its special impact on host country has attracted people of all the different circles to discuss it. In most cases of globalization researches on MNC’s role, people concentrate on the economic impact of MNC; however, with the support from home government, Gazprom has shown not only its economic power, but also its political impact on host country, especially on Ukraine and Belarus. Till now, the academic circle has seen Gazprom as an instrument of Russian foreign policy, but after tracing back the historical background of gas relations between Gazprom, host country, and Russia, we can figure out Gazprom can’t be simply regarded as the policy instrument, in fact, the Russia-Ukraine and Russia-Belarus gas disputes between are the complex of Russian foreign policy consideration and Gazprom commercial actions. For Gazprom, Russian government is an instrument as well to influence host country’s policy in gas sector. More correctly, Gazprom and Russian government use each other for their own purposes. To break through the existing “instrument of foreign policy” research direction, this paper uses obsolescing bargaining model as the basic framework, regarding Gazprom as the main subject, changing the traditional one-tier bargaining model into two-tier, including bargaining relationship between home government and host government, then analyzes the correlation between the governmental bargaining results and Gazprom’s bargaining power for the practical case study needs.

保險經紀人之法律地位與境外保單制度研究 / The Study of Insurance Broker's Legal Position and The Provision of Off-shore Insurance Legislation

我國保險法令對於市場中分屬不同業務性質之保險經紀人,於監理規範上並無太大之區別。而於實際之財產保險與人身保險之經紀業務中,其間實具有相當大之差異性存在。再就保險之需求者而言,企業型之被保險人與消費型之被保險人,本屬相當不同之市場族群,這也正說明近年關於金融消費者保護法之立法,即係著眼於金融消費者市場保護措施的建立。惟對於企業型之被保險人市場,於保險法相關之規範上,則相應缺少一些差異性之規範設計。 我國保險法令關於直接保險業務與再保險業務並未依國內市場之業務與國際市場之業務而區分,自然造成我國保險經紀人之業務類別僅分為「直接保險經紀業務」及「再保險經紀業務」二分法之現象。而保險經紀人執行此等「前衛業務」時,事實上其所應負責任之對象為該等原始被保險人,而非被再保險人〈即原保險人〉。但相較於國內保險法規上之分類類別,也只能將其視為「再保險」之一類別,此時該等執行此類「前衛業務」之保險經紀人依此法令上之二分法類別設計,將同時具備執行「直接保險經紀業務」及「再保險經紀業務」之情形,雖然於我國法令規範上,經紀人公司得經營保險經紀人業務及再保險經紀業務,但同時也衍生於法規上如何處理利益衝突之問題。但於此等「前衛業務」,保險經紀人事實上所應負責任之對象應僅指該等原始被保險人,而非被再保險人〈即原保險人〉,此時若又將其同視為兼具執行「再保險經紀業務」,則自然發生法令規範與事實關係不符之謬誤。 本文對於保險經紀人同時經營保險經紀業務與再保險經紀業務之問題,於根本上探討保險經紀人於實務作業之具體情形,並分析其法律地位與相關之義務與責任,希望對於保險法相關規範之發展上,能對於不同業務屬性之保險經紀業務行為,發展出一套不同之思路與設計,藉以消彌監理與實務間之鴻溝。並期待法規應引領國內保險公司,能真正專注於實質保險本業之經營,對於大型企業體之財產保險需求,能真正作為承接實質風險之保險人,而非甘於僅處於前衛業務所安排之出單公司,以類似於保險中介人收取服務費用之模式經營。如此,對於被保險人而言,則可相對免除國內出單費用之成本;對於保險經紀人而言,亦可達到為被保險人最大利益考量之執業職責。 基於目前法規對於跨國保險、境外保險及剩餘保險等問題呈現法規缺漏之現象,本文亦延伸探討目前相關法令對於境外保單議題之處理方式。目前之保險法167-1條未將企業等非消費者被保險人購買境外保單之情形排除於外,實無益於維護金融市場秩序、保障消費者權益之立法目的,應予排除。另鑑於境外保單交易多具跨國性質,基於罪刑法定主義之明確性原則,立法者應將「代理、經紀、招攬保險業務」定義清楚,避免嗣後爭議。 本論文以產物保險為主軸,於第二章中介紹保險相關的輔助人,保險係人類創造新文明之過程中損失分擔之機制,這個機制則需要許多人之努力方得以運轉,保險契約之締結,除了契約當事人以外,尚需要有許多相關人士的輔助,才得以使保險機制能更有效的運作,此等保險相關的輔助人各司其職,目的均在使得保險制度之運作更為流暢與正當。第三章及第四章分別論述保險經紀人之市場功能與法律地位、保險經紀人之行為規範與專業責任及義務,以及我國保險法令關於保險經紀人之相關規範。第五章至第七章深入探討保險經紀人處理境外保單之相關問題、P&I制度、國際金融業務境外保險之議題,並檢討現行法制對於保險經紀人處理境外保單之法律問題。並於第八章文末提出修法建議與結論。 本論文以現代經濟社會對保險制度之期待為標的,以保險服務業對整體經濟社會發展所產生之影響及其願景為研究背景,期待藉由保險實務工作者與政府主管機關、法律學界與實務界之共同努力,能使保險實務之運作更趨於完善,並使國內保險事業與國際保險市場之發展密切接軌,形成一套保險從業人員得所依循之「執業典範」,以為日後相關保險從業人員及主管機關得以遵循及評鑑的共同指標,使投保大眾對於保險制度之運作更具有信賴與安全感,給予全體社會一個穩健、安全又合諧的經濟環境。

單打獨鬥或合縱連橫? 國內外環境與人權組織倡議路徑的選擇

本研究為釐清國內與國際非政府組織在臺灣發展關係,從環境與人權倡議議題為範圍討論,從臺灣目前進行環境與人權倡議工作的非政府組織中收集相關訊息,瞭解現今組織之間工作遇到的問題及困難,探討其發生的可能和原因,最後試圖提出研究建議與解決辦法。 奠基非政府組織在臺灣發展出的特殊性,伴隨著民主人權的發展,同時,臺灣環境議題倡議發展相較於其他亞洲國家也成熟許多,在現在全球化時代下的發展,國與國之間的界線也越來越模糊,網路科技的發明,使得交流不再如過去般受到諸多限制,因此也將各區域中相關的非政府組織連結,形成具有槓桿力量的跨國倡議網絡,企圖進而影響國家內部,促使政府能有所作為。 透過文獻分析及深度訪談瞭解組織倡議及發展,深入體會國際非政府組織在臺灣倡議遇到的困難,以及國內非政府組織面對這些問題的兩難,本研究結論,以跨國倡議網絡策略為主軸予以建議,非政府組織之間必須要有溝通的管道,避免資訊不對稱以及產生誤解,減少延誤倡議工作進行的最佳時機點,政府對於外國團體在臺灣人民團體法適應的問題及限制以及外國人在台工作的法規也應該有所彈性或裁量空間,才能開啟更多讓世界看見臺灣的可能性。 / The purpose of this thesis is to explore the relationship between local and international nongovernment organizations on human rights and environmental advocacy issues. To understand these problems and difficulties, research involved conducting in-depth interviews with workers of local and international nongovernment organizations. The purpose of the research is to find out the reasons to explain the problems of the relationship and know how to solve. The thesis concludes with suggestions about how to best develop the transnational advocacy network strategies of Taiwan in the future. As a nation without global recognition of its national status, Taiwan faces with the difficulty of participating international affairs. Through transnational advocacy network including the strategies of symbolic, information, leverage, accountability politics, these NGOs compel the government to make changes. As a result, Taiwan has a greater opportunity to be a contributor in global public affairs. The result of the research is to clarify the relationship, strengths, and weaknesses between local and international nongovernment organizations to cope with the challenges they experience with each other. In conclusion, there are four main suggestions below: 1) Make sure information is communicated across international and local advocacy. 2) Do the things right at the right time. 3) Make a big difference with leverage politics. 4) Focus on the importance of accountability and self-discipline when nongovernmental organizations face international affairs.
