台灣臨床試驗服務公司 (CRO) 營運模式之探討- 以藥品研發為例 / A study of business model of contract research organizations in Taiwan: case study on drug development

生物醫藥產業對人類健康福祉影響甚鉅,同時也屬於技術、資本密集、開發期長、風險偏高的產業,在新藥開發的歷程中,臨床試驗是開發中藥品自「試驗階段」邁向「市場階段」的絕對關鍵過程,其重要性不言而喻。對藥廠而言,臨床試驗若能有效率地被執行,一方面可縮短試驗時間減少花費;另一方面則是搶得先機佔據市場,及早實現獲利。因應臨床試驗重要且繁複需求的臨床試驗服務公司(Contract Research Organization, CRO)便應蘊而生。 CRO產業在美國的發展已逾40年,在奠基於過去的競爭基礎之外,其CRO產業已朝向「便利性」與「客製化」等利基市場佈局,以滿足新的顧客價值主張,並創新商業模式,追求新的成長機會。本研究在介紹美國CRO之產業市場營運模式之外,也以個案分析方式,自國內CRO公司與藥廠/生技公司的互動、合作,探討CRO的營運模式是否符合客戶需求,並嘗試以<白地策略>書中四個核心市場要素:顧客價值主張、利潤公式、關鍵流程與關鍵資源,思索CRO公司應如何經營市場白地。希望借鏡國外CRO公司的演進,反饋予國內CRO產業的未來發展及策略調整參考。 / Bio-pharmaceutical industry on human health well-being highly influential, but also a industry of technical, capital intensive, long development periods, and high risk. Among the course of drug development, clinical trials are absolute the key to the process, and advance the development process from the pilot phase to the market phase. For pharmaceutical companies, if the clinical trial can be executed efficiently, they can shorten the test time and spending; seize the market in advance, and reap profits as soon as possible. In response to the important and complex clinical trial requirements, the Contract Research Organization (CRO) prospers and takes advantage of a favorable situation. The evolvement of the CRO industry in US is more than 40 years. In the foundation base in the past, the CRO industry has been towards convenience and customization and other niche market distribution, to meet new customer value propositions, innovative business models and pursue new growth opportunities. In this thesis, the author not only introduces the CRO’s business models in US, but also explores the CRO’s business models in Taiwan by way of case studies. Through the interaction and cooperation between domestic pharmaceutical companies and CROs, the author wants to find out if the business models of CROs are in line with customer needs. The author also wants to quest if the CROs can learn how to manage and operate a white space which the CROs hope to seize by way of the book Seizing the White Space lists four fundamental building blocks including customer value proposition, profit formula, key resources, and key processes that make a company business model works. The domestic CROs can adjust their strategy and business model for fitting customer’s value proposition.

跨國企業系統事業部門在台灣發展歷程之個案研究-動態策略分析

本研究係以個案研究的方式進行,並以吳思華教授所著「策略九說」之策略構面與競技場動態策略分析為理論基礎,深入探討該個案系統事業之經營策略邏輯,並藉以分析在變化快速的激烈競爭環境中,如何以適當的動態策略作為,主動的因應環境的變化,以持續地建構長期的競爭優勢,做為往後其他跨國企業系統事業部門發展的參考。 該個案系統事業自1994年創立以來,其間在該系統事業成長發展過程中影響較大的兩次組織變革,分別為1998年及2005年,為便於本個案之分析,本研究以這兩次策略轉折前後期的發展做為研究的依據。 綜合本研究之結果,對於該個案系統事業的動態經營策略有更清楚的了解,以下為本研究的發現與建議: 一、從個案系統事業部門發展之歷程中,有如下策略構面之變化: 在營運範疇構面,由早期的單/雙色字幕機發展到目前的大型全彩看板,道路公共工程用CMS看板,智慧型紅綠燈系統,年營業額大幅成長。在核心資源構面,累積了工程契約、大型工程控管、規劃提案文件、系統軟體人才等核心資源及環境、信賴性試驗、知識累積、工程安全Know how、業務運作、委員會等組織核心能耐。在事業網路構面上,日松集團海外通路的結合、系統服務公司、系統販賣公司、工程顧問公司、建築師、電機技師等構成了極可觀的事業網路。 二、從個案系統事業在不同策略構面間,發現其策略作為之配合有: 以核心資源(企業文化、研發實力、完備的業務運作程序和不斷組織自我學習與資源整合)作為營運範疇的後盾,使得該系統事業得以穩定成長。同時以核心資源建構內部能耐,並藉著外銷市場及紅綠燈市場的開拓等策略作為,建構出該系統事業具競爭優勢的事業網路。另外大型公共工程訂單之取得來自事業內部的核心能力,同時也強化了營運範疇的擴大。 三、從個案系統事業部門在不同競技場之動態位移方面: 在「價值 / 效率」競技場的努力可累積核心「能耐」,而「價值」的充分運用,可展現該事業的「價值」或「效率」。其主要價值優勢在於產品品質及品牌形象。而「結構」地位與核心「能耐」為該事業「實力」的表徵;「能耐」與「結構」可互相移轉並強化該事業的「實力」。其能耐則來自專業技術能力與商品化能力、企業文化及組織運作績效。其中「實力」與「體系」形成該系統事業異質化的能力;「實力」有助於「體系」的建立、「體系」有助於該事業「實力」的強化,皆強化了「異質」力。其主要實力展現在集團的組織整合能力、工程控管能力及財務能力。而事業經營即是一個不斷「異質」、「同形」的過程。 以下幾點建議可以做為往後其他跨國企業系統事業部門發展的參考: 1.從永續經營觀點,由於系統事業易受景氣循環影響且國內市場有限,應積極與母公司策略合作拓展海外市場,以擴大其營運範疇。 2.系統事業雖是客製化市場,應朝向開發可量產化系統產品,以解決訂單高低震盪起伏現象。 3.將可量產化模組化產品,轉移到大陸的工廠生產,以取得成本上的優勢,提升競爭力。 4.具備專業素養與精通Spec in提案、技術標運作模式及政府採購法等精英型行銷營業人才的聘用。 5.隨時隨地掌握好風險的管理,如訂單、估價、工安、技術等。 關鍵字詞:動態策略分析、營運範疇、核心資源、事業網路、跨國企業、系統事業、電子顯示幕。

我國國際海運政策之研究─從保護到解制之變革 / A Study of Taiwan's International Shipping Policy: From Protection to Deregulation

戰後台灣的政治安定,立基於經濟發展,經濟發展取決於貿易傳動。在全球化的時代,經貿是台灣積極串聯世界、爭取生存茁壯的關鍵樞紐;對四面環海的台灣而言,能源及原物料之進口與轉化後財貨之對外貿易,全賴於海運實踐,台灣以一個海島型經濟型態「不斷向世界市場擴張」的過程中,國際海運是國家經濟與世界市場的實質聯結。國際海運因而成為台灣迎向全球與經貿發展的生命線,政軍安定的守護神。 本文主要的目的,在探討戰後(1950~2005)我國國際海運政策的治理模式與治理政策。台灣四面環海,具有發展國際海運的地理優勢,比較世界各國的發展,台灣地區的國際海運經營與發展,在世界上一直佔有相當重要的地位。然而,近年來,由於中國大陸的崛起,台灣則基於自身的考量,執行「戒急用忍」政策,遲遲不開放兩岸通航與協商航商西進,使得台灣的經濟優勢逐漸流失,國輪航商之經營環境也隨之惡化,本研究藉由歷史與結構的研究途徑,從戰後我國國際海運發展的歷史脈絡與結構變遷,就其治理模式與治理策略進行深入的探討。 除了經由文獻探討中,檢視我國國際海運政策的變革之外,進一步與我國國際海運的公經理人、學者與業者等共三十位專業人士,進行實證的訪問調查,獲得第一手的資料,然後與文獻分析所得相互驗證,進而歸納成結論,並就我國國際海運政策的治理模式與治理策略,提出建言。 / Abstract: Comparing with the development of other countries, water-surrounded Taiwan has to build up its international shipping industry to facilitate international trade and therefore stabilize its polity through economic development. Due to the geographic privilege, Taiwan also has its strength of developing international shipping for linking the national economy and the world market. The objective of this study is to explore the governance mode and strategies of Taiwan’s international shipping policy after the World War II. This study investigated the relationships among international politics, macroeconomic and international trade, government policy, and industry environment for the international shipping policy. In addition to literature review, this study interviewed public managers, scholars and industrial professionals to empirically collect the experienced data by “in-depth interview.” Through the integrated means, this study concludes that Taiwan’s international shipping policy has played an important role for developing the industry in each stage of Taiwan’s development on economy and international trade, whilst the government in Taiwan should seek more practical governance modes and strategies to cope with the challenges to come.

本文主要在探討與捷運共構商用不動產市場開發模式之研究,期能參考國外經驗及以市場調查與潛在業者訪談方式,建立商用不動產之市場分析模式,作為開發者投資開發時之產品規劃依據,並評估以開發者之企業文化及潛在業者之經營意願,建議全案之營運或銷售模式,及進行開發效益分析與比較。 經以機場捷運A8車站為例進行研究,獲致結論主要為:捷運共構之商用不動產乃政府衡量車站用地以徵收方式取得困難,遂以鼓勵民間(地主及投資開發者)投資、參與公共建設方式,由政府與民間共享開發效益,達到三贏局面之最佳開發模式,由財務及其他各方面分析效益得知,政府除可免去取得私有土地紛爭或時程延宕外,亦可透過共同開發,挹注重大交通建設經費,民間亦可經由參與公共建設共享獎勵及開發效益,獲取高於土地被徵收時之利益,為一值得效法與推廣之開發模式。 惟開發者應在投資開發前,審慎評估個案之市場定位及投資效益,以作為規劃設計及將來營運模式之參考,避免規劃錯誤造成將來營運或產銷之效益不彰,影響投資報酬,並可作為前期招商之依據,因此建立可靠的商用不動產市場分析方式甚為重要。本文主要重點在於以個案分析進行商用不動產市場開發模式之研究,以作為後續開發相關案例之參考。 / This article is to explore the MRT structure of the commercial real estate’s market model of development. With drawing on foreign experience, the market research and interviews with potential operators, we can establish the commercial real estate market analysis model, as developer’s product planning principles when develop. And according to the corporate culture and potential industry management, it will be recommended to the case of operations or sales model, and to develop effective analysis and comparison. Taking the co-structure building of A8 MRT station to the airport as a case study, to achieve the main conclusions are: To avoid the difficulities of acquiring private land, the government submits to encourage private investment (landlord and investment developers) to participate in public construction, share benefit to both the government and private. The MRT structure of commercial real estate is the best model of development to have a win-win situation. From financial and other aspects of effection, the government could dismiss the disputes of acquiring private land and avoiding the time-delay of engineering development. By co-structure of MRT and the commercial real estate building, the government could inject major transportation infrastructure funding, people can also enable the sharing through participation in public construction and development of effective incentive to get higher than the interest of the land acquired. Thus it is resumed a worthy example to follow and a promotion of the development model. However, developers should evaluate assessment of the case of market position and investment results carefully in investment before development, and be a reference business model for future planning and design, so as not to cause an affected or inefficient investment returns of future operation and marketing sales because of planning errors, and also can be used as a basis for merchants. So how to set up a commercial real estate market analysis methods is important. This article focuses on commercial real estate market to establish a development model, as a reference for follow-up development of related cases.

本研究以日商在台子公司為個案,探討多國企業核心流程之動態演化與創新研究。分析個案子公司的演化與創新過程,本研究從子公司的組織、母子公司關係、子公司角色、以及其核心流程,發現以下五點: 一. 對子公司的組織管理,母公司運用彈性的管理導向,有助於發揮子公司資源與能力。 二、母公司與子公司互相依存的關係,得以讓母公司可善用地主國的優勢,提昇多國企業整體營運的績效;亦能減少多國企業管理上的困難,甚至有助於多國企業的創新速度。 三、子公司的領導統御的務實化與主動性,有助於專業化資源與能力的提高。透過角色的改變,可擴大國際職責的參與機會。 四、相對於各行其是的多國企業,具有整合執行能力的子公司,可以為多國企業創造價值,並成為知識流通的來源。 五、子公司的動態演化,有助於多國企業的當地知識來源及國際化的拓展。 / This thesis has used Japanese subsidiary in Taiwan as case to study the dynamic evolution and innovation through the core process of MNC. From the view point of the organization control of alleged subsidiary, relationship of parent-subsidiary, subsidiary role in MNC, and its core process of subsidiary, we conclude the major findings are: (1). For the purpose of organization management, Parent company of MNC has adopted the flexible managerial patterns to facilitate subsidiary’s capability and its resources accumulation. (2). Relationship between parent and its subsidiary is interdependence. This kind of relationship helps Parent company who can utilize the net ownership advantages of host country to increase the total operational performance of MNC. It also helps to reduce the management difficulty toward subsidiary of MNC and even helps to increase the speed of innovation. (3). Top management of subsidiary shows their management skill with realistic and takes initiative in helping subsidiary to increase its capability and resources. Through the change of charter or its strategic roles, subsidiary can expand its participation of international responsibility. (4). Compare with other MNCs, subsidiary which has the capability of global integration can generate value-creation activities for MNC. Subsidiary will become the source of knowledge flow for its parent company. (5). The core process of subsidiary with dynamic evolution provides MNC with domestic knowledge. This evolution also helps MNC in internationalization development.

The business plan is to establish a company organization in providing financial education training service to aged people to assist them in preparing their retirement (for pre-retired group), or improve the quality of the retirement life (for retired group). The main business scope is to develop a series of training courses with subjects from basic financial management concepts to advance topics, and introduce consultancy services (basic and premium) to customer. Besides that, regular forum and premium forum will be applied to as a tool to communicate with target audience. A SWOT analysis has been conducted to identify the macro and micro environment opportunities and constraints then. Base on the findings, a market research by performing 3-step screening process is carried with 3 parameters: demographic, education level, and geographic. The result shows that the pre-aged (55~64) group lives in Taipei city and New Taipei City is the most potential target market segment. Following the outcome of market research, a marketing mix in responding to the characteristics of the potential market is planned accordingly. Among items within the marketing mix, strategic alliances formed with financial institutes, mass medium, and other financial knowledge training centers are prioritized to be higher rankings due to the effectiveness and efficiency of resource leverage. A sensitivity analysis of financial plan by setting up three models of scenarios (pessimistic, expected, and optimistic) is performed next to determine the feasibility study of the financial outcome and break-even periods. To conclude the business plan, four requirements need to be achieved to reach the success:  More outside fund need to be introduced at start-up  Pay-off time of investments need to be shortened  Operation cost need to be minimized  Differentiation of services need to be created

隨著網際網路的發展,使得現實生活中隨處可見全球資訊網的應用,也因此改革了原有商業經營的面貌,尤其在電信產業中,許多企業開始將實體的商店模式,帶到虛擬的網際網路中,使得網際網路上的電子商務發展隨之增高,並帶給企業史無前例的經濟發展機會。起初電子商務的發展焦點在於客戶與企業的互動關係,漸漸的延伸到企業對企業的相互支援,而商業流程管理與服務導向架構的崛起,也使得電子商務的發展焦點轉移至發展整合商業流程的電子化服務議題上,更希望藉此提供給客戶更多元化、有用的功能服務。 電子商務與其資訊發展技術一直以來被電信業者所重視(例如中華電信、新加坡電信及美國電信技術等公司),並且開始在網際網路上建置專屬的電子商務環境。雖然在這些世界級電信公司的資訊環境中,都有其專屬的營運支援系統,但都缺乏共同標準的架構與流程設計方法,因此電信管理論壇組織開始進行下一代的營運支援系統規劃,稱之為「下一代營運系統軟體」。有很多的研究中心及廠商也提供以下一代營運系統軟體為主的相關服務,並以服務導向架構為基礎來協助整合商業流程。 在過去企業都利用人工的方式來整合內部相關的服務功能,並透過各種資訊整合技術將相關的工作連接起來,但是此種整合曠日廢時,僅侷限在某些專屬服務範圍,倘若要增加其他加值性服務,將會耗費更多的成本與時間。企業應用系統整合的出現就是要解決此類的整合性問題,透過點對點的介面方式,將各應用系統或程式連接起來。隨著多樣性服務需求與多種異質性系統的增加,讓企業應用系統整合服務已不能符合企業所需,因此開始將商業流程與服務導向架構觀念引入企業應用系統整合服務之中,希望能建置一個以流程為主的服務。商業流程與服務導向架構都具備有系統間的彈性連接與雙向溝通能力,藉由其所提供的電子服務,使得應用程式間可以相互溝通。 為了要有效地強化商業流程管理與服務導向架構的優點,本研究將使用企業服務匯流排來與中間軟體作一有效的結合,並維持以流程為中心的服務,提供給企業應用整合系統,所有的電子化服務皆能透過此管道來相互溝通。 在本論文中,我們將展示一個新的研究架構、共同合作模式及共同合作層級來闡述此研究,並利用三個實例來說明與驗證此架構之可行性,且把焦點放在如何以新一代營運系統軟體標準為基礎來發展國際性電信公司所關心的敏捷性電子化服務之研究。 / The Internet’s widespread popularity and the ubiquity of the World Wide Web have revolutionized the face of business, especially in the telecommunication industry. Many enterprises have moved their place of business from the physical store to the virtual store on the Internet. Therefore, electronic commerce (e-commerce) has sprung up in this era and has provided enterprises of all sizes with unprecedented opportunities for economic growth. Initially, electronic commerce focused only on business-to-customer web interaction and on business-to-business web interaction. With the emergence of business process management and of service-oriented architecture, the focus has shifted to the development of electronic services (e-services) that integrate business processes and that diversify functionalities available to customers. The potential of electronic commerce and its information technology also has attracted some telecommunication corporations—for example, Chunghwa Telecom, Singtel Telecom, and AT&T. They have built their electronic commerce environment on the Internet, too. Most of these worldwide telecom corporations have many kinds of operations support systems (OSSs) in the backend environment. Hence, TeleManagement Forum (TMF) has started to consider the next generation of OSS which is called the New Generation Operations Systems and Software (NGOSS). There are also many vendors or research centers that consider how to provide the NGOSS-centric service to the users and to integrate the business process based on service-oriented architecture. Initially, enterprises had to manually integrate services so that they could work together. However, this integration required considerable time and cost, and it worked only for the specific services that were manually linked. Adding additional services required even more effort. And then, enterprise application integration (EAI) solved these kinds of problems by working via point-to-point interfaces. As enterprises use more applications to provide additional services, the amount of integration that various tasks require to have mushroomed and the system has become hard to maintain. In order to increase the performance of EAI, some enterprises have developed the concept of business process management and service-oriented architecture. The chief objective is to implement relevant process-centric services. Business process management and service-oriented architecture enable flexible connectivity and communication among applications by representing each as e-services that let applications communicate readily with one another. In order to effectively strengthen business process management’s and service-oriented architecture’s benefits, we use an enterprise service bus (ESB) that, by functioning as middleware glue, holds process-centric services together and allows for communication between enterprise applications. In this thesis, we present a research framework, a collaboration model, and a collaboration layers to describe the method. Then, we use several illustrations to explain the generality of our method, and we focus on how international telecom corporations have become to concern with the agility, the leanness, and the integration underlying e-services integration based on NGOSS.

美國不動產投資信託資產稅賦遞延交換對股票報酬和股利之影響 / The Effect of Tax Deferred Exchange on Stock Return and Dividend in U.S. REITs Property Transaction

本文以2003到2006年美國上市之不動產投資信託(REITs)的資產稅賦遞延交換做研究,並用資產出售交易作為比較,觀察稅賦遞延交換對股票報酬和股利的影響,研究結果發現稅賦遞延交換對於股票報酬有負的宣告效果,然而出售資產的交易有正的且顯著的宣告效果,由於美國REITs基於稅法規定,作為免稅體,每年要以股利的形式分配百分之九十的盈餘給股東,稅賦遞延交換並不能像資產出售交易一樣帶來現金流入,因此對於未來股東的股利所得有所影響,股東對於股票報酬沒有正向的反應,但是股東會考慮稅賦遞延交換會帶來資產重配置的效率,再加上REITs通常會支付比規定還要多的股利,因此稅賦遞延交換的對於股票報酬的負影響會因此而減弱,進一步針對交易方式還有REITs股利分配進行研究,研究的結果支持稅賦遞延交換後的股利比起直接出售交易後所發放的股利還要少。本文除了研究股東對於交易宣告的反應之外,也綜觀不同資產交易方式的現金流量和REITs股利的關連性,藉此瞭解影響REITs選擇交易方式的內涵因素,以及對股票報酬和股利的影響。 / This research examines the tax deferred exchanges made by public U.S. Real Estate Investment Trusts (REITs) over 2003-2006 as well as the transactions of sell-off. The purpose of this study attempts to explore the effects of tax deferred exchange on stock returns and dividend distribution. Result of this study shows that announcement effect of tax deferred exchange is negative in stock value. On the contrary, the relationship between sell-offs and stock value is significantly positive. The reason to explain the difference on announcement effect between two types of property transaction is the specific taxable earning distribution restriction on REITs. U.S REITs have to pay out 90 % of taxable earnings in the form of dividends to their shareholders to exempt from tax. As a result, tax deferred exchange doesn’t bring cash inflow contributing to dividend increase and then shareholders react a lower stock return on tax deferred exchange than on sell-offs. However, the negative effect is weakened by the efficiency of asset reallocation and the regular dividend distribution over tax law restriction. In the analysis of dividend payment, the result of dividend examination supports the hypothesis that tax deferred exchange without cash inflow make dividend fewer than sell-offs. This study may be of importance in explaining the reaction of shareholders on tax deferred exchange of REITs’ property, as well as in providing shareholders with a better understanding of the relationship between cash flow and dividend distribution in order to clarify the cause that affect REITs to utilize different types of transaction and the factors that affect stock return and dividend.

本研究透過針對台東縣都蘭社群建造傳統竹筏所記載的民族誌,探索該社群在政府授權的美麗灣民間興建營運後轉移模式(BOT)發展案中的角色與互動。研究內容包括了(1)對民間興建營運後轉移之模式的總體回顧,以及美麗灣此個案的評估。(2)在地阿美族社群對發展計畫反對的詳細論述。(3)在替代發展方案上的建議。我的田野調查包含了在社群集會與示威抗議活動上的參與觀察,但調查的重心則立基於一條阿美竹筏建造與出海的過程。本文的結論提供了一套能夠兼顧在地居民互動及外來廠商利益的發展方案,旨在透過融合相關各方的觀點以圖能夠減少衝突並促進共同利益。 / This research explores the dimensions and interactions of the Amis community under the Miramar Resort (MR) Build-Operate-Transfer (BOT) development project authorized by the local county government through an ethnographic approach on the construction of a traditional bamboo raft in the township of Dulan, Taitung, Taiwan. The content of this study includes (1) A status review of the BOT policy in general and the MR development project in particular, (2) A detailed account of the local Amis community’s opposition to the project, and (3) Suggestion on alternative methods of land management. My fieldwork includes participant observation in the context of seminar meetings and activist demonstrations. However the centerpiece of the research at Dulan revolves around my personal participation in the construction of an Amis traditional bamboo raft and its launching into the ocean. Conclusions offer alternative ways for the development of an area that is interactive with indigenous peoples and outside commercial interests. The perspective taken is aimed at alleviating conflict through incorporating the views of stakeholders in the best interests of all parties involved.

巴拉圭在南錐共同市場角色之研究 / The Role of Paraguay in MERCOSUR, some available options

近年來,國際體系已從冷戰期間的兩元化趨向為現今的多元化發展,國際關係中國家角色的定位亦已由消極地孤立、不結盟朝向結盟、區域整合與全球化的目標邁進,並積極地參與國際政治與經濟組織,以因應全球競爭白熱化的趨勢。有鑑於此,全球性及區域性的經貿組織如雨後春筍般盛行,為當今國際經濟與金融新秩序之整合,注入一股欣欣向榮的氣象。   巴拉圭向為堅決反共的國家,在東西冷戰結束後邁向民主政治,並於國際上力求擺脫從前孤立形象,重返國際舞台,在其所參與之許多國際組織中,尤以當今第三大經貿集團─南錐共同市場,對其國家發展影響至深且鉅。巴拉圭在南錐共同市場四個創始會員國中雖屈居弱勢,但其如何能在南錐強鄰間運用外交政策─折衝、斡旋,並以四兩撥千金方式,強化本身競爭利基,積極謀求開創新的國家角色,實為巴拉圭未來在南錐共同市場發展所需面臨的挑戰與深思的課題。再者,當整合階段若仍處於較低階的國家層次時,遇國家利益與區域利益相衝突,各會員國往往以國家利益為先。因此,在南錐共同市場的整合過程中與各會員國間互動關係、定位、「區域角色」的扮演、以至於如何達成高層次的區域調和,循序漸進地朝向經濟整合程序邁進,著實對巴拉圭與其他會員國的政治與經濟皆產生莫大之衝擊,巴拉圭政府如何在國家利益與區域利益中取得平衡點並採取有效的因應策略,亦是其國家發展中需面對的另一重大考驗。   本論文共分為七章。第壹章緒論,第貳章闡述國際關係中角色理論之基本概念、層次分析及類別,強調在詭譎多變的國際關係中,國家仍一貫扮演最重要的角色,第參章從歷史發展軌跡中探討巴拉圭的國家角色及其外交政策取向之演變,尤其對巴拉圭與巴西及阿根廷之雙邊與三邊互動關係,做一全盤性的概述,以便增進對巴拉圭所處之整體情勢有所了解。第肆章主要針對巴拉圭加入南錐共同市場之政治與經濟動機,和不同面向之內、外在環境時空背景作剖析,第伍章說明南錐共同市場靜態面的基本制度、原則、組織架構與功能介紹及動態面的整合運作模式;以析論南錐共同市場區域內整合深化程度與區域外廣化之關係。第陸章探討巴拉圭在南錐共同市場之角色定位,藉由其發表之「南錐共同市場政策白皮書」檢視其外交政策,並對其在南錐共同市場之未來運作趨勢與影響作深入研究,第陸章結論,就巴拉圭之國家角色和區域角色之互動機制作一總結,旨在對巴拉圭加入南錐共同市場之前景與挑戰賦予嶄新的期許,期能透過政治對話、經濟同盟,創造競爭優勢。第柒章為結論。 / The purpose of this thesis is twofold. The first is to describe and obtain some stylized facts about Paraguay's insertion into MERCOSUR and clarify how this trading bloc enables the economic integration among its members. The second is to analyze the likely economic policies that Paraguay, a small country, may develop in order to identify her own available options, bearing in mind her landlocked but geo-strategic position in the Common Market. The scope on Paraguay's vocation for the democracy consolidation, as well as her pursuit to take due advantages of her abundant hydroelectric energy, and to become into a logistic production and services center for those who are interested in exploring the huge market of more than 200 millions consumers of MERCOSUR, also takes place in this paper. Since the creation of MERCOSUR, Paraguay had to face, frequently, outward difficulties in its efforts to remove non-tariff barriers imposed mainly by its two big neighbours - Brazil and Argentine, beside inward political disagreement and impasse. Her traditional open and informal market precises the due governmental and economical reforms, so her private sector may stands still in the present stage of a consolidating and challenging custom union. The gradual decline of Paraguay's Eastern City - Ciudad del Este, as a prototype of the commerce of re-exportation shows a clear sign of alert to the whole subsisted economy system, that may not apply for the forthcoming trend of mayor competitiveness, since its incompatible pattern with the new scheme of integration, must find its own way to harmonize Paraguay's and MERCOSUR'S joint interests. That means there is still a lot of reforms to be done. For the application of mid and long term trade policies, the year 2006 - time when full-fledged liberalization under IMERCOSUR will become a reality, may appear much closer for Paraguay. At that time, there won't be any exception more for Paraguayan products in MERCOSUR, and it's a must, for the sake of Paraguay, that the domestic debate of reforms concludes into successful process with no more delay nor hesitation. In this respect there are grounds for certain optimism as we can notice in the maquila sector, since some public and private sector have shown its determination to change the stagnant statu-quo, and to adapt the due framework to the needs of a better tomorrow. This work carefully documents the English translation of the agreement that gave life to MERCOSUR, also known as the Asuncion Treaty, in honor of the Paraguay's capital city where the historical and political decision took place.
