Purpose: The purpose of the study is to investigate whether executives can earn abnormal return by purchasing their own stocks and establish an understanding of possible aspects. Method: In order to observe if abnormal return exists on insider buy-transactions, a method triangulation with deductive approach has been made. An event study has been adopted to measure the transaction events. In addition, CAAR has been calculated with aid of a model. These values go through a significance test in order to support the hypothesis. Theory: The study is grounded on the efficient market hypothesis, information asymmetry, behavioural finance and signalling. Furthermore, previous research has been adopted to support the study. Conclusion: The results of the study show that executives for growth companies can profit from abnormal returns. / Syfte: Syftet med studien är att studera om personer i ledande ställning profiterar vid insynsförvärv av aktier samt skapa en djupare förståelse kring möjliga underliggande faktorer. Metod: För att studera om det uppstår abnorm avkastning vid insynsförvärv har en metodtriangulering med deduktiv ansats behandlats. Eventstudie har använts för att mäta transaktions händelserna. Vidare beräknas CAAR med hjälp av en modell. Dessa kommer sedan att signifikanstestas för att stödja hypoteserna. Teori: Teorier som behandlas i denna studie är den effektiva marknadshypotesen, informationsasymmetrin, beteendebaserad finansiering och signaleringshypotesen. Vidare behandlas tidigare forskningar som ger stöd till studien. Slutsats: Resultaten för studien påvisar att personer i ledande ställning för tillväxtföretag kan profitera på abnorm avkastning.

The thesis introduces a framework for analysing market monitoring and surveillance systems in order to provide a common foundation for researchers and practitioners to specify, design, implement, compare and evaluate such systems. The proposed framework serves as a reference map for researchers and practitioners to position their work in the context of market monitoring and surveillance, resulting in a useful instrument for the analysis, testing and management of such systems. More specifically, the thesis examines the new requirements for the operation of financial markets, the role of technologies, the recent consultations on the structure and governance of EU and US markets, as well as, future usage scenarios and emerging technologies. It examines the context in which market monitoring and market surveillance systems are currently been used. It reports on their processes, performance, and on the organisational and regulatory environments in which they exist. Furthermore, it develops a set of taxonomies which cover the majority of the concepts of market manipulation, market monitoring, market surveillance, entities, technologies and actors that are relevant for the work in this thesis. Building on the gaps and limitations of the current systems, it proposes a new framework following the Design Science methodology. The usefulness of the framework is evaluated through four critical case studies, which not only help to understand with practical exercises the way how markets monitoring and surveillance systems work, but also to investigate their weaknesses, potential evolution and ways to improve them. For each case study, the thesis develops a fully working prototype tested using a sample prosecution case and evaluated in terms of the appropriateness and suitability of the proposed framework. Finally, implications relating to policies, procedures and future market structures are discussed followed by suggestions for future research.

Visselblåsarbegreppet har blivit ett allt mer frekvent förekommande inslag inom den unionsrättsliga lagstiftningen, och vikten av att beskydda arbetstagare som bistår myndigheter med information som kan stoppa överträdelser har på senare år uppmärksammats och betonats världen över. I samband med en modernisering och uppdatering av den finansmarknadsrättsliga lagstiftningen, inte minst till följd av den tekniska utvecklingen inom området, valde EU:s lagstiftande organ att göra en markering mot fysiska och juridiska personer som ägnar sig åt överträdelser som kan vilseleda aktörerna på de finansiella marknaderna. Bland annat infördes, genom ett antal nya rättsakter, enhetliga sanktioner samt minimibestämmelser för kriminalisering av vissa ageranden. Vid framtagandet av lagstiftningen diskuterades även på EU-nivå huruvida ett potentiellt införande av ekonomiska incitament för visselblåsare som bidrar med värdefull information i fråga om marknadsmissbruk borde utgöra en del av det sociala skyddet för nämnda individer. Medlemsstaterna hade redan i samband med tidigare unionsöverskridande lagstiftning ålagts att vidta särskilda åtgärder för att säkerställa att visselblåsare erhåller skydd gentemot arbetsgivare avseende hämndaktioner, men här, tydligt inspirerade av den amerikanska lagstiftningen i motsvarande område, öppnade EU för första gången för att låta unionsmedlemmarna erbjuda monetära utbetalningar till visselblåsare. I förevarande uppsats presenteras den aktuella EU-lagstiftningen samt den inhemska lagstiftning som bestämmelserna genererat i Sverige. Nämnda inslag sätts i relation till den amerikanska visselblåsarlagstiftningen. En redogörelse för lagstiftningens mottagande och effekt – kombinerat med teoretiska såväl som statistiska studier avseende ekonomiska incitament kopplat till visselblåsning – används för att besvara frågan huruvida ett införande av nämnda incitament skulle kunna utgöra ett ändamålsenligt inslag inom den svenska lagstiftningen. Min argumentation, vilken presenteras i analysdelen, utmynnar i ståndpunkten att ekonomiska incitament mycket väl skulle kunna utgöra en funktionell beståndsdel av visselblåsarskyddet, men att lagstiftningens utformning och det praktiska utförandet skulle kunna optimeras jämfört med dess amerikanska motsvarighet. Vidare vill jag i analysavsnittet betona vikten av ett skifte i inställning och attityd inom europeisk rättskultur gentemot visselblåsare.

刑事訴訟制度具有兩大目的,分別是發現真實以及保障被告人權,二者不可偏廢,不可為了發現真實而犧牲被告人權之保障,亦不得為了保障被告之人權,忽視真實之發現。
被告在憲法上受有無罪推定原則之保障,原則上無須證明自己無罪,舉證責任落在身為控方的檢察官身上,檢察官須就被告之犯罪事實予以證明至無合理懷疑之程度,使法官依據其所舉證之內容依自由心證予以衡酌,如未能形成超越合理懷疑之心證門檻時,依照無罪推定原則,即應對被告諭知無罪判決。
目前我國法已明文肯認無罪推定原則的保障,除了被告得因此享有相關之保障外,負責追訴犯罪的檢察官,身為控方,亦應善盡其舉證責任,當使法官形成超越合理懷疑的心證時,方能推翻對被告的無罪推定,對被告諭知有罪判決,然而,控方應負舉證責任縱然作為原則,但不可否認的是,本文認為仍有存在例外的空間,故試圖從舉證責任之架構釐清在無罪推定原則的制度下是否有轉換、調整之空間。
站在當事人對等的天平上,筆者認為立法者考量到特殊案件類型之需求,可以透過立法的方式將某些事項的提出證據責任轉換到被告身上,但說服責任則不可以移轉之,因為被告在訴訟上仍受有不自證己罪原則之保障,要將舉證責任予以移轉,筆者以為歐洲人權法院所形塑之標準可資參考,當爭點具有一定的重要性,且被告的防禦權未完全被剝奪時,當檢察官已就一定犯罪事實予以舉證時,即可將舉證責任轉換到被告身上,如此可使呈現在法庭上的證據越來越多,亦可使真實更容易被發現。
本文以經濟犯罪作為檢討舉證責任轉換可行性之主軸,並以特別背信罪與內線交易作為檢討之適例,試圖檢驗本文架構出的判準之可行性。然礙於篇幅有限,故僅以商業判斷法則及內線交易之抗辯事由作為本文檢討之核心。

This thesis consists of three essays on the behavior of corporate insiders and the optimal regulation of insider trading. The first of these three essays examines the welfare effects of insider trading and its attributes as an executive compensation mechanism; in addition, an optimal regulation of insider trading in the light of the model is proposed. The second essay analyzes another facet of insider trading: whether insiders can be a source of liquidity and act as traders of last resort on their companies' stock; moreover, the effects of transactions by insiders and by the company itself on the distribution of stocks returns are compared empirically. Finally, the topic of the third essays is the dynamics of insiders' holdings, and how these dynamics are a function of the number of large shareholders in the firm; the conclusions are empirically tested for Real Estate Investment Trusts.Aquesta tesi conté tres assajos sobre el comportament dels agents corporatius y la regulació de la compravenda d'accions amb informació privilegiada. El primer examina l'efecte de la negociació amb informació privilegiada y la seva utilitat com a mecanisme de compensació; es proposa una regulació de la negociació amb informació privilegiada. El segon assaig analitza si els agents corporatius són una font de liquiditat y actuen com a comerciants d'últim recurs per a les accions de la seva companyia; també es comparen empíricament els efectes de la negociació per part dels actors corporatius amb els de la negociació per part de les mateixes empreses en la distribució dels rendiments de les accions. L'últim assaig estudia la dinàmica de les carteres d'aquest actors en accions de les seves pròpies empreses, i com aquesta dinàmica es funció del nombre d'actors corporatius a l'empresa; les conclusions es testegen empíricament per a fons d'inversió immobiliària.

Previous issue date: 2015-12-15 / The potential damage caused by insider trading is very high, because the offense affects not only the parties directly related to the transaction carried out while in possession of inside information, but also the stock market as a whole, undermining investor confidence. Severe sanctions under the administrative, civil and criminal law are necessary to discourage the offense. In this, Brazil’s securities regulator, the CVM - Comissão de Valores Mobiliários, plays a particularly important role because it wields the state’s power to intervene in the capital markets. At the same time, liability for insider trading offense should be based on a strong body of evidence, even if the evidence of insider trading is indirect only. The use of information barriers, which reduces the potential for conflicts of interest by restricting access to undisclosed material information, is not in itself sufficient to exclude liability for insider trading. Theories such as the 'corporate mind' can make Chinese walls ineffective protection against liability, even if they properly perform their function of segregating information. The theory of constructive or imputed knowledge cannot be applied in determining liability for insider trading / O insider trading é ilícito de elevado potencial danoso, pois impacta não só as pessoas diretamente relacionadas com a operação realizada com a informação privilegiada, mas também o mercado de capitais como um todo, afetando a confiança dos investidores. É importante, portanto, a repressão severa do ilícito nas esferas administrativa, civil e penal, destacando-se o papel regulador da Comissão de Valores Mobiliários, enquanto representante da intervenção do poder estatal no âmbito do mercado de capitais. Não obstante, para a responsabilização pelo ilícito do insider trading, deve-se exigir um conjunto probatório robusto, ainda que apenas indiciário. A utilização de uma espécie de muralha segregadora, se minimiza situações de conflito de interesses ao evitar o acesso amplo a informações relevantes não divulgadas ao mercado, não é, por si só, capaz de excluir responsabilidade por eventual insider trading. Importante ter cuidado com construções teóricas, como a da 'mente corporativa', capazes de esvaziar de utilidade barreiras como uma Chinese Wall. Impossível transpor a teoria do domínio do fato à apuração de ilícitos de insider trading.

期貨交易法,事實上即為衍生性商品交易法,隨著衍生性商品發展推陳出新,在其高隱蔽與高槓桿的特性下,對於市場之波動甚至更甚於傳統基礎證券商品,而有管制之必要。我國於民國86年間訂定期貨交易法第107條內線交易禁止之規定,嗣又於105年11月9日為首次之修正,惟修正後仍有諸多疑慮,例如就連結至有價證券之期貨交易乙節,是否即已完全排除法規套利之誘因?而不區分連結之商品類型,一概適用期貨交易法是否妥適?又期貨交易法第107條部分體例如獲悉、消息成立等節,係採與證券交易法第157條之1相異之用語,適用上應如何解釋?就此,本論文交互對照證券交易法第157條之1之規定及比較法上美國之立法例,建議期貨交易法第107條在近期修正之目標上,應可就連結至有價證券之期貨交易增訂準用證券交易法內線交易禁止之規定,或將之參諸證券交易法第157條之1規定自期貨交易法第107條抽出獨立規範;另就諸如消息成立時點、定義、主觀要件等體例設計上與證券交易法統一,俾同時解決法規套利、法規漏洞以及規範解釋適用等疑義。 / With the frequent business and finance development, the concealment and leverage of derivative commodities are obviously higher than before. This shows the necessity and importance of the legal governance. Article 107 of the Futures Trading Act regarding the forbidden of insider trading was promulgated in 1997, and revised firstly in 2016. However, is the aforesaid amendment enough to eliminate the incentive of insider trading for the commodities derived from securities? Is the amendment which directly governs all kinds of futures trading without distinguishing by the nature thereof proper?And how to interpret the terms of “knowing”, “the establishment of information” of the Futures Trading Act since they are inconsistent with the Article 157-1 of the Securities and Exchange Act? For those aforementioned doubts, referring to the Securities and Exchange Act and the United States law system, this study suggests that the Futures Trading Act may adopt the following revisions:
1. The futures trading derived from securities and commodities shall be governed respectively.
2. Those terms such as “knowing”, “the establishment of information” which are irrelevant with the nature of futures trading shall be consistent with the Securities and Exchange Act.

Four Essays on Banks, Firms and Real Effects of Bank LendingBednarek, Peter 26 August 2022 (has links)
This dissertation collects four essays on banks, firms and real effects of bank lending. Owing to the appliance of different econometric methods on several datasets, insights in the behav-ior of and the impacts from financial markets and market participants are generated.
In the first chapter, our results uncover a so far undocumented ability of the interbank market to distinguish between banks of different quality in times of aggregate distress. We show empirical evidence that during the 2007 financial crisis the inability of some banks to roll over their interbank debt was not due to a failure of the interbank market per se but rather to bank-specific shocks affecting banks’ capital, liquidity and credit quality as well as revised bank-level risk perceptions. Relationship banking is not capable of containing these frictions, as hard information seems to dominate soft information. In detail, we explore determinants of the formation and resilience of interbank lending relationships by analyzing an extensive da-taset comprising over 1.9 million interbank relationships of more than 3,500 German banks between 2000 and 2012.
The second chapter examines the relationship between central bank funding and credit risk-taking. Employing bank-firm-level data from the German credit registry during 2009:Q1-2014:Q4, we find that banks borrowing from the central bank rebalance their portfolios to-wards ex-ante riskier firms. We further establish that this effect is driven by the ECB’s maturi-ty extensions and that the risk-taking sensitivity of banks borrowing from the ECB is inde-pendent of idiosyncratic bank characteristics. Finally, we show that these shifts in bank lend-ing are associated with an increase in firm-level investment and employment, but also with a deterioration of bank balance sheet quality in the following year.
Once we analyze the relationship of banks as lenders vis-à-vis banks as borrowers and banks as lenders vis-à-vis non-financial companies as borrowers, we enlarge the understand-ing of non-financial companies not only in terms of being simply borrowers, respectively sub-jects exhibiting of credit risks. Instead, we try to understand the inner working of those com-panies more generally and analyze their quality not only in terms of a bank’s risk assessment but also in terms of the overall market assessment. However, this in turn can generate infor-mation useable to assess the quality of a bank’s credit portfolio in dimensions that so far are not taken into account by the current regulatory framework. Moreover, a better understanding of banks and non-banks beyond the standard lens of the banking and corporate finance litera-ture might promote new scopes for future research connecting those discrete subjects. In this regard, the third chapter analyzes the dependence of price reactions to corporate insider trad-ing on several measures of corporate governance quality. Our results strongly support the view that first, higher corporate governance levels seem to prevent or discourage insiders from engaging in insider trading as means of opportunistic rent extraction. Second, results confirm the notion of buy and sell trades not being just two sides of the same coin. That is, a higher level of corporate governance leads to a better pre-event information environment which results in less positive abnormal returns after insider buy trades as the incremental posi-tive information revealed by the trade is smaller. In contrast, sell trades in firms with better corporate governance are perceived to convey more valuable and most importantly negative information to the capital market so that prices adjust more for companies with better govern-ance schemes. Third, we show that institutional ownership even on an aggregate level is a sufficient measure to proxy a company’s corporate governance level. Hence, as information on companies’ bylaws and on investors’ investment dedication and type for example are scarce, respectively associated with higher costs because one has to gather that information one can refrain from that and instead proxy the governance level with the aggregate measure of institutional ownership. The latter result is important for carrying out future analyses merg-ing and extending the findings of the first two chapters.
Last, the fourth chapter abstracts from borrowers as subjects of credit risk, as well, and most importantly extends the analysis of banks, firms and their interactions effecting each other by a macroeconomic perspective of the real effects of bank lending. That is, as capital flows and real estate are pro-cyclical, and real estate has a substantial weight in economies’ income and wealth Chapter 4 studies the role of real estate markets in the transmission of bank flow shocks to output growth across German cities. In this regard, real sector firms play a central role in the transmission mechanism we uncover. More specifically, the empirical analysis relies on a new and unique matched data set at the city level and the bank-firm level. To measure bank flow shocks, we show that changes in sovereign spreads of Southern Eu-ropean countries (the so-called PIGS spread) can predict German cross-border bank flows. To achieve identification by geographic variation, in addition to a traditional supply-side varia-ble, we use a novel instrument that exploits a policy assigning refugee immigrants to munici-palities on an exogenous basis. We find that output growth responds more to bank flow shocks in cities that are more exposed to tightness in local real estate markets. We estimate that, during the 2009-2014 period, for every 100-basis point increase in the PIGS spread, the most exposed cities grow 15-2 basis points more than the least exposed ones. Moreover, the differential response of commercial property prices can explain most of this growth differen-tial. When we unpack the transmission mechanism by using matched bank-firm-level data on credit, employment, capital expenditure and TFP, we find that firm real estate collateral as measured by tangible fixed assets plays a critical role. In particular, bank flow shocks in-crease the credit supply to firms and sectors with more real estate collateral. Higher credit supply then leads firms to hire and invest more, without evidence of capital misallocation.

Insider trading has long been a controversial phenomenon in the financial world. Several studies have been conducted in the area where the studies have shown ambiguous results. In 2016, Finansipektionen amended the Insider Trading Act, namely that insiders need to report an insider transction within three days. Insiders ability to generate abnormal returns is considered to be in conflict with market efficiency. This study examines insiders ability to generate abnormal returns on the First North Growth Market during the year 2020, where the sample consists of 47 observations. An eventstudy has been used to investigate the market reaction from the publication of insider trading. Multiple regression analysis has been applied to examine whether there is any difference in the abnormal return based on the position of the insider, the transactionsize of the insider tradingsize and the gender. The hypothesis tests have been answered with the help of a one-sided t-test and multiple regression analysis. A quantitative method and deductive approach have been used in the study where the researcher derived hypotheses based on previous research as well as theories such as the effective markethypothesis, the random-walk theory, the signalinghypothesis, behaviorbased financing and herdbehavior. This study shows that insiders generate abnormal returns during a short-term event window, but that there is no significant difference in the abnormal returns based on the insider’s position, transactionsize and gender. / Insynshandel har länge varit ett omdiskuterat fenomen inom finansvärlden. Flera studier har avlagts inom området som visat på tvetydiga resultat. År 2016 ändrade Finansinspektionen lagen om insynshandel, nämligen att insynspersoner behöver rapportera en insynstransaktion inom tre dagar. Insynspersoners möjlighet till att generera abnormal avkastning anses gå i strid mot marknadseffektiviteten. Denna studie undersöker insynspersoners möjlighet till att generera abnormal avkastning på First North Growth Market under året 2020 där urvalet består av 47 observationer. En eventstudie har använts för att undersöka marknadsreaktionen vid publiceringen av insynshandel. Multipel regressionsanalys har tillämpats för att undersöka ifall det finns någon skillnad i den abnormala avkastningen baserad på befattningen på insynspersonen, transaktionsstorleken av insynshandeln och kön. Hypotesprövningarna har besvarats med hjälp av ett ensidigt t-test samt multipel regressionsanalys. En kvantitativ metod och deduktiv ansats har använts i studien där forskaren härlett hypoteser utifrån tidigare forskning samt teorier som den effektiva marknadshypotesen, random-walk teorin, signaleringshypotesen, beteendebaserad finansiering och flockbeteende. Brasilianisches Recht wird immer durch die europäische Gesetzgebung inspiriert. Unsere Studie fragt, aus einer vergleichenden Sicht, ob sich das brasilianische Unternehmensrecht auf die europäische Corporate Governance bezieht. Wir konzentrieren uns in Europa auf das deutsche Recht, das englische Recht, das französische Recht und das europäische Recht. Unsere Analyse geht über die Herzen der Unternehmensführung und umfasst Teile, die dem Kapitalmarkt- und dem Umweltrecht angehören, da sie selbstverständlich auch eine Verbindung mit der Corporate Governance und dem Aktienrecht haben. Das Verständnis des Kerns der Unternehmensführung, welcher die Organisation der Verwaltungsorgane der börsennotierten Aktiengesellschaft ist, hängt von der Analyse der rechtlichen Behandlung von Neben-Themen, die aber verwandt sind, ab, wie die Regeln über die Haftung. / Corporate governance has undergone a radical change in Europe since the 1990s. Change has now consolidated and is part of the company law. Brazilian law has always been inspired by European legislation. Our study asks, from a comparative perspective, if the Brazilian corporate law relates to the European corporate governance. In Europe, we focus on German law, English law, French law and Community law. Our analysis goes beyond the heart of corporate governance and includes parts of capital markets law and environmental law, because they obviously also have a connection with corporate governance and company law. The understanding of the core of corporate governance, which is the organization of administrative bodies of the listed company on a regulated market, depends on the analysis of the legal treatment of incidental subjects, but related, as the regime of liability.
