Parent Company Liability for Torts of Subsidiaries : A Comparative Study of Swedish and UK Company Law with Emphasis on Piercing the Corporate Veil and Implications for Victims of Torts and Human Rights ViolationsLindblad, Matilda January 2020 (has links)
The gas leak disaster in Bhopal, India, in 1984 illustrates a situation of catastrophe and mass torts resulting in loss of life and health as well as environmental degradation. The Indian company Union Carbide India Limited, who owned and operated the chemical plant that caused the disaster, did not have sufficient assets to compensate the victims in contrast to its financially well-equipped US parent company Union Carbide Corporation. The courts never reached a decision regarding parent company liability for the subsidiary’s debts arising from tort claims against the subsidiary. However, where the subsidiary cannot satisfy its tort creditors, as in the Bhopal case, questions regarding parent company liability become highly relevant in relation to both foreign and domestic subsidiaries. Therefore, parent company liability for subsidiaries’ torts is discussed in this thesis with reference to Swedish and UK company law and with a focus on the tort creditors’ situation and the business and human rights debate. From limited liability for shareholders and each company being a separate legal entity follows that a parent company is not liable for its subsidiaries’ debts in neither Swedish nor UK company law. These concepts serve the important function of facilitating risk-taking and entrepreneurial activities. However, they also contribute to the problem of uncompensated tort victims arising where a subsidiary is involved in liability- producing activities but lacks assets to compensate the tort victims. Where limited liability and each company being a separate legal entity leads to particularly inappropriate results, the doctrine of piercing the corporate veil in both Sweden and the UK allows the court to disregard the separate legal personalities and hold the parent company liable for its subsidiary’s acts or omissions. The doctrine is characterised by uncertainty and is seemingly only available under exceptional circumstances. The doctrine does little to mitigate the problems for subsidiaries’ tort creditors at large. The business and human rights debate calls for access to judicial remedies for victims of businesses’ human rights violations. As some human rights violations can form the basis of a tort claim, it is relevant to discuss parent company liability according to company law in relation to human rights violations. The United Nations Guiding Principles on Business and Human Rights emphasise the need to ensure that corporate law does not prevent access to judicial remedies. However, the company law regulation of liability in company groups seems in practice to function as an obstacle for access to judicial remedies for human rights victims, particularly when also considering the inadequate legal regimes in some host states and the hurdles of jurisdiction and applicable law in multinational company groups. It is concluded in this thesis that the company law regulation of liability in company groups is seemingly not equipped to meet the challenges arising with the development of company groups, the global reach of the private business sector, the risks of mass torts and the influence of the business sector on human rights.

In recent decades the Swedish legislature has increasingly focused on the treatment of victims of crime and the information they receive. Victimology research has also shown the importance of treating victims with respect and of keeping them informed of their rights and the progress of their case throughout the process. The requirements thus set have to be met by all judicial actors, which presuppose a level of cooperation among them. Cooperation therefore constitutes one way of meeting victims' needs. In the current study these three factors; information, good treatment and cooperation, are referred to as victims’ rights. Studies have shown that victims experience shortcomings in the legal process regarding information and treatment. The causes of these shortcomings can be multiple, but from a legal point of view, however, the issue raises the question of whether there may be potential legal difficulties involved in incorporating adequate information and good treatment of crime victims into the judicial process. The purpose of this thesis is to study and analyse victims’ rights in the judicial process. As they are not without a legal context, these victims’ rights are analysed in relation to other legislation, principles and requirements that govern the functions of the judicial system, such as the duty of the police, prosecutors and courts to act objectively, conduct their work independently, and run an efficient legal process. The main question is whether the incorporation of victims’ rights conflicts with other rules and legal principles. The study concludes, inter alia, that victims’ rights concerning the treatment of victims and coordination of the work with victims is vaguely regulated and the intended meaning of the requirements are not clear, which may lead to problems when these requirements are incorporated into the justice system. Regarding information, treatment of victims and coordination and cooperation, little guidance is given about how to incorporate this at the local level. Informational requirements are expressed more clearly in the legislation, but how and to what extent information to victims should be given can still be a matter of interpretation on the part of the actors. The existence of local differences is therefore likely, which can affect the actual support that individual victims gain access to. The legislature could choose to further clarify and elaborate upon how victims’ rights issues relate to other aspects of the judicial process, how priorities or balancing of interests should be handled as well as to reveal the underlying motives for such considerations. Such clarification could possibly increase the consistency of the incorporation of victims’ rights, and transform abstract goals into concrete actions.

Den här rapporten syftar till att undersöka hur upphovspersoner som sysselsätter sig med produktionsmusik identifierar sig med sitt komponerande och arbete, detta med hjälp av de organisationerna som de försörjer sig genom. De två organisationerna är STIM, Svenska Tonsättares Internationella Musikbyrå, eller Epidemic Sound. Skillnaden mellan de två organisationerna är huvudsakligen att hos STIM upplåter upphovspersonerna sitt verk till organisationen och de i sin tur får ansvaret att förvalta verket och samla in ersättning för upphovspersonens räkning, hos Epidemic Sound överlåter upphovspersonerna sitt verk för en engångsersättning. Epidemic Sound äger sedan verket och kan hyra ut musiken till olika produktionsbolag som vill ha musiken i sina produktioner. Till undersökningen har fyra kompositörer från STIM och fyra kompositörer från Epidemic Sound, samt en förläggare och en representant från STIM intervjuats. I rapporten framgår det att de som var anslutna till STIM har jobbat med musik länge, det är nästintill ett “kall” för dem, de ser verken som konstverk mer än som hantverk, de värdesätter upphovsrätten högt och ser ersättningen som en sekundär anledning till varför de sysselsätter sig med komponerandet. De från Epidemic Sound däremot ser sina verk mer som ett hantverk och den mer säkra lönen som går att få av Epidemic Sound är en stor anledning till varför de valt denna organisation. Med hjälp av organisations-, motivations och identitetsteorier har samband funnits mellan teorierna och val av ersättningsmodell. Denna studie påvisar att det skett en förändring på den svenska marknaden för produktionsmusik efter det att Epidemic Sound kom till år 2009. En förändring har skett gällande det institutionaliserade tillvägagångssättet att traditionellt licensera ut sin musik till produktionsbolag. Denna förändring har gett en ny typ av upphovspersoner med en annan arbetsidentitet en möjlighet att kunna försörja sig på sin musik. Detta har kunnat påvisas genom att studera hur upphovspersonerna identifierar sig med sitt arbete och komponerande beroende på vilken av modellerna de använder. / This essay aims to examine how composers who specializes in production music identify themselves with their composing and work, this with help from the organisations that they support themselves through. The two organisations are STIM, The Swedish Composers International Musicbureu, or Epidemic Sound. The difference between the two are mainly that with STIM the composers let them manage the administration and to collect their income with Epidemic Sound is that they sell their righs to Epidemic Sound for a flat-fee. Because of this transaction the composition is now owned by the company and they can rent it out to other production companies who would like to have the music in their productions. To the study four composers from STIM, four composers from Epidemic Sound, one publisher and one representative from STIM have been interviewed. In the report it emerges that the composers that are from STIM have worked with music for a long time, the work is almost like their destiny, they see their compositions as artwork than as a craftmanship, they put big value to the copyright law, and the commission is a secondary reason to why they do what they do. The composers for Epidemic Sound on the other hand see their work more like craftmanship and the more secure salary are the reason why the composers choose Epidemic Sound. With the help from organizational-, motivational- and identitybased theories connections has been made between the theories and revenue model. This study shows that there’s been a change within the swedish market for production music since Epidemic Sound was founded in 2009. A change has occurd regarding the institutionalized approach to traditionally license music to production companies. This change has given a new type of composers with another work identity an opportunity to provide themselves on their music. This has been detected by studying how the composers identify themselves with their work and their composing depending on what revenue model they choose.

The UN Committee on the Rights of the Child has repeatedly criticized Sweden for the differences regarding the implementation of the Convention on the Rights of the Child (CRC) at the municipal level. Even so, studies show that there is a political will in the municipalities when it comes to realize the CRC. It indicates that there are challenges in terms of implementation. This thesis examines the implementation process in two Swedish municipalities where the local government has decided to implement the CRC. The purpose is to identify and describe the challenges that exist in the municipalities regarding the implementation and to determine to what extent the challenges can be influenced from the political level. The theoretical framework is grounded on theories of policy implementation and the findings have been compiled through interviews and qualitative text analyses. The study identifies challenges that are related, inter alia, to the ability to evaluate and control the implementation and the findings implies that the majority of the identified challenges can be influenced from the political level.

Arbetskraftsexploatering av irreguljära migranter : Om möjligheterna att lagföra arbetsgivaren för människohandelsbrottHeselius, Chatrin January 2015 (has links)
I Sverige har till dato endast en fällande dom för människohandel för tvångsarbete meddelats, trots att statistik och rapportering i media indikerar att problemet är omfattande. Av media och myndighetsrapporter framgår att de som utsätts för arbetskraftsexploatering ofta är personer som befinner sig i Sverige som asylsökande eller som helt saknar tillstånd att vistas och arbeta i landet. Detta är även en grupp som på grund av deras prekära migrationsstatus, bristande tillgång till myndighetsskydd och begränsade försörjningsmöjligheter identifierats som särskilt utsatt för människohandel. Trots detta har inget åtal för människohandel för tvångsarbete avsett exploatering av papperslösa eller asylsökande, och åtal har heller aldrig väckts för fall där migranten rekryterats i Sverige. I denna uppsats diskuteras och problematiseras den internationella och den svenska definitionen av människohandel ur ett rättighetsperspektiv, med särskild fokus på arbetskraftsexploatering av irreguljära migranter och skyddet för deras rättigheter. Det konstateras att eftersom definitionen av människohandel utformats inom ramen för ett brottsbekämpningsuppdrag har de utsattas rättigheter hamnat i skymundan. Staternas ovilja att garantera de irreguljära migranternas rättigheter har påverkat definitionens utformning och lett till att den exploatering denna grupp utsätts för hamnar utanför dess tillämpningsområde. Vidare visas att svenska domstolars tolkning och tillämpning av straffbestämmelsen har ytterligare begränsat dess tillämplighet i sammanhanget. Mot denna bakgrund anförs att människohandelsbestämmelsen inte på ett tillfredsställande sätt förmår förebygga och bekämpa den typ av människohandel som idag är av störst praktisk betydelse. Straffbestämmelsen misslyckas även med att beskydda de irreguljära migranternas rättigheter, en grupp som är särskilt utsatt för rättighetskränkningar av olika slag men som har en mycket begränsad tillgång till myndigheternas beskydd. Avslutningsvis diskuteras behovet av en mer ändamålsenlig rättstillämpning eller en reviderad straffbestämmelse. Såsom människohandel definierats av internationella organisationer avses den handelsprocess som leder till exploatering, och inte exploateringen i sig. Särskilt de irreguljära migranter som rekryteras i Sverige har sällan utsatts för en sådan handelsprocess. Det anförs därför att det ur ett svenskt perspektiv vore angeläget att istället anta en straffbestämmelse som möjliggör bestraffning av den fortgående exploateringen.

The aim of the study is to examine and analyze social workers’ perceptions of law practice of supportive regulations for abused, undocumented women who are in need of protection, in order to problematize the connection between norm and practice in social service case management. In a qualitative approach, the study is conducted through eight interviews, based on two vignettes, with representatives from the public sector in Gothenburg. The vignettes were based on two fictive narratives that both include women who are victims of abuse, but have different ethnicity and legal status. By using vignettes it was anticipated to find whether there are different perceptions among the social workers in terms of considering the residents’ ethnicity and legal status in relation to the possibilities of receiving support. According to Swedish law the social services have responsibility to assist all residents within the country. Since the undocumented migrants have difficulties claiming their rights in the public sector, many stay in destructive relationships. The focal point of this study is the uncertainties and inconsistencies among social service staff regarding offering support to these women, especially after acute situations. The UN’s Declaration of Human Rights expresses that all humans are equal, regardless of ethnicity, gender, etc. (see declaration). Thus, rejecting a woman her right to claim social service contradicts these regulations. The results of the study relates to T.H Marshall´s, Lister´s and Fernández´s discussion about citizenship, de los Reyes theory about postcolonialism, Mattson´s intersectionality, Hasenfeld´s Human Service Organizations, Libsky´s Street-level Bureaucrat and Johansson’s Freedom of Action. Further, different concepts on new institutional theory from Johansson and Svensson, Johnsson and Laanemets, are used to analyze our data. Our selected theories, concepts and reasoning can be used to understand our empirical data in different levels in society. The study shows that the juridical fate of undocumented women who have been subject to violence is not only determined by laws and regulations, but also on individual attitudes of social workers as well as cultural interests within an organization. These results indicate that the widely accepted notion of Sweden being an equal society, does not comply with practice. In conclusion, this study shows that social workers have an important role in the development of a women-friendly, gender inclusive theory and praxis of citizenship.

Rättvisemärkt tobak : En alternativ lösning på den brasilianska tobaksodlarens dilemma?Lundström, Markus January 2006 (has links)
<p>Tobacco kills 11,500 of its consumers every day, half of them living in developing countries. But there’s more to the picture, namely the producer perspective which show the consequences of tobacco growing for the small-scale farmer. In this paper I mean to investigate the labour conditions of tobacco growers in the world’s second largest tobacco producing country, Brazil. I also intend to examine the Fair Trade movement, with particular attention to FLO (Fairtrade Labelling Organisation). Finally I try to merge the difficulties of tobacco growing with the institution of Fair Trade, expressed by the FLO standards, as an alternative way out of the tobacco growing problems. The method for this investigation is to examine and compare secondary literature, reports and books, already written on the subject.</p><p>The first issue show a double-side situation, where Brazilian tobacco growers live under extremely crude labour conditions, but also a state where no other agricultural alternatives are available, since tobacco is a highly lucrative and beneficial crop to cultivate, especially for the small-scale farmer. Secondly this paper proposes, thorough the laws of institutional theory, that Fair Trade, especially the FLO standards, constitutes a highly stable and reliable institution, clearly benefiting international trade. Finally this paper concludes that Fairtrade labelled tobacco would not only reduce the problems of tobacco growing, but would also simplify the problematic transformation process, caused by tougher tobacco control policies, from tobacco growing to alternative crop cultivation. In addition, my paper states that Fair Trade as an institution could spread egalitarian principles to other parts of society, which in turn will create formal egalitarian institutions. However, as my interviews with FLO and tobacco companies show, all of this will not become a reality until there is a significant increase in the demand for Fairtrade labelled tobacco products.</p>

This paper discusses if Margin of Appreciation is compatible with the idea of universal human rights. Through the case of Negative freedom of association in Sweden, it studies the phenomenon that Giorgio Agamben has called the State of exception. The questions that are discussed and answered are 1) How does the rights theories of Jack Donnelly and Ronald Dworkin relate to Margin of appreciation, and 2) How has Margin of appreciation been applied in cases concerning the negative freedom of association in Sweden, in the European court for human rights. These questions and answers are then used in the discussion on how Margin of appreciation affects the concept of universal human rights. / Denna uppsats diskuterar frågan om Margin of Appreciation är förenligt med tanken om universella mänskliga rättigheter. Genom studier av den negativa föreningsfriheten i Sverige, så undersöks doktrinen Margin of appreciation och hur den förhåller sig till tanken om universella rättigheter. Frågorna som diskuteras och besvaras är 1) hur förhåller sig Jack Donnellys respektive Ronald Dworkins rättighetsteorier till Margin of appreciation, samt 2) Hur har Margin of appreciation tolkats i europadomstolens i fall gällande den negativa föreningsfriheten i Sverige. The purpose of this study is to examine how women with genital pain experience health care in terms of information, availability, treatment and resources. Through interviews with women with vulvovaginal pain these experiences are further compared to the Swedish guidelines and criteria’s regarding equal health care. Applying critical theories of gender and power to the material enables to examine if discourses of female bodies and diseases affect women’s right to health and health care. The analysis shows that women with genital pain are in general dissatisfied with the quality of the health care given to them. Discourses about women's bodies, pain and diseases contribute to the normalization and elimination of female genital pain in the health care system and in the society as whole. The conclusions are that a more fundamental and accurate effort on gender equality is needed to determine how gender and normative male standards in medicine affect women's access to a satisfactory health care on equal terms.

E-handeln inom Europa växer explosionsartat och tillgång till varor och tjänster är i dagsläget endast några få knapptryck bort. Eftersom åtkomsten till internet är global kan hemsidor och webbshoppar få en enorm internationell spridning. Näringsidkare som bedriver fysisk handel kan enkelt anpassa sig till lagar, språk, valuta mm. i landet där deras verksamhet är placerad, men anpassningen på internet, i cybervärlden, är svårare. Geolokalisering är en teknik som gör det möjligt för näringsidkare att kunna anpassa sig, genom att lokalisera och fastställa var internetanvändare befinner sig. När en internetanvändares geografiska placering är fastställd, kan näringsidkaren anpassa utbud, reklam, språk och valuta på hemsidan som denne bedriver. Möjligheten att kunna lokalisera internetanvändare på detta sätt, är ur ett affärsmässigt perspektiv mycket lönsamt för en näringsidkare. Geolokaliseringen ger även näringsidkaren en möjlighet till att geoblockera internetanvändare från dennes hemsida, genom att exempelvis helt blockera åtkomst, anpassa vilka produkter internetanvändaren får åtkomst till eller omdirigera internetanvändare från en version av hemsidan till en annan. Geoblockering kan därför underlätta det för en näringsidkare att följa regler och lagar i de olika länderna där dennes hemsida är tillgänglig. Immaterialrätter är i regel skyddade inom olika territorium. Med immaterialrätter följer ensamrätt till användande av rättigheten inom skyddsområdet. En näringsidkare som säljer varor på sin e-handels hemsida, som är eller kan vara omfattade av andra innehavares rättighetsskydd, kan använda geoblockering som ett verktyg för att helt undvika eller anpassa sig till de olika immaterialrättsliga skyddsområdena. Kommissionen har meddelat att ett av EU:s mål är att skapa en digital inre marknad och förhindra diskriminering mot konsumenter baserat på nationalitet, bostadsort eller geografisk placering. Diskrimineringen kan utgöras av exempelvis olika begränsningar för en konsument som vill få tillgång till ett innehåll eller köpa varor på internet. En sådan begränsning kan vara geoblockering. Den 25 maj 2016 lade Kommissionen fram ett förordningsförslag, som syftar till att förbjuda omotiverad geoblockering. I november 2016 enades Rådet om ett utkast till förordningen. Förordningsförhandlingarna förväntas påbörja så snart som Europaparlamentet enats om sin ståndpunkt. Frågan är hur ett förbud mot geoblockering kan komma att påverka näringsidkare inom e-handeln, ur ett immaterialrättsligt perspektiv.
