以國際比較檢視我國醫師團體在執業管制中之定位與功能 / Positions and Functions of Taiwan Physician Groups in Practicing Regulation-An International Comparison

醫療保險與服務是維護個人生存,增進民族健康,保障國民基本權之重要國家任務。而除了藥品、醫材、設備、醫院外,接受專業訓練、符合專業知識、技術與道德要求的醫療專業人員,包括醫師,也是醫療系統中不可或缺的要角。但相較之下,關於我國醫師團體在醫療行政法制中的角色尚缺乏完整論述,而本文即在檢視我國醫師團體(包括職業團體與學術團體)在執業管制中的定位與功能。 為了突顯我國醫師團體的特殊性,考量大陸法/英美法、醫療保險體系、醫療水準、與歷史社會等因素,本文選擇了德國、日本、美國、英國與中國大陸作為參照對比。從「醫療服務與醫療行政系統」到「醫師團體發展歷史與現況」,由大縮小、鑑古知今,將各國家地區之醫師團體的背景事實先做系統化整理、分析、並比較,以理解其在各自國家社會體系中的定位。另外,就其在醫師職業管制中管「入」的「執業資格授予」與管「出」的「執業資格廢止」的作用亦做系統化整理、分析、與比較,以認識各該團體在其中的功能。 基於以上的背景事實,再以「公私協力」與「職業自律」深入檢視,我國醫師團體(特別是職業團體之醫師公會) 在醫師職業管制中與國家政府之相對關係和定位,與其在執業資格授予與廢止作用上的功能。 關於我國醫師公會在執業管制法制中地位與功能的調整,本文建議:相較於仿德國例全面肯認醫師公會為「公法人」與政府分工,或仿日美英例鬆綁醫師公會為真正的「私法人」與政府制衡,依我國現實條件可由立法者直接立法或授權行政機關以授權命令賦予醫師公會行政受託人地位,並對稱移轉關於醫師執業資格授予與廢止之特定具體權限給公會,則在此委託範圍內公會即可被視為行政機關,即可對應要求其內部章程、組織、與程序須符合行政法法規與法理。 / Medical insurance and services are national tasks essentially for maintaining personal survival, improving people health, and protecting fundamental civil rights. Along with medicines, medical materials, equipment, and hospitals, medical professionals, including physicians, who have received professional training and met the requirements of expertise, technology and ethics, are indispensable for a working medical system. However, discussions about the roles of physician groups in medical administrative law systems in Taiwan are few. Thus, the present work is to examine positions and functions of physicians groups (including professional groups and academic groups) in the medical practicing regulation in Taiwan. In order to highlight the particularities of Taiwan physician groups and to take account of the differences in the continental law/Common law, medical insurance systems, medical service levels, and historical and social factors, Germany, Japan, the United States and the United Kingdom were selected for reference and comparison. From the "medical service and medical administrative systems" to "development history and present situation of the groups", the background facts of representative physicians groups were systematically collected, analyzed, and compared for comprehension of their positions in the social systems in their respective countries. Besides, regulatory functions of the groups in approving and revoking medical practicing qualifications were also systematically collected, analyzed, and compared for acknowledgement. Based on the above background facts and the concepts of "public-private partnership" and "professional autonomy", we further inspected Taiwan physician groups, especially the professional groups of physicians, to review their relationship with the government in professional regulation, and functions in practicing licensure. Regarding the positions and functions of the professional groups of physicians in medical practicing regulation in Taiwan, the following adjustment is proposed: Rather than adopting the “public legal entity” model for fulfilling national duties as in Germany, or “fully private corporation” model for balancing national regulation as in Japan, the United States, and the United Kingdom, our legislatives and administrative authorities could authorize by law the professional groups of physicians to exercise the powers specifically for medical practicing licensure, and thus the groups, as commissioned administrative agencies, should be required to amend their own bylaws, organizations, and procedures about the above authorized areas in concordance with administrative laws.

從臺灣關係企業制度檢視中國大陸關聯企業之立法 / Examining the China Affiliated Enterprise legislation from the prospect of Taiwan Affiliated Enterprise systems

中國大陸經濟體制改革中最為重要的是對國有企業的改革,而企業集團(關聯企業)的產生與發展,就可以追溯到20世紀80年代對國有企業的一系列改革。1993年《公司法》的制定主要目的和功能是爲了進行國有企業股份制改革,因此並未對企業集團(關聯企業)有所規定。最近20年來,中國大陸經濟飛速發展,企業集團化非常普遍,關聯企業在中國大陸的經濟活動中有著舉足輕重的地位。 臺灣公司法1997年修正時,新增關係企業專章,以保障從屬公司少數股東及其債權人之權益,並促進關係企業之健全運營。而中國大陸《公司法》幾次修正卻從未將關聯企業納入其中。本文認為,在中國大陸,如何規範關聯企業之發展,如何保護從屬公司少數股東及其債權人之利益,已經成為一個迫切需要進行立法規範的議題。 因此,本文會對臺灣公司法關係企業章進行研究,尋求中國大陸《公司法》可以借鑑之處,同時亦會分析中國大陸在關聯企業形成過程中的不同之處,以提出適合中國大陸環境之立法建議。 / The reform of State-owned enterprises has been the top priority in China for the economic reform. The formation and development of enterprise group (affiliates enterprises) can be traced back to the enterprise system reform in 1980s. The China Corporate Act 1993 focus on the reform of State-owned enterprises but not the enterprise group (affiliates enterprises). The following amendments still did not regulate the enterprises group (affiliates enterprises). In the last two decades, the economy developed rapidly and enterprise group is very common. Affiliated enterprises play an important role in China's economic activities. Taiwan amended its Corporate Law in 1997, adding Affiliated Enterprises chapter to protect the minority shareholders and the creditors of the affiliated company. The purpose is to promote the sound operation of the affiliated enterprises. There are some substantial developments from the practical experience and legal inquiry for the relevant operations. This paper argues that in order to protect the transaction safety, improve the regulations and development for affiliates enterprises, ensure the interests of minority shareholders and creditors of affiliated companies, we should clarify the forms, types, legal operation background, and difficulties of affiliated enterprises in China. Based on the examination and analysis of Taiwan Corporate Law, and learning from the China Corporate Act at the same time, this paper hopes to propose appropriate legislation fit to China's corporate structures and environments.

南朝文學集團詩賦書寫策略之考察 / A study on the writing-tactic of shih and fu of the literati group on South-Dynasty

本論文以「南朝文學集團詩賦書寫策略之考察」為題,旨在於以「南朝文學集團」為考察的對象,以「詩賦」為考察的兩種主要文類,以「書寫策略」為考察的切入點,運用傳統的文本分析,結合新興的文學理論與視角,進行作品、作者、讀者、文學理論等全面性的考察。 「南朝文學」在文學史評價中呈現劇烈的起伏,一方面後代作家以其為模擬的對象,肯定美學價值,但也得到「餖飣」、「輕艷」或「流於光景」等負面評價;至於南朝的「文學集團」領袖與成員的「同題共作」、「應詔」、「贈酬」等作品,更常被視為千篇一律、了無新意。也因此,本文也特別重視這些於貴遊活動時的同題共作、或遊戲酬和的詩賦作品,希望藉由更細膩的閱讀與歸納,給予其新的意義與論述。 「詩」與「賦」可以說是中國古典文類中,最具文學色彩的兩種文類。曹丕《典論‧論文》說「詩賦欲麗」,很明確地將「詩賦」與其他文類區分開來。本文選擇「詩」與「賦」作為討論主軸,而以文序、書簡、銘箋等作為輔助,也正是考量文學性這個條件。如果更廣義來說,「詩」與「賦」不僅具有文類的意義,它們也表述文學態度、風格與傾向。「詩」表示了端莊雅正,「賦」指向了鋪排藻飾;「詩」代表「復古」,「賦」傾向「新變」。如果從這個角度來說,我認為中國文學史也就處於「詩化」與「賦化」的拉鋸。 「書寫策略」是一個較廣義的概念,它既用來指稱作者的創作心態與策略,也能拿來說一篇作品的修辭、語言策略。為了避免概念失焦,本文將書寫策略的討論聚焦於三個面向,分別是「內容設定」、「形式選擇」、「風格(論)生成」。創作者如何設定一篇作品的「內容」(題目、題材、典故、語言素材)?如何選擇適合承載的「形式」(詩、賦或是其他文類)?以及作品如何呈現「風格」、而「風格」與「風格論」又是如何被觀察、進而被建構?這背後都有所策略性的運用。從內容,我們發現這些同題材作品內在的差異;從形式,我們發現「詩」、「賦」這兩種文類的邊界、功能以及滑動、拉鋸的痕跡;從風格,我們發現「風格論」本身被建構、被想像的後設可能。 「文學集團」是研究南北朝時期文學的重要考察對象,只是過去從此概念著手的研究成果並不多;「書寫策略」是文學研究常被運用的概念,只是定義太過廣泛。本文一方面期望能將「書寫策略」作為實際的考察方法,二方面則希望給予「文學集團」這個特殊而被忽略的現象——更多的關注與論述。這就是本論文誕生的原因。

中國對外直接投資之影響評析 / The impact of china's outward FDI

中國於2000年首次明確提出企業「走出去」戰略,鼓勵並支持具比較優勢之國有與民營企業投資海外市場,使中國企業得以藉由對外直接投資活動,以國家機器作為後盾進入全球主要經濟市場,不僅可影響外國企業之經營運作、提升技術、掌握通路、獲取所需資源等,亦能有效結合經濟與政治實力,逐步豐厚中國之綜合國力,期能達到提升國際地位與成為世界大國之目標。 中國雖引進市場經濟體制,惟政治體制仍屬社會主義制度,由共產黨決定政府運作與經濟制度,國家機器對市場之干預程度遠較資本主義國家既深且廣;本論文為進一步瞭解中國的國家機器如何主導企業對外直接投資之運作、發展狀況及其影響力,係以國際政治經濟學之國家資本主義作為研究途徑,分析中國國家機器在其對外直接投資活動的作用及影響力,並以英國學者John Dunning的投資發展階段論,將中國對外直接投資之成效置於全球脈絡中進行比較分析,俾能歸納發現中國對外直接投資模式的特色。 經比較分析中國整體及企業個案之對外直接投資發展狀況與影響力,可以發現,中國對外直接投資能力逐漸增強,已具經濟自主能力,刻正由邊陲國家逐漸邁向核心國家。整體而論,中國對外直接投資發展模式與世界主要國家確有所差異:相同之處在於,中國與各國之對外直接投資活動均與國內經濟結構具高度正相關,亦即經濟發展到達一定水準後,才會出現頻密的對外直接投資活動及成果;相異之處在於,各國之民營企業已具國際競爭力並在對外直接投資活動扮演重要角色,惟中國的國有企業較民營企業更具對外直接投資之優勢與能力,投資動機主要係依據國家政策及經濟發展需要,而中國的民營企業則因規模較小,國際競爭力仍有待提升,目前在全球市場尚未形成可觀的影響力。 / For the very first time in 2000, China proposed a clear strategy to have corporations ‘going out,’ encouraging and supporting competent state-owned and private enterprises to invest overseas market. With the backup of the state, this policy enables Chinese corporations to get into the global economic market by means of outward foreign direct investment. In this way, they can affect the operation and management of foreign enterprises so as to advance their own technologies, control channels, and to acquire necessary resources. Moreover, they may combine economic power with political strength effectively, enhancing the comprehensive national power of China gradually so that China may increase its international status to become a superpower in the world. Though market economy is introduced in China, its political system, socialism, remains the same. The Communist government makes the decision concerning its operation and the economic system. In other words, the intervention of the state in the market is furtherer and wider than that of capitalist countries. In order to understand how the state controls enterprises in terms of the operation of outward foreign direct investment, its development, and the influence, the study adopts state capitalism of international political economy as the approach to analyze the function and influence of the state government on outward foreign direct investment. Moreover, the study is aimed at concluding the characteristics of Chinese pattern of outward foreign direct investment by adopting the British economist, John Dunning’s, the theory of investment-development cycle to compare and analyze the outcome of Chinese outward foreign direct investment in the scope of the whole world. After comparing and analyzing how the china overall and enterprises case about development and influence of outward foreign direct investment, it is discovered that China’s ability of outward foreign direct investment is increasing. China has the ability of economic autonomy and is transforming from a country of periphery to a core country. Overall, the development pattern of China’s outward foreign direct investment is indeed different from other major countries. The similarity lies in that there is a significantly positive relationship between the outward foreign direct investment of China and other countries and their domestic economic structure. That is to say, when the development of economy has reached a certain level, frequent outward foreign direct investment and its effects will then appear. On the other hand, the difference lies in that private enterprises in other countries are internationally competent and play an important role in outward foreign direct investment. However, in China, state-owned enterprises have more advantages and capabilities than private enterprises in terms of outward foreign direct investment. The motivation of investment is determined by national policy and the demands of economic development. Moreover, due to the scale being small, private enterprises in China need to improve their international competitiveness. Therefore, they don’t exert as much influence in the global market.

食譜粉絲團行銷策略之研究-以 Facebook 之 icook 為例 / The marketing strategies for a recipe community:An example of iCook on Facebook

全球第一大社群網站 Facebook,在 2007 年推出的 Facebook 粉絲專頁(Fan Page),是一個公開的介面,集合了娛樂、社交、資訊尋求三項商業行銷功能。根據 Facebook 官方統計,目前共有 118 萬個粉絲專頁,由一百多萬個公司團體開立,更吸引了超過 5 億 3,000 萬人次粉絲。近年來,台灣食譜 Facebook 粉絲團備受關注,本研究將探討網友對 iCook 愛料理粉絲團的使用動機。 其次,本研究目的,在探討 iCook 食譜粉絲團之「使用動機」、「資訊來源」、「服務品質」、「顧客滿意度」和「顧客忠誠度」之意涵。探討人口統計變相對「使用動機」、「資訊來源」、「服務品質」、「顧客滿意度」和「顧客忠誠度」的顯著差異性。檢定「使用動機」、「資訊來源」、「服務品質」、「顧客滿意度」和「顧客忠誠度」具有顯著關係。經由量化分析與質化訪談之相關研究,針對iCook食譜粉絲團提出行銷策略建議。 本研究以 馬斯洛《需求層級理論》,探討 Facebook 粉絲團的閱聽眾使用動機,針對經常瀏覽 iCook 粉絲團的常用使用者為研究對象,本研究利用「問卷調查法」與「深度訪談法」進行研究,兼顧量化及質化兩種研究途徑。透過網路問卷抽樣調查方式,回收有效問卷 506 份,並針對 iCook 愛料理網站創辦人、美食部落客、粉絲團會員重度使用者進行深度訪談。 研究結果顯示, iCook 食譜粉絲團以女性家庭主婦和上班族為主,年齡層以26-45 歲居多,教育程度以大學為最多,居住地區以北部為主。在使用動機、資訊來源及服務品質對於顧客滿意度有顯著正相關;使用動機、資訊來源及服務品質及顧客忠誠度有顯著正相關;顧客滿意度與忠誠度有顯著正相關。 經質化與量化分析,本研究對於 iCook 食譜粉絲團之行銷策略建議如下: 1. 提供豐富多樣的食譜資訊,讓使用者感覺有其價值性 2. 善用社群口碑行銷傳播,以內容取代廣告創造利基 3. 優化服務與開拓異業結盟機會,有助品牌知名度與滿意度   綜合上述,以鞏固其品牌忠誠度,朝長久經營之路邁進。 / Facebook, the biggest social network site in the world, launched the Page service in 2007. It is a public platform including entertainment, social contact and information seeking functions for business and marketing. According to the official statistics from Facebook, there are currently 1.18 million Facebook Pages created by more than 1 million organizations, attracting more than 530 million users. In recent years, the cookbook’s Facebook Pages in Taiwan attract more attention than before therefore the research is going to discuss the motivation of fans using iCook Facebook Page. Furthermore, the purpose of this study is to explore using motivation, sources, service quality, customer satisfaction and customer loyalty for iCook Facebook Page. To analyze the demographic variables differences on using motivation, information sources, service quality, customer satisfaction, customer loyalty differences. Also to test the relation between using motivation, information sources, service quality, customer satisfaction, customer loyalty. Through quantitative and qualitative research methods, provide marketing strategy recommendation. The study is based on “Maslow's Hierarchy of Needs Theory” and investigates Facebook Page audiences’ usage motivation. The target research group is the user who visits iCook Facebook Page frequently. In order to give consideration to both quantitative and qualitative approach, this study adopts questionnaire survey and in-depth interviews for research methods. There are 506 effective questionnaires from the Internet survey and conducts the in-depth interviews to iCook founder, Cuisine Bloggers and heavy users. The result indicates that the users of iCook Facebook Page are mainly female, housewife and office worker by occupations, the age between 26 and 45, education background is college and above, living around the northern Taiwan. The using motivation, information sources and service quality have a significant positive correlation with customer satisfaction, as well as customer loyalty. Therefore the service quality and customer loyalty are positive correlation. Based on the quantitative and qualitative analysis, this study suggests that iCook Facebook Page should apply more Social Media Marketing strategies and several recommendations as follows: 1. Providing various recipe for readers to let users feel valuable. 2. To leverage the power of Word of Mouth Marketing (WOMM) and to replace the advertisement to content in order to create the niche. 3. Optimizing the web services and features to expand cross-industry strategic alliance opportunities, it helps to promote the brand image and reputation.

多人線上戰鬥競技場遊戲之團隊成員推薦機制 / A Team Member Recommender System for Multiplayer Online Battle Arenas

近幾年來遊戲軟硬體的進步以及遊玩人數的增加,虛擬世界中的使用者行為已經開始受到注目,也有研究指出人們在虛擬世界的行為會反應他們在現實世界的行為並且交互影響。現今最熱門的線上遊戲更是提供多樣化的機制讓玩家們進行合作、競爭、交流等活動,遊戲開發者也會根據不同的目的開始分析玩家的行為,希望能藉此發現遊戲中更多的可能性。 遊戲的種類繁多,遊玩機制也相當多元,目前是以MOBA這類的線上遊戲最為熱門、擁有最多的玩家基數,MOBA是基於團隊合作的對戰型遊戲,玩家可以自由選擇多種職業(或稱作角色)的其中一種並和其他4位玩家組成隊伍,而對手也是同樣由5位玩家組成的隊伍。這類遊戲最大特色是職業的組合關係以及玩家之間的合作關係。在各個遊戲論壇或電競場合中,玩家們對於找出最佳的團隊組成或遊戲技巧提高勝率的分析相當熱衷,但在學術研究領域上目前針對線上遊戲團隊還沒有太多深入的研究。 本研究的目標旨在提出一個結合資料探勘與社群網路分析的方法來分析玩家與團隊績效之間的關係,並用於團隊績效預測與團隊組成上,藉此進行隊友的推薦。首先從抓取來的資料中取出三種玩家與英雄之間的關係,考量玩家的合作關係與英雄的組合關係,藉此篩選出具有高相關度的玩家作為推薦候選人。而在團隊績效預測的部分,取出對玩家個人表現或團隊表現具有影響的特徵值,並分析勝利的玩家或團隊通常會具備什麼樣的特質,再進行團隊表現的預測模型的建置。最後再結合兩者推薦出適合此隊伍的隊友供團隊選擇。 / Multiplayer online battle arenas (MOBA) is a subgenre of strategy games and has become the most popular online game genres recently. Teams of players could fight against each other in arena environments. To find good team members when playing MOBA is a challenge. In this thesis, we proposed a team member recommender mechanism to recommend team members for MOBA. The proposed mechanism first takes the team chemistry into consideration and generates the candidates based on the cooperation history among players and associated heroes. Then the proposed win/lose prediction model is employed to predict the win rate of each candidate by considering characteristics and proficiency of players and associated heroes. The recommended team members are ranked according to the predicted win rates. The experiments show that the proposed win/lose prediction model achieves approximately 91.6% accuracy and our mechanism could recommend players who have close cooperation with query players instead of considering the win rate only. Our proposed method could help the team formation and may enhance team performance of the on-line game.

企業併購的動態競爭分析 ─ 以台灣半導體封測廠商日月光與矽品合併為例 / Dynamic Competition Analysis in M&A – A Case Study of ASE-SPIL Merger

2016年全球半導體產值約 3,270 億美元,台灣半導體產值佔全球的23%,繼續蟬聯全球第二大半導體產業大國,排行僅次於美國。此外,台灣以出口為導向,根據我國財政部統計,2017上半年積體電路出口金額占整體出口總值的27.6%,是我國最主要的出口產品,可見半導體產業對台灣的影響力不言而喻。 近年來半導體併購浪潮興起,台灣廠商也無法置身事外,最受矚目非日月光與矽品的非合意併購案莫屬。一般學術論文對於非合意併購案的探討,著重於併購前的動機與併購後的綜效,鮮少討論雙方在併購過程中的攻防。故本研究欲以動態競爭觀點,並考量政府對併購成敗的影響,來找出矽品最後同意日月光共組控股公司之提案的原因,並分析此合併案對全球封測產業所造成的影響。 本研究發現雙方在合併前,應用產品及地區的市場共同性,分別呈現上升及下降趨勢,透過收購矽品,日月光不僅能追趕其主要競爭對手在車用電子的領先地位,更可以降低營收過度集中於北美的風險。另外,雙方在台灣及中國的專利申請數量有下降趨勢,但在美國專利的申請數有明顯增加且資源相似性也呈上升趨勢,故推論日月光收購矽品可鞏固其在北美市場的領導地位。總而言之,雖然日矽合併案被外界視為雙贏結果,但客戶轉單、中國商務部的限制條件及收購溢價偏高可能使得此合併綜效有限。在面對中國封測產商崛起、封測產業的市場集中度上升及半導體產業中下游界限越來越不明確的情況下,雙方合併為必然之勢。 / The worldwide semiconductor market grew 1.1% in 2016 to $338.9 billion USD, in which Taiwan accounts for 23% of the total output. Taiwan continues to rank as the world's second largest semiconductor industry, with the first being America. Taiwan is export oriented, and from the statistical data provided by the Ministry of Finance, the shipment of integrated circuit exports accounted for 27.6% of gross export value in the first two quarters of 2017. This indicates that integrated circuit is an important export product and that the semiconductor industry is of great importance to Taiwan. The recent and unprecedented M&A waves in the semiconductor industry caused major changes and created impact on Taiwanese semiconductor firm. The recent case that drew most attention is the M&A between ASE (Advanced Semiconductor Engineering, Inc.) and SPIL (Siliconware Precision Industries Co., Ltd). While most academic theses focus on the acquiring firm’s motive and post-M&A synergy, the offense and defense strategies during the M&A process are rarely explored. This research aims to focus on reasons why SPIL agreed on ASE’s proposal to form a joint venture holding company and the impact on the global OSAT (Outsourced Semiconductor Assembly and Test) industry after this M&A. This thesis utilized the dynamic competitive perspective and identifies government’s impact on M&A. The study finds that before the merger, the commonality of product shows an upward trend while the commonality of region market presents a downward direction. This merger not only assists ASE to catch up with its leading competitors in the automotive electronics sectors, but also reduce the revenue concentration risk, given that its major sales is in North America. In addition, the number of patents filed by both companies in Taiwan and China has declined, but the number in the United States has increased significantly along with an escalating resource similarity. Therefore, the research concludes that the acquisition of SPIL can consolidate ASE’s leading position in the North American market. To sum up, the merger of ASE and SPIL is regarded as win-win outcome. However, the M&A has risks, such as customer attrition, restriction from The Ministry of Commerce of the People's Republic of China (MOFCOM) and merger overpayment. Such uncertainties may reduce synergy. Nevertheless, in the face of the rise of China's OSAT business, the market concentration of OSAT industry, and the increasingly unclear boundary between the middle and downstream firms, the merger of the two firms is inevitable.

利用1995-2015年間美國房地產投資信託基金(REIT)的176個初次公開發行為樣本,本研究分析了初步公開說明書(Form S-11)資訊與REITs上市後之當天,短期和長期表現之間的關係。其中,本文著重於探討四個特別領域的相關資訊,包括管理結構,承銷商聲譽,IPO閉鎖期及管理團隊品質。 實證結果顯示,初步公開說明書(Form S-11)包含有價值的資訊,有助於REIT IPO 投資人作投資評估之使用。其中,IPO閉鎖期大於等於產業標準180天的REITs,其在上市後6個月和12個月期間的報酬率高於IPO閉鎖期小於180天的REITs。此外,與過去的IPO研究結果相似,由知名承銷商所銷售之REIT IPOs 在初次公開發行後的短期及長期表現平均優於由知名度較低之承銷商所銷售的REIT IPOs。 然而,儘管過去與REIT相關的研究普遍偏好內部管理,本研究之實證結果支持外部管理的模式。其中,實證結果顯示外部管理的REITs在初次公開發行後的短期及長期表現平均優於內部管理的REITs。 / Using a sample of 176 US REIT IPOs from 1995 to 2015, this study examines the relationship between information provided on the preliminary IPO prospectus (form S-11) and post-IPO initial, short-term and long-term performance of REITs. In particular, this paper focuses on information related to four specific areas: management structure, underwriter reputation, lock-up period, and management quality. The findings of this study suggest that form S-11 carries valuable information, and is useful to investors in evaluating REIT IPOs. The regression results indicate that REIT IPOs with a lock-up period that is at least as long as the industry standard, on average, earn higher post-IPO returns 6-month and 12-month following the IPO date. Moreover, consistent with prior IPO studies, offerings underwritten by prestigious underwriters, on average, yield better post-IPO performance than IPOs underwritten by less reputable underwriters. Yet, unlike prior REIT studies, the findings of this paper tend to favor the external management structure. The results from the sub-sample imply externally managed REITs, on average, earn higher post-IPO short-term and long-term returns than their internally managed counterpart.

非營利組織策略合作之研究-以台灣農會為例 / A Study of Strategic Cooperatoin Among Non-profit Organizations: Farmers' Associations in Taiwan

本研究以非營利組織策略合作為主題,以策略性思維,嘗試探索較能解釋非營利組織策略合作型式選擇決策之合作內涵特性,且以此發現為基礎,從較具解釋效果之合作內涵特性分析,進一步針對非營利組織策略合作之價值共創與關係管理機制,探索較具策略管理意涵之機制變數,以建構本研究所欲探討之非營利組織策略合作型式選擇模式,以及價值共創與關係管理機制之概念模式,並提出規範性之命題。   為此,本研究選擇了具有近百年歷史且經營模式獨特之台灣農會(會員導向之擬公法人商業-互益型非營利組織)作為研究對象,結合非營利組織與營利組織之相關理論及文獻,針對實務現象進行分析。由於所欲探討主題屬特定現象之初期探討,本文採質性多重個案研究設計,針對由三家(含)以上農會所參與組成之聯盟機構蒐集資料,並以聯盟機構或策略合作網絡之主導機構為主體之組織間合作關係為分析單位,進行資料蒐集及探索性研究。   首先,歸納文獻與實務現象觀察結果,本研究依非營利組織策略合作「是否共組獨立機構」及「是否採非營利性」兩項選擇決策,將聯盟機構歸納分類成四種策略合作型式:非營利性合營機構、營利性合資機構、非營利性聯盟及營利性聯盟,此項分類方式也作為本研究後續進行個案分析之基礎。   由於不同策略合作型式傾向採取不同之組織原理與思考邏輯,本研究認為非營利組織(農會)進行策略合作,若要持續共同創造所欲追求之價值並妥善管理組織間關係,應策略性地選擇較能發揮效能之合作型式,再據以設計其價值共創與關係管理機制。因此,本研究之個案分析分成兩個階段進行,第一階段個案研究主要嘗試從實務個案資料分析歸納較能解釋不同策略合作型式之合作內涵特性變數;第二階段個案研究主要聚焦探討「非營利性聯盟」及「非營利性合營機構」兩種非營利性質之合作型式,並以第一階段有關合作內涵特性變數之發現為基礎,進一步探索兩種合作型式之價值共創與關係管理機制變數。   本研究第一階段個案分析歸納發現,如果合作內涵涉及高度業務可切割性及高度關係專用資產投入必要性時,較宜採取共組獨立機構之合作型式;反之,如果合作內涵涉及低度業務可切割性或低度關係專用資產投入必要性時,較宜採取不共組獨立機構之合作型式。另外,如果合作內涵涉及高度投入共同性、低度投入可衡量性、高度產出共同性或低度產出可衡量性時,較宜採取非營利性之合作型式;然而,如果合作內涵涉及低度投入共同性、高度投入可衡量性、低度產出共同性或高度產出可衡量性時,較宜採取營利性之合作型式。   至於第二階段有關價值共創機制之個案分析發現,如果合作內涵涉及低度業務可切割性時,非營利性聯盟可以採取幾項價值共創機制:合作夥伴專業分工、合作夥伴選擇、任務小組負責人選派制度、合作夥伴創新能力、外部資源有效分配方式,以及外部專家專業諮詢;相對地,合作內涵涉及高度業務可切割性時,非營利性合營機構可以透過專業團隊經營、董(理)監事選聘制度、領導人甄選制度、創新經營模式、組織設計決策管理與控制分離政策,以及設立外部獨立董(理)監事等機制來營造彼此價值共創之氛圍。   如果合作內涵涉及低度關係專用資產投入必要性時,要有效利用合作夥伴既有資源及外部取得資源以共同營造合作網絡之綜效價值,非營利性聯盟可以採取幾項價值共創機制:任務小組負責人選派制度、資源有效利用方式、合作夥伴之資源與技術有效整合,以及合作夥伴網絡關係運用;相對地,合作內涵涉及高度關係專用資產投入必要性時,非營利性合營機構可以採取董(理)監事選聘制度、具體資源運用計畫、合營機構領導人組專業團隊之權力,以及有效專業服務平台等價值共創機制。   針對關係管理機制之探討,經個案分析發現,如果合作內涵涉及高度投入共同性時,兩種非營利性質之策略合作型式可以透過可接受之合作規範、建立共同標準、資訊對等溝通,以及能力不足補救措施來提升合作夥伴配合共同投入意願。合作內涵涉及低度投入可衡量性時,可以賦予投入較多之合作機構主導資源利用方向之決策權以維持其投入意願;涉及高度產出共同性時,可以透過共同品質控管、不符標準產出配套處理措施及外部誘因來提升合作夥伴配合共同產出要求之意願;至於涉及低度產出可衡量性時,可以透過目標達成度評核措施、外部專家專業認定及可接受之利益分配方式來協調合作夥伴關係。   過去文獻對非營利組織之合作關係,較少以策略性思維進行探討,本研究之發現可延伸應用並補強現有合作相關理論與文獻對非營利組織間合作有關實務現象之解釋,對未來有關非營利組織合作關係之研究,也提供另一個思考方向;加上組織間策略合作也是當前政府輔導農民團體因應台灣加入WTO後之政策加強重點,本研究配合組織思索轉型所需,實務上期能提供農會研擬組織間合作策略及政府推動農民團體輔導政策之參考。 / Strategic cooperation is taken as an alternative resort for solving problems facing non-profit organizations (NPO) which suffer a bottleneck in operations resulting from mounting resource scarcity and external threats. It is especially deemed so for farmers’ associations in Taiwan, which were closely associated with the development of agriculture on the island in the past century and have been seriously affected after Taiwan entered the World Trade Organizations(WTO)in 2002. Given this understanding, we conduct a two-phase study to observe the phenomena by studying farmers’ associations in Taiwan. Research 1 attempts to explore the cooperation characteristics which can most explain the decision on strategic cooperation types chosen by at least 3 farmers’ associations in each network. Research 2, based on the findings of Research 1, attempts to explore the value-co-creating and relation-maintaining mechanisms for such relations. As part of the methodology, we apply an exploratory multiple-case-study design and refer to NPO and PO (for-profit organization) literature for analytical induction. Prior to the case study, we first categorize the NPO strategic cooperation relations into four types: Non-profit joint operations, for-profit joint ventures, non-profit alliances and for-profit alliances. This categorization made in accordance with literature review and observed phenomena serves as a basis for our further research. In Research 1, we examine 5 theoretically sampled cases and find out 2 characteristics variables which can most explain the decision on whether to organize an independent institution, and 4 variables which can most explain the decision on whether to keep the cooperation for non-profit purpose or change it into for-profit relations. According to our findings, if cooperation involves high business separability and high necessity for relation-specific asset input, we suggest a choice for organizing another new independent institution (i.e. non-profit joint operations or for-profit joint ventures). If cooperation involves low business separability and low necessity for relation-specific asset input, we suggest a choice for not organizing an independent institution (i.e. non-profit alliances or for-profit alliances). In terms of the “non-profit or for-profit” decision, if cooperation involves high input commonality, low input measurability, high output commonality and low output measurability, we suggest a non-profit choice (i.e. non-profit joint operations or non-profit alliances). If cooperation involves low input commonality, high input measurability, low output commonality and high output measurability, we suggest a for-profit choice (i.e. for-profit joint ventures or for-profit alliances). For the second research, we focus our study on the two non-profit cooperation types and examine 8 theoretically sampled cases including 5 non-profit alliances and 3 non-profit joint operations. We explore the value-co-creating mechanisms by analyzing case data from the two characteristics variables which can most explain the “organizing an independent institution or not” decision in consideration that the two studied types take different cooperation forms and may apply different mechanisms for co-creating synergetic value in the network. Meanwhile, we explore the relation-maintaining mechanisms from the four characteristics variables which can most explain the “non-profit or for-profit” decision because the two studied types is of non-profit nature and involve high input commonality, low input measurability, high output commonality and low output measurability. It is of strategic significance to heighten partners’ will for continued cooperation in such non-profit relations. Our findings of the value co-creating mechanisms suggest 6 mechanism variables for the non-profit alliances and non-profit joint operations, respectively, depending on their levels of business separability. Analysis from the characteristics of necessity for relation-specific asset input, in similar manner, suggests 4 variables for the two studied types, respectively. In the exploration of relation-maintaining mechanisms, results suggest 4 mechanism variables for the non-profit types if cooperation involves high input commonality, 1 variable for relations involving low input measurability, 3 variables for relations involving high output commonality, and 3 variables for relations involving low output measurability. Although there may be many mechanisms which can help partners to co-create value and maintain relations in their cooperation, this research attempts to explore only the variables which can be of more strategic significance for the two focus types. Following our findings in Research 1 and 2, we provide normative propositions and build a decision-making model for the choice of strategic cooperation types and another integrative conceptual model of the value-co-creating and relation-maintaining mechanisms for non-profit alliances and joint operations. Farmers’ associations, which boast of a history of nearly 100 years in Taiwan, are unique in their business models as compared to other non-profit organizations. On top of that, NPO inter-organizational cooperation relations are seldom examined from strategic perspective. Theoretically speaking, findings of this dissertation can further extend and supplement the explanation and the application of present theories and literature to the phenomena in this regard. Implications and recommendations for managerial practices of inter-organizational cooperation among farmers’ associations are also discussed.

台北縣立國民中學工作團隊之知識管理研究 / A study on knowledge management of work teams in Taipei county junior high school

本研究是以個案研究的方式,探討台北縣立國民中學的工作團隊之知識性活動與知識管理的差距。分析的項目包括知識管理關鍵因素和組織環境等二部分。同時也對工作團隊面臨的問題及其因應對策進行了解。其中知識管理關鍵因素包括知識的取得、知識的創造、知識的儲存等三項。組織環境的部分包括人員和組織行政的配合情況。 本研究發現,台北縣國民中學教師所組成的工作團隊,雖然在沒有知識管理的認知下,其知識性活動和已在實施的知識管理專案,相距並不大。若是將各個工作團隊採行的知識性活動加以彙整,則這個差距將更小。所以,如果要在這些單位中實施知識管理,應是可行的。 關鍵詞:工作團隊、知識管理、知識的獲得、知識的儲存、知識的創造、小班教學精神、課程統整、多元智慧、電腦輔助教學。 / This research is adopted to the method of case study: deeply discussing the difference between the knowledge activities and knowledge management ( KM ) of the work teams of junior high schools in Taipei County. The analysis items include two parts: the feature components of knowledge management and organizational environment. At the same time, the research also gets understanding in the facing problems of the team work and their coordinate strategies. In detail, the feature components of knowledge management include knowledge gaining, knowledge creation, and knowledge saving. The organizational environment includes the members and administrators of the work teams and their cooperation. The research found that the work teams of the teachers of junior high schools in Taipei County even if without acknowledgement in knowledge management, their knowledge activities are corresponding to the cases of current practicing of knowledge management. If to collect all the knowledge activities addressed by each work teams, the difference is getting smaller. Therefore, it is to say that to practice the knowledge management is doable.
